HomeMy WebLinkAboutC19-292 Early Childhood PartnersSECOND AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND EARLY CHILDHOOD PARTNERS THIS SECOND AMENDMENT (“Second Amendment”) is effective ________________, by and between Early Childhood Partners (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 9th day of May 2018, for certain Services (C18-124) (the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain Services with compensation in an amount not to exceed $7,020; and WHEREAS, the parties amended the agreement on February 19, 2019 (C19-063) (the “First Amendment”) and it contemplated that the Consultant would perform additional Services for additional compensation in an amount not to exceed $125,000 or a total maximum compensation under the Original Agreement and the First Amendment of $132,020; and extended the term to December 31, 2019; and WHEREAS, the County desires to have Consultant perform additional Services for additional compensation as set forth below. SECOND AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement and First Amendment shall be amended to include additional Services as described in Exhibit A-2, which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit A-2 shall not exceed $12,300 or a total maximum compensation under the First Amendment and this Second Amendment of $144,320. 3. Capitalized terms in this Second Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the Second Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this Second Amendment shall govern and control the rights and obligations of the parties. Except as expressly altered, modified and changed in this Second Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 5. This Second Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. County agrees to pay Contractor $12,300 for providing the Incredible Years parenting class program. 2. Contractor agrees to submit the names and dates of birth for at least 15 children whose parent(s) participate in the Incredible Years parenting program by December 1, 2019. CONTRACTOR SHALL BE REQUIRED TO SUBMIT THE FOLLOWING REPORTS TO COUNTY: Annual report due by December 1, 2019. This report will include the names and date of births of at least 15 of the 25 children whose parent(s) participated in the Incredible Years parenting class.
