DocuSignEnvelopeID:5A18F518-DD5O-4B13-97B6-FF0458555FB6EASEMENTAGREEMENTTHISEASEMENTAGREEMENT(the“Agreement”),madeasofthe8/13/2019betweenRiverwalkatEdwardsPropertyOwnersAssociation,Inc.,aColoradonon-profitcorporation,(“Grantor”),whoseaddressisdo2$2ndStreet,Suite216,Edwards,Colorado,81632,andEagleCounty,CoLorado,apoliticalsubdivisionofthestateofCoLoradobyandthroughitsBoardofCountyCommissionersC’Grantee”).WITNESSETH:WHEREAS,GrantoristhefeeownerofcertainrealpropertyknownasTheRiverwalkRubyBuitding,AResubdivisionofLot13,RiverwalkatEdwards,Phase10,CountyofEagle,StateofColorado(the“Property”);andWHEREAS,EagleCountyisconstructingamid-blockcrossingacrossHighway6withasidewalkconnectiontotheexistingsidewalkonRiverwalkproperty;andWHEREAS,GrantorwishestogranttoGrantee,andGranteewishestoobtainfromGrantor,atemporaryeasementover,under,acrossanduponaportionofthePropertyasdescribedanddepictedinExhibitAforpurposesofconstructingaconcretesidewalk;andWHEREAS,Grantorwillmaintainthesidewalkafterconstructionforthebenefitofthepublic.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,andothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thepartiesheretoagreeasfollows:1.EasementGrant.Grantor,inconsiderationoftheimprovementstobemadebyGranteeandothergoodandvaluableconsideration,thesufficiencyofwhichisherebyconfessedandacknowledged,herebygrantstoGrantee,anditssuccessorsandassigns,forthebenefitofthepublic,atemporaryeasementandright-of-wayon,over,under,acrossandthroughtheProperty,consistingofanareadescribedinExhibitAanddepictedinExhibitB,attachedheretoandincorporatedherein,(the“CountyEasement”)fortheconstructionofasidewalk(the“Sidewalk”),tohaveandtoholdthesame,togetherwithallandsingulartheappurtenancesandprivilegesthereunto,forproperuseandthebenefitoftheGrantee,itssuccessorsandassignsandthepublic,forsuchtimeasrequiredbytheGranteetoconstructSidewalkasdescribedinthisAgreement.GranteeacceptstheCountyEasementinitsASIScondition.TheGrantorreservestherighttouseforitselfandtogranttoothersrightsofwayover,under,acrossorthroughtheCountyEasement,providedthattheydonotunreasonablyinterferewithCounty’suseoftheCountyEasementandconstructionoftheSidewalk.2.Construction,MaintenanceandRepairofTrail.a.Granteeanditsagents,employeesandcontractorsmayentertheCountyEasementatanytimeduringtheperiodofthisAgreementtoconstructtheSidewalk.TheGranteewillcompleteconstructionoftheSidewalknolaterthanNovember27,2019.EagleCounty,cc201913270ReginaO’Brien08/19/2019Pgs:802:30:50PMREC:$0.00DOC:$0.00 DocuSignEnvelopeID:5A18F518-DD5O-4B13-97B6-FF0458555FB6b.GrantorshallmaintainandrepairtheSidewalkinamannerandbymeansinaccordancewithitsreasonablejudgment,atitsownexpense,inperpetuity.MaintenanceandrepairoftheSidewalkmayincludetheadditiontoorremovalofpavementfromtheSidewalk,removalofrockorvegetation,weedcontrol,andmowingorctlttingofvegetationandplacementoferosioncontroldevicesintheareaoftheSidewalkandwithintheareadepictedastheCountyEasementasdescribedinExhibitAandshowninExhibitB.IntheeventthattheTraitisdamagedordestroyedbyGrantor,itsemployees,agentsandcontractors,GrantorshallberesponsibleforrepairandrestorationoftheSidewalktoitsconditionpriortosuchdestructionordamage.3.PeniiittedUses.UseoftheSidewalkbythepublicislimitedtopedestrians(the“PermittedUses”).NomotorizedvehicleusewillbepermittedontheCountyEasementortheSidewalk,withtheexceptionofmotorizedvehicleusebytheGranteeorGrantor,theiragents,employeesandcontractors,asreasonablynecessaryforinspection,maintenanceandoperationoftheSidewalk,orforemergencyvehicleandemergencyaccessorasmayberequiredpursuanttotheAmericanswithDisabilitiesAct(“ADA”).NoparkingispermittedontheCountyEasementorontheSidewalkexceptintheeventofanemergencyorasmayberequiredbytheADA.ExceptwithrespecttomotorizedvehiclesoperatingpursuanttotheADA,allmotorizedvehiclesaccessingtheCountyEasementand/ortheSidewalkshallusewarningsignsorwarninglightsorwarningsoundstoalertTrailuserstotheirpresence,andshallnotobstructaccesstoorimpedeorinterferewiththereasonableuseoftheCountyEasementortheSidewalkforthepurposesdescribedherein.4.Grantor’sRights.GrantorherebyreservestherighttousetheCountyEasementforallpurposesnotinconsistentwiththegrantoftheCountyEasementtoGrantee.Notwithstandingtheforegoing,Grantorshallnotplace,constructormaintainanystructureorimprovementon,over,under,acrossorabovethesurfaceoftheCountyEasementorSidewalkthatwouldunreasonablyobstructaccesstoorunreasonablyimpedeorinterferewiththeuseoftheSidewalk,theCountyEasement,orthePermittedUses.5.BindingNature.ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectiveheirs,personalrepresentatives,successorsandassignsforeverandthebenefitsandburdenshereofshallconstitutecovenantsrunningwiththetitletotheProperty.6.Notices.Wheneveritisdesirableornecessaryforeitherpartytoservenoticeordemandupontheother,suchnotice,demandorcommunicationshallbegivenbypersonalserviceorcertifiedmail,returnreceiptrequestedwithfirstclasspostageprepaidthereon,andunlesssoonerreceivedshallbedeemedtohavebeenreceivedthree(3)daysafterthedateofcertification.Theaddressesofthepartiesheretoareasfollows:Grantor:RiverwalkatEdwardsPropertyOwnersAssociation,Inc.282ndStreet,Suite216Edwards,Colorado,$1632Page2of6
