Box850Eagle,CO81631,hereinaftercalled“Owner”,andHolyCrossEnergy,aColoradocorporation whosemailingaddressisP.0.Box2150,GlenwoodSprings,Colorado81602,hereaftercalled“HolyCross”.WHEREAS,HolyCrosshasbeenrequestedbyOwnertoprovideundergroundelectricfacilities,hereinaftercalled‘Facilities”,toserveaprojectknownasEagleAirportDe-icePadhereinaftercalled“Project”;and,WHEREAS,Ownerisrequiredtoprovideallexcavation,conduitandvaultinstallation,backfill,compactionandcleanupneededtoconstructsaidrequestedFacilities;and,WHEREAS,Ownerownsrealpropertydescribedasfollows:“PARCELA”locatedinSections2,3,4,9&10,Township5South,Range85West ofthe6thPMasdescribedbytheannexationmapat ReceptionNumber674097asrecordedintheEagleCountyClerkandRecorder’sOffice,Eagle,Colorado.AparceloflandsituateinSections2,3,4&9,Township5South,Range85West ofthe6hP.M.,asmorefullydescribedatReception Number338682inthe recordsoftheEagleCountyClerkandRecorder’sOffice,Eagle,Colorado.AparceloflandsituateinSections2&3,Township5South,Range85Westofthe6,hP.M.,asmorefullydescribedatReceptionNumber337294intherecordsoftheEagleCountyClerkandRecorder’sOffice,Eagle,Colorado.,hereinaftercalled“Property”,whichPropertyistherealpropertywheretheProjectisbeingdeveloped;and,WHEREAS,installationof FacilitiestoservetheProjectmayrequire trenchingorotherexcavationoncertainrealpropertyadjacenttotheProjectdescribedasfollows:CooleyMesaRoadrightofway,hereinaftercalled“AdjacentLand”.NOW,THEREFORE,OwnerandHolyCrossagreeasfollows:1.Ownershallprovideallexcavation,conduitandvaultinstallation,backfill,compactionandcleanup necessaryforinstallationof FacilitiestoservetheProject.SuchexcavationshallbelocatedasshownontheconstructionplansapprovedbyHolyCross,andperformedinaccordancewithHolyCrossVaultInstallationSpecifications,ConstructionSpecificationsandinspector requirements.AnydeviationfromtheapprovedconstructionplanswillnotbemadeunlessapprovedbyHolyCrossinadvance.AllFacilitiesinstalledhereundershallbeinspectedduringconstructionbyHolyCrossandshallmeetallHolyCrossrequirementspriortoacceptanceofsuchFacilitiesby HolyCross.a.Priortocommencementofanyworkhereunder,HolyCrossshallfurnishtoOwneritsVaultInstallationSpecificationsandConstructionSpecificationsand suchspecificationsaremadeaparthereofbyreference.b.AllFacilitiesinstalledwithinthePropertyandAdjacentLandshallbewithindedicatedorconveyedandrecordedutilityeasements.c.Thetopofallconduitsinstalledhereundershallbelocatedaminimumof48”belowthefinalgradeofthegroundsurface.d.Atwelve-inch(12”)minimumseparationwillbemaintainedbetweenconduitsinstalledfortheFacilitiesandallotherneworexistingundergroundutilities.
