BETWEEN EAGLE COUNTY, COLORADO
AND
FELSBURG HOLT & ULLEVIG, INC
THIS AGREEMENT (“Agreement”) is effective as of ______________________, by and between
Felsburg Holt & Ullevig, Inc., a Colorado corporation (hereinafter “Consultant” or “Contractor”) and
Eagle County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, the county issued a request for qualifications (“RFQ”) for the services of a consultant to
perform utilities, transportation planning, access control, right-of-way, preliminary design and final
design for the section of US 6 from Arrowgrass to Hillcrest Drive. The plans are to be conceptual for the
corridor including the Arrowgrass and Fox Hollow intersections. Final plans are to be completed for the
Hillcrest Drive intersection. The consultant will also create a conceptual plan, including alternatives, for
transit improvements and non-motorized connectivity for the West Edwards area, as further described
below. The purpose of the West Edwards Transit Connectivity Plan is to work with key Eagle County
Departments to identify needs, constraints, and design alternatives to improve transit infrastructure and
nonmotorized connectivity between key housing, educational, and employment properties
within the area. (the “Project”) ; and
WHEREAS, in response to the County’s RFQ, Consultant submitted a proposal, scope, and fee, attached
hereto as Exhibit A and incorporated herein by this reference; and
WHEREAS, Consultant is authorized to do business in the State of Colorado and has the time, skill,
expertise, and experience necessary to provide the Services as defined below in paragraph 1 hereof; and
WHEREAS, this Agreement shall govern the relationship between Consultant and County in connection
with the Services.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing and the following promises Consultant and
County agree as follows:
1. Services. Consultant agrees to diligently provide all services, labor, personnel and materials
necessary to perform and complete the services described in Exhibit A (“Services”) which is attached
hereto and incorporated herein by reference. The Services shall be performed in accordance with the
provisions and conditions of this Agreement.
a. Consultant agrees to furnish the Services no later than December 31, 2020 and in
accordance with the schedule established in Exhibit A. If no completion date is specified in Exhibit A,
then Consultant agrees to furnish the Services in a timely and expeditious manner consistent with the

applicable standard of care. By signing below Consultant represents that it has the expertise and
personnel necessary to properly and timely perform the Services.
b. In the event of any conflict or inconsistency between the terms and conditions set forth in
Exhibit A and the terms and conditions set forth in this Agreement, the terms and conditions set forth in
this Agreement shall prevail.
c. Consultant agrees that it will not enter into any consulting or other arrangements with
third parties that will conflict in any manner with the Services.
2. County’s Representative. The Engineering Department’s designee shall be Consultant’s contact
with respect to this Agreement and performance of the Services.
3. Term of the Agreement. This Agreement shall commence upon the date first written above, and
subject to the provisions of paragraph 12 hereof, shall continue in full force and effect through December
31, 2020.
4. Extension or Modification. This Agreement may not be amended or supplemented, nor may any
obligations hereunder be waived, except by agreement signed by both parties. No additional services or
work performed by Consultant shall be the basis for additional compensation unless and until Consultant
has obtained written authorization and acknowledgement by County for such additional services in
accordance with County’s internal policies. Accordingly, no course of conduct or dealings between the
parties, nor verbal change orders, express or implied acceptance of alterations or additions to the Services,
and no claim that County has been unjustly enriched by any additional services, whether or not there is in
fact any such unjust enrichment, shall be the basis of any increase in the compensation payable hereunder.
In the event that written authorization and acknowledgment by County for such additional services is not
timely executed and issued in strict accordance with this Agreement, Consultant’s rights with respect to
such additional services shall be deemed waived and such failure shall result in non-payment for such
additional services or work performed.
5. Compensation. County shall compensate Consultant for the performance of the Services in a sum
computed and payable as set forth in Exhibit A. The performance of the Services under this Agreement
shall not exceed $462,307.46. Consultant shall not be entitled to bill at overtime and/or double time rates
for work done outside of normal business hours unless specifically authorized in writing by County.
a. Payment will be made for Services satisfactorily performed within thirty (30) days of
receipt of a proper and accurate invoice from Consultant. All invoices shall include detail regarding the
hours spent, tasks performed, who performed each task and such other detail as County may request.
b. Any out-of-pocket expenses to be incurred by Consultant and reimbursed by County shall
be identified on Exhibit A. Out-of-pocket expenses will be reimbursed without any additional mark-up
thereon and are included in the not to exceed contract amount set forth above. Out-of-pocket expenses
shall not include any payment of salaries, bonuses or other compensation to personnel of Consultant.

Consultant shall not be reimbursed for expenses that are not set forth on Exhibit A unless specifically
approved in writing by County.
c. If, at any time during the term or after termination or expiration of this Agreement,
County reasonably determines that any payment made by County to Consultant was improper because the
Services for which payment was made were not performed as set forth in this Agreement, then upon
written notice of such determination and request for reimbursement from County, Consultant shall
forthwith return such payment(s) to County. Upon termination or expiration of this Agreement,
unexpended funds advanced by County, if any, shall forthwith be returned to County.
d. County will not withhold any taxes from monies paid to the Consultant hereunder and
Consultant agrees to be solely responsible for the accurate reporting and payment of any taxes related to
payments made pursuant to the terms of this Agreement.
e. Notwithstanding anything to the contrary contained in this Agreement, County shall have
no obligations under this Agreement after, nor shall any payments be made to Consultant in respect of any
period after December 31 of any year, without an appropriation therefor by County in accordance with a
budget adopted by the Board of County Commissioners in compliance with Article 25, title 30 of the
Colorado Revised Statutes, the Local Government Budget Law (C.R.S. 29-1-101 et. seq.) and the
TABOR Amendment (Colorado Constitution, Article X, Sec. 20).
6. Sub-consultants. Consultant acknowledges that County has entered into this Agreement in
reliance upon the particular reputation and expertise of Consultant. Consultant shall not enter into any
sub-consultant agreements for the performance of any of the Services or additional services without
County’s prior written consent, which may be withheld in County’s sole discretion. County shall have
the right in its reasonable discretion to approve all personnel assigned to the subject Project during the
performance of this Agreement and no personnel to whom County has an objection, in its reasonable
discretion, shall be assigned to the Project. Consultant shall require each sub-consultant, as approved by
County and to the extent of the Services to be performed by the sub-consultant, to be bound to Consultant
by the terms of this Agreement, and to assume toward Consultant all the obligations and responsibilities
which Consultant, by this Agreement, assumes toward County. County shall have the right (but not the
obligation) to enforce the provisions of this Agreement against any sub-consultant hired by Consultant
and Consultant shall cooperate in such process. The Consultant shall be responsible for the acts and
omissions of its agents, employees and sub-consultants or sub-contractors.
7. Insurance. Consultant agrees to provide and maintain at Consultant’s sole cost and expense, the
following insurance coverage with limits of liability not less than those stated below:
a. Types of Insurance.
i. Workers’ Compensation insurance as required by law.

ii. Auto coverage with limits of liability not less than $1,000,000 each accident
combined bodily injury and property damage liability insurance, including coverage for owned, hired, and
non-owned vehicles.
iii. Commercial General Liability coverage to include premises and operations,
personal/advertising injury, products/completed operations, broad form property damage with limits of
liability not less than $1,000,000 per occurrence and $2,000,000 aggregate limits.
iv. Professional liability insurance with prior acts coverage for all Services required
hereunder, in a form and with an insurer or insurers satisfactory to County, with limits of liability of not
less than $1,000,000 per claim and $2,000,000 in the aggregate. In the event the professional liability
insurance is on a claims-made basis, Consultant warrants that any retroactive date under the policy shall
precede the effective date of this Agreement. Continuous coverage will be maintained during any
applicable statute of limitations for the Services and Project.
b. Other Requirements.
i. The automobile and commercial general liability coverage shall be endorsed to
include Eagle County, its associated or affiliated entities, its successors and assigns, elected officials,
employees, agents and volunteers as additional insureds.
ii. Consultant’s certificates of insurance shall include sub-consultants as additional
insureds under its policies or Consultant shall furnish to County separate certificates and endorsements for
each sub-consultant. All coverage(s) for sub-consultants shall be subject to the same minimum
requirements identified above. Consultant and sub-consultants, if any, shall maintain the foregoing
coverage in effect until the Services are completed. In addition, all such policies shall be kept in force by
Consultant and its sub-consultants until the applicable statute of limitations for the Project and the
Services has expired.
iii. Insurance shall be placed with insurers duly licensed or authorized to do business
in the State of Colorado and with an “A.M. Best” rating of not less than A-VII.
iv. Consultant’s insurance coverage shall be primary and non-contributory with
respect to all other available sources. Consultant’s policy shall contain a waiver of subrogation against
Eagle County.
v. All policies must contain an endorsement affording an unqualified thirty (30)
days notice of cancellation to County in the event of cancellation of coverage.
vi. All insurers must be licensed or approved to do business within the State of
Colorado and all policies must be written on a per occurrence basis unless otherwise provided herein.
vii. Consultant’s certificate of insurance evidencing all required coverage(s) is
attached hereto as Exhibit B. Upon request, Consultant shall provide a copy of the actual insurance

policy and/or required endorsements required under this Agreement within five (5) business days of a
written request from County, and hereby authorizes Consultant’s broker, without further notice or
authorization by Consultant, to immediately comply with any written request of County for a complete
copy of the policy.
viii. Consultant shall advise County in the event the general aggregate or other
aggregate limits are reduced below the required per occurrence limit. Consultant, at its own expense, will
reinstate the aggregate limits to comply with the minimum limits and shall furnish County a new
certificate of insurance showing such coverage.
ix. If Consultant fails to secure and maintain the insurance required by this
Agreement and provide satisfactory evidence thereof to County, County shall be entitled to immediately
terminate this Agreement.
x. The insurance provisions of this Agreement shall survive expiration or
termination hereof.
xi. The parties hereto understand and agree that the County is relying on, and does
not waive or intend to waive by any provision of this Agreement, the monetary limitations or rights,
immunities and protections provided by the Colorado Governmental Immunity Act, as from time to time
amended, or otherwise available to County, its affiliated entities, successors or assigns, its elected
officials, employees, agents and volunteers.
xii. Consultant is not entitled to workers’ compensation benefits except as
provided by the Consultant, nor to unemployment insurance benefits unless unemployment compensation
coverage is provided by Consultant or some other entity. The Consultant is obligated to pay all federal
and state income tax on any moneys paid pursuant to this Agreement.
8. Indemnification. To the extent allowed by law, the Consultant shall indemnify and hold harmless
County, and any of its officers, agents and employees against any losses, claims, damages or liabilities
that arise out of, directly or indirectly, this Agreement, or are based upon negligence, errors, or
omissions any performance or nonperformance by Consultant or any of its sub-consultants hereunder; and
Consultant shall reimburse County for reasonable attorney fees and costs, legal and other expenses
incurred by County in connection with investigating or defending any such loss, claim, damage, liability
or action.
This indemnification shall not apply to claims by third parties against the County to the extent that
County is liable to such third party for such claims without regard to the involvement of the Consultant.
This paragraph shall survive expiration or termination hereof.
9. Ownership of Documents. All documents prepared by Consultant in connection with the Services
shall become property of County. Consultant shall execute written assignments to County of all rights
(including common law, statutory, and other rights, including copyrights) to the same as County shall

from time to time request. For purposes of this paragraph, the term “documents” shall mean and include
all reports, plans, studies, tape or other electronic recordings, drawings, sketches, estimates, data sheets,
maps and work sheets produced, or prepared by or for Consultant (including any employee or
subconsultant in connection with the performance of the Services or Project and additional services under
this Agreement). Consultant shall produce two (2) hard copy preliminary plan set for the corridor,
Arrowgrass intersection, and Fox Hollow intersection. Consultant shall produce two (2) hard copy final
plan set for the Hillcrest Drive intersection. Consultant shall produce all documents in electronic format.
10. Notice. Any notice required by this Agreement shall be deemed properly delivered when (i)
personally delivered, or (ii) when mailed in the United States mail, first class postage prepaid, or (iii)
when delivered by FedEx or other comparable courier service, charges prepaid, to the parties at their
respective addresses listed below, or (iv) when sent via facsimile so long as the sending party can provide
facsimile machine or other confirmation showing the date, time and receiving facsimile number for the
transmission, or (v) when transmitted via e-mail with confirmation of receipt. Either party may change its
address for purposes of this paragraph by giving five (5) days prior written notice of such change to the
other party.

11. Coordination. Consultant acknowledges that the development and processing of the Services for
the Project may require close coordination between various consultants and contractors. Consultant shall
coordinate the Services required hereunder with the other consultants and contractors that are identified
by County to Consultant from time to time, and Consultant shall immediately notify such other
consultants or contractors, in writing, of any changes or revisions to Consultant’s work product that might
affect the work of others providing services for the Project and concurrently provide County with a copy
of such notification. Consultant shall not knowingly cause other consultants or contractors extra work
without obtaining prior written approval from County. If such prior approval is not obtained, Consultant
shall be subject to any offset for the costs of such extra work.
12. Termination. County may terminate this Agreement, in whole or in part, at any time and for any
reason, with or without cause, and without penalty therefor with seven (7) calendar days’ prior written
notice to the Consultant. Upon termination of this Agreement, Consultant shall immediately provide
County with all documents as defined in paragraph 9 hereof, in such format as County shall direct and
shall return all County owned materials and documents. County shall pay Consultant for Services
satisfactorily performed to the date of termination.
13. Venue, Jurisdiction and Applicable Law. Any and all claims, disputes or controversies related to
this Agreement, or breach thereof, shall be litigated in the District Court for Eagle County, Colorado,
which shall be the sole and exclusive forum for such litigation. This Agreement shall be construed and
interpreted under and shall be governed by the laws of the State of Colorado.
14. Execution by Counterparts; Electronic Signatures. This Agreement may be executed in two or
more counterparts, each of which shall be deemed an original, but all of which shall constitute one and the
same instrument. The parties approve the use of electronic signatures for execution of this Agreement.
Only the following two forms of electronic signatures shall be permitted to bind the parties to this
Agreement: (i) Electronic or facsimile delivery of a fully executed copy of the signature page; (ii) the
image of the signature of an authorized signer inserted onto PDF format documents. All documents must
be properly notarized, if applicable. All use of electronic signatures shall be governed by the Uniform
Electronic Transactions Act, C.R.S. 24-71.3-101 to 121.
15. Other Contract Requirements.
a. Consultant shall be responsible for the completeness and accuracy of the Services,
including all supporting data or other documents prepared or compiled in performance of the Services,
and shall correct, at its sole expense, all significant errors and omissions therein. The fact that the County
has accepted or approved the Services shall not relieve Consultant of any of its responsibilities.
Consultant shall perform the Services in a skillful, professional and competent manner and in accordance
with the standard of care, skill and diligence applicable to Consultants performing similar services.
Consultant represents and warrants that it has the expertise and personnel necessary to properly perform

the Services and covenants that its professional personnel are duly licensed to perform the Services within
Colorado. This paragraph shall survive termination of this Agreement.
b. Consultant agrees to work in an expeditious manner, within the sound exercise of its
judgment and professional standards, in the performance of this Agreement. Time is of the essence with
respect to this Agreement.
c. This Agreement constitutes an agreement for performance of the Services by Consultant
as an independent contractor and not as an employee of County. Nothing contained in this Agreement
shall be deemed to create a relationship of employer-employee, master-servant, partnership, joint venture
or any other relationship between County and Consultant except that of independent contractor.
Consultant shall have no authority to bind County.
d. Consultant represents and warrants that at all times in the performance of the Services,
Consultant shall comply with any and all applicable laws, codes, rules and regulations.
e. This Agreement contains the entire agreement between the parties with respect to the
subject matter hereof and supersedes all other agreements or understanding between the parties with
respect thereto.
f. Consultant shall not assign any portion of this Agreement without the prior written
consent of the County. Any attempt to assign this Agreement without such consent shall be void.
g. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto
and their respective permitted assigns and successors in interest. Enforcement of this Agreement and all
rights and obligations hereunder are reserved solely for the parties, and not to any third party.
h. No failure or delay by either party in the exercise of any right hereunder shall constitute a
waiver thereof. No waiver of any breach shall be deemed a waiver of any preceding or succeeding
breach.
i. The invalidity, illegality or unenforceability of any provision of this Agreement shall not
affect the validity or enforceability of any other provision hereof.
j. Consultant shall maintain for a minimum of three years, adequate financial and other
records for reporting to County. Consultant shall be subject to financial audit by federal, state or county
auditors or their designees. Consultant authorizes such audits and inspections of records during normal
business hours, upon 48 hours’ notice to Consultant. Consultant shall fully cooperate during such audit or
inspections.
k. The signatories to this Agreement aver to their knowledge, no employee of the County
has any personal or beneficial interest whatsoever in the Services or Property described in this
Agreement. The Consultant has no beneficial interest, direct or indirect, that would conflict in any manner

or degree with the performance of the Services and Consultant shall not employ any person having such
known interests.
l. The Consultant, if a natural person eighteen (18) years of age or older, hereby swears and
affirms under penalty of perjury that he or she (i) is a citizen or otherwise lawfully present in the United
States pursuant to federal law, (ii) to the extent applicable shall comply with C.R.S. 24-76.5-103 prior to
the effective date of this Agreement.
16. Prohibitions on Government Contracts.
As used in this Section 16, the term undocumented individual will refer to those individuals from foreign
countries not legally within the United States as set forth in C.R.S. 8-17.5-101, et. seq. If Consultant has
any employees or subcontractors, Consultant shall comply with C.R.S. 8-17.5-101, et. seq., and this
Agreement. By execution of this Agreement, Consultant certifies that it does not knowingly employ or
contract with an undocumented individual who will perform under this Agreement and that Consultant
will participate in the E-verify Program or other Department of Labor and Employment program
(“Department Program”) in order to confirm the eligibility of all employees who are newly hired for
employment to perform Services under this Agreement.
a. Consultant shall not:
i. Knowingly employ or contract with an undocumented individual to perform
Services under this Agreement; or
ii. Enter into a subcontract that fails to certify to Consultant that the subcontractor
shall not knowingly employ or contract with an undocumented individual to perform work under the
public contract for services.
b. Consultant has confirmed the employment eligibility of all employees who are newly
hired for employment to perform Services under this Agreement through participation in the E-Verify
Program or Department Program, as administered by the United States Department of Homeland
Security. Information on applying for the E-verify program can be found at:

c. Consultant shall not use either the E-verify program or other Department Program
procedures to undertake pre-employment screening of job applicants while the public contract for services
is being performed.
d. If Consultant obtains actual knowledge that a subcontractor performing work under the
public contract for services knowingly employs or contracts with an undocumented individual, Consultant
shall be required to:
i. Notify the subcontractor and County within three (3) days that Consultant has
actual knowledge that the subcontractor is employing or contracting with an undocumented individual;
and

ii. Terminate the subcontract with the subcontractor if within three days of receiving
the notice required pursuant to subparagraph (i) of the paragraph (d) the subcontractor does not stop
employing or contracting with the undocumented individual; except that Consultant shall not terminate
the contract with the subcontractor if during such three (3) days the subcontractor provides information to
establish that the subcontractor has not knowingly employed or contracted with an undocumented
individual.
e. Consultant shall comply with any reasonable request by the Department of Labor and
Employment made in the course of an investigation that the department is undertaking pursuant to its
authority established in C.R.S. 8-17.5-102(5).
f. If Consultant violates these prohibitions, County may terminate the Agreement for breach
of contract. If the Agreement is so terminated specifically for breach of this provision of this Agreement,
Consultant shall be liable for actual and consequential damages to County as required by law.
g. County will notify the Colorado Secretary of State if Consultant violates this provision
of this Agreement and County terminates the Agreement for such breach.

PROJECT DESCRIPTION
Background
The limits of the project extend from the Hillcrest Drive intersection to the Arrow Grass intersection along
US 6. It is the desire of Eagle County to replace the intersection of Hillcrest Drive and Highway 6 with a
three leg roundabout. The intersection of Fox Hollow Drive and Highway 6 currently does not meet any of
the warrants for traffic signal installation, however with the recently approved housing developments of 6
West, Fox Hollow and Stillwater, this intersection has been identified for improvement to increase capacity
and efficiency of Highway 6. The current intersection is to be replaced by a four leg roundabout. A fourth
leg to the north side of Highway 6 will be designed for a future connection to a planned frontage road for
anticipated future development in this area. Analysis will need to be performed at Arrow Grass to
determine the best alternative for vehicle, bicycle and pedestrian movements at this location. The project
contemplated here is the replacement of intersections with roundabouts including any necessary road
approach construction and minor realignment. The consultant will be asked to consider phasing to allow for
the intersections to be upgraded and constructed one at a time as funding becomes available.
Planned Improvements
Replacement of the 3 way intersection at Hillcrest Drive with a 3 legged roundabout and the replacement
of the 3 way intersection at Fox Hollow Drive with a 4 legged roundabout. Alternatives need to be
considered for the best solution to accommodate vehicular, bicycle and pedestrian movements at the
Arrow Grass intersection. Included in the work is removal of the existing intersections, possible road
realignments, utility relocations, earthwork, etc.
Project Location
The section of US 6 from Hillcrest Drive to Arrow Grass is located in Eagle County approximately 2 miles
west of the Edwards Spur Road in Edwards, Colorado.
Work Duration
The time period for the work described in this scope will extend through design may have a duration of 500
calendar days. See schedule attached.
The scope of work and fees are shared between Eagle County (EC) and CDOT and are under separate
contract agreements. Shared and exclusive tasks are noted below:
Task 1. PROJECT MANAGEMENT (EC/CDOT Shared)
As a part of their project management philosophy, the consultant will, at a minimum, regularly schedule
meetings and coordinate with Eagle County and ECO Transit staff project team and, as appropriate, entities
outside of the County; identify and facilitate milestone meetings, workshop(s), and public meeting(s); and
submit monthly schedule, budget, and project status reports.
1.1. PROJECT MANAGEMENT PLAN (EC)

1.2. PROJECT COORDINATION (EC/CDOT Shared)

The consultant project manager will coordinate with the County staff project team, the Consultant,
and outside entities regarding the project. The first step in project coordination will be to
determine the makeup of the Project Management Team (PMT) and Stakeholders. Coordination
will occur as discussed below:
1.2.1. PROJECT MANAGEMENT TEAM MEETINGS (EC)
Monthly meetings (10) will be conducted with the Project Management Team (PMT) at the
County (1 meeting) and via teleconference (9 meetings). At this meeting, the team will
review the tasks completed, the tasks planned, discuss the schedule and make key
decisions. At a minimum, the PMT is expected to include: County decision-making staff,
Consultant discipline leads, and subconsultants as needed.
1.2.2. STAKEHOLDER PROGRESS MEETINGS (EC/CDOT shared)
About one meeting a month (Feb – May) to obtain input from County staff, including ECO
Transit staff, stakeholders, and the project management team on project elements. Action
items will be tracked and a list will be kept with each agenda. This list will denote who is
responsible, when action is needed, and whether the action item is completed. At a
minimum, the attendees are expected to include: County and ECO Transit staff, Consultant
discipline leads, and subconsultants as needed. Key stakeholders will be invited to these
meetings as well and include CDOT, Edwards Metro District, and other community leaders.
These expenses will be shared between CDOT and the County.
1.3. PROJECT MANAGEMENT AND QUALITY ASSURANCE/QUALITY CONTROL (EC/CDOT
shared)
The consultant project manager will prepare monthly progress reports including tasks completed
each month, tasks expected to be completed the next month, the budget status and the schedule
status. A monthly invoice will also be prepared. In addition, a weekly update will be emailed to the
County Project Manager every Monday morning on the project status, tasks for the week, and
upcoming meetings. Provide quality assurance and quality control for all deliverables. These
expenses will be shared between CDOT and the County.

1.4. SCHEDULES (EC)
The consultant project manager will prepare an initial schedule in Microsoft Project with key
milestones and supporting tasks, critical path items, and submittals. Schedules shall be prepared in
Microsoft Project (.mpp) format. The schedule will be provided as a pdf file to the County. The
schedule will be updated two times during the project.
Task 2. PROJECT INITIATION AND DATA COLLECTION (EC)
Tasks include those related to setting up the project based on agency goals and expectations and
conducting initial data collection for identifying the purpose and need (project issues), developing
alternatives and screening alternatives to reach a preferred alternative through the NEPA (CatEx) process.
2.1 PROJECT INITIATION (EC)
Specific items will need to be clarified early in the project including goals, scope responsibilities,
schedule methods & assumptions, and the screening criteria. These elements will provide the
framework for the project to set the project up for success.
2.1.1 INITIAL MEETINGS
These meetings will occur at the beginning of the project and are anticipated to be held on
the same day. They will further shape the project process and outcome.
2.1.1.1 KICKOFF MEETING
A kickoff meeting with the County, ECO Transit, Stakeholders, and the Consultant
team to review the overall project scope and schedule and document input on the
goals from the attendees to incorporate into the project. Draft and final meeting
minutes will be prepared and distributed by Consultant.
2.1.1.2 SCOPING MEETING WITH CDOT
A scoping meeting with the County, ECO Transit, CDOT departments, and the
Consultant team to review the overall project scope and schedule and document
input on scope responsibility for clarification to incorporate into the project. Draft
and final meeting minutes will be prepared and distributed by Consultant.
The Consultant project manager will prepare and distribute draft meeting minutes for the
above meetings within 5 days of the meeting
2.1.2 METHODS & ASSUMPTIONS
A memorandum will be developed to document the method and assumptions for the
project including traffic, environmental documentation, design criteria, data collection, and
other key elements that will guide the project. This will be reviewed by the County and key
stakeholders for concurrence and final approval.
2.1.3 SCREENING CRITERIA DEVELOPMENT
Based on the goals and input provided by the stakeholders, an initial list of screening
criteria will be developed specifically for this project to assist in the screening process. The
list will be reviewed by the stakeholders in draft form and finalized after addressing
comments for use during the screening process.

2.2 DATA COLLECTION (EC)
The consultant will conduct field visit and research to collect data required. The following items are
anticipated for data collection:
2.2.1. FIELD SURVEY
· Survey support for design and right-of-way plans.
Ground survey will be provided by the County or from available resources for an area in the
general vicinity of 750 feet to the west and east of Hillcrest Drive and about 100 feet north
and south of US 6, as provided in the attached Exhibit A. Mapping will also include the side
roads (Hillcrest Drive) for about 400 feet on north side.
Survey subconsultant, 105West, will attend meetings with the appropriate agencies.
105West anticipates attending 2 project team meetings with CDOT and/or project team
members.
105 West will establish project control based on the Colorado State Plane (NAD 83) Central
Zone horizontally and NAVD 88 vertically. 105 West anticipates setting at approximately six
(6) control points within the project limits. As part of this task, 105 West will provide a final
project control diagram suitable for insertion into plan documents.
Initial field survey information shall meet CDOT requirements. Topographic mapping shall
include contours at an interval of 1 foot. 105West, Inc., will obtain, by field methods,
existing visible planimetric features and topography at a 1-foot contour interval along the
project corridor as shown on Exhibit A. The topographic survey will include existing edges
of road, striping, grade breaks, fencing, guardrails, bridge features, signs, culverts, physical
utility features, and structures. In addition, 105West will prepare roadway sign inventories,
pipe inventories detailing the culverts within the right-of-way, access reports (code 277),
and drainage reports (code 283) for the entire length of the project. Field survey to provide
topographic mapping will be conducted for the preferred alternative for ground shots along
hard surfaces such as asphalt, curbs, and other appurtenances at project tie-ins and other
key survey information.
2.2.2. RIGHT-OF-WAY/RIGHT-OF-ENTRY
· Development of right-of-way (ROW) plans, appraisals, acquisition and title services in
accordance with CDOT and FHWA standards.
The right of way required for this project will be based on the improvements needed for
the project. The consultant shall provide preliminary and final right-of-way plans sufficient
for a ROW Plan Review (ROWPR) including a meeting and revisions, ownership map (3
ownership parcels), legal descriptions, and exhibit documents for permanent right-of-way,
slope easements, permanent utility easements and temporary construction easements for
up to 3 parcels.
For the Ownership Map: The subconsultant, 105West, will research county records of
current rights-of-way and ownership lines covering the alternative routes. 105West will
prepare an Ownership Map showing owner of record, site address, owner address and
assessor’s parcel number.

Title commitments will be obtained and reviewed by a licensed surveyor, then easements
calculated and drawn. Blanket easements will be noted. The consultant will not resolve any
property conflicts. We assume approximately 3 parcels will require title commitments and
may be reviewed and calculated for. A CADD file will be provided showing all boundaries,
known easements, and right-of-way lines that can be calculated from the title and control
points measured above.
105West will also provide right-of-entry documentation and coordination in a manner that
supports critical field season surveys and topographic surveys for up to 5 parcels. Eagle
County will secure right-of-entry from owners whom contact information cannot be
determined by public record or who are not responsive after two attempts to contact.
2.2.3. GEOTECHNICAL INVESTIGATION
· Geotechnical support and design.
The subconsultant, Shannon & Wilson, will attend the kickoff meeting, review existing
geotechnical reports and conduct a site visit to determine preliminary assessments of
geological conditions and potential pavement designs.
Two (2) copies of the Preliminary Geotechnical Report shall be delivered to the County
prior to commencing preliminary design. Report to be completed under the direction of,
and recommendations certified by, a professional engineer registered in the State of
Colorado.
2.2.4. TRAFFIC DATA
Data collection efforts will include reviewing all pertinent traffic reports, studies and plans
in the area and develop a strategy for preparing existing and future traffic volumes and
turning movements for the intersections at Hillcrest Drive, Fox Hollow Drive and Arrow
Grass Road. This will be documented in the Methods and Assumptions and Traffic Report.
Coordination with CDOT Traffic and CDOT Access Departments and Eagle County will be
conducted to confirm.
2.2.5. ENVIRONMENTAL DATA
The consultant will conduct field visit and/or research to collect data needed to identify
resources required for avoidance and minimization of resources during alternative
development and for calculating impacts with alignment alternatives for screening and
mitigation purposes. Prior to conducting the field visit, the consultant will coordinate with
CDOT Region 3 Environmental staff to confirm the environmental data to be collected by
the consultant. Field data collection among resources will be coordinated to optimize site

2.2.6. UTILITY COORDINATION AND MAPPING

Several utilities are along and cross US 6 within the project area. The following are utility
related expectations of the consultant performing design work for Eagle County under
this project for Hillcrest Drive intersection:
Utility Survey

With the passage of SB 18-167 in August of 2018, subconsultants, Goodbee & Associates,
105West, and SAM, will comply with the state law for Subsurface Utility Engineering (SUE)
and ASCE 38 when conducting utility tasks. Quality levels C (survey visible above ground
utility facilities) and D (existing records and verbal recollections) will be provided for
preliminary engineering for this task order.
2.3. TRAFFIC AND OPERATIONS ANALYSIS (EC)
· Establish the transportation needs of the area and identify the desires of the affected
community.
The consultant will prepare a traffic study that addresses the existing traffic volumes as well as
projected future conditions based on 2040 design year forecasts. Traffic data will be collected from
available CDOT and County sources. Analysis will then be conducted to determine existing
operational conditions and establish alternatives for future improvement requirements.
2.3.1. EXISTING TRAFFIC AND OPERATIONS ANALYSIS

Inventory existing study area roadways (lane widths, speed limits, access locations,
traffic control, intersection geometry, sight distance or other safety aspects).
2.3.1.2 Review Traffic Data
Review and compile traffic volume data collected to establish a baseline for
analysis of existing and future conditions. (see Task 2.2.4 task above).
2.3.1.3 Crash Data
Obtain available crash data for the study area. Analyze crash reports to identify
high-hazard locations where safety improvements could be incorporated as part of
the ultimate design and where alternative concepts could provide safety
enhancements.
2.3.2. FORECAST FUTURE TRAFFIC CONDITIONS
Reference prior transportation studies to determine what has previously been
envisioned for this corridor with respect to access management, traffic control, and
ultimate laneage requirements. Future land use and development patterns in the
Edwards area will be used in conjunction with CDOT growth factors to determine
2040 forecasts; details of this process will be established in the Methods and
Assumptions memo. Consultant will coordinate with the County and CDOT Traffic
and Access Departments on all methods and assumptions before finalizing the
forecasts.
2.3.3. FUTURE TRAFFIC AND OPERATIONS ANALYSIS
2.3.3.1 Conduct capacity analyses to determine roadway laneage, intersection
geometrics, and traffic control improvement requirements. Establish access
requirements for the corridor and develop an access management plan in
coordination with the CDOT Region 3 Access Manager.
2.3.3.2 Evaluate pedestrian and bicycle aspects for incorporation in the
improvements at Hillcrest Drive and refinements at the transit stops on US 6.
Consider how alternative modes (including transit) will be affected and
accommodated by the design.
2.3.3.3 Provide analytic support and input throughout the development of
alternative design concepts. Test potential options based on environmental
concerns, physical constraints, or property impact avoidance.
2.3.3.4 Prepare a comprehensive traffic/transportation report, documenting the
data collected from existing reports, the analyses conducted, and the resultant
findings and conclusions.
A stand-alone Access Management and/or Access Control Plan is not included in this task
order and could be included in a separate task order as requested.
Task 3. ALTERNATIVE ANALYSIS AND SCREENING (EC/CDOT shared)
Three aspects of this project will require alternatives analysis: the overall US 6 mainline, the intersections,
and the bike/ped/transit accommodations. One roundabout alternative will be developed for Hillcrest
Drive, up to 2 roundabout concepts will be developed for both the Fox Hollow Drive and Arrow Grass
intersection. For bike/pedestrian/transit alternatives will also be developed based on existing planning
documents and will just look at refinements at the transit stops on US 6 near Arrow Grass. These
alternatives will be screened down through a quantitative screening to one Preferred Alternative. Public

involvement will be provided as part of this process. The consultant will work with the public, the County,
ECO Transit, Edwards Metro District, CDOT, stakeholders, and project team to develop the criteria for
screening the different alternatives. The following tasks are envisioned to be part of the screening process:
3.1. PROJECT COORDINATION (EC)
· Provide communications with affected agencies.
The consultant shall lead the coordination effort with the County for the project through the
collaboration with County and ECO Transit; Edwards Metro District, stakeholders, and CDOT. The
consultant shall conduct regular coordination meetings with the affected agencies. Assume
meetings will be combined with the stakeholder meetings for the purposes of this scope of
services. Representatives of CDOT and FHWA will be present at these meeting as needed.

The Consultant should anticipate that a design, which affects any agency, will have to be accepted
by that agency prior to its acceptance by the County. Submittals to affected agencies will be
coordinated with County. Improvements to the local roadway network and utilities may require
utilization of current standards for design.
3.2. IDENTIFYING THE PURPOSE AND NEED FOR THE PROJECT (EC)
The consultant shall lead the coordination effort with the County to develop the purpose and need
for the project through the collaboration with the County, ECO Transit, Edwards Metro District and
stakeholders. As appropriate the purpose and need statement will be circulated through CDOT and
FHWA for review and comment. It is anticipated that one meeting will be held with outside
agencies to discuss the purpose and need.
3.3. DEVELOP (15%) CONCEPTUAL DESIGN ALTERNATIVES AND SCREENING (EC)
· Develop alternatives to serve the needs, analyze the feasibility of the alternatives, refine the
most feasible alternatives and determine impacts of the alternatives if they are implemented.
The screening process will be quantitative with various design elements being quantified. The
consultant will work with the County, ECO Transit, Edwards Metro District, CDOT, stakeholders, and
project team to develop a strategy to screen alternatives (one for Hillcrest Drive and two (2) for Fox
Hollow and Arrow Grass intersections to one Preferred Alternative and advance the Hillcrest Drive
Alternative to preliminary design. The consultant will develop each of the alternatives to a
conceptual design (15%) level using the aerial base. See below for more detailed requirements for

this design. An Alternative Screening Report will be prepared to document the alternatives and the
screening process. This information will be included in the CatEx as an appendix.
The 15% level plans will be prepared for each hybrid alternative and will be reviewed to establish
the line and grade for each alternative. The 15% Conceptual Plan Sets will include the following
information and sheets:
· Title Sheet · Right-of-way and easement limits
· Typical Sections · Water quality facility locations
· Roadway Plan and Profile · Outfall locations
· Toe of fill/top of cut lines
3.4. DEVELOP FIR LEVEL (30%) PRELIMINARY DESIGN OF PREFERRED ALTERNATIVE
(EC/CDOT Shared)
The project team will further develop the preferred alternative for Hillcrest Drive to 30% level
design to meet the requirements of the County, ECO Transit, Edwards Metro District, and CDOT.
This would allow the top part of the 128 form to be signed for the CatEx and to hold a Right-of-Way
Plan Review (ROWPR) meeting in an effort to conduct ROW acquisition.
Key tasks include:
· Prepare FIR plans for roadway, drainage, structures, and construction phasing to a 30% level
design.
· Roadway would further develop template and refine cut and fill lines for impacts.
· Drainage would provide preliminary drainage report and further refine horizontal drainage
features. A CLOMR is not included in this task order.
· Structures would produce wall layouts, profiles, and typical sections for the preferred
alternative. It is assumed that approximately two small walls may be required, but would be
minor in nature. It is assumed that a wall selection report will not be required. An estimate of
probable construction costs would be determined based on recent bid data for cost per square
foot of wall. It is assumed that impacts to the existing bridge and approach slab on Hillcrest Dr.
can be avoided.
· Complete top part of the CDOT 528 Form for the CatEx clearance
· Prepare an FIR submittal plan set and distribute to agencies.
· Conduct a FIR meeting with agencies, stakeholders, and the project team. This meeting is
anticipated to be held at the County offices and be about 4-6 hours.
· Address comments in preparation for final design. Advancement of the plans to final design
level would be part of a separate task order.
These expenses will be shared between CDOT and the County.
3.5. CONDUCT PUBLIC INVOLVEMENT ACTIVITIES (EC/CDOT Shared)
· Public meetings during the public involvement process as necessary.
The project team will propose, develop and conduct a public involvement strategy with the County
and will coordinate, plan, attend and run all public involvement activities throughout the process to
meet the requirements of the CatEx, the County, ECO Transit, Edwards Metro District, stakeholders,
and CDOT.

Key tasks include:
· Public Involvement Plan – the first task will the development of a public involvement strategy
specific to this project. The County will have an opportunity to review the Public Involvement
Plan (PIP) and provide input prior to plan finalization and implementation.
· Project Stakeholder List – the team will develop a stakeholder list at project initiation to use
throughout the duration of the project.
· Telephone Town Hall – FHU will conduct a telephone town hall at project initiation to inform
the community about the project and to gather input about issues, needs and opportunities.
· Focus Groups– The team will conduct up to five (5) one-on-one or small group meetings during
a single day with residents, businesses, and/or other entities based on issues and concerns that
may arise. These expenses will be shared between CDOT and the County.
· Intercept Surveying (Not included) – FHU will not conduct an intercept surveying for one day to
gather input from the community, including transit riders (during morning peak hour), about
issues, concerns and opportunities related to the US 6 improvements.
· Project Fact Sheets (Not included) – The team will develop one (1) project fact sheet to be
posted on the project website and distributed to the community at key locations. A project fact
sheet will be developed at project initiation and updated for final public meeting.
· Public Meeting - The project team will conduct two (2) public meetings for Hillcrest Drive and
show concepts for the other two intersections for the first meeting and final plans for the
second meeting and will provide project exhibits, handouts, poster boards, sign-in sheets,
welcome table materials, and a post meeting summary as a part of each public meeting.
Renderings (up to 2), based on visualization exhibits from NEPA will be used as exhibits
provided to help the stakeholders and public visualize the Hillcrest Drive concept as developed
during the CatEx. These expenses will be shared between CDOT and the County.
· E-Newsletter – Two e-newsletters will be crafted for distribution via email to interested
stakeholders and community members. The team will coordinate with the County’ Public
information Officer to coordinate distribution and identify potential recipients. These expenses
will be shared between CDOT and the County.
· Website – FHU will provide content for inclusion on Eagle County’s website about the project.
Project information will be provided to the County and updated two times during the project.
Coordinate with CDOT to include a link from their website to the County website for the
project. These expenses will be shared between CDOT and the County.
· Press Releases – The team will draft up to three (3) press releases for distribution by the
County’s Public Information Officer. It is anticipated that press releases will be distributed prior
to the Telephone Town Hall and the public meetings. These expenses will be shared between
CDOT and the County.
· Materials will be translated to Spanish as needed for public outreach activities.
TASK 4. ENVIRONMENTAL CLEARANCE (CDOT)
· Complete all environmental investigations and NEPA documentation.
At this time, all funding sources for construction have not been identified. Since the project is on US 6 it will

The consultant along with CDOT and the County will determine, based on the funding, the alternative
phasing for the project that has logical termini and independent utility for the initial project construction.
This effort will be included in the scope of work conducted with CDOT funds for the project.
The consultant will prepare the necessary documentation for a CatEx for review and comment from the
County, CDOT, agencies and FHWA. After review of the CatEx, a Decision Document will be prepared and
submitted for signature. This effort will be included in the scope of work conducted with CDOT funds for
the project.
TASK 5 ROW ACQUISITION SERVICES (CDOT)
· Development of right-of-way (ROW) plans, appraisals, acquisition and title services in accordance
with CDOT and FHWA standards. This effort will be included in the scope of work conducted with CDOT
funds for the project.
Right-of-way acquisition subconsultant, HC Peck, will conduct acquisition services for the project. This
scope of work includes appraising and acquiring Right-of-Way for improvements at Hillcrest Drive. This
effort will be included in the scope of work conducted with CDOT funds for the project.
TASK 6. FINAL DESIGN (90%) OF HILLCREST DRIVE INTERSECTION (EC/CDOT
shared)
Final Design (90%) plans, specifications and costs will be provided for the Hillcrest Drive intersection and
submitted to the County, CDOT and review agencies. One Final Office Review (FOR) meeting will be held at
the County to review FOR plans and provide final comments. One set of comments will be addressed and
final construction documents will be submitted to and paid by the County for advertisement. (Lighting
plans have not been included in the scope, but is recommended. A subconsultant can be provided and a
scope and fee can be developed if requested as a separate task order.)

PROJECT DESCRIPTION
a. Introduction
Eagle County is soliciting proposals from consulting firms to create a conceptual plan,
including alternatives, for transit improvements and non-motorized connectivity for the
West Edwards area, as further described below. The purpose of the West Edwards
Transit Connectivity Plan is to work with key Eagle County Departments to identify
needs, constraints, and design alternatives to improve transit infrastructure and non-
motorized connectivity between key housing, educational, and employment properties
within the area. The Eagle County Transit Director will oversee the development of the
study.
b. Study Area
The project will encompass the area as defined below:
· Along Lake Creek Village Boulevard from the Lake Creek Apartment community
building to the Hilcrest Drive intersection, with a focus on the Lake Creek
Apartment and Hilcrest Drive Bus Stops;
· Along Hilcrest Drive between Lake Creek Village Boulevard and Highway 6; and,
· Along Highway 6 from the Eagle River Village Mobile Home Park Bus Stops to
Squaw Creek Road, with a focus on Vail Christian High School and the Family
Learning Center.
c. Time Parameters
From beginning to completion, the project will span a time approximately 2–3 months.
OBJECTIVES OF THE WEST EDWARDS TRANSIT CONNECTIVITY PLAN
a. Create a conceptual plan with design alternatives for the entire study area.
b. Increase pedestrian and non-motorized connectivity throughout the entire study area.
c. The Respondent shall work with the following Eagle County Departments: ECO Transit;
Community Development and Engineering; Housing; Open Space; Public Health; and,
Sustainable Communities and other agencies necessary to gather a complete body of
evidence to develop and support its recommendations for a comprehensive plan.

SPECIFIC SCOPE OF SERVICES
TASK 1: PROJECT MANAGEMENT
The objective for the project management task is to establish all of the management
tasks, including a Project Management Plan prior to initiating the study. Meeting these
objectives will ensure clear communication and subsequent task management from the
beginning and throughout the duration of the project. Respondent team will coordinate
with Eagle County but management and completion of this task is the responsibility of
the respondent team.

TASK 2: DATA COLLECTION/PROBLEM EVALUATION
The objective of the Data Collection/Problem Evaluation task is to gather and prepare
all of the resources required for summary and analysis of existing conditions and general
study area characteristics and the limitations of Focus Areas in the plan. The respondent
will refer to existing land use, plats, and/or legal documents as they measure the viability
of solutions and identify gaps within the plan area. This will include an overview of the
current paved trail network providing insight into where the network fails to provide
such access. In order to complete this task, it will be of utmost importance to
coordinate with Eagle County’s Community Development, Engineering, Public Health
and Sustainable Communities Departments.

TASK 3: ANALYSIS AND DRAFT RECOMMENDATIONS
This task will be shared by Eagle County and the respondent team. Information and data
gathered from Task 2 will be analyzed and used to make recommendations specific to
each Focus Area. While the primary focus is to provide the best solutions, alternative
options should be recommended to respond to economic feasibility. A discussion of
cost-effective, innovative methods and techniques, and recommendations for
improvements will be provided.

1. Re-design bus loop to allow for 3 buses to operate independently of
one another;
2. Include location for a new ECO Transit bus shelter, utilizing design
standard, and space for bicycle parking/storage;
3. Determine feasibility for on-route bus charging infrastructure;
4. Increase the parking lot size of the western parking lot for the Lake
Creek Apartment community building; and,
5. Relocate and design a shelter enclosure and access lane that can
accommodate vehicles and trash trucks.
3.2.1.2 Focus Area 2 (River Corridor – Lake Creek Apartments to
Hillcrest Dr) – see description below
Focus Area 2 (River Corridor – Lake Creek Apartments to Hillcrest Dr):
1. Improve pedestrian connectivity along Lake Creek Village Blvd;
2. Improve boat ramp and vehicular movements for boat ramp
access;
3. Improve vehicle and trailer parking for river access; and,
4. Improve or identify relocation potential of the Hilcrest Rd Bus
Stop.

2. Identify, if any, locations for pedestrian crossings.

Transit to serve the schools with uni- or bi-directional stop(s);
3.3.2 Prepare and revise screening matrix based on alternatives and screening
criteria
3.3.3 Screen Alternatives Workshop – 4-hour workshop with Eagle County
and Stakeholders – separate from Eng. Project.
3.3.4 Summary of Draft Recommendations Report including preferred
alternative selection.
TASK 4: CONCEPTUAL PLAN
Respondent team will coordinate with Eagle County but management and completion of
this task is the responsibility of the respondent team. The findings from Task 3 will
provide a framework for a conceptual plan. The respondent will deliver maps, cross-
sections, material representations, and/or any other means to illustrate the conceptual
design. In addition, the respondent will provide cost estimates based on the conceptual
plan with enough detail that will allow individual elements or the complete plan to be
implemented.
4.1. Develop Concept (15%) Level Design of Preferred Alternative
4.1.1 Focus Area 1 (Lake Creek Apartments)
4.1.2 Focus Area 2 (River Corridor – Lake Creek Apartments to Hillcrest Dr)

4.2.2 Conduct concept meeting (in coordination with stakeholder meeting)

TASK 5: OUTREACH AND IMPLEMENTATION
Coordinating and scheduling the outreach task will be the responsibility of the
respondent team. The respondent team shall provide an outreach plan, with a minimum
of 2 meetings with Eagle County departments as identified throughout this RFP.
