OLA#:331001962Routing#:19-HA3-XC-00077A.TheLocalAgencyhasestimatedthetotalcostoftheContributionandispreparedtoprovideitsfunding,asevidencedbyanthesigningofthisContract,whichexpresslyauthorizestheLocalAgencytheauthoritytoexpenditsContributiontowardtheProject.B.Thecontributionisestimatedtobe$60,000.00.C.ThemaximumamountpayablebytheLocalAgencyunderthiscontractshallbe$60,000.00unlesssuchamountisincreasedbyanappropriatewrittenmodificationtothiscontractexecutedbythePartiesheretobeforeanyincreasedcostisincurredDThePartiesheretoagreethatthiscontractiscontingentuponallfundsdesignatedfortheprojecthereinbeingmadeavailablefromstatesources,asapplicable.Shouldthesesourcesfailtoprovidenecessaryfundsasagreeduponherein,thecontractmaybeterminatedbyeitherparty,providedthatanypartyterminatingitsinterestandobligationshereinshallnotberelievedofanyobligationswhichexistedpriortotheeffectivedateofsuchterminationorwhichmayoccurasaresultofsuchtermination..Section5.ProjectPaymentProvisionsA.TheLocalAgencywillreimbursetheStateforincurredcostsrelativetotheprojectfollowingtheLocalAgency’sreviewandapprovalofsuchcharges,subjecttothetermsandconditionsofthisagreement.B.IftheLocalAgencyistobebilledforCDOTincurredcosts,thebillingprocedureshallbeasfollows:1.UponreceiptofeachbillfromtheState,theLocalAgencywillremittotheStatetheamountbillednolaterthan60daysafterreceiptofeachbill.ShouldtheLocalAgencyfailtopaymoneysduetheStatewithin60daysofdemandorwithinsuchotherperiodasmaybeagreedbetweenthepartieshereto,theLocalAgencyagreesthat,attherequestoftheState,theStateTreasurermaywithholdanequalamountfromfutureapportionmentduetheLocalAgencyfromtheHighwayUsersTaxFundandtopaysuchfundsdirectlytotheState.Interimfunds,untiltheStateisreimbursed,shallbepayablefromtheStateHighwaySupplementaryfund(400).2.IftheLocalAgencyfailstomaketimelypaymenttotheStateasrequiredbythissection(within60daysafterthedateofeachbill),theLocalAgencyshallpayinteresttotheStateatarateofonepercentpermonthontheamountofthepaymentwhichwasnotmadeinatimelymanner,untilthebillingispaidinfull.Theinterestshallaccruefortheperiodfromtherequiredpaymentdatetothedateonwhichpaymentismade.C.TheStatewillprepareandsubmittotheLocalAgency,nomorethanmonthly,chargesforcostsincurredrelativetotheproject.TheState’sinvoicesshallincludeadescriptionoftheamountsofservicesperformed,thedatesofperformanceandtheamountsanddescriptionofreimbursableexpenses.TheinvoiceswiltbepreparedinaccordancewiththeState’sstandardpolicies,proceduresandstandardizedbillingformat.Section6.StateandLocalAgencyCommitmentsTheScopeofWork(ExhibitA)describestheworktobeperformed.A.Design[ifapplicable]1.Iftheworkincludespreliminarydesignorfinaldesign(the“ConstructionPlans”),ordesignworksheets,orspecialprovisionsandestimates(collectivelyreferredtoasthe“Plans”),theStateshallcomplywiththefollowingrequirements,asapplicable:a.performorprovidethePlans,totheextentrequiredbythenatureofthework.b.preparefinaldesign(ConstructionPlans)inaccordwiththerequirementsofthelatesteditionoftheAmericanAssociationofStateHighwayTransportationOfficials(AASHTO)manualorotherstandard,suchastheUniformBuildingCode,asapprovedbyCDOT.c.preparespecialprovisionsandestimatesinaccordwiththeState’sRoadwayandBridgeDesignManualsandStandardSpecificationsforRoadandBridgeConstruction.d.includedetailsofanyrequireddetoursinthePlans,inordertopreventanyinterferenceoftheconstructionworkandtoprotectthetravelingpublic.e.stampthePlansproducedbyaColoradoRegisteredProfessionalEngineer.f.providefinalassemblyofPlansandcontractdocuments.g.beresponsibleforthePlansbeingaccurateandcomplete.h.makenofurtherchangesinthePlansfollowingtheawardoftheconstructioncontractexceptbyagreementinwritingbetweentheparties.ThePlansshallbeconsideredfinalwhenapprovedandacceptedbythepartieshereto,andwhenfinaltheyshallbedeemedincorporatedherein.DocumentBuilderGeneratedPage2of7Rev.12/09/2016
OLA#:331001962Routing#:19-HA3-XC-00077B.Construction[ifapplicableJ1.Iftheworkincludesconstruction,theStateshallperformtheconstructioninaccordancewiththeapproveddesignplansand/oradministertheconstructionallinaccordwiththeScopeofWork(ExhibitA).Suchadministrationshallincludeprojectinspectionandtesting;approvingsourcesofmaterials;performingrequiredplantandshopinspections;documentationofcontractpayments,testingandinspectionactivities;preparingandapprovingpayestimates;preparing,approvingandsecuringthefundingforcontractmodificationordersandminorcontractrevisions;processingcontractorclaims;constructionsupervision;andmeetingtheQualityControlrequirementsoftheFHWA/CDOTStewardshipAgreement.2.SubjecttoSection5,iftheStateistheresponsibleparty:a.itshallappointaqualifiedprofessionalengineer,licensedintheStateofColorado,astheStateAgencyProjectEngineer(SAPE),toperformthatadministration.TheSAPEshalladministertheprojectinaccordancewiththisagreement,therequirementsoftheconstructioncontractandapplicableStateprocedures.b.ifbidsaretobeletfortheconstructionoftheproject,theStateshall,inconjunctionwiththeLocalAgency,advertisethecallforbidsanduponconcurrencebytheLocalAgencywillawardtheconstructioncontract(s)tothelowresponsive,responsiblebidder(s).(1)inadvertisingandawardingthebidfortheconstructionofafederal-aidproject,theStateshallcomplywithapplicablerequirementsof23USC§112and23CFRParts633and635andC.R.S.§24-92-101etseq.Thoserequirementsinclude,withoutlimitation,thattheState/contractorshallincorporateform1273initsentiretyverbatimintoanysubcontract(s)forthoseservicesastermsandconditionstherefore,asrequiredby23CFR633.102(e).(2)theLocalAgencyhastheoptiontoconcurornotconcurintheproposaloftheapparentlowbidderforworkonwhichcompetitivebidshavebeenreceived.TheLocalAgencymustdeclareitsconcurrenceornon-concurrencewithin3workingdaysaftersaidbidsarepubliclyopened.(3)byindicatingitsconcurrenceinsuchaward,theLocalAgency,actingbyorthroughitsdulyauthorizedrepresentatives,agreestoprovideadditionalfunds,subjecttotheiravailabilityandappropriationforthatpurpose,ifrequiredtocompletetheworkunderthisprojectifnoadditionalfederal-aidfundswillbemadeavailablefortheproject.c.IfallorpartoftheconstructionworkistobeaccomplishedbyStatepersonnel(i.e.byforceaccount),ratherthanbyacompetitivebiddingprocess,theStatewillensurethatallsuchforceaccountworkisaccomplishedinaccordancewiththepertinentStatespecificationsandrequirementswith23CFR635,SubpartB,ForceAccountConstruction.Section7.ROWAcquisitionandRelocationIftheProjectincludesrightofway,priortothisprojectbeingadvertisedforbids,theStatewillcertifyinwritingthatallrightofwayhasbeenacquiredinaccordancewiththeapplicablestateandfederalregulations,orthatnoadditionalrightofwayisrequired.Anyacquisitionlrelocationactivitiesmustcomplywith:allapplicablefederalandstatestatutesandregulations,includingbutnotlimitedtotheUniformRelocationAssistanceandRealPropertyAcquisitionPoliciesActof1970asamended(P.L.91-646)andtheUniformRelocationAssistanceandRealPropertyAcquisitionPoliciesforFederalandFederallyAssistedProgramsasamended(49CfRPart24);CDOT’sRightofWayManual;andCDOT’sPolicyandProceduralDirectives.AllocationofResponsibilitiesareasfollows:•Federalparticipationinrightofwayacquisition(3111charges),relocation(3109charges)activities,ifany,andrightofwayincidentals(expensesincidentaltoacquisition/relocationofrightofway—3114charges);•federalparticipationinrightofwayacquisition(3111charges),relocation(3109charges)butnoparticipationinincidentalexpenses(3114charges);or•Nofederalparticipationinrightofwayacquisition(3111charges)andrelocationactivities(3109expenses).DocumentBuilderGeneratedPage3of7Rev.12/09/2016
OLA#:331001962Routing#:19-HA3-XC-00077Regardlessoftheoptionselectedabove,theStateretainsoversightresponsibilities.TheLocalAgency’sandtheState’sresponsibilitiesforeachoptionisspecificallysetforthinCDOT’sRightofWayManual.Themanualislocatedathttp://www.coloradodot.info/business/manuals/right-of-way.Ifrightofwayispurchasedforastatehighway,includingareasofinfluenceofthestatehighway,thelocalagencyshallimmediatelyconveytitletosuchrightofwaytoCDOTaftertheLocalAgencyobtainstitle.Section8.UtilitiesIfnecessary,theStatewillberesponsibleforobtainingtheproperclearanceorapprovalfromanyutilitycompany,whichmaybecomeinvolvedinthisProject.PriortothisProjectbeingadvertisedforbids,theresponsiblepartywillcertifyinwritingthatallsuchclearanceshavebeenobtained.Section9.RailroadsIntheeventtheProjectinvolvesmodificationofarailroadcompany’sfacilitieswherebytheworkistobeaccomplishedbyrailroadcompanyforces,theStateshallmaketimelyapplicationtothePublicUtilitiesCommissionrequestingitsorderprovidingfortheinstallationoftheproposedimprovementsandnotproceedwiththatpartoftheworkwithoutcompliance.TheStateshallalsoestablishcontactwiththerailroadcompanyinvolvedforthepurposeofcomplyingwithapplicableprovisionsof23CFR646,subpartB,concerningfederal-aidprojectsinvolvingrailroadfacilities,including:1.Executinganagreementsettingoutwhatworkistobeaccomplishedandthelocation(s)thereof,andthatthecostsoftheimprovementshallbeeligibleforfederalparticipation.2.Obtainingtherailroad’sdetailedestimateofthecostofthework.3.Establishingfuturemaintenanceresponsibilitiesfortheproposedinstallation.4.Prescribingfutureuseordispositionsoftheproposedimprovementsintheeventofabandonmentoreliminationofagradecrossing.5.Establishingfuturerepairand/orreplacementresponsibilitiesintheeventofaccidentaldestructionordamagetotheinstallation.Section10.EnvironmentalObligationsTheStateshallperformallworkinaccordancewiththerequirementsofthecurrentfederalandstateenvironmentalregulationsincludingtheNationalEnvironmentalPolicyActof1969(NEPA)asapplicable.SectionII.MaintenanceObligationsTheStatewillmaintainandoperatetheimprovementsconstructedunderthisagreementatitsowncostandexpenseduringtheirusefullife,inamannersatisfactorytotheStateandFHWA.TheStatewillmakeproperprovisionsforsuchmaintenanceobligationseachyear.Suchmaintenanceandoperationsshallbeconductedinaccordancewithallapplicablestatutes,ordinancesandregulations.TheStateandFHWAwillmakeperiodicinspectionsoftheprojecttoverifythatsuchimprovementsarebeingadequatelymaintained.Section12.RecordKeepingTheStateshallmaintainacompletefileofallrecords,documents,communications,andotherwrittenmaterials,whichpertaintothecostsincurredunderthisagreement.TheStateshallmaintainsuchrecordsforaperiodofthree(3)yearsafterthedateofterminationofthisagreementorfinalpaymenthereunder,whicheverislater,orforsuchfurtherperiodasmaybenecessarytoresolveanymatterswhichmaybepending.TheStateshallmakesuchmaterialsavailableforinspectionatallreasonabletimesandshallpermitdulyauthorizedagentsandemployeesoftheLocalAgencyandFHWAtoinspecttheprojectandtoinspect,reviewandaudittheprojectrecords.Section13.TerminationProvisionsThisagreementmaybeterminatedasfollows:A.TerminationforConvenience.TheStatemayterminatethisagreementatanytimetheStatedeterminesthatthepurposesofthedistributionofmoneysundertheagreementwouldnolongerbeservedbycompletionoftheDocumentBuilderGeneratedPage4of7Rev,12/09/2016
OLA#:331001962Routing#:19-HA3-XC-00077project.TheStateshalleffectsuchterminationbygivingwrittennoticeofterminationtotheLocalAgencyandspecifiingtheeffectivedatethereof,atleasttwenty(20)daysbeforetheeffectivedateofsuchtermination.B.TerminationforCause.If,throughanycause,theLocalAgencyshallfailtofulfill,inatimelyandpropermanner,itsobligationsunderthisagreement,oriftheLocalAgencyshallviolateanyofthecovenants,agreements,orstipulationsofthisagreement,theStateshallthereuponhavetherighttoterminatethisagreementforcausebygivingwrittennoticetotheLocalAgencyofitsintenttoterminateandatleastten(10)daysopportunitytocurethedefaultorshowcausewhyterminationisotherwisenotappropriate.Intheeventoftermination,allfinishedorunfinisheddocuments,data,studies,surveys,drawings,maps,models,photographsandreportsorothermaterialpreparedbytheLocalAgencyunderthisagreementshall,attheoptionoftheState,becomeitsproperty,andtheLocalAgencyshallbeentitledtoreceivejustandequitablecompensationforanyservicesandsuppliesdeliveredandaccepted.Notwithstandingtheabove,theLocalAgencyshallnotberelievedofliabilitytotheStateforanydamagessustainedbytheStatebyvirtueofanybreachoftheagreementbytheLocalAgency,andtheStatemaywithholdpaymenttotheLocalAgencyforthepurposesofmitigatingitsdamagesuntilsuchtimeastheexactamountofdamagesduetotheStatefromtheLocalAgencyisdetermined.Ifaftersuchterminationitisdetermined,foranyreason,thattheLocalAgencywasnotindefaultorthattheLocalAgency’sactionlinactionwasexcusable,suchterminationshallbetreatedasaterminationforconvenience,andtherightsandobligationsofthepartiesshallbethesameasiftheagreementhadbeenterminatedforconvenience,asdescribedherein.Section14.LegalAuthorityTheLocalAgencywarrantsthatitpossessesthelegalauthoritytoenterintothisagreementandthatithastakenallactionsrequiredbyitsprocedures,by-laws,and/orapplicablelawtoexercisethatauthority,andtolawfullyauthorizeitsundersignedsignatorytoexecutethisagreementandtobindtheLocalAgencytoitsterms.Theperson(s)executingthisagreementonbehalfoftheLocalAgencywarrantsthatsuchperson(s)hasfullauthorizationtoexecutethisagreement.Section15.RepresentativesandNoticeTheStatewillprovideliaisonwiththeLocalAgencythroughtheState’sRegionDirector,Region3,P0Box29$,Eagle,CO$1631.SaidRegionDirectorwillalsoberesponsibleforcoordinatingtheState’sactivitiesunderthisagreementandwillalsoissueaNoticetoProceed”totheLocalAgencyforcommencementofthework.Allcommunicationsrelatingtotheday-to-dayactivitiesfortheworkshallbeexchangedbetweenrepresentativesoftheState’sTransportationRegion3andtheLocalAgency.Allcommunication,notices,andcorrespondenceshallbeaddressedtotheindividualsidentifiedbelow.Eitherpartymayfromtimetotimedesignateinwritingneworsubstituterepresentatives.IftotheState:IftotheLocalAgency:DrewStewartKevinSharkeyCDOTRegion3EagleCountyGovernmentPGBox29$500Broadway-P0Box$50Eagle,Colorado$1631Eagle,Colorado$1631970-328-9939970-328-8600drew.stewart@state.co.uskevin.sharkey@eaglecounty.usSection16.SuccessorsExceptashereinotherwiseprovided,thisagreementshallinuretothebenefitofandbebindinguponthepartiesheretoandtheirrespectivesuccessorsandassigns.Section17.ThirdPartyBeneficiariesItisexpresslyunderstoodandagreedthattheenforcementofthetermsandconditionsofthisagreementandallrightsofactionrelatingtosuchenforcement,shallbestrictlyreservedtotheStateandtheLocalAgency.Nothingcontainedinthisagreementshallgiveorallowanyclaimorrightofactionwhatsoeverbyanyotherthirdperson.ItistheexpressintentionoftheStateandtheLocalAgencythatanysuchpersonorentity,otherthantheStateortheLocalAgencyreceivingservicesorbenefitsunderthisagreementshallbedeemedanincidentalbeneficiaryonly.DocumentBuilderGeneratedPage5of7Rev.12/09/2016
OLA#:331001962Routing#:19-KA3-XC-00077Section18.GovernmentalImmunityNotwithstandinganyotherprovisionofthisagreementtothecontrary,notermorconditionofthisagreementshallbeconstruedorinterpretedasawaiver, expressor implied,ofanyoftheimmunities,rights,benefits,protection,orotherprovisionsoftheColoradoGovernmentalImmunityAct,§24-10-101,etseq.,C.R.S.,asnoworhereafteramended.Theparties understandand agreethatliabilityforclaimsforinjuriestopersons or propertyarisingoutofnegligenceofthe StateofColorado,itsdepartments,institutions,agencies, boards,officialsandemployeesiscontrolledandlimitedbytheprovisionsof§24-10-101,etseq.,C.R.S.,asnoworhereafteramendedandtheriskmanagementstatutes,§24-30-1501,etseq.,C.R.S.,asnoworhereafteramended.Section19.SeverabilityTotheextentthatthisagreementmaybeexecutedandperformanceoftheobligationsofthepartiesmaybeaccomplishedwithintheintentoftheagreement,thetermsofthisagreementareseverable,andshouldanytermorprovisionhereofbedeclaredinvalidorbecomeinoperativeforanyreason,suchinvalidityorfailureshallnotaffectthevalidityofanyotherterm or provision hereof.Section20.WaiverThewaiverofanybreachofaterm,provision, orrequirementofthisagreementshallnotbeconstruedordeemedasawaiverofanysubsequentbreachofsuchterm,provision,orrequirement,orofanyotherterm,provisionorrequirement.Section21.EntireUnderstandingThisagreementisintendedasthecompleteintegrationofallunderstandingsbetweentheparties.Nopriororcontemporaneousaddition,deletion,orother amendmentheretoshall haveanyforceoreffectwhatsoever,unlessembodiedhereinbywriting.Nosubsequentnovation,renewal,addition,deletion,orotheramendmentheretoshallhaveanyforceoreffectunlessembodiedinawritingexecutedandapprovedpursuanttothe StatefiscalRules.Section22.SurvivalofAgreementTermsNotwithstandinganythinghereintothecontrary,thepartiesunderstandandagreethatalltermsandconditionsofthisagreementandtheexhibitsandattachmentsheretowhichmayrequirecontinuedperformance,complianceoreffectbeyond theterminationdateoftheagreementshallsurvivesuchterminationdateandshall.beenforceablebytheStateasprovidedhereininthe eventofsuchfailuretoperformorcomplybytheLocalAgency.Section23.ModificationandAmendmentThisagreementissubjecttosuchmodificationsasmayberequiredbychangesinfederalorStatelaw,ortheirimplementingregulations.Anysuchrequiredmodificationshallautomaticallybeincorporatedinto andbepartofthisagreementontheeffectivedateofsuchchangeasiffullysetforthherein.Exceptasprovidedabove,nomodificationofthisagreementshall beeffectiveunlessagreedtoinwritingbybothpartiesinanamendmenttothisagreementthatisproperlyexecutedandapprovedinaccordancewithapplicablelaw.Section24.DisputesExceptasotherwiseprovidedinthisagreement,anydisputeconcerningaquestionoffactarisingunderthisagreement,whichisnotdisposedofbyagreement,willbedecidedbytheChiefEngineeroftheDepartmentofTransportation.ThedecisionoftheChiefEngineerwillbefinalandconclusiveunless, within30calendardaysafterthedateofreceiptofacopyofsuchwrittendecision,theLocalAgencymailsorotherwisefurnishestotheStateawrittenappealaddressedtotheExecutive DirectoroftheDepartmentofTransportation.Inconnectionwithanyappealproceedingunderthisclause,theLocal Agencyshallbeaffordedanopportunitytobeheardandtoofferevidenceinsupportofitsappeal.Pendingfinaldecisionofadisputehereunder,theLocal AgencyshallproceeddiligentlywiththeperformanceoftheagreementinaccordancewiththeChiefEngineer’sdecision.ThedecisionoftheExecutiveDirectororhisdulyauthorizedrepresentativeforthedeterminationofsuchappealswillbe finalandconclusiveandserveasfinalagencyaction.Thisdisputeclausedoes notpreclude considerationofquestionsoflawinconnectionwithdecisions providedforherein.Nothinginthisagreement,however,shallbeconstruedasmakingfinalthedecisionofanyadministrativeofficial,representative,orboardonaquestionoflaw.DocumentBuilder GeneratedPage6of7Rev.12/09/2016
