CMS:129458Z.“Work”meanstheGoodsdeliveredandServicesperformedpursuanttothisContract.AA.“WorkProduct”meansthetangibleandintangibleresultsoftheWork,whetherfinishedorunfinished,includingdrafts.WorkProductincludes,butisnotlimitedto,documents,text,software(includingsourcecode),research,reports,proposals,specifications,plans,notes,studies,data,images,photographs,negatives,pictures,drawings,designs,models,surveys,maps,materials,ideas,concepts,know-how,andanyotherresultsoftheWork.“WorkProduct”doesnotincludeanymaterialthatwasdevelopedpriortotheEffectiveDatethatisused,withoutmodification,intheperformanceoftheWork.AnyothertermusedinthisContractthatisdefinedinanExhibitshallbeconstruedandinterpretedasdefinedinthatExhibit.4.STATEMENTOFWORKContractorshallcompletetheWorkasdescribedinthisContractandinaccordancewiththeprovisionsoftheExhibits.TheStateshallhavenoliabilitytocompensateContractorforthedeliveryofanygoodsortheperformanceofanyservicesthatarenotspecificallysetforthinthisContract.5.PAYMENTSTOCONTRACTORA.MaximumAmountPaymentstoContractorarelimitedtotheunpaid,obligatedbalanceoftheContractFunds.TheStateshallnotpayContractoranyamountunderthisContractthatexceedstheContractMaximumforthattermshownontheSignatureandCoverPagesforthisContract.B.PaymentProceduresi.InvoicesandPaymenta.TheStateshallpayContractorintheamountsandinaccordancewiththeExhibits.b.ContractorshallinitiatepaymentrequestsbyinvoicetotheState,inaformandmannerapprovedbytheState.c.TheStateshallpayeachinvoicewithin45daysfollowingtheState’sreceiptofthatinvoice,solongastheamountinvoicedcorrectlyrepresentsWorkcompletedbyContractorandpreviouslyacceptedbytheStateduringthetermthattheinvoicecovers.IftheStatedeterminesthattheamountofanyinvoiceisnotcorrect,thenContractorshallmakeallchangesnecessarytocorrectthatinvoice.d.TheacceptanceofaninvoiceshallnotconstituteacceptanceofanyWorkperformedordeliverablesprovidedundertheContract.ii.InterestAmountsnotpaidbytheStatewithin45daysoftheState’sacceptanceoftheinvoiceshallbearinterestontheunpaidbalancebeginningonthe45thdayattherateof1%permonth,asrequiredby§24-30-202(24)(a),C.R.S.,untilpaidinfull;provided,however,thatinterestshallnotaccrueonunpaidamountsthattheStatedisputesinwriting.ContractorshallinvoicetheStateseparatelyforaccruedinterestonContractWizardVersion403Page9of29RevisedJanuary2019 CMS:129458delinquentamounts,andtheinvoiceshallreferencethedelinquentpayment,thenumberofday’sinteresttobepaidandtheinterestrate.iii.PaymentDisputesIfContractordisputesanycalculation,determinationoramountofanypayment,ContractorshallnotifytheStateinwritingofitsdisputewithin30daysfollowingtheearliertooccurofContractor’sreceiptofthepaymentornotificationofthedeterminationorcalculationofthepaymentbytheState.TheStatewillreviewtheinformationpresentedbyContractorandmaymakechangestoitsdeterminationbasedonthisreview.Thecalculation,determinationorpaymentamountthatresultsfromtheState’sreviewshallnotbesubjecttoadditionaldisputeunderthissubsection.NopaymentsubjecttoadisputeunderthissubsectionshallbedueuntilaftertheStatehasconcludeditsreview,andtheStateshallnotpayanyinterestonanyamountduringtheperioditissubjecttodisputeunderthissubsection.iv.AvailableFunds-Contingency-TerminationTheStateisprohibitedbylawfrommakingcommitmentsbeyondthetermofthecurrentStatefiscalYear.PaymenttoContractorbeyondthecurrentStateFiscalYeariscontingentontheappropriationandcontinuingavailabilityofContractFundsinanysubsequentyear(asprovidedintheColoradoSpecialProvisions).Iffederalfundsorfundsfromanyothernon-StatefundsconstituteallorsomeoftheContractFundstheState’sobligationtopayContractorshallbecontingentuponsuchnon-Statefundingcontinuingtobemadeavailableforpayment.PaymentstobemadepursuanttothisContractshallbemadeonlyfromContractFunds,andtheState’sliabilityforsuchpaymentsshallbelimitedtotheamountremainingofsuchContractFunds.IfState,federalorotherfundsarenotappropriated,orotherwisebecomeunavailabletofundthisContract,theStatemay,uponwrittennotice,terminatethisContract,inwholeorinpart,withoutincurringfurtherliability.TheStateshall,however,remainobligatedtopayforServicesandGoodsthataredeliveredandacceptedpriortotheeffectivedateofnoticeoftermination,andthisterminationshallotherwisebetreatedasifthisContractwereterminatedinthepublicinterestasdescribedin§2.E.v.OptiontoIncreaseMaximumAmountIftheSignatureandCoverPagesforthisContractshowthattheStatehastheOptiontoIncreaseorDecreaseMaximumAmount,thentheState,atitsdiscretion,shallhavetheoptiontoincreaseordecreasethestatewidequantityofGoodsandServicesbasedupontheratesestablishedinthisContract,andincreasethemaximumamountpayableaccordingly.Inordertoexercisethisoption,theStateshaltprovidewrittennoticetoContractorinaformsubstantiallyequivalentto§21“SampleOptionLetter.”DeliveryofGoodsandperformanceofServicesshallcontinueatthesameratesandtermsasdescribedinthisContract.TheStatemayincludeandincorporatearevisedbudgetwiththeoptionletter,aslongastherevisedbudgetdoesnotunilaterallychangeratesortermsspecifiedintheContract.6.REPORTING-NOTIFICATIONA.QuarterlyReports.Inadditiontoanyreportsrequiredpursuantto§17orpursuanttoanyotherExhibit,foranycontracthavingatermlongerthan3months,Contractorshallsubmit,onaquarterlybasis,awrittenreportspecifyingprogressmadeforeachspecifiedperformancemeasureandContractWizardVersion4.03Page10of29RevisedJanuary2019 CMS:129458standardinthisContract.SuchprogressreportshallbeinaccordancewiththeproceduresdevelopedandprescribedbytheState.ProgressreportsshallbesubmittedtotheStateatthetimeortimesspecifiedbytheStateinthisContract,or,ifnotimeisspecifiedinthisContract,notlaterthan5BusinessDaysfollowingtheendofeachcalendarquarter.B.LitigationReportingIfContractorisservedwithapleadingorotherdocumentinconnectionwithanactionbeforeacourtorotheradministrativedecisionmakingbody,andsuchpleadingordocumentrelatestothisContractormayaffectContractor’sabilitytoperformitsobligationsunderthisContract,Contractorshall,within5daysafterbeingserved,notifytheStateofsuchactionanddelivercopiesofsuchpleadingordocumenttotheState’sprincipalrepresentativeidentifiedontheSignatureandCoverPagesasprovidedin§15.C.PerformanceOutsidetheStateofColoradoortheUnitedStates,§24-102-206C.R.S.Totheextentnotpreviouslydisclosedinaccordancewith§24-102-206,C.R.S.,ContractorshallprovidewrittennoticetotheState,inaccordancewith§15andinaformdesignatedbytheState,within20daysfollowingtheearliertooccurofContractor’sdecisiontoperformServicesoutsideoftheStateofColoradoortheUnitedStates,oritsexecutionofanagreementwithaSubcontractortoperform,ServicesoutsidetheStateofColoradoortheUnitedStates.SuchnoticeshallspecifythetypeofServicestobeperformedoutsidetheStateofColoradoortheUnitedStatesandthereasonwhyitisnecessaryoradvantageoustoperformsuchServicesatsuchlocationorlocations,andsuchnoticeshallbeapublicrecord.KnowingfailurebyContractortoprovidenoticetotheStateunderthissectionshallconstituteabreachofthisContract.ThissectionshallnotapplyiftheContractfundsincludeanyfederalfunds.7.CONTRACTORRECORDSA.MaintenanceContractorshallmaintainafileofalldocuments,records,communications,notesandothermaterialsrelatingtotheWork(the“ContractorRecords”).ContractorRecordsshallincludealldocuments,records,communications,notesandothermaterialsmaintainedbyContractorthatrelatetoanyWorkperformedbySubcontractors,andContractorshallmaintainallrecordsrelatedtotheWorkperformedbySubcontractorsrequiredtoensureproperperformanceofthatWork.ContractorshallmaintainContractorRecordsuntilthelasttooccurof:(1)thedate3yearsafterthedatethisContractexpiresoristerminated,(ii)finalpaymentunderthisContractismade,(iii)theresolutionofanypendingContractmatters,or(iv)ifanauditisoccurring,orContractorhasreceivednoticethatanauditispending,thedatesuchauditiscompletedanditsfindingshavebeenresolved(the“RecordRetentionPeriod”).B.InspectionContractorshallpermittheStatetoaudit,inspect,examine,excerpt,copyandtranscribeContractorRecordsduringtheRecordRetentionPeriod.ContractorshallmakeContractorRecordsavailableduringnormalbusinesshoursatContractor’sofficeorplaceofbusiness,oratothermutuallyagreedupontimesorlocations,uponnofewerthan2BusinessDays’noticefromtheState,unlesstheStatedeterminesthatashorterperiodofnotice,ornonotice,isnecessarytoprotecttheinterestsoftheState.C.MonitoringContractWizardVersion4.03Page11of29RevisedJanuary2019 CMS:129458TheState,initsdiscretion,maymonitorContractor’sperformanceofitsobligationsunderthisContractusingproceduresasdeterminedbytheState.TheStateshallmonitorContractor’sperformanceinamannerthatdoesnotundulyinterferewithContractor’sperformanceoftheWork.B.FinalAuditReportContractorshallpromptlysubmittotheStateacopyofanyfinalauditreportofanauditperformedonContractor’srecordsthatrelatestooraffectsthisContractortheWork,whethertheauditisconductedbyContractororathirdparty.8.CONFIDENTIALINFORMATION-STATERECORDSA.ConfidentialityContractorshallkeepconfidential,andcauseallSubcontractorstokeepconfidential,allStateRecords,unlessthoseStateRecordsarepubliclyavailable.Contractorshallnot,withoutpriorwrittenapprovaloftheState,use,publish,copy,disclosetoanythirdparty,orpermittheusebyanythirdpartyofanyStateRecords,exceptasotherwisestatedinthisContract,permittedbylaw,orapprovedinwritingbytheState.ContractorshallprovideforthesecurityofallStateConfidentialInformationinaccordancewithallpoliciespromulgatedbytheColoradoOfficeofInformationSecurityandallapplicablelaws,rules,policies,publications,andguidelines.IfContractororanyofitsSubcontractorswillormayreceivethefollowingtypesofdata,ContractororitsSubcontractorsshallprovideforthesecurityofsuchdataaccordingtothefollowing:(i)themostrecentlypromulgatedIRSPublication1075forallTaxInformationandinaccordancewiththeSafeguardingRequirementsforFederalTaxInformationattachedtothisContractasanExhibit,ifapplicable,(ii)themostrecentlyupdatedPCIDataSecurityStandardfromthePCISecurityStandardsCouncilforallPCI,(iii)themostrecentlyissuedversionoftheU.S.DepartmentofJustice,federalBureauofInvestigation,CriminalJusticeInformationServicesSecurityPolicyforallCJI,and(iv)thefederalHealthInsurancePortabilityandAccountabilityActforallPHIandtheHIPAABusinessAssociateAgreementattachedtothisContract,ifapplicable.ContractorshallimmediatelyforwardanyrequestordemandforStateRecordstotheState’sprincipalrepresentative.B.OtherEntityAccessandNondisclosureAgreementsContractormayprovideStateRecordstoitsagents,employees,assignsandSubcontractorsasnecessarytoperformtheWork,butshallrestrictaccesstoStateConfidentialInformationtothoseagents,employees,assignsandSubcontractorswhorequireaccesstoperformtheirobligationsunderthisContract.Contractorshallensureallsuchagents,employees,assigns,andSubcontractorssignagreementscontainingnondisclosureprovisionsatleastasprotectiveasthoseinthisContract,andthatthenondisclosureprovisionsareinforceatalltimestheagent,employee,assignorSubcontractorhasaccesstoanyStateConfidentialInformation.ContractorshallprovidecopiesofthosesignednondisclosureprovisionstotheStateuponexecutionofthenondisclosureprovisions.C.Use,Security,andRetentionContractorshalluse,holdandmaintainStateConfidentialInformationincompliancewithanyandallapplicablelawsandregulationsinfacilitieslocatedwithintheUnitedStates,andshallmaintainasecureenvironmentthatensuresconfidentialityofallStateConfidentialInformationwhereverlocated.ContractorshallprovidetheStatewithaccess,subjecttoContractor’sreasonablesecurityrequirements,forpurposesofinspectingandContractWizardVersion4.03Page12of29RevisedJanuary2019 CMS:129458monitoringaccessanduseofStateConfidentialInformationandevaluatingsecuritycontroleffectiveness.UpontheexpirationorterminationofthisContract,ContractorshallreturnStateRecordsprovidedtoContractorordestroysuchStateRecordsandcertifytotheStatethatithasdoneso,asdirectedbytheState.IfContractorispreventedbylaworregulationfromreturningordestroyingStateConfidentialInformation,Contractorwarrantsitwillguaranteetheconfidentialityof,andceasetouse,suchStateConfidentialInformation.B.IncidentNoticeandRemediationIfContractorbecomesawareofanyIncident,itshallnotifytheStateimmediatelyandcooperatewiththeStateregardingrecovery,remediation,andthenecessitytoinvolvelawenforcement,asdeterminedbytheState.UnlessContractorcanestablishthatnoneofContractororanyofitsagents,employees,assignsorSubcontractorsare•thecauseorsourceoftheIncident,ContractorshallberesponsibleforthecostofnotifyingeachpersonwhomayhavebeenimpactedbytheIncident.AfteranIncident,ContractorshalltakestepstoreducetheriskofincurringasimilartypeofIncidentinthefutureasdirectedbytheState,whichmayinclude,butisnotlimitedto,developingandimplementingaremediationplanthatisapprovedbytheState,atnoadditionalcosttotheState.TheStatemay,initssolediscretionandatContractor’ssoleexpense,requireContractortoengagetheservicesofanindependent,qualified,State-approvedthirdpartytoconductasecurityaudit.ContractorshallprovidetheStatewiththeresultsofsuchauditandevidenceofContractor’splannedremediationinresponsetoanynegativefindings.I.DataProtectionandHandlingContractorshallensurethatallStateRecordsandWorkProductinthepossessionofContractororanySubcontractorsareprotectedandhandledinaccordancewiththerequirementsofthisContract,includingtherequirementsofanyExhibitshereto,atalltimes.F.SafeguardingP11IfContractororanyofitsSubcontractorswillormayreceiveP11underthisContract,ContractorshallprovideforthesecurityofsuchP11,inamannerandformacceptabletotheState,including,withoutlimitation,Statenon-disclosurerequirements,useofappropriatetechnology,securitypractices,computeraccesssecurity,dataaccesssecurity,datastorageencryption,datatransmissionencryption,securityinspections,andaudits.Contractorshallbea“Third-PartyServiceProvider”asdefinedin§24-73-f03(1)(i),C.R.S.andshallmaintainsecurityproceduresandpracticesconsistentwith§24-73-1O1etseq.,C.R.S.9.CONFLICTSOFINTERESTA.ActualConflictsofInterestContractorshallnotengageinanybusinessoractivities,ormaintainanyrelationshipsthatconflictinanywaywiththefullperformanceoftheobligationsofContractorunderthisContract.SuchaconflictofinterestwouldarisewhenaContractororSubcontractor’semployee,officeroragentweretoofferorprovideanytangiblepersonalbenefittoanemployeeoftheState,oranymemberofhisorherimmediatefamilyorhisorherpartner,relatedtotheawardof,entryintoormanagementoroversightofthisContract.B.ApparentConflictsofInterestContractoracknowledgesthat,withrespecttothisContract,eventheappearanceofaconflictofinterestshallbeharmfultotheState’sinterests.AbsenttheState’spriorwrittenContractWizardVersion403Page13of29RevisedJanuary2019 iv.BusinessAssociateshallhavetheburdenofdemonstratingthatallnotificationsweremadeasrequired,includingevidencedemonstratingthenecessityofanydelay.o.BusinessAssociate’sInsuranceandNotificationCosts.i.BusinessAssociateshallbearallcostsofaBreachresponseincluding,withoutlimitation,notifications,andshallmaintaininsurancetocover:A.lossofPHIdata;3.BreachnotificationrequirementsspecifiedinHJPAARulesandin§24-73-103,C.R.S.;andC.claimsbaseduponallegedviolationsofprivacyrightsthroughimproperuseordisclosureofPHI.ii.AllsuchpoliciesshallmeetorexceedtheminimuminsurancerequirementsoftheContractorotherwiseasmaybeapprovedbyCoveredEntity(e.g.,occurrencebasis,combinedsingledollarlimits,annualaggregatedollarlimits,additionalinsuredstatus,andnoticeofcancellation).iii.BusinessAssociateshallprovideCoveredEntityapointofcontactwhopossessesrelevantInformationSecurityknowledgeandisaccessible24hoursperday,7daysperweektoassistwithincidenthandling.iv.BusinessAssociate,totheextentpracticable,shallmitigateanyharmfuleffectknowntoBusinessAssociateofaUseorDisclosureofPHIbyBusinessAssociateinviolationofthisAgreement.p.SubcontractorsandBreaches.i.BusinessAssociateshallenterintoawrittenagreementwitheachofitsSubcontractorsandagents,whocreate,receive,maintain,ortransmitPHIonbehalfofBusinessAssociate.TheagreementsshallrequiresuchSubcontractorsandagentstoreporttoBusinessAssociateanyuseordisclosureofPHInotprovidedforbythisAgreement,includingSecurityIncidentsandBreachesofUnsecuredProtectedHealthInformation,onthefirstdaysuchSubcontractororagentknowsorshouldhaveknownoftheBreachasrequiredby45C.F.R.164.410.ii.BusinessAssociateshallnotifyCoveredEntityofanysuchreportandshallprovidecopiesofanysuchagreementstoCoveredEntityonrequest.q.DataOwnership.i.BusinessAssociateacknowledgesthatBusinessAssociatehasnoownershiprightswithrespecttothePHI.ii.UponrequestbyCoveredEntity,BusinessAssociateimmediatelyshallprovideCoveredEntitywithanykeystodecryptinformationthattheBitsinessAssociationhasencryptedandmaintainsinencryptedform,orshallprovidesuchinformationinunencryptedusableform.Page5of9HIPAABAARevisedAugust2018 r.RetentionofPHI.ExceptuponterminationofthisAgreementasprovidedinSection5below,BusinessAssociateanditsSubcontractorsoragentsshallretainallPHIthroughoutthetermofthisAgreement,andshallcontinuetomaintaintheaccountingofdisclosuresrequiredunderSection3.habove,foraperiodofsixyears.4.OBLIGATIONSOFCOVEREDENTITYa.SafeguardsDuringTransmission.CoveredEntityshallberesponsibleforusingappropriatesafeguardsincludingencryptionofPHI,tomaintainandensuretheconfidentiality,integrity,andsecurityofPHItransmittedpursuanttothisAgreement.inaccordancewiththestandardsandrequirementsoftheH1PAARules.b.NoticeofChanges.1.CoveredEntitymaintainsacopyofitsNoticeofPrivacyPracticesonitswebsite.CoveredEntityshallprovideBusinessAssociatewithanychangesin,orrevocationof,permissiontouseordisclosePHI,totheextentthatitmayaffectBtisinessAssociate’spermittedorrequiredusesordisclosures.ii.CoveredEntityshaltnotifyBusinessAssociateofanyrestrictionontheuseordisclosureofPHItowhichCoveredEntityhasagreedinaccordancewith45C.F.R.164.522,totheextentthatitmayaffectBusinessAssociate’spermittedtiseordisclosureofPHI.5.TERMINATLONa.Breach.i.InadditiontoanyContractprovisionregardingremediesforbreach.CoveredEntityshallhavetheright,intheeventofabreachbyBusinessAssociateofanyprovisionofthisAgreement,toterminateimmediatelytheContract,orthisAgreement,orboth.ii.SubjecttoanydirectionsfromCoveredEntity,uponterminationoftheContract,thisAgreement,orboth,BusinessAssociateshalltaketimely,reasonable,andnecessaryactiontoprotectandpreservepropertyinthepossessionofBusinessAssociateinwhichCoveredEntityhasaninterest.b.EffectofTermination.i.UponterminationofthisAgreementforanyreason,BusinessAssociate,attheoptionofCoveredEntity,shallreturnordestroyallPHIthatBusinessAssociate,itsagents,oritsSubcontractorsmaintaininanyform,andshallnotretainanycopiesofsuchP1-IL.ii.IfCoveredEntitydirectsBusinessAssociatetodestroythePHI.BusinessAssociateshallcertifyinwritingtoCoveredEntitythatsuchPHIhasbeendestroyed.iii.IfBusinessAssociatebelievesthatreturningordestroyingthePHIisnotfeasible,BusinessAssociateshallpromptlyprovideCoveredEntitywithnoticeoftheconditionsmakingreturnordestrtictioninfeasible.BusinessAssociateshallcontinuetoextendtheprotectionsofPage6of9HIPAABAARevisedAugust2018 Section3ofthisAgreementtosuchPHI,andshalllimitfurtheruseofsuchPHItothosepurposesthatmakethereturnordestrLlctionofsuchPHIinfeasible.6.INJUNCTIVERELIEFCoveredEntityandBusinessAssociateagreethatirreparabledamagewouldoccurintheeventBusinessAssociateoranyofitsSubcontractorsoragentsuseordisclosureofPHIinviolationofthisAgreement,theHIPAARulesoranyapplicablelaw.CoveredEntityandBusinessAssociatefurtheragreethatmoneydamageswouldnotprovideanadequateremedyforsuchBreach.Accordingly,CoveredEntityandBusinessAssociateagreethatCoveredEntityshallbeentitledtoinjunctiverelief,specificperformance,andotherequitablerelieftopreventorrestrainanyBreachorthreatenedBreachofandtoenforcespecificallythetermsandprovisionsofthisAgreement.7.LIMITATIONOFLIABILITYAnyprovisionintheContractlimitingContractor’sliabilityshallnotapplytoBusinessAssociate’sliabilityunderthisAgreement,whichshallnotbelimited.8.DISCLAIMERCoveredEntitymakesnowarrantyorrepresentationthatcompliancebyBusinessAssociatewiththisAgreementortheHIPAARuleswillbeadequateorsatisfactoryforBusinessAssociate’sownpurposes.BusinessAssociateissolelyresponsibleforalldecisionsmadeandactionstakenbyBusinessAssociateregardingthesafeguardingofPHI.9.CERTIFICATIONCoveredEntityhasalegalobligationunderHIPAARulestocertifyastoBusinessAssociate’sInformationSecuritypractices.CoveredEntityoritsauthorizedagentorcontractorshallhavetherighttoexamineBusinessAssociate’sfacilities,systems,procedures,andrecords,atCoveredEntity’sexpense,ifCoveredEntitydeterminesthatexaminationisnecessarytocertifythatBusinessAssociate’sInformationSecuritysafeguardscomplywiththeHIPAARulesorthisAgreement.10.AMENDMENTa.AmendmenttoComplywithLaw.ThePartiesacknowledgethatstateandfederallawsandregulationsrelatingtodatasecurityandprivacyarerapidlyevolvingandthatamendmentofthisAgreementmayberequiredtoprovideprocedurestoensurecompliancewithsuchdevelopments.i.IntheeventofanychangetostateorfederallawsandregulationsrelatingtodatasecurityandprivacyaffectingthisAgreement,thePartiesshalltakesuchactionasisnecessarytoimplementthechangestothestandardsandrequirementsofHIPAA,theHIPAARulesandotherapplicablerulesrelatingtotheconfidentiality,integrity,availabilityandsecurityofPHIwithrespecttothisAgreement.ii.BusinessAssociateshallprovidetoCoveredEntitywrittenassurancesatisfactorytoCoveredEntitythatBusinessAssociateshalladequatelysafeguardallPHI,andobtainPage7of9HIPAABAARevisedAugust201$ writtenasstirancesatisfactorytoCoveredEntityfromBusinessAssociate’sSubcontractorsandagentsthattheyshalladequatelysafegtiardallPHI.iii.UpontherequestofeitherParty,theotherPartypromptlyshallnegotiateingoodfaiththetermsofanamendmenttotheContractembodyingwrittenassurancesconsistentwiththestandardsandrequirementsofHIPAA,theKIPAARules,orotherapplicablerules.iv.CoveredEntitymayterminatethisAgreementupon30days’priorwrittennoticeintheeventthat:A.BusinessAssociatedoesnotpromptlyenterintonegotiationstoamendtheContractandthisAgreementwhenrequestedbyCoveredEntitypitrsuanttothisSection;orB.BusinessAssociatedoesnotenterintoanamendmenttotheContractandthisAgreement,whichprovidesassurancesregardingthesafeguardingofPHIsufficient,inCoveredEntity’ssolediscretion,tosatisfythestandardsandrequirementsoftheHIPAA,theHIPAARulesandapplicablelaw.b.AmendmentofAppendix.TheAppendixtothisAgreementmaybemodifiedoramendedbythemtitualwrittenagreementoftheParties,withoutamendmentofthisAgreement.AnymodifiedoramendedAppendixagreedtoinwritingbythePartiesshallsttpersedeandreplaceanypriorversionoftheAppendix.11.ASSISTANCEINLITIGATIONORADMINISTRATIVEPROCEEDINGSCoveredEntityshallprovidewrittennoticetoBusinessAssociateiflitigationoradministrativeproceedingiscommencedagainstCoveredEntity,itsdirectors,officers,oremployees,basedonaclaimedviolationbyBusinessAssociateofHIPAA,theHIPAARulesorotherlawsrelatingtosecurityandprivacyorPHI.UponreceiptofsuchnoticeandtotheextentrequestedbyCoveredEntity,BusinessAssociateshall,andshallcauseitsemployees,Subcontractors,oragentsassistingBusinessAssociateintheperformanceofitsobligationsundertheContractto,assistCoveredEntityinthedefenseofsuchlitigationorproceedings.BusinessAssociateshall,andshallcauseitsemployees,Subcontractor’sandagentsto,provideassistance,toCoveredEntity,whichmayincludetestifyingasawitnessatsuchproceedings.BusinessAssociateoranyofitsemployees,SubcontractorsoragentsshallnotberequiredtoprovidesuchassistanceifBusinessAssociateisanamedadverseparty.12.INTERPRETATIONANDORDEROFPRECEDENCEAnyambiguityinthisAgreementshallberesolvedinfavorofameaningthatcompliesandisconsistentwiththeHIPAARules.IntheeventofaninconsistencybetweentheContractandthisAgreement,thisAgreementshallcontrol.ThisAgreementsupersedesandreplacesanyprevious,separatelyexecutedHIPAAbusinessassociateagreementbetweentheParties.13.SURVIVALProvisionsofthisAgreementrequiringcontinuedperformance,compliance,oreffectafterterminationshallsurviveterminationofthiscontractorthisagreementandshallbeenforceablebyCoveredEntity.Page8of9HIPAABAARevisedAugust2018
