Ghent Properties 2nd‘C95—89—70—A2SECONDAMENDMENTTOAVIATIONRELATEDCARRENTALBUSINESSAGREEMENTANDLEASEThisAmendment(the“Anendment”)enteredintoeffectivethis1stdayofNovember,1995,byandbetweentheCountyofEagle,StateofColorado,abodypoliticandcorporate,actingbyandthroughitsBoardofCountyCommissioners(“County”),andCooleyMesaLeasing,LLC,aColoradolimitedliabilitycompany(“CML”)RECITALS1.OnJune27,1994,CountyenteredintoanAviationRelatedCarRentalBusinessAgreementAndLease(“Agreement”)withCML’spredecessor-in—interest,BradGlientdbaB.GhentProperties(“Ghent”)2.OnNovember21,1994,CountyandGlientamendedtheAgreementtocorrectthedescriptionoftheleasedpremises.3.OnoraboutApril28,1995,CountyconsentedtotheassignmentoftheAgreementfromGhenttoCML.4.BytheAgreement,CMLleasedtwocontiguous“lots”attheEagleCountyRegionalAirport(designatedontheAirportLeaseParcelsMap”asLots9and10,asdepictedon“ExhibitC”attachedheretoandincorporatedhereinbythisreference),withanaggregatesizeofapproximately1acre.5.TheAgreementprovides,atArticle3.3.,thatCMLhasarightoffirstrefusaltoleasetwoadditionalparcelsequalinsize,withanaggregateof2acres.6.CMLwantstolease2additionallotscontiguoustoitsexistingpremises,consistingofLots7and8asdesignatedontheAirportLeaseParcelsMap(andshownon“ExhibitC”)andwithanaggregatesizeofapproximately1acre,forthebalanceofthetermoftheAgreementandaccordingtothetermsandconditionsoftheAgreement.7.Countyhasreceivednoacceptableoffersforlong-termleasesofthoselots.TheHertzCorporationhasoccupiedandpresentlyoccupiesLot7underashort—termleasewithCounty.
0C8.CountyiswillingtoamendtheAgreementtoaddLots7and8totheLeasedPremisesundertheAgreement,providedthatsuchanadditiontotheLeasedPremiseswillbe“charged”againstCML’srightsoffirstrefusal.TERMSANDCONDITIONSNOW,THEREFORE,inconsiderationofthepremisesandthemutualcovenantscontainedinthisAgreemeilt,thepartiesherebyagreeasfollows:1.EffectiveasofNovember1,1995,whereverintheAgreementreferenceismadetotheleasedpremises,suchpremisesshallbethatrealpropertydescribedonthedocumentattachedheretoandmarked“ExhibitA”,andthatdocumentshallbesubstitutedintheplaceofthepagesomarkedwhichisattachedtotheAgreement(pursuanttotheNovember21,1994,amendment),whichpageandcontentsshallbedeemedofnoforceoreffect.SuchpropertyiscommonlyreferredtoasLots7,8,9and10asshownon“ExhibitC”attachedheretoandherebymadeapartoftheAgreement.2.EffectiveasofNovember1,1995,thefirstparagraphofArticle3.3isamendedtoreadasfollows:ItisagreedthatConcessionaireshallhavetherightoffirstrefusaltoleaseatthesamerateasthepropertyprovidedforinthislease,oneadditionalparcelequalinsizetotheoriginalparcelleasedpursuanttothisAgreement(i.e.,approximately1acre)3.Lots7and8canbeusedsolelyforrental—carparkingforcarsutilizedforairportcustomers.ShouldCMLceasetousethelotsforthatpurposeforacontinuousperiodofatleast8monthswithouttheCounty’swrittenconsent,thisAgreement,astosuchLots7and8,shallautomaticallyterminate.CMLmaygraveland/orpave(accordingtothespecificationssetforthinArticle7.I.C.)withoutfurtherconsentofCounty,butanyotherimprovementonortosuchlotsshallrequireCountyapprovalasprovidedinArticle7.11oftheAgreement.4.UnlessanduntilitissurveyedbyCounty,theareaforLots7and8shallbedeemed43,500squarefeetandlocatedasperExhibitChereto.ThebasemonthindexshallbetheindexforSeptember1994.TherentforthemonthsofNovember1995throughthenextanniversarymonthshallbedeterminedbymultiplyingtheareaofLots7and8bythe“baserent”of15.6centspersquarefeetperyearadjustedbymultiplyingthebaserentbythefractioninwhichthenumeratoristheindexforNovember1995andthedemoninatoristheindexforthebasemonth(September1994).Therentshallbepaidinequalinstallmentsmonthly.Afterthenext
