ClC)AVIATIONRELATEDCARRENTALBUSINESSAGREEMENTANDLEASEBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDB.GHENTPROPERTIESThisAgreemeptandLease(the“Agreement”)enteredintothis’jj’\dayof.,1994,byandbetweentheCountyofEagle,StateofColorado,abodypoliticandcorporate,actingbyandthroughitsBoardofCountyCommissioners(“County”),andBradGhentd/b/aB.GhentProperties,aColoradoSoleProprietorship(“Concessionaire”).WITNESSETH:WHEREAS,theCountynowowns,controlsandoperatestheEagleCountyRegionalAirport(the“Airport”)locatedbetweenthetownsofEagleandGypsumintheCountyofEagle,StateofColorado;andWHEREAS,theCountyisdulyauthorizedbylawtoadministerandgovernthepropertyknownastheEagleCountyAirport;andWHEREAS,aviationrelatedservicesareessentialtotheproperaccommodationofgeneralandcommercialaviationattheAirport;andWHEREAS,Concessionaireisatransportation/automobilerelatedserviceandforthepurposesofthisAgreementisanaviationrelatedbusiness(hereinafterreferredtoas“ARB”)anddesirestomakesuchservicesasrequiredbytheCounty,ashereinmorefullydescribed,availableattheAirport.NOW,THEREFORE,inconsiderationofthepremisesandthemutualcovenantscontainedinthisAgreement,thepartiesherebyagreeasfollows: CCARTICLEONECONCESSIONTheCountydoesherebygranttoGhentaconcessiontooperateasanAviationRelatedBusiness(hereinafter“ARB”)attheEagleCountyAirportforthetermandsubjecttotheconditionssetforthinthisAgreement.ARTICLETWOTERMThetermofthisAgreementshallbeforaperiodoftwenty—five(25)years,commencingontheJdayof-_______1994,andcontinuingthroughthe30thdayofI-________2019(the“TerminationDate”),unlessearlierte4ünatedundertheprovisionsofthisAgreement.Ninemor±hspriortotheTerminationDate,ConcessionaireoritssuccessorunderthisAgreementshallhaveanoption,providedtheyareinfullcompliancewiththetermsandconditionsofthisAgreement,toleasethepremisesdescribedinArticleIIIunderthetermsandconditionsthenestablishedbytheCountyoritssuccessor,foranothertermoftwenty—five(25)yearsatthethencurrentrate,termsandconditions.ShouldConcessionaireoritssuccessorfailtoexerciseitsoptionwiththeCountybythe180thdaypriortotheTerminationDate,theCountyoritssuccessorshallbefreetoenterintoanagreementwithanypartyitdeemsappropriate.ARTICLETHREELEASEDPREMISESA.TheCountydoesherebyleasetoConcessionaireforthepurposeoffulfillingitsobligationsasanARB,subjectonlytothetermsandprovisionsofthisAgreement,thepropertydescribedintheattachedExhibitAwhichisincorporatedhereinbythisreferenceandisone(1)acreinsize.B.RightofFirstRefusal.ItisagreedthatConcessionaireshallhavetherightoffirstrefusaltoleaseatthesamerateasthepropertyprovidedforinthislease,twoadditionalparcelsequalinsize(2acres).ShouldtheCountyhaveotherapplicantstoleasetheabovereferencedadditionalparcel,theCountyshallnotify CCPage3Concessionaire,whoshallhavefifteendaystoexercisetherightoffirstrefusalprovidedforherein,andenterintoaleaseforsaidparcel.Thisrightoffirstrefusalmaynotbeexercisedforthesolepurposeofpreventinganotherindividualfromrentingtheparcel,andifaparcelisleasedtoConcessionairepursuanttothisrightoffirstrefusalbutnotusedandnoimprovementbuiltforanARBpurposeswithintwelvemonths,anyleaseonsaidparcelmaybeterminatedonthefirstdayofthethirteenthmonthandapenaltyof$1000chargedtoConcessionaire.TheCountymayalsorequireadditionalassurancesofdevelopment.ARTICLEFOURCOMPLIANCEWITHLAW,REGULATIONS,ANDREQUIREMENTSConcessionaireshallcomplywithallapplicableFederal,stateandlocallaws,ordinancesandregulations.Concessionairespecificallyshallobservethe“EagleCountyAirportRulesandRegulation”andthe“EagleCountyAirportSecurityPlan”.Concessionairefurthercovenantstocomplywith“MinimumStandardsandRequirementsfortheConductofCommercialAeronauticalServicesandActivitiesattheEagleCountyAirport,”(the“MinimumRequirements”),asestablishedbytheBoardofCountyCommissioners,CountyofEagle,StateofColorado,oritssuccessor.TheminimumrequirementsinforceatthetimeofthesigningofthisAgreementareattachedandmarked“ExhibitB”.ARTICLEFIVELEASEPROVISIONSREQUIREDORSUGGESTEDBYTHEFEDERALAVIATIONADMINISTRATIONA.Concessionaireagreestooperatethepremisesleasedfortheuseandbenefitofthepublic,morespecificallyasfollows:1.Tofurnishgood,prompt,andefficientservicesadequatetomeetallthedemandsforitsservicesattheAirport.2.Tofurnishsaidserviceonafair,equal,andnon—discriminatorybasistoallusersthereof,and3.Tochargefair,reasonable,andnon—discriminatorypricesforeachunitofsaleorservice,providedthatConcessionairemaybeallowedtomake CCPage4reasonableandnon—discriminatorydiscounts,rebates,orothersimilartypesofpricereductionstovolumepurchasers.B.Concessionaire,foritself,itspersonalrepresentatives,successorsininterest,andassigns,asapartoftheconsiderationhereof,doesherebycovenantandagreeasacovenantrunningwiththelandthat:1.Nopersononthegroundsofrace,color,ornationaloriginshallbeexcludedfromparticipationin,deniedthebenefitsof,orotherwiseliesubjectedtodiscriminationintheuseofsaidfacilities.2.Intheconstructionofanyimprovementson,overorundersuchlandandthefurnishingofservicesthereon,nopersononthegroundsofrace,color,ornationaloriginshallbeexcludedfromparticipationin,deniedthebenefitsof,orotherwisebesubjectedtodiscrimination.3.ConcessionaireshallusethepremisesincompliancewithallotherrequirementsimposedbyorpursuanttoTitle49,CodeofFederalRegulations,DepartmentofTransportation,SubtitleA,OfficeoftheSecretary,Part21,NondiscriminationinFederallyAssistedProgramsoftheDepartmentofTransportation—EffectuationofTitleVIoftheCivilRightsActof1964,assaidRegulationsmaybeamended.Intheeventofbreachofanyoftheabovenon—discriminatorycovenants,theCountyshallhavetherighttoterminatetheleaseandtore—enterandrepossesssaidlandandthefacilitiesthereon,andholdthesameasifsaidLeasehadneverbeenmadeorissued.Thisprovisiondoesnotbecomeeffectiveuntiltheproceduresof49CFRPart21arefollowedandcompleted,includingexpirationofappealrights.4.ConcessionaireagreestoincludeinanysubsequentconcessionagreementsthatitentersthatthosebusinessesshallabidebytherequirementsoftheU.S.DepartmentofTransportation’sregulations,49CFR,subpartF.Suchagreementsshallstatethattheconcessionaireagreesthatitwillnotdiscriminateagainstanybusinessownerbecauseoftheowner’srace,color,nationalorigin,orsexinconnectionwiththeawardorperformanceofanysubsequent CCPage5concessionagreementcoveredby49CRFPart23,subpartF.Intheeventthattheseconcessionairesenterintosubsequentconcessionagreementsitshallcausethosebusinessestosimilarlyincludetheaforementionedstatementsinthoseagreements.c.itisunderstoodandagreedthatnothinghereincontainedshallbeconstruedtograntorauthorizethegrantingofanexclusiveright.D.AffirmativeAction.1.Concessionaireassuresthatitwillundertakeanaffirmativeactionprogram,asrequiredby14CFRPart152,SubpartE,toensurethatnopersonshall,onthegroundofrace,creed,color,nationalorigin,orsex,beexcludedfromparticipatinginanyemployment,contracting,orleasingactivitiescoveredin14CFRPart152,SubpartE.Concessionaireassuresthatnopersonshallbeexcluded,onthesegrounds,fromparticipatinginorreceivingtheservicesorbenefitsofanyprogramoractivitycoveredbythissubpart.TheCountyassuresthatitwillrequirethatitscoveredorganizationsprovideassurancetothegranteethattheysimilarlywillundertakeaffirmativeactionprogramsandthattheywillrequireassurancesfromtheirsuborganization,asrequiredby14CFRPart152,SubpartE,tothesameeffect.2.Concessionaireagreestocomplywithanyaffirmativeactionplanorstepsforequalemploymentopportunityrequiredby14CFR,Part152,SubpartE,aspartoftheaffirmativeactionprogramorbyanyFederal,stateorlocalagencyorcourt,includingthoseresultingfromaconciliationagreement,aconsentdecree,courtorder,orsimilarmechanism.Concessionaireagreesthatstateorlocalaffirma C)Page6tiveactionplanwillbeusedinlieuofanyaffirmativeactionplanorstepsrequiredby14CFRPart152,SubpartE,onlywhentheyfullymeetthestandardssetforthin14CFR152.409.Concessionaireagreestoobtainasimilarassurancefromitssub—lessees’coveredorganizations,andtocausethemtorequireasimilarassuranceoftheircoveredsuborganizations,asrequiredby14CFRPart152,SubpartE.E.TheCountyreservestherighttofurtherdeveloporimprovethelandingareaoftheAirportasitseesfit,regardlessofthedesiresorviewofConcessionaire,andwithoutinterferenceorhindrance.F.TheCountyreservestherighttomaintainandkeepinrepairthelandingareaoftheairportandallpubliclyownedfacilitiesoftheAirport,togetherwiththerighttodirectandcontrolallactivitiesofConcessionaireinthisregard.G.Duringthetimeofwarornationalemergency,theCountyshallhavetherighttoleasethelandingareaoranypartthereoftotheUnitedStatesGovernmentformilitaryornavaluse,and,ifsuchleaseisexecuted,theprovisionsofthisinstrumentinsofarastheyareinconsistentwiththeprovisionsoftheleasetotheGovernment,shallbesuspended.H.TheCountyreservestherighttotakeanyactionitconsidersnecessarytoprotecttheaerialapproachesoftheairportagainstobstruction,togetherwiththerighttopreventConcessionairefromerecting,orpermittingtobeerected,anybuildingorotherstructureonoradjacenttotheAirportwhich,intheopinionoftheCounty,wouldlimittheusefulnessoftheAirportorconstituteahazardtoaircraft.I.ThisLeaseshallbesubordinatetotheprovisionsofanyexistingorfutureagreementbetweentheCountyandtheUnitedStates,relativetotheoperationormaintenanceoftheAirport,theexecutionofwhichhasbeenormayberequiredasaconditionprecedenttotheexpenditureofFederalfundsforthedevelopmentoftheAirport. CC)Page7ARTICLESIXUSEOFCOMMONAREASConcessionaireisgrantedtheuse,incommonwithotherssimilarlyauthorized,oftheAirport,togetherwithallfacilities,equipment,improvements,andserviceswhichhavebeenormayhereafterbeprovidedatorinconnectionwiththeAirportthatmayreasonablybeofusetoConcessionaireinconnectionwiththeservicesConcessionaireprovidestotheAirport.ARTICLESEVENOBLIGATIONSOFCONCESSIONAIREI.Concessionaire,asanARB,shallprovidethefollowingminimumactivitiesorservicesduringthetermofthisAgreement,attheAirport.A.MaintenanceFacilityServices:1.Customerservice,check—inarea,tworentalcarcounters,publicrestrooms,fueling(onegasisland)andrelatedservicesconsistentwiththeuseprovidedforinthisAgreement.B.Carwashfacility(adrivethroughandstateoftheart):1.oneautomaticwashbay2.onewandandservicebay:toincludeequipmentforlightmaintenanceandrepairs.3.onefuelisland4.vacuumisland5.Sewagedisposalwillbedonebysepticsystem.Thewashwaste—waterwillberecirculatedandreused.C.OnsiteParking:Theparkinglotwillbelaidwithfourinchesofasphaltaslocatedonmap.Otherareaswillbegravel.BasedonacreageasdepictedinExhibitB,parkingwillbeavailablefor100carsand25readycarspaces.D.Security:AdditiànalsecuritywillbeprovidedbyConcessionaireforitsleasedlot,ifnecessary.AnyadditionalsecuritymustmeettheapprovaloftheAirportManager. CPage8E.FutureExpansion:futureexpansionofanyareamustmeettheapprovaloftheairportmanagerpriortotheexpansion.F.Concessionaireshallprovideforandsupplyatitsexpenseallutilitiesincludingheat,light,gas,electricity,snowremovalandwaterusedbyitonorinconnectionwithitsfacilitiesontheairport.Alltapconnectorsorsimilarfeesnecessarytoobtainutilityserviceshallalsobetheresponsibilityoftheconcessionaire.II.ConcessionaireshallmeetthefollowingMinimumStandardsandRequirements:A.Allfuelstoragetankswillbeinstalledunderground,inaccordancewithminimumapplicableEPAstandards.B.Concessionaireshalltakeallprecautionsnecessarytoinsurethatonlynon—contaminatedfuelisdelivered.Fueldeliveredshallbeclean,bright,pureandfreeofmicroscopicorganisms,waterorothercontaminants.QualitycontrolofthefuelistheresponsibilityofConcessionaire.C.Concessionaireshallprovidefortheadequateandsanitaryhandlinganddisposal,awayfromtheAirport,ofalltrash,wasteandothermaterials,includingbutnotlimitedtousedoil,solvents,andotherwaste.Thepilingorstorageofcrates,boxes,barrelsandothercontainerswillnotbepermittedwithintheleasedpremises.NothinginthisparagraphshallpreventtheuseofusedoilinanappropriateheaterorfurnaceattheARBsolongastheuseofsuchdevicecomplieswithallapplicableregulations.D.ConcessionaireshallprovideproperlytrainedpersonnelondutyduringthehourswhichwillaccommodatecustomersoftheAirport,atthemutualagreementofthepartiestothiscontract.E.Concessionairewillprovideconvenientlylocated,heatedandventilatedrestroomswhichareaccessibletothecustomers.Thesewillbemaintainedinacleanandsanitarymanner.Atleastoneworkingtelephonewillbeprovidedforpublicuse.F.Allpavingandbuildingshallbeofpermanentconstructionandshallbeinconsistentwiththedesign,materialsandlandscapingspecificationsapprovedbytheBoardofCountyCommissionerspriortoconstruction. CPage9G.LandscapingoftheARBisrequired.Concessionaireshallprovideaplanforlandscaping,tobeapprovedbytheCounty.UpontheCounty’sapproval,Concessionaireshallprovideandmaintain,atitsownexpense,theagreeduponlandscapingforitsARB.H.Concessionaireshallmaintainallitsfacilitiesinaneat,cleanandaestheticallypleasingmanner,andinaccordancewithallRulesandRegulationsoftheAirport.ARTICLEFIGHTMAINTENAITCEConcessionaireshallkeepitsuseareainaclean,safeandsanitarycondition,includingtheremovalofsnowfromsuchofitsleasedareasasmaybereasonablyexpectedtobeusedatthetimebyautomobilesfrequentingtheAirport.Snowremovalshallbedonepromptlyinaneatandworkmanlikemannertoavoidleavingpiles,windrowsorridgesofsnoworicewhichmightbehazardous.ARTICLENINEOPERATINGHOURSANDSERVICEConcessionaireshallprovideserviceashereindescribedduringhourswhichwillaccommodatethecustomersoftheAirport,aschedulewhichshallbemutuallyagreeduponbytheparties.ARTICLETENREVENUEANDCHARGESA.ConcessionaireshallbepermittedtochargereasonablepricesforservicesrenderedandproductssoldasanARBoperator.Areportofallcharges,pastandpresent,andanychangesthereto,shallbeavailablefortheCounty’sinspectionatallreasonabletimes.B.TherentforthefacilitiesleasedbyGhentfromtheCountyshallconsistoftheareausefeefortheportionofEagleCountyAirportoccupiedbyGhent,whichitisagreedis43,500squarefeetasdescribedinExhibitA.Theareabaserentshallbe15.6centspersquarefootperyear,oratotalannualareauserenton43,500squarefeetperyear,payableintwelveequalmonthlyinstallmentsof565.50(toequalatotalof6786.00forthefirstyear).SuchrentalpaymentsduetotheCountyshallbemadeonorbeforethefifteenthofeachmonthonaccountofsalesorrevenuegeneratedduringthe CCPage10previousmonth,andareportonformsacceptabletotheCountyshallaccompanythepaymentshowingthebasisonwhichthepaymentismade.Thepaymentoftheannualareausefeeshallbepayablebythefirstdayofeachmonthforwhichitisdue,thefirstpaymenttobeduethirtydaysafterGlientobtainshisTemporaryCertificateofOccupancy(“TCO”)andtofollowinaccordancewiththeindexasreferencedbelow:INDEX:Theannualareause“baserent”shallbeindexedcommencingwiththerentalpaymentinAugust,1994,asfollows:1.themonthofSeptember,1994,shallbethe“basemonth”andthedenominator:2.themonthinwhichConcessionaireobtainshisTCOshallbethe“anniversarymonth”andthenumerator;3.theindexshallbetheDenver-Boulder,ColoradoConsumerPriceIndexforAllUrbanConsumers,AllItems(1994—100)publishedbytheU.S.BureauofLaborStatistics,303-837—2467;and4.theanniversaryrentshallbedeterminedbymultiplyingthebaserenttimesafraction,thenumeratorbeingtheparticularanniversarymonthindexandthedenominatorbeingthebasemonthindex.Iftheanniversarymonthorbasemonthisanunpublishedmonth,thepreviousindexnearesttotheanniversarydateshallbeused.C.ConcessionaireshallpaytotheCountyasumequaltothreepercentoftheadjustedgrossreceiptsfromallbusinessconductedandcarriedonbyConcessionaireattheAirport,exclusiveofanyrevenuesgeneratedasaresultofcarrentaltransactions.Concessionaireunderstandsthatallrevenuesgeneratedasaresultofanycarrentalbusinessconductedattheleasedfacilities,shallbeassessedatsixpercent(ofthoseadjustedgrossreceipts)inaccordancewithEagleCountyResolution92-08,whichadoptedtheRulesandRegulationsforGroundTransportationsatEagleCountyAirport.Theterm“adjustedgrossreceipts”asusedinthisAgreementshallmeantheaggregateamountofallsalesmadeandservicesperformed,forcash,oncreditorotherwise,ofeverykind,nameandnature.Adjustedgrossreceiptsshallalsoincludetheaggregatevalueofallgoods,waresandmerchandisereceivedforpropertyorservices,atthesellingpricethereof,asifthesamehadbeensoldforcash.ThereN CCPage11shallbeexcludedfromadjustedgrossreceipts(1)allfuelsales;(2)allsalestotheCountyofEaglegovernment;(3)Federal,stateandmunicipalsalestaxes,orothersimilartaxesseparatelystatedandcollectedfromcustomers;(4)baddebts;(5)thecostofrepairsmadetodamagedvehicle;and(6)allsalesofrentalvehicles.Acombinationofpercentageofgrossrevenues,requiredfuelflowagefeesandareausefeeshallconstitutethetotalrentandfeesunderthisAgreement.D.Forthepurposeofascertainingtheamountpayableasrentashereinprovided,ConcessionaireshallkeepatthepremiseshereindemisedanaccurateaccountofalldailysalesandrevenuesmadebyConcessionairein,on,orfromtheAirportpremises,thesametobeenteredintoabookofapermanentnaturewhichshallbeavailabletotheCountyforitsinspection.E.DelinquencyCharge:Adelinquencychargeoftwo(2)percentpermonthshallbeaddedtopaymentsrequiredhereinabove,whicharerenderedmorethantendaysdelinquentinadditiontoanyotherremedyprovidedforherein.F.PlaceofPayment:AllpaymentsduetheCountyfromConcessionaireshallbedeliveredtoaplaceinEagleCountydesignatedinwritingbytheCounty.C.AnnualStatement.Withinsixty(60)daysaftertheendofeachcalendaryear,ConcessionaireshallfurnishtoCountyanadjustedgrossreceiptsgeneratedduringtheprecedingcalendaryear,certifiedbyanofficerofLesseeastoitscorrectness.TheCountyreservestherighttoauditsaidstatementandConcessionaire’sbooksandrecords,includingexaminationofthegeneralledgerandallothersupportingmaterial,includingtaxreturns,atanyreasonabletimeduringbusinesshours,verifyingtheadjustedgrossreceipts.IftheauditestablishesthatConcessionairehasunderstatedoroverstatedtheadjustedgrossreceiptsby500.00ormore,theentireexpenseofsaidauditshallbebornebyConcessionaire.AnyadditionalpaymentduefromConcessionaireshallforthwithbepaidtotheCounty,withinterestthereonat1-1/2percentpermonthfromthedatesuchamountoriginallybecamepayabletotheCounty.AnyoverpaymentbyConcessionaireshallbecreditedagainstfurtherpaymentsduetotheCounty.H.ShouldConcessionairesubletanyconcessionsontheAirportpremises,itwillrequiresuchconcessionairestoalsopermittheexaminationoftheirbooksforthepurposesof CCPage12determiningthegrossreceiptsofsuchconcessionaires’business.I.Disputes.Intheeventthatanydisputemayariseastotheadjustedgrossreceiptscollected,theamountclaimedduebyConcessionaireshallbepaidforthwithandthedisputeshallbesubmittedtoacertifiedpublicaccountant,agreeabletobothparties,whoshalldeterminetherightsofthepartieshereunderinconformitywithgenerallyacceptedaccountingprinciples.Thefeesduesaidaccountantforsuchserviceshallbepaidbytheunsuccessfulparty,orintheeventthedeterminationispartiallyinfavorofeachparty,thefeeshallbeborneequallybytheparties.ARTICLEELEVENGENERALOPERATINGPROVISIONSA.ReservationsoftheCounty.ForthepurposesofthisAgreement,“PublicAircraftFacilities”shallmean(1)Runways;(2)Taxiways;(3)PassengerRampandApronAreas;and(4)AnyextensionsoradditionstotheaboveandanyotherspaceorfacilitiesprovidedbytheCountyattheAirportforpublicandcommonusebyaircraftoperatorsinconnectionwiththelandingandtakingoffofaircraft,orinconnectionwithoperationshereinafterauthorizedtobeperformedbyaircraftoperatorsupontheaforesaidrunways,taxiways,andpublicpassengerrampandapronareas;butonlyasandtotheextentthattheyarefromtimetotimeprovidedbytheCountyattheAirportforpublicandcommonusebyaircraftoperators.TheCountyreservestherighttofurtherdeveloporimprovetheAirportasitseesfit,regardlessofthedesiresorviewsofConcessionaire,andwithoutinterferenceorhindrance,exceptthattheCountymaynotarbitrarilyviolateorunreasonablydiminishConcessionaire’srightsasprovidedelsewhereinthisAgreementexceptonatemporarybasis,ordiminishitsabilitytoperformtheobligationsundertakenbyithereunder;provided,however,thatanygeneralorpartialclosureofanypublicaircraftfacilitiesforthepurposeanddurationofconstructionorrepairshallnotbeconsideredaviolationordiminishingofConcessionaire’srightsorabilitytoperform.TheCountyreservestherighttomaintainandkeepinrepairthepublicaircraftfacilitiesoftheAirportandallpubliclyownedfacilitiesoftheAirport,togetherwiththerighttodirectandcontrolallactivitiesofConcessionaireinthisregard. CCPage13ThereisherebyreservedtotheCounty,itssuccessorsandassigns,fortheuseandbenefitofthepublic,arightofflightforthepassageofaircraftintheairspaceabovethesurfaceofthepremisesherebyleased,togetherwiththerighttocauseinsaidairspacesuchnoiseasmaybeinherentintheoperationofaircraft,nowknownorhereafterusedfornavigationofflightintheair,usingsaidairspaceforlandingat,takingofffrom,oroperatingontheAirport.TheCountyreservestherighttotakeanyactionitconsidersnecessarytoprotecttheaerialapproachesoftheAirportagainstobstruction,togetherwiththerighttopreventConcessionairefromerectingorpermittingtobeerected,anybuildingorotherstructureonoradjacenttotheAirportwhichwhenerectedwillbeaboveameansealevelelevationofsixthousandfivehundredeighty-ninefeetand/orwhichwouldlimittheusefulnessoftheAirportorconstituteahazardtoaircraft.TheCountyreservestherighttodirectandcontrolallactivitiesofConcessionaireonthepublicaircraftfacilitiesareaattheAirportintheeventofanemergencyorifConcessionaire’soperationsareinterferingwiththeusebyothersofthepublicaircraftfacilitiesoftheAirport,andtofurtherdevelopandimprovesaidAirportastheCounty,initssolediscretion,maydeemproper.TheCountyfurtherreservestherighttoinspecttheimprovementsandbuildingsontheleasedpremisesduringtheperiodofanyconstructionandatalltimesafterconstructionandduringthetermofthisagreementoranyextensionorrenewals,forthepurposeofinsuringcompliancewiththetermsofthisagreement,andanyandallapplicablefederal,stateorlocallawsorregulations.TheCountyfurtherreservestherighttoinspectConcessionaire’sbooksandtoprocuresuchadditionalfinancialinformationasitmaybedeemedappropriateandnecessarybytheCounty.NoticesshallbeprovidedtoConcessionairebytheCountyatleastforty-eighthoursinadvance,toinspectConcessionaire’sbooksorrecords.Non-compliancewiththissubsectionshallconstituteabreachordefaultofthisAgreementandintheeventofsuchnon-compliance,theCountyshallhavetherighttoterminatethisAgreement,orattheelectionoftheCountyortheUnitedStatesorbothofsaidgovernments,shallhavetherighttoenforcejudiciallythissubsection.B.CompliancewithApplicableLaws.ConcessionaireshallusetheleasedpremisessolelyforAirportpurposesassetforthherein,andinsodoingshallenforceandcomply I--CCPage14withallapplicablelawsoftheStateofColoradoandtheUnitedStatesofAmerica;rulesandregulationsoftheCountyofEagle;aswellasanyandallbureaus,departmentsandagenciesofsaidCounty,StateofColoradoortheUnitedStatesofAmerica,astheymaybeamendedfromtimetotime.Concessionaireagreestofaithfullyobserveandobeyandtocompelitsemployees,invitee,andthosedoingbusinesswithittoobserveandobeyallofthefollowing:1.AllrulesandregulationsgoverningtheoperationoftheEagleCountyAirport;2.AllrulesandregulationsoftheCountynowineffect;and3.AllrulesandregulationsoftheFederalAviationAgencynowineffectandsuchfurtherrulesandregulationsasmayfromtimetotimebeadoptedbyitrelativetotheoperationofairportsofthetypeandcharacteroftheEagleCountyAirport.C.NotificationandReviewRequirements.Concessionaireagreestocomplywiththenotificationandreviewrequirementscoveredinpart77oftheFederalAviationRegulationsintheeventanyfuturestructureorbuildingisplannedfortheleasedpremises,orintheeventofanyplannedmodificationoralterationofanypresentorfuturebuildingorstructuresituatedontheleasedpremises.D.NoExclusiveRightsGranted.ItisunderstoodandagreedthatnothinghereincontainedshallbeconstruedtograntorauthorizethegrantingofanexclusiverightwithinthemeaningofSection308oftheFederalAviationAct.TheCountyreservestheright,atitssolediscretion,tograntotherscertainrightsandprivilegesupontheAirportwhichareidenticalinpartorinwholetothosegrantedtoConcessionaire.However,theCountydoescovenantandagreethat:1.ItshallenforceallminimumoperatingstandardsorrequirementsforallaeronauticalactivitiesconductedattheAirport.2.Anyotheroperatorofautomobile/transportationactivitieswillnotbepermittedtooperateontheAirportunderrates,termsorconditionswhicharemorefavorablethanthosesetforthinthisAgreement;and I-CCPage153.Itwillnotpermittheconductofanyautomobile/transportationactivityattheAirportexceptpursuanttoapprovedAirportregulations,and4.TlieCountyreservestheright,butshallnotbeobligated,topermitotherrentalcarcompanies,withwhomtheairporthasnotexecutedonAirportLicenseandUseAgreements,toenterupontheAirportingeneral,andtheAirCarrierTerminalinparticular,topickupanddropoffcustomers,topurchaseadvertisingspaceontheAirportandwithintheAir—CarrierTerminal,andtoestablishacourtesyphonesystemontheAirportandwithintheAirCarrierTerminal,allsubjecttofeesandchargesincommonwithotherusersofthatclassification.E.SubordinationofAgreement.ThisAgreementshallbesubordinatetotheprovisionsofanyexistingorfutureagreementbetweentheCountyandtheUnitedStates,relativetotheoperationormaintenanceoftheAirport,theexecutionofwhichhasbeenormayberequiredasaconditionprecedenttotheexpenditureoffederalfundsforthedevelopment,operationormaintenanceoftheAirport.F.Signs.Concessionaireshallnoterect,maintainordisplayanyexternalsignsorotheradvertisingontheleasedpremiseswithoutfirstobtainingthewrittenapprovaloftheCounty,whichapprovalshallnotbeunreasonablywithheld,providingthatanysignsorequestedshallconformtorequirementsspecifiedbytheCounty.Concessionaireshallremove,atitsexpense,alllettering,signs,andplacardserectedonthepremisesattheexpirationofthetermofthisAgreement.ARTICLETWELVEINSURANCEConcessionaireshallobtainandmaintainineffectduringthetermofthisAgreementcomprehensivepublicliabilityandpropertydamageinsurancecoveringallofConcessionaire’sactivities,operationsandfacilitiesonorattheAirport.Concessionaireshallmaintaininforceinsurancecoveringtheexclusively—leasedpremises,itsassociatedimprovementsandoperations.SaidinsuranceshallnametheCountyandConcessionairewithnolessthantheminimumcoverageasprovidedinthe“MinimumRequirements”andrelatingtoallactivitiesConcessionairechoosestoundertake.Anybuildingsonthepropertyshallbeinsuredfortheirfullreplacementcost.Theproceedsofanyinsuranceshallbeusedtorepairany CPage17ExceptasotherwiseprovidedwithinthisAgreement,thepartiesmutuallyagreethatnothingcontainedinthisAgreement,northeoperationshereunder,shallinanywaybeconstruedtoconstitutethepartiesheretoaspartnersorbeconstruedthatConcessionaireisanemployeeorservantoftheCounty,andinnoeventshalltheCountybecomeliableforanylosswhichmayresultfromtheoperationsofConcessionaireupontheleasedproperty,norforanyindebtednessincurredbyConcessionaireintheoperationsofitsbusinessconductedontheleasedpremises.ARTICLEFOURTEENASSIGNMENTItismutuallyunderstoodbytherespectivepartiesheretothatduringthetermofthisAgreement,ConcessionairemaynotassignthisAgreementorgrantadditionalconcessionswithoutthewrittenconsentoftheCounty,whichconsentshallnotbeunreasonablywithheld.ARTICLEFIFTEENCOOPERATIONConcessionaireagreesthatsolongasitisoperatingasanARBoperatorpursuanttothisAgreement,itshallcooperateinafairandreasonablewaywithallotherpersonsandentitiesoperatingontheAirportwiththepermissionandapprovaloftheCounty.ARTICLESIXTEENNOTICESAnynoticesprovidedforhereinshallbeinwritingandshallbedeliveredinpersonormailedbycertifiedorregisteredmail,returnreceiptrequested,postagepre—paid,tothepartyforwhomintendedattheaddresssetforthbelow:GhentPropertiesP.O.Box1316Edwards,CO81632 C;CPage16damageordestructiontotheleasedpremisesoritsassociatedimprovements.SuchinsuranceshallbemaintainedwithacompanyorcompaniesapprovedbytheCounty.ACertifiedcopyofeachinsurancepolicyobtainedhereunderoracertificateevidencingtheexistenceofsuchinsuranceshallbedeliveredtotheCountywithinten(10)daysafterexecutionofthisAgreement.EachsuchcopyorcertificateshallcontainanendorsementbytheinsurerobligatingthecarrierofsuchinsurancetofurnishtheCountywiththirty(30)days’noticeofanyintendedcancellation,terminationormodificationofsuchinsurance.ConcessionairefurtheragreestonotifytheCountyinwritingastoanyamendmentorcancellationofsuchpolicies.TheexpenseofsuchinsuranceshallbepaidbyConcessionaire.ConcessionaireagreestocomplywithalloftheprovisionsofthelawsoftheStateofColoradoandtheUnitedStatesofAmericapertainingtoEmployer’sLiabilityInsurance,andfurtheragreesthatitwillinsureandkeepinsuredallliabilityforcompensationundertheWorkmen’sCompensationActoftheStateofColorado.ARTICLETHIRTEENINDEMNIFICATIONSANDNON-LIABILITYEXCEPTIONSConcessionaireshallindemnifyandholdharmlesstheCounty,itsBoardofCountyCommissionersandtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employeesorservants,anditssuccessorsfromanyandalldemands,losses,liabilities,claimsorjudgments,togetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCountyCommissioners,anditsindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employeesorservantsanditssuccessors,asaresultoftheactsoromissionsofConcessionaire,itsemployeesoragents,inconnectionwithConcessionaire’suseandoccupancyoftheAirportpremises.TheCountyshallgivetoConcessionairepromptnoticeofanyclaimmadeorsuitinstitutedwhichinanyway,directlyorindirectly,affectsormightaffectConcessionaireandConcessionaireshallhavetherighttocompromiseorparticipateinthedefenseofanysuchactiontotheextentofitsowninterests.ConcessionaireshalllikewisegivepromptnoticetotheCountyofanyclaimorsuitwhichdirectlyaffectsormightdirectlyaffectConcessionaire’sabilitytooperatehereunderorwhichinanywayaffectsormightaffecttheCountyorthegeneraloperationsoftheAirport. CCPage20ARTICLEEIGHTEENSUCCESSORSERVICESIfitappearslikelyeitherfromfailuretoexerciseanoptiontoreneworfollowingameetingrequiredhereinbeforeterminationthatConcessionairewillnotcontinuetosupplyARBoperatorservicesprovidedforinthisAgreement,thentheCountyshallhavetherighttolimitedjointuseofConcessionaire’sfacilitiesforthebalanceofConcessionaire’stermifnecessarytoassurethataircraftusingtheAirportwillcontinuetoreceivesuchservicesuponterminationofthisAgreementwithConcessionaire.ARTICLENINETEENDUTYTOOBTAINREQUIREDPERMITSConcessionaireshall,atitssoleexpense,obtainandmaintainingoodstandingallproperandnecessarypermitsandlicensesnecessarytocarryoutandperformitsobligationsunderthisAgreement.ARTICLETWENTYRIGHTSOFSEIZURETheCountyshallnotbeliableinanyrespecttoConcessionaireintheeventofanyseizureofalloranypartoftheleasedpremisesbytheUnitedStatesofAmericaortheStateofColorado•intimeofwarorothernationalemergency.RentotherwisepayabletotheCountyshallabateduringsuchperiod,totheextentthatsuchseizuresubstantiallyinterfereswithConcessionaire’sabilitytoconductitsoperations.ARTICLETWENTY-ONEFACILITY;LEASEHOLDIMPROVEMENTSA.PriorApproval.Allimprovements(andalterationtoimprovements)constructedandbuiltonthepremisesbyConcessionaire,includingbutnotlimitedto,theundergroundfuelstoragetanks,shallreceivestructuralandarchitecturaldesignandlandscapingapprovalbytheBoardofCountyCommissionersPRIORtothecommencementofanyconstructionundertakenbyConcessionaire. 00Page21ConcessionaireshallatalltimesbesubjecttothedirectiveoftheCountyAirportManagerprovided,however,thatsuchdirectiveshallnotworkadiminutionofConcessionaire’srightsunderthisAgreementexceptasspecificallyprovidedforherein.B.RequiredImprovements.Aspartoftheconsiderationfortheprivilegeshereingranted,Concessionaireagreestomaketherequiredimprovementstothepremises.Concessionaireagreesthatitshall,withinthirty(30)calendardaysfromthedateofsigningthisAgreement,submittotheCountyforapproval,detailedplansandspecificationsforalloftheproposedleaseholdimprovements.TheCountyagreesthatitshalleitherapprovetheplansandspecificationsassubmitted,ortransmitproposedrevisionstoConcessionairepromptly.IntheeventtheCountyrequiresmodificationoftheoriginalplansandspecifications,Concessionaireshallhaveten(10)calendardaysfromthedateofreceiptoftheproposedrevisionstoresubmittheplansandspecificationsfortheCounty’sapproval.County’sapprovalofplansandspecificationsshallnotbewithheldunreasonably.C.UponbeinggivenfinalCountyapprovaloftheplansandspecifications,Concessionaireshallengageoneormorequalifiedcontractorstoconstructsaidimprovements.Constructionshallcommencewithinthirty(30)calendardaysofConcessionaire’sreceiptoftheCounty’sfinalapprovaloftheplansandspecificationsandshallbescheduledforcompletionnotlaterthanoneyearaftercommencementofconstruction.ItisagreedandunderstoodthatleaseholdimprovementsundertakenpursuanttothisprovisionshallbecomethepropertyofLessoruponexpirationofthelease.D.PerformanceBond.Concessionaireshallfurnishaperformancebondasprovidedforinthe“MinimumRequirements”intheinitialamountofFiveThousandDollars(5,000.00)toinsureperformanceofhisobligationunderthiscontract.Thisdollaramountwillchangefromyeartoyearbasedonthe10percentrequirementofSectionOne,ArticleIV(D)ofthe“MinimumStandardsandRequirementsfortheConductofCommercialAeronauticalServicesandActivitiesattheEagleCountyAirport,”asapprovedMarch11,1986.E.MaterialsandLaborPaymentBond.Priortobeginningconstruction,ConcessionaireshallsupplytotheCountyinaformsatisfactorytotheCountyAttorney’soffice,aMaterialsandLaborPaymentBondtoinsurethatallcontrac— t’__’.,-ExhibitAIolutionNo.86-27servicessubject,howevertotheMinimumStandardsandRequirementsasestablishedbytheCountyassetforthhereinforCommercialAeronticaISericesandActivitiesattheAirport.Inallcaseswherethewords“standards”or“requirements”appear,itshallbeunderstoodthattheyaremodifiedbytheword“Minimum”.Alloperatorswillbeencouragedtoexceedthe“minimum”.Nooperatorwillbeallowedtooperateunderconditionsbelowthe“minimums”.Contingentuponitsqualifications,itsmeetingtheestablishedMinimumStandards,theexecutionofawrittenagreementwiththeCounty,andthepaymentofprescribedrentals,feesandcharges,theOperatorshallhavetherightandprivilegeofengaginginandconductingtheactivityoractivitiesselectedbyitontheAirportasspecifiedbythewrittencontract.Thegrantingofsuchrightandprivilege,however,shallnotbeconstruedinanymannerasaffordingtheOperatoranyexclusiverightofuseofthepremisesandfacilitiesandtheAirport,otherthanthosepremiseswhichmaybeleasedexclusivelytoit,.andthenonlytotheextentprovidedinawrittenagreement.TheCountyreservesandretainstherightfortheuseoftheAirportbyotherswhomaydesiretousethesame,pursuanttoapplicablefederal,stateandlocallaws,ordinances,codes,minimumstandardsandotherregulatorymeasurespertainingtosuchuse.TheCountyfurtherreservestherighttodesignatethespecificAirportareasinwhichtheindividual,oracombinationof,aeronauticalservicesmaybeconducted.Suchdesignationshallgiveconsiderationtothenatureandextentoftheoperationandthelandsandimprovementsavailableforsuchpurpose,consistentwiththeorderlyandsafeoperationoftheAirport.
