CDOI—AeronauticsDivisionCDAG#:19-EGE-02ROUTING:19-HAV-ZH-00117P0#:471001413U.“StateFiscalYear”meansa12monthperiodbeginningonJuly1ofeachcalendaryearandendingonJune30ofthefollowingcalendaryear.Ifasinglecalendaryearfollowstheterm,thenitmeanstheStateFiscalYearendinginthatcalendaryear.V.“StateRecords”meansanyandallStatedata,information,andrecords,regardlessofphysicalform,including,butnotlimitedto,informationsubjecttodisclosureunderCORA.\V.“Subcontractor”meansthird-parties,ifany,engagedbyGranteetoaidinperformanceoftheWork.“Subcontractor”alsoincludessub-grantees.X.“Work”meansthedeliveryoftheGoodsandperformanceoftheServicesdescribedinthisGrantAwardLetter.Y.“WorkProduct”meansthetangibleandintangibleresultsoftheWork,whetherfinishedorunfinished,includingdrafts.WorkProductincludes,butisnotlimitedto,documents,text,software(includingsourcecode),research,reports,proposals,specifications,plans,notes,studies,data,images,photographs,negatives,pictures,drawings,designs,models,surveys,maps,materials,ideas,concepts,know-how,andanyotherresultsoftheWork.“WorkProduct”doesnotincludeanymaterialthatwasdevelopedpriortotheGrantIssuanceDatethatisused,withoutmodification,intheperformanceoftheWork.AnyothertermusedinthisGrantAwardLetterthatisdefinedinanExhibitshallbeconstruedandinterpretedasdefinedinthatExhibit.5.STATEMENTOFWORKGranteeshallcompletetheWorkasdescribedinthisGrantAwardLetterandinaccordancewiththeprovisionsofExhibitA.TheStateshallhavenoliabilitytocompensateorreimburseGranteeforthedeliveryofanygoodsortheperformanceofanyservicesthatarenotspecificallysetforthinthisGrantAwardLetter.6.PAYMENTSTOGRANTEEA.MaximumAmount.PaymentstoGranteearelimitedtotheunpaid,obligatedbalanceoftheGrantFunds.FinancialobligationsoftheStatepayableafterthecurrentStateFiscalYeararecontingentuponfundsforthatpurposebeingappropriated,budgeted,andotherwisemadeavailable.TheStateshallnotbeliabletopayorreimburseGranteeforanyWorkperformedorexpenseincurredbeforetheGrantIssuanceDateoraftertheGrantExpirationDate;provided,however,thatWorkperformedandexpensesincurredbyGranteebeforetheGrantIssuanceDatethatarechargeabletoanactiveFederalAwardmaybesubmittedforreimbursementaspermittedbythetermsoftheFederalAward.B.IncreaseorDecreaseQuantitiesandTotalPrice-State’sOption.TheState,atitsdiscretion,shallhavetheoptiontoincreaseordecreasethe-quantityofgoods/servicesdescribedinExhibitAatthesameratesandunderthesametermsspecifiedinthisagreement.Inordertoexercisethisoption,theStateshallprovidewrittennoticetoGranteeininformsubstantiallyequivalenttoExhibitDpriortotheendofthecurrentGrantterm.DeliveryofGoodsandperformanceofServicesshallcontinueatthesameratesandtermsasdescribedinthisAgreement.C.MatchingFunds.GranteeshallprovidetheLocalMatchAmountshownonthefirstpageofthisGrantAwardLetteranddescribedinExhibitA(the“LocalMatchAmount”).GranteeshallappropriateandallocateallLocalMatchAmountstothepurposeofthisGrantAwardLettereachfiscalyearpriortoacceptinganyGrantFundsforthatfiscalyear.GranteedoesnotbyacceptingthisGrantAwardLetterirrevocablypledgepresentcashreservesforpaymentsinfuturefiscalyears,andthisGrantAwardLetterisnotintendedtocreateamultiple-fiscalyeardebtofGrantee.Granteeshallnotpayorbeliableforanyclaimedinterest,latecharges,fees,taxesorpenaltiesofanynature,exceptasrequiredbyGrantee’slawsorpolicies.D.ReimbursementofGranteeCosts.TheStateshallreimburseGrantee’sallowablecosts,notexceedingthemaximumtotalamountdescribedinthisGrantAwardLetterforallallowablecostsdescribedinthisGrantAwardLetterandshownintheBudget,exceptthatGranteemayadjusttheamountsbetweeneachlineitemoftheBudgetwithoutformalContractNumber:19-HAV-ZH-00117Page5of9Version0219
