EAGLE COUNTY, COLORADO
AND
FCI CONSTRUCTORS, INC.
THIS FIRST AMENDMENT (“First Amendment”) is effective as of _____________________,
by and between FCI Constructors, Inc. a Colorado corporation (hereinafter “Consultant” or
“Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, Eagle County Housing and Development Authority (“ECHDA”) and Consultant
entered into an agreement dated the 7th day of August, 2018, for Preconstruction and
Construction Services (the “Original Agreement”) for the ECHDA Eagle Ranch Lot 3
Apartments, also known as Two10 (the “Project”); and
WHEREAS, the ECHDA assigned the Original Agreement to the County and the County agreed
to assume all obligations thereunder, effective as of the 15th day of May, 2019; and
WHEREAS, the Original Agreement provides for the performance of certain Work by the
Consultant, including Preconstruction and Construction Services, at a Guaranteed Maximum
Price (“GMP”); and
WHEREAS, Section 5.6.3 of the Original Agreement provides that if OWNER elects to accept
the GMP or a negotiated version thereof, as determined by OWNER in its sole discretion, the
GMP and its basis shall be set forth in an amendment to the Original Agreement; and
WHEREAS, Section 2.1 F. of the Original Agreement provides that the Consultant will submit
to OWNER a detailed budget and construction schedule with the GMP; and
WHEREAS, County and Consultant desire by this First Amendment to document the acceptance
by the County of the GMP, budget and the construction schedule for the Project.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. Pursuant to Section 5.6.3 of the Original Agreement, OWNER hereby accepts the
GMP and detailed budget attached hereto as Exhibit A, and incorporated herein by
this reference, and the construction schedule attached hereto as Exhibit B, and
incorporated herein by this reference.
2. Pursuant to Section 12.8 of the Original Agreement, signature by OWNER may be
made by OWNER’s Project Manager, so long as such change orders and amendments
are within the budget constraints set for the Project. The GMP, attached as Exhibit A,
is within the budget constraints set for the Project.

3. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.
4. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.
5. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the Original
Agreement the day and year first above written.
