HomeMy WebLinkAboutC19-066 Valley SettlementDocuSign Envelope ID: 3AA1E92E-CC67-4D7D-BFCA-E996043AE1A3 SECOND AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND Valley Settlement THIS SECOND AMENDMENT ("Second Amendment") is effective as of 2/27/2019 by and between Valley Settlement, a Colorado nonprofit corporation (hereinafter "Consultant" or "Contractor") and Eagle County, Colorado, a body corporate and politic (hereinafter "County"). RECITALS WHEREAS, County and Consultant entered into an agreement with an effective date of January 1, 2018, for certain Services for compensation not to exceed $50,000 (the "Original Agreement"; and WHEREAS, County and Consultant entered into a First Amendment to the Original Agreement effective January 1, 2019, which extended the term of the Original Agreement for another year and reduced the amount of compensation to an amount not to exceed $45,000; and WHEREAS, County and Consultant desire by this Second Amendment to expand the scope of the Services and compensation for the term ending December 31, 2019. SECOND AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: The Original Agreement shall be amended to include additional Services as described in Exhibit 1, which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed $59,050 or a total maximum compensation under the Original Agreement, First Amendment and this Second Amendment of $154,050. 3. Capitalized terms in this Second Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of this Second Amendment conflict with, modify or supplement portions of the Original Agreement or the First Amendment, the terms and provisions contained in this Second Amendment shall govern and control the rights and obligations of the parties. 4. Except as expressly altered, modified and changed in this Second Amendment, all terms and provisions of the Original Agreement and the First Amendment shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. Print Name: Elaine Grossman Title: strategic Partenrshi 2 Eagle County Am Scope and Comp Final 5/14 DocuSign Envelope ID: 3AA1E92E-CC67-4D7D-BFCA-E996043AE1A3 EXHIBIT 1 SCOPE OF SERVICES INTRODUCTION As part of the 2019 Early Childhood Roadmap Systems Building initiative, requests for proposals were solicited to address four priorities; Early Learning, Family Support & Education, Social Emotional Development & Mental Health and Health. In line with the Early Learning priorities, the following are strategic outcomes addressed through this contract with the Valley Settlement Project (VSP): • High quality early learning opportunities with a safe and nurturing environment for all children, birth to five years old • Increased achievement in meeting all milestones for school readiness • Better trained and better paid early childhood professionals supporting our teaching and care networks • Measurable results in emotional and cognitive development that show consistent increases in the quality of our children's preparation for school and for life CONTRACTOR SHALL PERFORM OR PROVIDE THE FOLLOWING SERVICES Services provided by the Family, Friend and Neighbor (FFN) Program will include: • Recruit and register additional FFNs in Eagle County. • Conduct outreach to families served by FFN population. • Train, evaluate, and maintain enrollment of FFN population. • Conduct Family Needs Assessments of all families in FFN care. • Make and track all referrals. Post -retrospective evaluation of families served. Services provided by Development of the Early Childhood Workforce program will include: • Recruit students for CDA from the valley's high schools and other Valley Settlement programs. • Schedule CDA classes and identify translator. • Conduct CDA classes for participants and provide space, babysitting and translation services FEES Contractor shall be compensated for performance of the Services as follows: 1. County agrees to pay Contractor $14,762.50 payable upon execution of contract; $14,762.50 payable upon receipt of April report; $14,762.50 payable upon receipt of July report; $14,762.50 payable upon receipt of December report, for a total not to exceed contract value of $59,050 based on an 11 month contract period. 2. Family, Friend and Neighbor program costs will not exceed $40,000, The Development of the Early Childhood Workforce will not exceed $19,050. 3. Contractor to submit invoice on a quarterly basis with required reporting submitted through google forms. CONTRACTOR SHALL BE REQUIRED TO SUBMIT THE FOLLOWING REPORTS TO COUNTY: All reports will be completed using google forms, reports links will be sent to contractor prior to the report deadline three times a year (April, July, Dec): Reporting for the Family Friend and Neighbor program will include and is not limited to: • number of FFN providers engaged 3 Eagle County Am Scope and Comp Final 5/14 DocuSign Envelope ID: 3AA1E92E-CC67-4D7D-BFCA-E996043AE1A3 • basic demographics of FFN providers • needs of families served by FFN providers Reporting for the Development of Early Childhood Workforce program will include and is not limited to: • number of participants and % of participants complete training • %f CDA students with a certificate that complete the 180 hour course work. • basic demographics 4 Eagle County Am Scope and Comp Final 5/14
