AGREEMENT TO TERMINATE EAGLE COUNTY REGIONAL AIRPORT
FACILITIES LEASE BETWEEN EAGLE COUNTY AND JLA AVIATION L.L.C.
THIS Agreement to Terminate that Eagle County Regional Airport Facilities Lease is made and
entered into this 1/22/2019 , between Eagle County, by and through its County
Manager (hereinafter "County") and JLA Aviation L.L.C., by and through its Managing Member
(hereinafter "JLA").
WHEREAS, County and JLA entered into a Facilities Lease of an approximate 18,750 square
foot parcel (hereinafter "Leased Premises") for the construction of an aviation hangar dated June
6th, 1994 (hereinafter "Original Lease"). The term of the Original Lease expires May 31, 2024.
WHEREAS, JLA has sold the hangar constructed on the Leased Premises to the Vail Valley Jet
Center (hereinafter "VVJC") and the County has entered into a separate lease with the VVJC for
the Leased Premises.
WHEREAS, to effectuate the sale and lease of the hangar and Leased Premises to VVJC, both
the County and JLA are now desirous to terminate the Original Lease in its entirety effective
immediately.
In consideration of the terms and conditions of the Original Lease, the sufficiency of which is
hereby acknowledged, County and JLA agree as follows:
Termination.
County and JLA agree that the Original Lease is hereby terminated in all respects. All terms and
provisions of the Original Lease shall no longer be of any force and effect, said termination
taking effect immediately upon the execution of this agreement by the parties.
Both parties shall waive any further rights or claims against the other relating the Original Lease
and each party to bear their own fees and costs relating to this termination.
If any conflict exists between the provisions of this Agreement and the Original Lease, the
provisions of this Agreement shall control.
This Agreement shall be binding on the parties hereto, their heirs, executors, successors, and
assigns.
