HomeMy WebLinkAboutC19-019 Veolia ES Technical SolutionsDocuSign Envelope ID: BEF6CADD-OACA-4DBA-B173-E2C330FD8B5F AGREEMENT FOR SERVICES BETWEEN EAGLE COUNTY, COLORADO AND VEOLIA ES TECHNICAL SOLUTIONS, LLC THIS AGREEMENT ("Agreement") is effective as of 1/21/2019 by and between Veolia ES Technical Solutions, LLC a Delaware limited liability company (hereinafter "Contractor") and Eagle County, Colorado, a body corporate and politic (hereinafter "County"). RECITALS WHEREAS, the County issued a request for proposals ("RFP") on November 5, 2018, seeking the services of a vendor to transport, store, treat, recycle, and dispose of common hazardous materials collected at the Eagle County Household Hazardous Waste and Small Business Collection Facility located at the Eagle County Landfill, Wolcott, Colorado (the "Property"). A copy of the RFP is attached hereto as Exhibit A and incorporated herein by reference; and WHEREAS, as a result of the RFP process, Contractor was selected as the successful respondent to provide the Services. A copy of Contractor's proposal is attached hereto as Exhibit B and incorporated herein by reference. Contractor is authorized to do business in the State of Colorado and has the time, skill, expertise, and experience necessary to provide the Services as defined below in paragraph 1 hereof; and WHEREAS, this Agreement shall govern the relationship between Contractor and County in connection with the Services. AGREEMENT NOW, THEREFORE, in consideration of the foregoing and the following promises Contractor and County agree as follows: 1. Services or Work. Contractor agrees to diligently provide all services, labor, personnel and materials necessary to perform and complete the services or work described in Exhibit C ("Services" or "Work") which is attached hereto and incorporated herein by reference. The Services shall be performed in accordance with the provisions and conditions of this Agreement. a. Contractor agrees to furnish the Services no later than December 31, 2019 and in accordance with the schedule established in Exhibit C. Contractor agrees to furnish the Services in a timely and expeditious manner consistent with the applicable standard of care. By signing below Contractor represents that it has the expertise and personnel necessary to properly and timely perform the Services. b. In the event of any conflict or inconsistency between the terms and conditions set forth in Exhibit C and the terms and conditions set forth in this Agreement, the terms and conditions set forth in this Agreement shall prevail. Contractor agrees that it will not enter into any consulting or other arrangements with third parties that will conflict in any manner with the Services. 2. County's Representative. The Solid Waste and Recycling Department's designee shall be Contractor's contact with respect to this Agreement and performance of the Services. This Agreement shall commence upon the date first written above, and subject to the provisions of paragraph 11 hereof, shall continue in full force and effect through the 31" day of December, 2019. 4. Extension or Modification. This Agreement may be extended for up to three additional one year terms upon written agreement of the parties. Any amendments or modifications shall be in writing signed by both parties. No additional services or work performed by Contractor shall be the basis for additional compensation unless and until Contractor has obtained written authorization and acknowledgement by County for such additional services in accordance with County's internal policies. Accordingly, no course of conduct or dealings between the parties, nor verbal change orders, express or implied acceptance of alterations or additions to the Services, and no claim that County has been unjustly enriched by any additional services, whether or not there is in fact any such unjust enrichment, shall be the basis of any increase in the compensation payable hereunder. In the event that written authorization and acknowledgment by County for such additional services is not timely executed and issued in strict accordance with this Agreement, Contractor's rights with respect to such additional services shall be deemed waived and such failure shall result in non-payment for such additional services or work performed. 5. Compensation. County shall compensate Contractor for the performance of the Services in a sum computed and payable as set forth in Exhibit A. The performance of the Services under this Agreement shall not exceed $20,000.00. Contractor shall not be entitled to bill at overtime and/or double time rates for work done outside of normal business hours unless specifically authorized in writing by County. a. Payment will be made for Services satisfactorily performed within thirty (30) days of receipt of a proper and accurate invoice from Contractor. All invoices shall include detail regarding the hours spent, tasks performed, who performed each task and such other detail as County may request. b. Any out-of-pocket expenses to be incurred by Contractor and reimbursed by County shall be identified on Exhibit C. Out-of-pocket expenses will be reimbursed without any additional mark-up thereon and are included in the not to exceed contract amount set forth above. Out-of-pocket expenses shall not include any payment of salaries, bonuses or other compensation to personnel of Contractor. Contractor shall not be reimbursed for expenses that are not set for on Exhibit C unless specifically approved in writing by County. C. If, at any time during the term or after termination or expiration of this Agreement, County reasonably determines that any payment made by County to Contractor was improper because the Services for which payment was made were not performed as set forth in this Agreement, then upon written notice of such determination and request for reimbursement from County, Contractor shall forthwith return such payment(s) to County. Upon termination or expiration of this Agreement, unexpended funds advanced by County, if any, shall forthwith be returned to County. d. County will not withhold any taxes from monies paid to the Contractor hereunder and Contractor agrees to be solely responsible for the accurate reporting and payment of any taxes related to payments made pursuant to the terms of this Agreement. e. Notwithstanding anything to the contrary contained in this Agreement, County shall have no obligations under this Agreement after, nor shall any payments be made to Contractor in respect of any period after December 31 of any year, without an appropriation therefor by County in accordance with a budget adopted by the Board of County Commissioners in compliance with Article 25, title 30 of the Colorado Revised Statutes, the Local Government Budget Law (C.R.S. 29-1-101 et. seq.) and the TABOR Amendment (Colorado Constitution, Article X, Sec. 20). f. In the event that the Parties agree to extend the contract in writing by amendment, the Contractor's fees for Services as set forth in Exhibit C, may increase by no more than 3% each year. 2 Eagle County Landfill General Services Final 5/14 DocuSign Envelope ID: BEF6CADD-OACA-4DBA-B173-E2C330FD8B5F 6. Subcontractors. Contractor acknowledges that County has entered into this Agreement in reliance upon the particular reputation and expertise of Contractor. Contractor shall not enter into any subcontractor agreements for the performance of any of the Services or additional services without County's prior written consent, which may be withheld in County's sole discretion. County shall have the right in its reasonable discretion to approve all personnel assigned to the subject Project during the performance of this Agreement and no personnel to whom County has an objection, in its reasonable discretion, shall be assigned to the Project. Contractor shall require each subcontractor, as approved by County and to the extent of the Services to be performed by the subcontractor, to be bound to Contractor by the terms of this Agreement, and to assume toward Contractor all the obligations and responsibilities which Contractor, by this Agreement, assumes toward County. County shall have the right (but not the obligation) to enforce the provisions of this Agreement against any subcontractor hired by Contractor and Contractor shall cooperate in such process. The Contractor shall be responsible for the acts and omissions of its agents, employees and subcontractors. 7. Insurance. Contractor agrees to provide and maintain at Contractor's sole cost and expense, the following insurance coverage with limits of liability not less than those stated below: a. Types of Insurance. Workers' Compensation insurance as required by law. ii. Auto coverage with limits of liability not less than $1,000,000 each accident combined bodily injury and property damage liability insurance, including coverage for owned, hired, and non -owned vehicles. iii. Commercial General Liability coverage to include premises and operations, personal/advertising injury, products/completed operations, broad form property damage with limits of liability not less than $1,000,000 per occurrence and $2,000,000 aggregate limits. iv. Pollution Liability. If the scope of Services in this Agreement requires the acceptance, transport, storage or disposal of any hazardous materials or regulated substances the policy shall include coverage for on and off-site cleanup of known and unknown pre-existing conditions arising from the Contractor's facility; on and off-site cleanup of new conditions arising from Contractor's facility; third -party claims for on and off-site bodily injury and property damage; and claims resulting in bodily injury, property damage or clean-up costs associated with a pollution condition from transported cargo if the scope of Services in the Agreement requires the transportation of any hazardous materials. Contractor warrants that any retroactive date under the policy shall precede the effective date of this Agreement and that either continuous coverage will be maintained or an extended discovery period will be exercised for a period of two (2) years beginning at the time work under this Agreement is completed. Minimum coverage shall be $5,000,000 per loss and $5,000,000 products/completed operations aggregate. b. Other Requirements. i. The automobile and commercial general liability coverage shall be endorsed to include Eagle County, its associated or affiliated entities, its successors and assigns, elected officials, employees, agents and volunteers as additional insureds. A certificate of insurance consistent with the foregoing requirements is attached hereto as Exhibit D. ii. Contractor's certificates of insurance shall include subcontractors, if any, as additional insureds under its policies or Contractor shall furnish to County separate certificates and endorsements for each 3 Eagle County Landfill General Services Final 5/14 DocuSign Envelope ID: BEF6CADD-OACA-4DBA-B173-E2C330FD8B5F subcontractor. All coverage(s) for subcontractors shall be subject to the same minimum requirements identified above. Contractor and subcontractors, if any, shall maintain the foregoing coverage in effect until the Services are completed. In addition, all such politics shall be kept in force by Contractor and its subcontractors until the applicable statute of limitations for the Project and the Services has expired. iii. The insurance provisions of this Agreement shall survive expiration or termination hereof. iv. The parties hereto understand and agree that the County is relying on, and does not waive or intend to waive by any provision of this Agreement, the monetary limitations or rights, immunities and protections provided by the Colorado Governmental Immunity Act, as from time to time amended, or otherwise available to County, its affiliated entities, successors or assigns, its elected officials, employees, agents and volunteers. V. Contractor is not entitled to workers' compensation benefits except as provided by the Contractor, nor to unemployment insurance benefits unless unemployment compensation coverage is provided by Contractor or some other entity. The Contractor is obligated to pay all federal and state income tax on any moneys paid pursuant to this Agreement. 8. Indemnification. The Contractor shall indemnify and hold harmless County, and any of its officers, agents and employees against any losses, claims, damages or liabilities for which County may become subject to insofar as any such losses, claims, damages or liabilities arise out of, directly or indirectly, this Agreement, or are based upon any performance or nonperformance by Contractor its employees, agents or any of its subcontractors hereunder; and Contractor shall reimburse County for reasonable attorney fees and costs, legal and other expenses incurred by County in connection with investigating or defending any such loss, claim, damage, liability or action. This indemnification shall not apply to claims by third parties against the County to the extent that County is liable to such third party for such claims without regard to the involvement of the Contractor. This paragraph shall survive expiration or termination hereof. Contractor shall further indemnify and hold harmless County and any of its officers, agents and employees ("Indemnitee") against any losses, claims, damages or liabilities, costs or expenses including, without limitation, interest, penalties and reasonable attorney fees and reasonable expenses of investigation and remedial work (including investigations and remediation by engineers, environmental consultants and similar technical personnel) asserted against or imposed upon or incurred by Indemnitee arising in connection with, or resulting from, any environmental law, including but not limited to, any use, generation, storage, spill, release, discharge or disposal of any hazardous substance to the extent caused by Contractor or any of its employees, agents or subcontractors hereunder. 9. Ownership of Documents. All documents (including electronic files) and materials obtained during, purchased or prepared in the performance of the Services shall remain the property of the County and are to be delivered to County before final payment is made to Contractor or upon earlier termination of this Agreement. 10. Notice. Any notice required by this Agreement shall be deemed properly delivered when (i) personally delivered, or (ii) when mailed in the United States mail, first class postage prepaid, or (iii) when delivered by FedEx or other comparable courier service, charges prepaid, to the parties at their respective addresses listed below, or (iv) when sent via facsimile so long as the sending party can provide facsimile machine or other confirmation showing the date, time and receiving facsimile number for the transmission, or (v) when transmitted via e-mail with confirmation of receipt. Termination. County may terminate this Agreement, in whole or in part, at any time and for any reason, with or without cause, and without penalty therefor with seven (7) calendar days' prior written notice to the Contractor. Upon termination of this Agreement, Contractor shall immediately provide County with all documents as defined in paragraph 9 hereof, in such format as County shall direct and shall return all County owned materials and documents. County shall pay Contractor for Services satisfactorily performed to the date of termination. 12. Venue, Jurisdiction and Applicable Law. Any and all claims, disputes or controversies related to this Agreement, or breach thereof, shall be litigated in the District Court for Eagle County, Colorado, which shall be the sole and exclusive forum for such litigation. This Agreement shall be construed and interpreted under and shall be governed by the laws of the State of Colorado. 13. Execution by Counterparts; Electronic Signatures. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which shall constitute one and the same instrument. The parties approve the use of electronic signatures for execution of this Agreement. Only the following two forms of electronic signatures shall be permitted to bind the parties to this Agreement: (i) Electronic or facsimile delivery of a fully executed copy of the signature page; (ii) the image of the signature of an authorized signer inserted onto PDF format documents. All documents must be properly notarized, if applicable. All use of electronic signatures shall be governed by the Uniform Electronic Transactions Act, C.R.S. 24-71.3-101 to 121. 14. Other Contract Requirements and Contractor Representations. 5 Eagle County Landfill General Services Final 5/14 DocuSign Envelope ID: BEF6CADD-OACA-4DBA-B173-E2C330FD8B5F a. Contractor has familiarized itself with the nature and extent of the Services to be provided hereunder and the Property, and with all local conditions, federal, state and local laws, ordinances, rules and regulations that in any manner affect cost, progress, or performance of the Services. b. Contractor will make, or cause to be made, examinations, investigations, and tests as he deems necessary for the performance of the Services. C. To the extent possible, Contractor has correlated the results of such observations, examinations, investigations, tests, reports, and data with the terms and conditions of this Agreement. d. To the extent possible, Contractor has given County written notice of all conflicts, errors, or discrepancies. e. Contractor shall be responsible for the completeness and accuracy of the Services and shall correct, at its sole expense, all significant errors and omissions in performance of the Services. The fact that the County has accepted or approved the Services shall not relieve Contractor of any of its responsibilities. Contractor shall perform the Services in a skillful, professional and competent manner and in accordance with the standard of care, skill and diligence applicable to contractors performing similar services. Contractor represents and warrants that it has the expertise and personnel necessary to properly perform the Services and shall comply with the highest standards of customer service to the public. Contractor shall provide appropriate supervision to its employees to ensure the Services are performed in accordance with this Agreement. This paragraph shall survive termination of this Agreement. f. Contractor agrees to work in an expeditious manner, within the sound exercise of its judgment and professional standards, in the performance of this Agreement. Time is of the essence with respect to this Agreement. g. This Agreement constitutes an agreement for performance of the Services by Contractor as an independent contractor and not as an employee of County. Nothing contained in this Agreement shall be deemed to create a relationship of employer-employee, master -servant, partnership, joint venture or any other relationship between County and Contractor except that of independent contractor. Contractor shall have no authority to bind County. h. Contractor represents and warrants that at all times in the performance of the Services, Contractor shall comply with any and all applicable laws, codes, rules and regulations. i. This Agreement contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all other agreements or understanding between the parties with respect thereto. j. Contractor shall not assign any portion of this Agreement without the prior written consent of the County. Any attempt to assign this Agreement without such consent shall be void. k. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective permitted assigns and successors in interest. Enforcement of this Agreement and all rights and obligations hereunder are reserved solely for the parties, and not to any third party. 1. No failure or delay by either party in the exercise of any right hereunder shall constitute a waiver thereof. No waiver of any breach shall be deemed a waiver of any preceding or succeeding breach. 6 Eagle County Landfill General Services Final 5/14 DocuSign Envelope ID: BEF6CADD-OACA-4DBA-B173-E2C330FD8B5F in. The invalidity, illegality or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision hereof. n. The signatories to this Agreement aver to their knowledge no employee of the County has any personal or beneficial interest whatsoever in the Services or Property described in this Agreement. The Contractor has no beneficial interest, direct or indirect, that would conflict in any manner or degree with the performance of the Services and Contractor shall not employ any person having such known interests. o. The Contractor, if a natural person eighteen (18) years of age or older, hereby swears and affirms under penalty of perjury that he or she (i) is a citizen or otherwise lawfully present in the United States pursuant to federal law, (ii) to the extent applicable shall comply with C.R.S. 24-76.5-103 prior to the effective date of this Agreement. 15. Prohibitions on Government Contracts. As used in this Section 15, the term undocumented individual will refer to those individuals from foreign countries not legally within the United States as set forth in C.R.S. 8-17.5-101, et. seq. If Contractor has any employees or subcontractors, Contractor shall comply with C.R.S. 8-17.5-101, et. seq., and this Agreement. By execution of this Agreement, Contractor certifies that it does not knowingly employ or contract with an undocumented individual who will perform under this Agreement and that Contractor will participate in the E -verify Program or other Department of Labor and Employment program ("Department Program") in order to confirm the eligibility of all employees who are newly hired for employment to perform Services under this Agreement. a. Contractor shall not: Knowingly employ or contract with an undocumented individual to perform Services under this Agreement; or ii. Enter into a subcontract that fails to certify to Contractor that the subcontractor shall not knowingly employ or contract with an undocumented individual to perform work under the public contract for services. b. Contractor has confirmed the employment eligibility of all employees who are newly hired for employment to perform Services under this Agreement through participation in the E -Verify Program or Department Program, as administered by the United States Department of Homeland Security. Information on applying for the E -verify program can be found at: https://www.uscis.gov/e-verify C. Contractor shall not use either the E -verify program or other Department Program procedures to undertake pre-employment screening of job applicants while the public contract for services is being performed. d. If Contractor obtains actual knowledge that a subcontractor performing work under the public contract for services knowingly employs or contracts with an undocumented individual, Contractor shall be required to: i. Notify the subcontractor and County within three (3) days that Contractor has actual knowledge that the subcontractor is employing or contracting with an undocumented individual; and ii. Terminate the subcontract with the subcontractor if within three days of receiving the notice required pursuant to subparagraph (i) of the paragraph (d) the subcontractor does not stop employing or 7 Eagle County Landfill General Services Final 5/14 DocuSign Envelope ID: BEF6CADD-OACA-4DBA-B173-E2C330FD8B5F contracting with the undocumented individual; except that Contractor shall not terminate the contract with the subcontractor if during such three (3) days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an undocumented individual. e. Contractor shall comply with any reasonable request by the Department of Labor and Employment made in the course of an investigation that the department is undertaking pursuant to its authority established in C.R.S. 8-17.5-102(5). f. If Contractor violates these prohibitions, County may terminate the Agreement for breach of contract. If the Agreement is so terminated specifically for breach of this provision of this Agreement, Contractor shall be liable for actual and consequential damages to County as required by law. g. County will notify the Colorado Secretary of State if Contractor violates this provision of this Agreement and County terminates the Agreement for such breach. 16. Environmental Provisions. In the event any material which cannot be accepted as part of a collection event is abandoned by a participant/resident at or near the collection site, the Contractor shall have no obligation to handle such abandoned materials unless and until specifically agreed upon between Contractor and the County in a written change order detailing the services to be performed and the associated costs. Contractor shall have no obligation or responsibility with respect to materials which are not tendered and accepted in accordance with this Agreement or any Confirmation Document. a. Contractor Warranties. Contractor represents and warrants to County that: (a) Contractor is generally engaged in the business of performing Work with respect to waste materials and has developed the requisite expertise to perform and particular Work agreed to by County and Contractor hereunder; (b) all Contractor vehicles and each facility utilized to perform Work hereunder shall have all permits, licenses, certificates or approvals required under applicable laws and regulations for such Work; and (c) Contractor will perform Work for County in a safe and workmanlike manner, and in compliance with all statutes, ordinances, laws, orders, rules and regulations applicable to the Work. b. County Warranties. County represents and warrants to Contractor that: (a) All waste materials to be collected by Contractor in performance of this Contract are Household Hazardous Wastes or conditionally exempt small quantity generator hazardous waste; (b) County has all necessary authority to enter into this Agreement with respect to such waste materials; (c) County is under no legal restraint which prohibits the transfer of possession of such waste materials to Contractor; and (d) County shall comply with all applicable statutes, ordinances, laws, orders, rules and regulations, and shall provide Contractor a safe work environment for any Work performed on premises owned or controlled by County. Eagle County may award a contract even if not the lowest priced proposal based upon a review of the identified factors. 8. Programs offered at the HHW Collection Facility include household hazardous waste collection and Conditionally Exempt Small Quantity Generator hazardous waste collection. Typical materials collected include, but are not limited to: pesticides, poisons, flammable paint and solvents, motor oil, antifreeze, gasoline, automotive products, latex paint, cleaners, hobby chemicals, aerosols, acids, bases, oxidizers, batteries of all types, fluorescent lights, mercury -containing items, compressed gas cylinders and PCB containing materials. This facility does not knowingly accept: radioactive materials, explosives, bio -hazard wastes and asbestos. The following materials are managed by HHW staff and recycled locally: latex paint, auto/truck batteries, rechargeable batteries, anti -freeze, motor oil, cooking oil and fluorescent tubes. Eagle County HHW staff will perform all packaging of materials, labeling of containers and complete all transportation documentation (manifests, bill of lading) in accordance with all Colorado Department of Transportation ("CDOT") and United States Environmental Protection Agency ("EPA") regulations. Hazardous waste contractors will perform all transporting of materials. Contractors are responsible for final disposal, recycling, and/or any other agreed upon alternate treatment option. SCOPE OF SERVICES All respondents shall acknowledge and/or illustrate that they can comply with the following Contractor obligations and responsibilities: 1. Contractor shall not enter into any subcontractor agreements for the performance of any of the services required by this RFP without Eagle County's prior written consent, which may be withheld in Eagle County's sole discretion. Contractor will provide a list of specific hazardous waste streams that require special lab packaging or other considerations during packaging. 6. By mutual agreement between Contractor and Eagle County, additional categories of hazardous waste, along with agreed upon pricing and disposal may be added to the schedule of disposal charges. 7. Contractor will provide the appropriate shipping papers, manifests and any other documents necessary for proper transportation, disposal and/or recycling of materials from the Eagle County HHW Collection Facility. 8. The Eagle County HHW Collection Facility reserves the right to choose the materials management method for any and all materials received by Contractor from the HHW Collection Facility. Any other material management method or alternative processes must be proposed in writing and presented to Eagle County, Attention: Solid Waste and Recycling Manager for prior written approval. 9. Contractor, in conjunction with the Eagle County Solid Waste and Recycling Manager and HHW Specialist, will designate a primary facility for disposal and/or recycling of materials received from the Eagle County HHW Collection Facility. If the primary designated facility is unable to accept a shipment of materials, then an alternate facility that has been pre -approved by the Contractor and Eagle County will be used. Any time the alternate facility is used; Contractor shall provide the Eagle County HHW Collection Facility with 48 hours' notice. If the use of the designated alternate facility is due to no fault of the Eagle County HHW Collection Facility, no additional charges will be levied for transportation to the alternate facility. 10. Contractor will provide proof of licensed and permitted facilities, including EPA ID numbers that are to be used by Contractor for the management of materials received from the Eagle County HHW Collection Facility. Eagle County reserves the right to inspect (at County's expense) any facility used by Contractor. 11. Any change to the primary or alternate disposal facility will be submitted to Eagle County, Attention: Solid Waste and Recycling Manager in writing. Contractor will send a certificate of disposal/recycling to the Eagle County HHW Specialist within six (6) months after delivery of materials for treatment, recycling, landfilling or disposal. If a certificate of disposal is not received within six (6) months, Contractor will provide a written explanation of the delay. Eagle County reserves the right to terminate the resulting services agreement with the Contractor if the written explanation is deemed unacceptable or no written explanation was provided. 16. Contractor will be solely responsible for maintaining all records required by local, state, and federal laws for materials received and in their possession for hazardous wastes received from the Eagle County HHW Collection Facility. Certified chemists have degrees in chemistry, environmental science or related fields, or have extensive experience in the hazardous waste industry, and receive on-going lab pack training. Procedures for fingerprinting on unknown/unidentified waste. • Methodologies for waste packaging for the following facility types: Recycling Treatment Incineration Landfill • Protocols on proper sampling techniques. • Preparation of documentation (drum inventories, profiles, drum summaries, load scheduling forms). • Preparation of shipping papers (manifests, bills of lading). • Facility acceptance criteria. • Facility scheduling procedures. • Spill response protocols. • Contingency plan implementation. Technical Services Health and Safety staff and the Technical Training Department do the development and coordination of the training. On the job training for new employees is conducted under the watchful direction of the Field Chemists/Project Managers. Environmental Specialist is a description earned by certified Field Analysts who have attended and completed their 80 hours of training. Compliance to training is further enhanced by the Environmental Management Division Standard Lab Packing Operation Packet. This document is required to be completed and approved prior to job commencement. The document is used for guidance/protocols for all tasks that are associated with the specific project. The appropriate Veolia Health and Safety staff prior to commencement of the revised activities must approve changes to these documented procedures. This insures strict adherence to the protocol as outlined, and thereby assures minimal risk for both compliance and health and safety. Eagle County facility is along one of Veolia's monthly LTL runs. During the week of the third Thursday of the month, Veolia will perform our 170 western slope run. During this run, Veolia picks up customers from Vail westward to Grand Junction. Eagle County can easily request a pickup during these runs. Work will be performed under the terms and conditions of the VEOLIA Services Agreement entered into between the parties. 2. Proposal is valid for 30 days from date of issuance. 3. Material conforms to the Waste Information Profile (WIP) specifications. 4. Veolia must receive a signed quotation prior to shipment of waste. 5. Unless otherwise quoted, material/supply pricing for a specific size and type of container covers all types of container of that specific size. 6. Veolia or an approved subcontractor will provide transportation of customer containers after waste has been approved. 7. Energy and Security Surcharge (ESS): A fluctuating Energy and Security Surcharge (ESS) will be applied to the total invoice. ESS is calculated as a percentage of the total invoice, excluding taxes. The current percentage is 11 %.. 8. Material is subject to additional charges if the waste or packaging does not conform to the listed terms and conditions. Veolia's Customer Service Representative will issue notification and a quotation if additional charges are beyond those specified. 9. A fee of $200.00 per drum will be assessed for each drum that requires over -packing at the time of pickup or upon receipt at the facility (TSDF). 10. A $50.00 surcharge for customer over -packed drums will be assessed. 11. Fee for partial or full load rejection: $500.00 per occurrence 12. Loads that need to be returned to generator will be quoted an additional return transportation charge at the time of occurrence. 13. Demurrage: allowed loading or unloading time is 1-1/2 hours. Five locations are open, one in each borough, where residents can drop off designated household hazardous waste one day each week. Veolia also stages collection events in all five boroughs every spring forthe same purpose. Permanent Collection Locations The drop off locations are located at a New York City Department of Sanitation garage or maintenance facility in all boroughs. "Two orthree dozen people show up at each location every weekto drop off their waste," says Rich Johnsen, program manager for the project at Veolia ES Technical Solutions. "We send a truck and a crew once every other month and take out 20,000 to 30,000 pounds of material." Annual Collection Events For the spring collection events, it is always difficult to predict the level of participation. One event in each borough is staged, and they all consistently receive positive feedback following the events. Anyone can bring hazardous waste to be disposed of, and there are several types of waste that are accepted. Veolia is in charge of the household hazardous waste. The New York City Department of Sanitation Environmental Police Unit handles medication and DEA controlled substances. "We met with all the site partners, and Veolia talked about how they would be handling the materials, the set-up and the layout. They coordinated all of the logistics for collecting from vehicles, establishing tent sorting areas, providing carts, and alerting other groups about electronics and pharmaceuticals pickups" Manhattan Each event this year was slightly different. The Manhattan event was located in Union Square Park where five subway lines converge for easy access. "It rained 2.7 inches while we were there," remembers Johnsen. "In Manhattan, we had a lot of people coming in cabs and by subway, carrying household hazardous waste and electronics. There were close to 1,000 participants. We were on the north side of the park, and the Occupy Wall Street people were on the south side of the park" The Outer Boroughs The Oueens event ran into the most problems with logistics. "The event opened at 10:00 a.m.," notes Johnsen. "At 9:30 there was a line ten blocks long with people waiting to drop off their waste—ten blocks going through the streets of New York City, blocking traffic. We collected ten times what we were told to plan for. The city is looking at new sites and other ways to improve operations for next year." "Veolia was able to adjust their staff and their whole set-up to address the problems at the Queens event," adds Hirsch ler. "Our entire layout was assuming 90% vehicles, and then all of a sudden it was probably 50/50 vehicles and pedestrian traffic. It was necessary to adjust the staff, redo the walk-in area and keep everything organized in a safe manner, and it had to be done quickly. That was probably the most impressive shift I've seenl" "Staten Island was the largest event," says Johnsen. "After Queens, the city upped our staffing requirements, and we changed some of our site planning, so everything went smoothly, The line probably didn't exceed 30 minutes, as opposed to an hour plus in Queens. Everyone was willing to wait in line" The Brooklyn event was in Prospect Park. "There were horses walking through the park while we were collecting the waste, a beautiful tree lined park surrounded by high-rise buildings," remembers Johnsen. Results Over 600,000 pounds of material were amassed during the five day period that the events were staged. The majority of the material has been recycled or blended for fuel. A small percentage was incinerated. Work will be performed under the terms and conditions of the VEOLIA Services Agreement entered into between the parties. 2. Proposal is valid for 30 days from date of issuance. 3. Material conforms to the Waste Information Profile (WIP) specifications. 4. Veolia must receive a signed quotation prior to shipment of waste. 5. Unless otherwise quoted, material/supply pricing for a specific size and type of container covers all types of container of that specific size. 6. Veolia or an approved subcontractor will provide transportation of customer containers after waste has been approved. 7. Energy and Security Surcharge (ESS): A fluctuating Energy and Security Surcharge (ESS) will be applied to the total invoice. ESS is calculated as a percentage of the total invoice, excluding taxes. The current percentage is 11 M. 8. Material is subject to additional charges if the waste or packaging does not conform to the listed terms and conditions. Veolia's Customer Service Representative will issue notification and a quotation if additional charges are beyond those specified. 9. A fee of $200.00 per drum will be assessed for each drum that requires over -packing at the time of pickup or upon receipt at the facility (TSDF). 10. A $50.00 surcharge for customer over -packed drums will be assessed. 11. Fee for partial or full load rejection: $500.00 per occurrence 12. Loads that need to be returned to generator will be quoted an additional return transportation charge at the time of occurrence. 13. Demurrage: allowed loading or unloading time is 1-1/2 hours. Excess time is charged at $85.00 per hour, with a minimum of one-hour charge. 14. Unless provided with a valid certificate of exemption or other evidence that items are not taxable, Veolia will invoice Customer for all applicable Local, State, and Federal taxes. 15.
