CONSENT TO ASSIGNMENT OF
AGREEMENT BETWEEN THE COUNTY OF EAGLE, STATE OF COLORADO AND
ENERGY SMART PARTNERS LLC
WITNESSETH:
WHEREAS, Energy Smart Partners LLC ("ESP") and Impact Development Fund
("IDF") entered into an assignment, assumption and consent agreement effective as of December
5, 2018, whereby ESP conveyed, transferred and assigned to IDF all of ESP's right, title and
interest in the Agreement Between the County of Eagle, State of Colorado and Energy Smart
Partners LLC, as amended (the "Service Agreement"), and IDF accepted such conveyance,
transfer, and assignment from ESP; and
WHEREAS, pursuant to Paragraph 15 of the Service Agreement, ESP shall not assign the
Service Agreement without first obtaining the written consent of Eagle County (the "County"),
which consent may be granted or withheld in the County's sole discretion; and
WHEREAS, IDF has evidenced that it is certified as a community development financial
institution by the United States Department of Treasury and that it complies with the terms of the
Service Agreement including the program requirements set forth in the United States Department
of Energy Award No. DE-EE0003798; and
WHEREAS, the County desires to document its consent to the assignment of the Service
Agreement from ESP to IDF.
CONSENT
Pursuant to Paragraph 15 of the Service Agreement, the County hereby consents to the
assignment of the Service Agreement from Energy Smart Partners LLC, and the assumption
thereof by Impact Development Fund, effective as of December 5, 2018.
