HomeMy WebLinkAboutECHDA19-001 Centurytel Televideo IncPURCHASEANDSALEAGREEMENTTHISPURCHASEAND SALEAGREEMENT(this“Agreement”)ismadeandenteredintoasofthedatethisAgreementissignedbyallparties(“EffectiveDate”)byandbetweenCENTURYTELTELEVIDEO,INC.,aWisconsincorporationd/b/aCenturyLink(“CenturyLink”),andEAGLECOUNTYHOUSINGANDDEVELOPMENTAUTHORITY,abodycorporateandpolitic(“Buyer”).CenturyLinkandBuyeraresometimesreferredtotogetherasthe“Parties”andindividuallyasa“Party.”forgoodandvaluableconsideration,thereceiptandsufficiencyofwhichareacknowledgedbytheParties,CenturyLinkandBuyeragreeasfollows:1.Property.1.1Property.CenturyLinkistheownerof:(a)aparcelofrealpropertyhavingastreetaddressof766CastleDrive,Eagle, ColoradowhichislegallydescribedonExhibitAattachedtothisAgreement(the“Land”);(b)theapproximately1,472squarefootresidentialstructure(the“Building”)locatedontheLand;(c)allotherimprovements,ifany,locatedontheLand(collectively,the“Improvements”);and(d)allotherCenturyLink-ownedrights,privilegesandappurtenancesrelatedto,andCenturyLink’stangiblepersonalpropertylocatedon,theLandandImprovementsoranyportionofthesame((a),(b),(c)and(d)collectively,the“Property”).Notwithstandingtheforegoing,thePropertydoesnotincludetheExcludedProperty(asdefinedinSection1.2).ThePropertyalsodoesnotinclude,andCenturyLinkwillnottransfertoBuyer,anyEasementFacilities(asdefinedinSection24).1.2ExcludedProperty.BuyeracknowledgesthatsomebutnotallCenturyLink-ownedorcontrolledoffice equipment,servers,licensedsoftwareforsecuritysystems,furnitureandotherpersonalproperty(collectively,the“ExcludedProperty”)currentlylocatedonthePropertywillnotbeconveyedtoBuyer.Thepersonalpropertythat constitutesExcludedPropertywillbedeterminedbyCenturyLinkinitssoleandabsolutediscretion.PriortoClosing,CenturyLinkwillremoveallExcludedProperty.CenturyLinkwillrepairanydamageto theProperty(includinganydamagetotheinterioroftheBuilding)resultingfromremovalofanyExcludedProperty.Inaddition,(i)CenturyLinkwillusereasonablecaretominimizedamagetotheBuilding,(ii)CenturyLinkwillrepairanystructuraldamageto theBuildingresultingfromremovaloftheExcludedPropertybyCenturyLink,and(iii)CenturyLinkwillmakeallrepairsto themechanical,electrical,plumbing,life-safety,andother Buildingsystemsandequipmentnecessaryforthefunctionandoperationofsuchsystemsandequipment, butonlytotheextentofdamagetosuchsystemsandequipmentresultingfromCenturyLink’sremovaloftheExcludedProperty.Notwithstandingtheforegoing,in noeventwillCenturyLinkberequiredtolabelorremovecablingandwiring locatedintheBuildingortoperformfirestoppingresultingfromtheremovalofanycableorwiring.NothinginthisSection1.2requiresCenturyLinktorepairorimprovetheBuildingtoaconditionbetterthanexistingasoftheEffectiveDate,ordinarywearandtearexcepted.CenturyLink’spersonalpropertylocatedonthePropertyasoftheClosingDatewillbeconveyedtoBuyerusingtheformofquitclaimbillofsaleattachedtothisAgreementasExhibitB(the“BillofSale”).Rev.08/2014ECHDA19-001
2.PurchasePrice.Thepurchaseprice(the“PurchasePrice”)forthePropertywillbeTwoHundredForty-FiveThousandandNo/iOOthsDollars($245,000.00).Withinthree(3)businessdaysfollowingthemutualexecutionofthisAgreement,BuyerwilldepositwithFirstAmericanTitleInsuranceCompany,112517thStreet,Suite500,Denver,CO80202,303-876-1112,Attention:NathanRogers[natrogers@firstam.com](the“TitleCompany”),thesumofThirtyThousandandNo/lOOthDollars($30,000.00)asanearnestmoneydeposit(the“Deposit”).TheremainderofthePurchasePrice(lesstheDeposit)asadjustedforexpenses,prorationsandcreditsasotherwisespecificallyprovidedinthisAgreement,willbepayableattheClosinginimmediatelyavailablefunds.CenturyLinkunderstandsthatthisAgreementmustbeapprovedandratifiedbytheBoardoftheEagleCountyHousingandDevelopmentAuthority(the“Board”)ataregularlyscheduledpublicmeeting.UponexecutionofthisAgreementbyCenturyLink,Buyershallschedulesaidpublicmeetingwithintwenty(20)businessdaysandthisAgreementwillbeexecutedbyBuyerupontheBoard’sapprovalofthisAgreement.3.Investigation.3.1InvestigationPeriod.Buyerwillhaveaperiodoftime(the“InvestigationPeriod”)toinvestigateandevaluatethePropertytodetermineitssuitabilityforBuyer’spurposes.TheInvestigationPeriodwillstartontheEffectiveDateandendonthesixtieth(6Oth)dayafiertheEffectiveDate.Buyermay,initssubjectivesolediscretion,foranyreason,terminatethisAgreementbywrittennoticegiventoCenturyLinkonorbeforethelastdayoftheInvestigationPeriod.AnyterminationunderthisSection3.1willhavetheeffectprovidedinSection3.9.IfBuyerdoesnotterminatethisAgreementbywrittennoticegiventoCenturyLinkonorbeforethelastdayoftheInvestigationPeriod(i)thisAgreementwillcontinueinfullforceandeffect(ii)BuyerwillhavenofurtherrighttoterminatethisAgreementunderthisSection3.1,and(iii)theDepositwillbecomenon-refundableexceptasprovidedinSections4.li±Zand7.1.1.3.2AccesstoProperty.DuringtheInvestigationPeriod,subjecttotheprovisionsofthisSection3.2,CenturyLinkwillpermitBuyeranditsemployees,agentsandcontractors(Buyer,itsemployees,agentsandcontractorscollectively,the“AuthorizedParties”)toenterthePropertyforthesolepurposeofmakingphysicalinspections,tests,appraisals,surveysandstudiesofthePropertyasBuyermaydeemnecessaryorappropriate,includingwithrespecttotheenvironmental,structuralandgeoteclmicalconditionofthePropertyandforpurposesoftheengineeringanddesignoffutureimprovements,allatBuyer’ssolecostandexpense(collectively,the“PermittedActivities”).AnyentryontothePropertybytheAuthorizedPartieswillbesubjecttoprearrangementwithLarryWolfe,managingbroker,BerkshireHathaway-Edwards,Telephone:970-390-2525.TheAuthorizedPartiesmaynotconductanyinvasivetestsorinvestigations,orinvestigationsorsamplingthatmaydamagethePropertyoranyportionthereof,withoutCenturyLink’spriorwrittenconsent,whichconsentmaynotunreasonablybewithheldbutmaybereasonablyconditionedsoastoprotectthePropertyandCenturyLink’soperationsontheProperty.Buyerwillhavetherighttomakeinquirieswithmunicipal,localandothergovernmentalrepresentativesregardingtheProperty,subjecttotheprovisionsofthisAgreement.BuyeracknowledgesandagreesthatCenturyLinkwillnotbeliablefortheinaccuracyofanyinformationreceivedbyBuyerfromthirdparties(includingBrokerasdefinedinSection2)andsuchinformationwillnotbedeemedtobearepresentationorwarrantyofanykindmadebyCenturyLinktoBuyer.2Rev.08/2014
3.3Insurance.Buyerwill,foritselfandforallAuthorizedParties,obtainandmaintainthroughouttheentireInvestigationPeriod,insurancecoveragewithfinanciallyreputableinsurersthatarelicensedtodobusinessintheStateofColoradointhefollowingtypesandamountsofcoverage:(1)workers’compensationasprovidedforunderanyworkers’compensationlaworsimilarlaw;(ii)comprehensivecommercialgeneralliability,withalimitofnotlessthan$1,000,000combinedsinglelimitperoccurrenceforbodilyinjury,propertydamageandpersonalinjuryliabilityand$2,000,000generalaggregate,namingCenturyLinkasadditionalinsured;and(iii)businessvehicleinsurancecoveringtheownership,maintenanceoruseofanyowned,non-ownedorhiredvehiclewithalimitofnotlessthan$1,000,000combinedsinglelimitperaccidentforbodilyinjury,propertydamageandpersonalinjuryliability.ThisinsurancewillprovidecoveragefortheactivitiesofallAuthorizedPartiesandanythirdpartythatBuyerpermitsorcausestoentertheProperty.ThisinsurancewillincludeendorsementsorotherprovisionsstatingthatBuyer’sinsuranceistheprimaryinsurance.PriortoentryupontheProperty,BuyerwillfurnishCenturyLinkwithacopyofacertificateofinsuranceevidencingtheinsurancerequiredunderthisSection3.3,certifyingthatitisinfullforceandeffect,providingfor30dayspriornoticetoCenturyLinkofanycancellationormodificationoftheinsuranceandnamingCenturyLinkasanadditionalinsured.3.4Survey.CenturyLinkwill,atCenturyLink’ssolecostandexpense,withinthreebusinessdaysfollowingtheEffectiveDate,delivertoBuyertheALTAsurveyofthePropertypreparedbyPeakLandConsultants,Inc.(“Surveyor”)datedNovember7,2017,asrevisedonFebruary9,2018,preparedinaccordancewiththecurrentMinimumStandardsDetailRequirementsforALTA/NSPSLandTitleSurveys(effectiveasofFebruary23,2016)andincludesthefollowingitemsfromTableA:1,2,3,4,6(a),7(a),7(b)(1),9,11,13and19((the“Survey”).CenturyLinkmakesnorepresentationorwarrantyregardingtheaccuratenessorcompletenessoftheSurvey.AnychangesorrevisionstotheSurvey(includingTableAitems)orthesurveyor’scertificationontheSurveyrequiredbyBuyeroritslenderwillbeatBuyer’ssolecostandexpense.3.5PhaseIEnvironmentalSiteAssessment.If,aspartofthePermittedActivities,BuyerconductsaPhaseIor,withCenturyLink’sconsent,aPhaseIIEnvironmentalSiteAssessmentoftheProperty,oranyotherenvironmentalassessmentoftheProperty(forexample,withCenturyLink’sconsent,anasbestossurvey)(anyoftheforegoingconstitutingan“EnvironmentalReport”),andBuyerterminatesthisAgreementpursuanttoSections3.14or7.1.1,BuyerwillincludeinitsnoticeofterminationtoCenturyLinkcompletecopiesofanysuchEnvironmentalReportandawrittenconsentsignedbyBuyerpermittingCenturyLinktodisclosesuchreportorassessmenttoanysubsequentprospectivepurchaseroftheProperty.3.6Disclaimer.CenturyLinkmakesnorepresentationorwarrantyregarding,anddoesnotassumeliabilityorresponsibilityfor,thetruth,accuracyorcompletenessofanyreports,materials,testsorinformationpreparedbythirdparties,including,butnotlimitedto,anySurveyandanyEnvironmentalReport,regardlessofwhethersuchreports,materials,testsorinformationaredeliveredtoBuyerbyCenturyLink.Buyerwillberesponsibleforobtaining,atBuyer’ssolecostandexpense,anySurveyorEnvironmentalReportrequiredbyBuyeroritslender.3Rev.08/2014
3.7CompliancewithLawNoLiens.InconductingthePermittedActivities,BuyerwillandwillcauseanyotherAuthorizedPartiesto:(i)fuliycomplywithalllawsapplicabletothePermittedActivitiesandallotheractivitiesundertakeninconnectionwiththePermittedActivities;(ii)takereasonableactionsandimplementreasonableprotectionsnecessarytoensurethatthePermittedActivitiesandtheequipment,materials,andsubstancesgenerated,usedorbroughtontothePropertyinconnectionwiththePermittedActivitiesposenounreasonablethreattothesafetyorhealthofpersonsortheenvironment,andcausenodamagetothePropertyorotherpropertyofCenturyLinkorotherpersons;and(iii)notpermitthePermittedActivitiesoranyotheractivitiesundertakenbyBuyeroronBuyer’sbehalftoresultinanyliens,judgmentsorotherencumbrancesbeingfiledorrecordedagainsttheProperty.Buyerwill,atitssolecostandexpense,immediatelydischargeanysuchliens,judgmentsorencumbrancesthataresofiledorrecordedwithinten(10)businessdaysfollowingBuyer’sreceiptofnoticeofsuchlien,judgmentorotherencumbrance.Buyer’sobligationtoimmediatelydischargeanysuchliens,judgmentsorencumbranceswillsurvivetheterminationofthisAgreement.3.8Buyer’sUndertaking.BuyerwillpromptlyrepairanydamagetothePropertycausedbyBuyer’sentrythereonanditsinspectionactivitiestotheconditionexistingpriortoBuyer’sentryorcommencementofitsinspections.Totheextentpermittedbylaw,BuyerwillindemnifyandholdCenturyLinkanditsAffiliates(asdefinedinthisSection3.8)harmlessfromandagainstanyandallclaims(includingclaimsbythirdpartiesforpersonalinjuriesandotherdamages),judgments,damages,penalties,fines,costs,losses,liabilities,expenses,andobligations(includingattorneys’fees,expertwitnessfeesandparalegalcosts)(collectively,“Claims”)totheextentcausedby(1)Buyer’sinvestigationsandinspectionsoftheProperty,(ii)theentryontothePropertyandactivitiesonthePropertyofanyAuthorizedParty,or(iii)Buyer’sbreachoftheprovisionsofSection3ofthisAgreement.“Affiliate”meansanyentitythatcontrols,iscontrolledby,orisundercommoncontrolwithCenturyLink,togetherwithitsrespectivepartners,venturers,directors,officers,stockholders,agentsandemployees.BuyeracknowledgesandagreesthatCenturyLinkdoesnotassumeanyrisk,liability,orresponsibilityordutyofcareastoanyAuthorizedParty,includingAuthorizedPartieswhileonthePropertytoconductthephysicalinspections,andallrisk,liability,andresponsibilityforanyAuthorizedPartywillliewithBuyer.BuyeracknowledgesandagreesthatBuyerandallotherAuthorized’PartiesenterthePropertyandconducttheirinvestigationsonthePropertyattheirownrisk.ThetermsofthisSection3.8willsurvivetheClosingandrecordingoftheDeed(asdefinedinSection4.1)ortheterminationoftheAgreement.Buyer’sobligationsunderthisSection3.8willsurvivetheterminationofthisAgreement.3.9EffectofTermination.IfBuyerterminatesthisAgreementinaccordancewiththetermsofSections3.1,4.3,5.1,5.2or7.1.1:3.9.1TheDepositbeingheldbytheTitleCompanywillbereturnedtoBuyer.3.9.2BothPartieswillberelievedofallfurtherobligationshereunder,excepttheobligationsofBuyerunderthisAgreementthatexpresslysurvivetheterminationoftheAgreement,allofwhichwillcontinueinfullforceandeffect.4Rev.08/2014
3.9.3AttherequestofeitherParty,thePartieswillexecuteanddelivertooneanothergeneralreleaseswithrespecttoallmatters,exceptthatCenturyLink’sreleaseofBuyerwillreservetheobligationsofBuyerunderthisAgreementthatexpresslysurvivetheterminationofthisAgreement.3.9.4BuyerwillprovideCenturyLinkwithcopiesofandassignBuyer’srightsinanySurvey,EnvironmentalReports,andotherreportsordocumentationcommissionedbyBuyerregardingtheProperty.CenturyLinkwillbepermittedtodisclosetheSurveyandanyenvironmentalreportsandotherreportsanddocumentscommissionedbyBuyeranddeliveredtoCenturyLinkpursuanttothisSection3.9.4toanyfutureprospectivebuyeroftheProperty.TheprovisionsofthisSection3.9.4willsurvivetheterminationofthisAgreement.4.Title.4.1TitleConveyed.TitlewillbeconveyedtoBuyerbybargainandsaledeedintheformofExhibitCattachedtothisAgreement(the“Deed”),subjecttothePermittedExceptionsandthosemattersshownonanySurvey.4.2PreliminaryCommitment;RecordDocuments.CenturyLinkwillcausetheTitleCompanytofurnishtoBuyeracurrenttitlecommitmentforowner’sextendedcoveragetitleinsuranceregardingtheProperty(the“Commitment”),togetherwithcopiesofallexceptionsofrecordreferencedintheCommitment,withinfive(5)businessdaysoftheEffectiveDate.TheCommitmentwillcommittodeletinganystandardexceptionsthatcanbedeletedeitherbytheSurveyand/orCenturyLink’sdeliveryofasignedandnotarizedowner’saffidavittotheTitleCompanyrelatingto:(a)partiesinpossession;(b)unrecordedmechanics’liens;(c)nochangestothephysicalconditionofthePropertysincecompletionoftheSurvey;(d)gapperiod;and(e)unpaidtaxes,assessmentsandunredeemedtaxsalespriortotheyearofClosing.BuyerhastherighttoinspectthePropertytoinvestigatewhetheranythirdpartyhasanyrightinthePropertynotshownbypublicrecords(e.g.,unrecordedeasement,boundarylinediscrepancyorwaterrights).4.3Buyer’sObjections.4.3.1Onorbeforethedatewhichisthetenth(10th)businessdayaftertheEffectiveDate(the“ObjectedExceptionsDeadline”),BuyermaydelivertoCenturyLinkBuyer’swrittennoticeidentifyinganymatters,conditionsandexceptionsreflectedintheCommitmentandtheSurvey,whicharenotacceptabletoBuyer(the“ObjectedExceptions”).4.3.2IfanyupdateoftheCommitmentshowsanyneworadditionalexceptionnotpreviouslyreflectedintheCommitmentoranyupdatethereof,Buyermay,onorbeforethedateforBuyer’sobjectionnoticesetforthinSection4.3.1,or,iflater,thedaythatisthefifth(5th)businessdayafterBuyer’sreceiptofanyupdateoftheCommitmentfirstdisclosingsuchneworadditionalexception(butnotinanyeventlaterthantheClosing),delivertoCenturyLinkBuyer’snoticeobjectingtosuchneworadditionalexception.4.3.3Allmatters,conditionsandexceptionsreflectedintheCommitmentandtheSurveywhicharenotObjectedExceptionswillbedeemedpermittedexceptions(the5Rev.08/2014
“PermittedExceptions”)includingallexceptionsforwhichBuyerdoesnotdeliveratimelynoticedesignatingsuchmatters,conditionsandexceptionsasObjectedExceptions.PermittedExceptionsalsowillincludetheEasement(asdefinedin$ection6.3).4.3.4ResolutionofTitleObjections.CenturyLinkhasnoobligationtocureorremoveanyObjectedExceptions.IfBuyergivestimelynoticeofanyObjectedExceptions,BuyerandCenturyLinkwillhaveaperiodoffive(5)businessdaysfromtheObjectedExceptionsDeadline(“TitleResolutionPeriod”)tonegotiateingoodfaithtoreachanagreementfortheresolutionofsuchObjectedExceptionsandtheClosingwillbepostponed,ifnecessary,toallowsuchTitleResolutionPeriodtoexpire.Theforegoingnotwithstanding,CenturyLinkwillhavenoobligationtoexpendanyfundsinconnectionwithanyresolutionofanObjectedException.Ifsuchanagreement(eacha“ResolutionAgreement”)isenteredinto,suchResolutionAgreementwillbecomeasupplementtothisAgreementandBuyerandCenturyLinkwillbeboundtoperformtheirrespectiveobligationsthereundertothesameextentasifsuchobligationsweresetforthinthisAgreement.IfBuyerandCenturyLinkdonotenterintoaResolutionAgreementastoeachObjectedExceptionwithintheTitleResolutionPeriod,Buyermay,initssubjectivesolediscretion,terminatethisAgreementbywrittennoticegiventoCenturyLinkwithinfive(5)businessdaysaftertheexpirationoftheTitleResolutionPeriod.IfBuyerdoesnotgiveitsnoticeofterminationwithinfive(5)businessdaysaftertheexpirationoftheTitleResolutionPeriod,BuyerwillbedeemedtohaveacceptedanysuchObjectedExceptionwhichisnotmadethesubjectofaResolutionAgreementwithintheTitleResolutionPeriodasanadditionalPermittedException.AnyterminationunderthisSection4.3.4willhavetheeffectprovidedinSection3.9.4.4Policy.ImmediatelyfollowingtheClosing,CenturyLinkwillcausetheTitleCompanytoissuetoBuyeranowner’sextendedcoveragepolicyoftitleinsurance(the“Policy”)intheamountofthePurchasePrice,atCenturyLink’sexpense,insuringfeesimpletitletothePropertyinBuyer,subjecttoPermittedExceptions,andwillpaythepremiumtherefor.AllcostsforanyendorsementsrequiredbyBuyer.inthesolediscretionofBuyeroritslender,willbepayablebyBuyer,exceptforthecostofanyendorsementsrequiredtocorrectObjectedExceptionsthatCenturyLinkhasagreedinwritingtopayinanyResolutionAgreement.4.5NoAdditionalExceptions.fromandafterthedateofthisAgreement,unlessanduntilthisAgreementhasbeenterminatedwithouttheClosingoccurring,CenturyLinkwillnot,withoutthewrittenconsentofBuyer,whichBuyerwillnotunreasonablywithholdordelay,encumber,lease,option,orotherwisecloudtitletotheProperty,excepttotheextentofanyencumbrance,lease,optionorothermatterwhichwillexpireorbesatisfiedatorpriortoClosing.5.Casualty;Condemnation.5.1Casualty.CenturyLinkwillgiveBuyerpromptwrittennoticeofanycasualtyresultingindamagetotheProperty,describingsuchdamageandstatingwhethersuchdamageiscoveredbyinsuranceandtheestimatedcostofrepairingsuchdamage.6Rev.O$/2014
5.1.1MaterialDamage.IntheeventthatanyMaterialPortionoftheProperty(asdefinedinthisSection5.1.1)isdamagedbyfireorothercasualtypriortoClosingandsuchdamagehasnotbeensubstantiallyrepairedbytheClosing,Buyermay,atitsoption,terminatethisAgreementwiththeeffectprovidedinSection3.9.ShouldBuyerelecttoClosethepurchaseofthePropertydespitesuchunrepaireddamage,BuyerwillreceivefromCenturyLinkatClosinganassignmentofallofCentuiyLink’sinterestinandtoallinsuranceproceedswhichmaybepayabletoCenturyLinkonaccountofanysuchcasualtylessallout-of-pocketcostsincurredbyCenturyLinkpriortoClosinginrepairingsuchdamage,nottoexceedthetotalcosttorepairthedamage.AsusedinthisSection5.1.1andSection5.1.2,“MaterialPortionoftheProperty”meansanyportionofthePropertyforwhichthecostofrepairandrestorationexceedstenpercent(10%)ofthePurchasePrice.5.1.2Non-MaterialDamage.IntheeventanyportionofthePropertywhichisnotaMaterialPortionisdamagedbyfireorothercasualtypriortoClosing,unlesssuchdamagehasbeensubstantiallyrepairedbyCenturyLinkbeforetheClosing,BuyerwillreceivefromCenturyLinkatClosinganassignmentofallofCenturyLink’sinterestinandtoallinsuranceproceedswhichmaybepayabletoCenturyLinkonaccountofanysuchcasualtylessallout-of-pocketcostsincurredbyCenturyLinkpriortoClosinginrepairingsuchdamage,nottoexceedthetotalcosttorepairthedamage.5.2Condemnation.Intheeventalloftherealpropertyoranyportionthereofwhichwouldormightreasonably,inBuyer’sreasonablejudgment,adverselyaffectthevalueofthePropertyfortheusecontemplatedbyBuyer,willbesubjecttoaneminentdomain,condemnation,compulsoryacquisition,orsimilarproceedingbyanycompetentauthorityforanypublicorquasi-publicuseorpurpose(a“Taking”)orthreatenedTakingpriortoClosing,BuyermayterminatethisAgreementbynoticegiventoCenturyLinkwithinthirty(30)daysafterBuyerisfirstgivenwrittennoticeoftheTakingor,ifearlier,theClosing.AnysuchterminationwillhavetheeffectprovidedinSection3.9.IntheeventthatBuyerdoesnotterminatethisAgreementwithinthetimeperiodprovidedabove,Buyer’srighttoterminatethisAgreementonaccountofsuchTakingorthreatenedTakingwillexpireandBuyerwillhavenofurtherrighttoterminatethisAgreementunderthisSection5.2onaccountofsuchTakingorthreatenedTaking.CenturyLinkwillretainanyawardwithrespecttoanyTakingofthePropertyunlesstheClosingoccurshereunderdespitesuchTaking,inwhicheventallproceedsoftheTaking(lessallout-of-pocketcostsincurredbyCenturyLinkinrepairinganydamagecausedbysuchTakingandlessallout-of-pocketcostsincurredindefendingtheTakingactionorcontestingornegotiatingtheamountoftheTakingaward)willbeassignedtoBuyerandanyproceedsoftheTakingpreviouslyreceivedbyCenturyLink(lesssuchamounts)willbecreditedagainstthePurchasePrice,nottoexceedthePurchasePrice.DuringthependencyofthisAgreement,CenturyLinkwillnotsettlewiththecondemningauthorityanyTakingwhichwillsurvivetheClosingwithoutthepriorconsentofBuyer,nottobeunreasonablywithheld.6.Closing.TheclosingofthesaleofthePropertyfromCenturyLinktoBuyerhereunder(the“Closing”)willoccuronthedate(the“ClosingDate”)whichisthetwentieth(20t1)dayafterthelastdayoftheInvestigationPeriod,unlessthePartiesmutuallyagreeinwritingtoadvancetheClosingDatetoanearlierdate.TheClosingwillbeconductedthroughanescrowwiththeTitleCompany,providedthatalloftherequirementscontainedinthisSection6aresatisfied.AttheClosing,thefollowingwilloccur:7Rev.08/2014
6.1CenturyLinkwillconveythePropertytoBuyerbytheDeed.6.2CenturyLinkwillconveyanypersonalpropertyofCenturyLinkremainingonthePropertyatClosingbytheBillofSale.6.3BuyerwillexecuteanddelivertotheTitleCompanyaneasementintheformattachedasExhibitDtothisAgreement(the“Easement”)forrecordingimmediatelyfollowingtherecordingoftheDeedandpriortorecordinganydeedoftrust,mortgageorotherlientosecurefinancing.6.4BuyerwillpaytheremainderofthePurchasePriceasadjusted,asprovidedforinthisAgreement,andallotheramountspayablebyBuyerpursuanttothisAgreement.6.5IfrequiredbytheTitleCompanyinordertoissuetoBuyeraPolicy,CenturyLinkwillprovideTitleCompanywithastandardseller’saffidavitinacommerciallyreasonableformrelatingtopartiesinpossession,judgments,taxliens,andmechanic’sliens.TherewillbenoexpensetoCenturyLinkforprovidingsuchaffidavit.6.6BuyerwillreceivetheunconditionalwrittenundertakingoftheTitleCompanytoissuethePolicy.6.7CenturyLinkhasadvisedBuyerthatthePropertyiscurrentlycentrallyassessedatthestatelevelasapartofallpropertyownedbyCenturyLinkinColorado(ratherthanbeingassessedonanindividualbasisbyEagleCounty).ThetotalassessmentforallCenturyLinkpropertyinthestateofColoradoforcalendaryear201$isreferredtoasthe“2018CentralAssessment.”CenturyLinkhasadvisedBuyerthatthePropertywillremaincentrallyassessedforcalendaryear201$,notwithstandingtheconveyanceofthePropertytoBuyerascontemplatedinthisAgreement,andthatthePropertywillbeassessedattheEagleCountylevelonanindividualbasispursuanttotheEagleCountyassessmentproceduresfollowingtheClosing.AtClosing,theportionofthe201$CentralAssessmentallocabletotheProperty,asdeterminedbyCenturyLinkinitsreasonablediscretion,willbeproratedbetweenCenturyLinkandBuyer,withCenturyLinkreceivingfromBuyer,inadditiontothePurchasePrice,anamountequaltotheportionofthe201$CentralAssessmentallocablethePropertyfortheportionofcalendaryear2018accruingfromandaftertheClosingDate.AfterClosing,CenturyLinkwillpayallCentralAssessmentsforthe201$calendaryearandearlier,asandwhentheybecomedue,andCenturyLinkwillindemnify,defendandholdBuyerharmlessfromandagainstanyClaimssufferedbyBuyerresultingfromCenturyLink’sfailuretotimelypaythe201$CentralAssessmentorearliercentralassessments.CenturyLink’sobligationsintheimmediatelyprecedingsentencewillsurvivetheClosing.AnyotherexpensesassociatedwiththePropertywillbepro-ratedtooradjustedasoftheClosingDatebasedupontheactualnumberofdaysinvolvedintherelevantcomputationperiodforsuchitemsinwhichtheClosingDateoccurs,andtheClosingDatewillbeBuyer’sdayforthepurposeofsuchcalculations.Suchprorationswillconstituteafinalsettlement.IntheeventtheClosingdoesnotoccuruntilcalendaryear2019,theprovisionsofthisSection6.7willapplytotaxescentrallyassessedforthecalendaryear2019inthesamemannerastheywouldhaveappliedtotaxescentrallyassessedforthecalendaryear2018,iftheClosinghadoccurredin201$.8Rev.O$/2014

13.GoverningLaw.ThisAgreementandanyclaim,controversyordisputearisingunderorrelatedtotheagreement,therelationshipoftheParties,and/ortheinterpretationandenforcementoftherightsanddutiesofthePartieswillbegovernedbythelawsofthestateinwhichthePropertyislocatedwithoutregardtoany“conflictsoflawprinciples”orwordstosimilareffect.14.IntentionallyDeleted.15.BindingEffect.ThisAgreementwillbebindinguponandinuretothebenefitofCenturyLink,Buyerandtheirrespectivesuccessorsandassigns,andisforthebenefitofthePartiesandtheirrespectivesuccessorandassigns,andnotforanyotherpersonorentity.ExceptforCenturyLink,Buyerandtheirrespectivesuccessorsandassigns,thisAgreementdoesnotprovideanyotherpersonorentitywithanyremedy,claim,liability,reimbursementorrightofaction,andtherearenothirdpartybeneficiaries,expressorimplied,ofthisAgreement.16.Waiver.Noagreement,termorconditionofthisAgreementwillbedeemedtohavebeenwaivedbyaPartyunlessthewaiverismadeinwritingandissignedbythePartyagainstwhomthewaiverisclaimed.NowaiverofdefaultofthisAgreementorconsenttothedefaultwillbedeemedtohavebeenwaivedorconsentedtounlessthewaiverorconsentismadeinwritingandsignedbythePartyagainstwhomthewaiverorconsentisclaimed.ThewaiveroforconsenttoadefaultofthisAgreementwillnotbedeemedtobeawaiveroforconsenttoanyotherbreachordefaultofthisAgreementortooranysubsequentbreachordefaultofthesameterm,agreementorconditionofthisAgreement.NocourseofdealingorconductorfailureofaPartytostrictlyenforceanyterm,rightorconditionofthisAgreementconstitutesageneralwaiverorrelinquishmentoftheterm,rightorcondition.17.AmendmentandModification.NoprovisionofthisAgreementisdeemedamendedormodifiedunlessamendedormodifiedinawritingdatedandsignedbybothParties.1$.InvalidProvisions.IfanyprovisionofthisAgreementortheapplicabilityofaprovisiontoaspecificsituationisheldinvalidorunenforceable,suchprovisionwillbemodifiedtotheminimumextentnecessarytomakeitoritsapplicationvalidandenforceable,andthevalidity,enforceabilityandapplicationofanyotherprovisionsofthisAgreementwillnotbeaffectedbysuchmodification.19.HeadingsNotControlling.TheheadingsandnumberingoftheparagraphsandsectionsinthisAgreementareforconvenienceonlyanddonotdefineorlimitanyofthetermsoraffectthemeaningorinterpretationofthisAgreement.NeitherPartywillbedeemedtheauthorofthisAgreement;therefore,nopresumptionexistsrequiringthatanambiguitycontainedinthisAgreementbeconstruedagainsteitherParty.20.Days;BusinessDays.Unlessexpresslystatedotherwise,allreferencestonumberofdaysinthisAgreementwillmeancalendardays,andnotbusinessdays.IfthedateforanyperformanceorotheractpermittedorrequiredunderthisAgreementfallsonadaywhichisnotabusinessday,thedateforsuchperformanceorotheractwillbeextendedtothenextbusinessday.AsusedinthisAgreement,“businessday”meanseverydayexceptforSaturdays,14Rev.08/2014

IdentifyingLead-BasedPaintandLead-BasedPaintHazardsDeterioratinglead-basedpaint(peeling,chipping,chalking,cracking,ordamagedpaint)isahazardandneedsimmediateattention.Lead-basedpaintmayalsobeahazardwhenfoundonsurfacesthatchildrencancheworthatgetalotofwearandtear,suchas:•Onwindowsandwindowsills•Doorsanddoorframes•Stairs,railings,banisters,andporchesLead-basedpaintisusuallynotahazardifitisingoodconditionandifitisnotonanimpactorfrictionsurfacelikeawindow.Leaddustcanformwhenlead-basedpaintisscraped,sanded,orheated.Leaddustalsoformswhenpaintedsurfacescontainingleadbumporrubtogether.Leadpaintchipsanddustcangetonsurfacesandobjectsthatpeopletouch.Settledleaddustcanreentertheairwhenthehomeisvacuumedorswept,orwhenpeoplewalkthroughit.EPAcurrentlydefinesthefollowinglevelsofleadindustashazardous:•40microgramspersquarefoot(pg/ft2)andhigherforfloors,includingcarpetedfloors•250pg/ft2andhigherforinteriorwindowsillsLeadinsoilcanbeahazardwhenchildrenplayinbaresoilorwhenpeoplebringsoilintothehouseontheirshoes.EPAcurrentlydefinesthefollowinglevelsofleadinsoilashazardous:•400partspermillion(ppm)andhigherinplayareasofbaresoil•1,200ppm(average)andhigherinbaresoilintheremainderoftheyardRemember,leadfrompaintchips—whichyoucansee—andleaddust—whichyoumaynotbeabletosee—bothcanbehazards.Theonlywaytofindoutifpaint,dust,orsoilleadhazardsexististotestforthem.Thenextpagedescribeshowtodothis.6
CheckingYourHomeforLeadYoucangetyourhometestedforleadinseveraldifferentways:Alead-basedpaintinspectiontellsyouifyourhomehaslead-basedpaintandwhereitislocated.Itwon’ttellyouwhetheryourhomecurrentlyhasleadhazards.Atrainedandcertifiedtestingprofessional,calledalead-basedpaintinspector,willconductapaintinspectionusingmethods,suchas:•Portablex-rayfluorescence(XRE)machine•LabtestsofpaintsamplesAriskassessmenttellsyouifyourhomecurrentlyhasanyleadhazardsfromleadinpaint,dust,orsoil.Italsotellsyouwhatactionstotaketoaddressanyhazards.Atrainedandcertifiedtestingprofessional,calledariskassessor,will:•Samplepaintthatisdeterioratedondoors,windows,floors,stairs,andwalls•Sampledustnearpaintedsurfacesandsamplebaresoilintheyard•Getlabtestsofpaint,dust,andsoilsamplesAcombinationinspectionandriskassessmenttellsyouifyourhomehasanylead-basedpaintandifyourhomehasanyleadhazards,andwherebotharelocated.Besuretoreadthereportprovidedtoyouafteryourinspectionorriskassessmentiscompleted,andaskquestionsaboutanythingyoudonotunderstand.47

WhatYouCanDoNowtoProtectYourFamilyIfyoususpectthatyourhousehaslead-basedpainthazards,youcantakesomeimmediatestepstoreduceyourfamily’srisk:•Ifyourent,notifyyourlandlordofpeelingorchippingpaint.•Keeppaintedsurfacescleanandfreeofdust.Cleanfloors,windowframes,windowsills,andothersurfacesweekly.Useamoporspongewithwarmwaterandageneralall-purposecleaner.(Remember:nevermixammoniaandbleachproductstogetherbecausetheycanformadangerousgas.)•Carefullycleanuppaintchipsimmediatelywithoutcreatingdust.•Thoroughlyrinsespongesandmopheadsoftenduringcleaningofdirtyordustyareas,andagainafterward.•Washyourhandsandyourchildren’shandsoften,especiallybeforetheyeatandbeforenaptimeandbedtime.•Keepplayareasclean.Washbottles,pacifiers,toys,andstuffedanimalsregularly.•Keepchildrenfromchewingwindowsillsorotherpaintedsurfaces,oreatingsoil.•Whenrenovating,repairing,orpainting,hireonlyEPA-orstateapprovedLead-SafeCertifiedrenovationfirms(seepage12).•Cleanorremoveshoesbeforeenteringyourhometoavoidtrackinginleadfromsoil.•Makesurechildrenavoidfatty(orhighfat)foodsandeatnutritiousmealshighinironandcalcium.Childrenwithgooddietsabsorblesslead.9
ReducingLeadHazardsDisturbinglead-basedpaintorremovingleadimproperlycanincreasethehazardtoyourfamilybyspreadingevenmoreleaddustaroundthehouse.•Inadditiontoday-to-daycleaningandgoodnutrition,youcantemporarilyreducelead-basedpainthazardsbytakingactions,suchasrepairingdamagedpaintedsurfacesandplantinggrasstocoverlead-contaminatedsoil.Theseactionsarenotpermanentsolutionsandwillneedongoingattention.•Youcanminimizeexposuretoleadwhenrenovating,repairing,orpaintingbyhiringanEPA-orstate-certifiedrenovatorwhoistrainedintheuseoflead-safeworkpractices.Ifyouareado-it-yourselfer,learnhowtouselead—safeworkpracticesinyourhome.•Toremoveleadhazardspermanently,youshouldhireacertifiedleadabatementcontractor.Abatement(orpermanenthazardelimination)methodsincluderemoving,sealing,orenclosinglead-basedpaintwithspecialmaterials.Justpaintingoverthehazardwithregularpaintisnotpermanentcontrol.Alwaysuseacertifiedcontractorwhoistrainedtoaddressleadhazardssafely.•HireaLead-SafeCertifiedfirm(seepage12)toperformrenovation,repair,orpainting(RRP)projectsthatdisturbpaintedsurfaces.•Tocorrectleadhazardspermanently,hireacertifiedleadabatementprofessional.Thiswillensureyourcontractorknowshowtoworksafelyandhastheproperequipmenttocleanupthoroughly.Certifiedcontractorswillemployqualifiedworkersandfollowstrictsafetyrulesassetbytheirstateorbythefederalgovernment.10

OtherSourcesofLeadWhilepaint,dust,andsoilarethemostcommonsourcesoflead,otherleadsourcesalsoexist:•Drinkingwater.Yourhomemighthaveplumbingwithleadorleadsolder.Youcannotsee,smell,ortastelead,andboilingyourwaterwillnotgetridoflead.Ifyouthinkyourplumbingmightcontainlead:•Useonlycoldwaterfordrinkingandcooking.•Runwaterfor15to30secondsbeforedrinkingit,especiallyifyouhavenotusedyourwaterforafewhours.Callyourlocalhealthdepartmentorwatersuppliertofindoutabouttestingyourwater,orvisitepa.gov/leadforEPA’sleadindrinkingwaterinformation.•Leadsmeltersorotherindustriesthatreleaseleadintotheair.•Yourjob.Ifyouworkwithlead,youcouldbringithomeonyourbodyorclothes.Showerandchangeclothesbeforecominghome.Launderyourworkclothesseparatelyfromtherestofyourfamily’sclothes.•Hobbiesthatuselead,suchasmakingpotteryorstainedglass,orrefinishingfurniture.Callyourlocalhealthdepartmentforinformationabouthobbiesthatmayuselead.•Oldtoysandfurnituremayhavebeenpaintedwithlead-containingpaint.Oldertoysandotherchildren’sproductsmayhavepartsthatcontainlead.4•Foodandliquidscookedorstoredinleadcrystalorlead-glazedpotteryorporcelainmaycontainlead.•Folkremedies,suchas“greta”and“azarcon7usedtotreatanupsetstomach.In1978,thefederalgovernmentbannedtoys,otherchildren’sproducts,andfurniturewithlead-containingpaint(16CFR1303).In2008,thefederalgovernmentbannedleadinmostchildren’sproducts.Thefederalgovernmentcurrentlybansleadinexcessof100ppmbyweightinmostchildren’sproducts(76FR44463).13
