MEMORANDUM OF UNDERSTANDING
BETWEEN PITKIN COUNTY, COLORADO AND
EAGLE COUNTY, COLORADO
for Provision of Women, Infant and Children Services
THIS MEMORANDUM OF UNDERSTANDING ("MOU") is entered into as of _
and among Pitkin County, Colorado, hereinafter referred to as "Pitkin County"
hereinafter referred to as "Eagle County" and jointly referred to as the "Parties."
I. PURPOSE:

and Eagle County,
A. Pitkin County Public Health ("PCPH") has historically provided Women, Infant and
Children ("WIC") Services to WIC eligible Pitkin County citizens. However, PCHP
determined that it will cease operations of its WIC Services as of October 1, 2018.
B. Eagle County Public Health and Environment ("ECPHE") has determined it can extend
its WIC Services to WIC eligible Pitkin County citizens and will do so at a Pitkin County
location starting October 1, 2018 on a schedule determined by ECPHE.
C. The purpose of this MOU is to formalize a relationship between Pitkin County and Eagle
County regarding provision of WIC Services at the Pitkin County location.
II. STATEMENT OF MUTUAL INTERESTS, BENEFITS AND CONSIDERATION: The
Parties acknowledge that this MOU will facilitate WIC Services provision to those who live
and work in Pitkin County, Colorado and will enable ECPHE to provide such services in a
Pitkin County location.
III. FUNDING:
A. Eagle County has agreed to furnish WIC Services to WIC eligible Pitkin County citizens
at no cost to Pitkin County, because it has received increased funding from the Colorado
Department of Health and Environment.
B. Any financial obligation of Eagle County's beyond the current fiscal year is subject to
funds being budgeted and appropriated. Notwithstanding anything to the contrary
contained in this Agreement, no payment shall be made after December 31 of any year
without prior approval of a budget adopted in accordance with the provisions of Article
25 of Title 30 of the Colorado Revised Statutes and Local Government Budget Law
(C.R.S. 29-1-101 et. seq.).
IV. ROLES AND RESPONSIBILITIES:
A. Pitkin County's roles and responsibilities are as follows:
i. Provide office space, one day a month to be determined by ECPHE, for the
ECPHE WIC director and educator in the Health and Human Services Building,
0405 Castle Creek Rd. Suite 201, Aspen, CO 81611 ("Pitkin HHS Building").
ECPHE requires the full business day for the space.

ii. Provide use of all Pitkin County owned WIC equipment to ECPHE, including but
not limited to scales, height meter, infant length board, and hemoglobin
measuring equipment.
B. Eagle County's roles and responsibilities are as follows:
i. Provide WIC educator services to WIC eligible Pitkin County citizens in person
once a month in the Pitkin HHS Building. If WIC eligible Pitkin County citizens
choose the Eagle County El Jebel Community Center as their WIC Services
location, such citizen can receive WIC Services at this Eagle County location as
convenient.
ii. Provide Pitkin County's Board of Health and/or Board of County Commissioners
for Pitkin County an annual update regarding the outcomes of the WIC Services
program.
V. MUTUAL AGREEMENT:
A. The Parties shall meet quarterly either in person or by telephone to provide updates on
the WIC Services and communicate any successes and challenges of the program.
B. The Parties shall communicate and work together on a more frequent basis in the event
specific issues need to be resolved.
C. The Parties agree that each will be responsible for the acts of their own employees and
for all purposes of this MOU. Each Party shall retain control and direction of their own
employees.
VI. TERM, AMENDMENT AND TERMINATION:
A. Term of MOU. This MOU shall commence on the first day written above, and shall
continue full -force and effect through September 30, 2019 unless terminated or cancelled
prior to the expiration date. This MOU may be extended for successive one-year terms
upon mutual written agreement of the Parties.
B. Amendments:
i. The Parties may request changes to this MOU, which shall be effective only upon
the written agreement of the Parties.
ii. Any changes, modification, revisions, or amendments to this MOU shall be
incorporated by written instrument, executed and signed by the Parties, and will
be effective in accordance with the terms and conditions contained herein.
C. Termination:
i. This MOU may be terminated prior to the expiration date upon 30 -day written
notice and agreement by the Parties to terminate this MOU.
VII. NOTICES:

A. Notices. Any notice required or permitted under this MOU shall be in writing and shall
be provided by electronic delivery to the e-mail addresses set forth below and by one of
the following methods 1) hand -delivery or 2) registered or certified mail, postage pre-
paid to the mailing addresses set forth below. Each party by notice sent under this
paragraph may change the address to which future notices should be sent. Electronic
delivery of notices shall be considered delivered upon receipt of confirmation of delivery
on the part of the sender. Nothing contained herein shall be construed to preclude
personal service of any notice in the manner prescribed for personal service of a
summons or other legal process.
