Delivery Ultimate Software shall use commercially reasonable efforts to ship Products and/or Additional Devices (“hereinafter collectively referred to as “Goods”) to Customer Shipping Address within eight (8) weeks of the Effective Date of this Supplement. Customer shall be responsible for shipping costs. 2. Support For the period of time that Customer is paying Maintenance fees for Goods, Ultimate Software shall provide Support Services for the Goods in accordance with the UltiPro Support Services as set forth in the Agreement. In the event that Goods require repair or replacement; Ultimate Software shall provide Customer with a replacement device via overnight carrier. If the repair or replacement is not as a result of a defect in the Goods provided by Ultimate Software, then Customer shall be charged for (i) repair services at a rate of $190 per hour; or (ii) a replacement fee equal to the contract price per device replaced; said fees shall be billed as incurred. Accessory components such as external badge readers, backup batteries, power over Ethernet (PoE) adapters and electrical relay kits are deemed to be consumable items and not covered for overnight/advance replacement under Maintenance. 3. Activation Ultimate Responsibilities (during deployment phase): Ultimate Software shall create a Customer specific configuration as agreed to between the parties. Customer configuration to include: • Physical badge/keycard analysis (if required) • Assist Customer in translating business needs into product requirements • Documenting and validating Customer requirements into product specifications • Building Customer specific configuration based on specifications • Installation of UltiPro TouchBase Host Server (in SaaS environment) • Configuration of Host server, including configuring communication with WFM application (ie. UTA, UTM, etc) • Assistance setting up test clocks and connecting them to Host server (including deployment of Customer’s clock configuration) • Delivery of core product documentation • Guidance for clock hardware rollout and go-live strategy Customer Responsibilities (during deployment phase): Customer shall: • Perform physical clock installation - mount devices in accordance with Field Installation Guide and connecting device to power source • Perform network configuration of the device - assign/input static IP or DHCP address and other network info so that it is visible on client network • Ensure the device can communicate to TouchBase Host server URL (via secure https:// protocol) and that this communication is not blocked by outbound firewall or other network appliance/software • Perform connectivity testing to ensure each device can communicate the TouchBase Host server prior to go- live • Perform physical badge testing (if applicable) to ensure all types of customer badges/cards/fobs are being properly read/decoded by badge reader • Complete end-to-end testing of all active clock punch functionality prior to go-live (perform each type of punch and verify that the punches are properly reflected in UltiPro timesheets) 4. Taxes and Fees Customer agrees to pay Ultimate Software for all Fees and services plus applicable federal, state, and local sales or other taxes. Installation and Relocation Customer will be responsible for installation and ensuring that the Goods are in good working order and available for Activation via the internet. Customer will be responsible to provide for the specified connectivity between the Customer’s location(s) to the Internet. Customer agrees that Ultimate Software will have no liability for and Customer will not be excused from any of its obligations under the Agreement as a result of the quality, speed or interruption of the communication lines from the Customer’s location(s) to the Internet. 6. Ownership of Goods Ultimate Software agrees that it is conveying title to the UltiPro TimeBase Device hardware to the Customer upon Customer’s payment of the purchase price set forth herein and pursuant to the terms of this Purchase Order and its terms and conditions. Notwithstanding anything contained herein to the contrary, title to the UltiPro TimeBase Device software is not being conveyed to Customer, but Ultimate Software shall grant to Customer a license to use such software during the term of this Agreement.
