GrantorandGranteeshallcollectivelybereferredtoasthe“Parties”.WITNESSETH:WHEREAS,GrantoristhefeeownerofcertainrealpropertymoreparticularlydescribedonExhibitA attached heretoandincorporatedherein(the“Property”);andWI1EREAS,GrantoracknowledgesthatWalking MountainsScienceCenter(“WM$C”)andEagleCountyGovernment(“County”)areworkingjointlytofacilitateaGreatOutdoorsColorado(‘GOCO”)InspireinitiativeGrantreferredtoastheEagle ValleyOutdoorMovement(“EVOM”);andWHEREAS,thepurposeofEVOMistoprovideanunderstandingofandappreciationfortheoutdoornaturalenvironmentandconnecttheunderservedEdwards,Coloradoyouthandtheirfamiliestothelifelongbenefitsofexperiencingtheoutdoors;andWHEREAS,acomponentofEVOMistoinstallanewnaturalplayequipmentareaat uptothreesites (the“PlaygroundImprovements”)locatedwithintheProperty,atnocosttoGrantor;andWHEREAS,WMSCandGrantor,throughitsManager,AscentiaRealEstateHoldingCompany.LLC,havealready executedaMemorandumofUnderstandingandAgreementRegardingConstruction,attachedheretoand incorporatedhereinatExhibitCandExhibitD,respectively,regardingtheirrelationshipintheEVOMandmemorializing,amongotherthings,responsibilitiestocompleteconstructionofthePlaygroundImprovementslocatedonthePropertyandGrantor’scommitmenttoallocateitscurrentplaygroundmaintenancefundstomaintainthePlaygroundImprovements;andWHEREAS,GrantordesirestoalsoprovidetheGranteewithaccesstoconstructthePlaygroundImprovementswithin theProperty;andWHEREAS,GranteedesirestotemporarilyusetheProperty,throughtheEVOM andwithWMSCassistanceforthepurposesofaccess,gradingandconstructionofthePlaygroundImprovements,includingconstructionstaging,parking,andstorageofmaterialsontheProperty;andWHEREAS.GrantordesirestogranttoGrantee,andGranteedesirestoobtainfromGrantor,atemporaryconstructioneasementon thePropertyforthebenefitofGranteeandGrantee’sagent,WMSC,forconstructionofthePlaygroundImprovements,allin accordancewiththetermsandconditionsofthisAgreement.C18-377
EASEMENTNOW,TI-IEREfORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,andforgoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thePartiesheretoherebyagreeasfollows:1.GrantofTemporaryEasement.Grantorforgoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyconfessedandacknowledged,herebygrantstoGrantee,itscontractors,subcontractors,employeesandagents,anon-exclusivetemporaryconstructionandaccesseasementover,under,uponandacrossthePropertyinthelocationsdepictedonExhibitB(collectivelythe“TemporaryEasement”)toconstructthePlaygroundImprovements.TheTemporaryEasementmaybeusedforaccess,staging,parking,storageofconstructionmaterials,andthegradingandconstructionofthePlaygroundImprovementsbyGrantee,itscontractors,subcontractors,employeesandagents,inaccordancewiththeplansandspecificationsattachedheretoasExhibitE.TheTemporaryEasementareamaybefencedandenclosedaspartoftheconstructionsitewhileconstructionisoccurringontheProperty.Notwithstandinganythingtothecontrarycontainedherein,GrantorandGranteeherebyagreethattheTemporaryEasementshallbesubjectinallrespectstotheAgreementRegardingConstructionattachedheretoasExhibitD,includingwithoutlimitationWMSC’scompliancewithalloftherequirementsrelatedtoitscontractorscontainedtherein.2.Restoration.Grantee,throughitsagentWMSC,shallberesponsibleforrestoringallareasdisturbedwithintheTemporaryEasement.ifany,totheconditionthatexistedpriortosuchdisturbance,subjecttotheplansandspecificationsforthePlaygrowdImprovementsapprovedinwritingpriortoconstructionbyGrantor,whichapprovalshallnotbeunreasonablywithheld.3.OngoingMaintenanceofthePlaygroundImprovements.WMSCandGrantor’sManager,AscentiaRealEstateHoldingCompany,LLC,haveenteredintoaMemorandumofUnderstanding,whichisincorporatedherein,thatidentifiesGrantor’ssoleobligationrelatedtothemaintenanceofthePlaygroundImprovementsistoallocateitscurrentplaygroundmaintenancehindstomaintainthePlaygroundImprovementsinplaceofcurrentlyexistingstructures.4.Term.TheTemporaryEasementshallbeeffectiveuponthedateofentrybyGrantee,itscontractors,subcontractors,employeesoragents,ontothePropertyforcommencementofconstructionoftheProject.TheTemporaryEasementshallremainineffectduringconstructionoftheProjectandshallautomaticallyterminateten(10)daysaftertheconclusionofconstmctionofthePlaygroundImprovements.Inanyevent,theTemporaryEasementshallautomaticallyterminatenolaterthantwelve(12)monthsafterthestartofconstruction.5.Notice.Allnoticesorothercommunicationsmadepursuantheretoshallbeinwritingandshallbedeemedproperlydelivered,givenorserved(i)whenpersonallydelivered,or(ii)two(2)calendardaysafterbeingdepositedintheUnitedStatesmail,certifiedorregistered,postageprepaid,returnreceiptrequested,or(iii)whendeliveredbyFedExorothercomparablecourierservice,chargesprepaid,tothepartiesattheirrespectiveaddresseslistedbelow.Eitherpartymaychangeitsaddressforthepurposesofthisparagraphbygivingfive(5)dayspriorwrittennoticeofsuchchangetotheotherparty.GRANTOR:2
EagleRiverMobileHomePark.LLCAttn.MarkoVukovich2W.DryCreekCir.,Suite200Littleton,CO$0120GRANTEE:EagleCountyGovernmentEagleCountyAttorney500BroadwayPUBox850Eagle,CO$1631Telephone:970-32$-$685facsimile:970-328-86996.AssignmentandSuccessors.GranteemaynotassignanyofitsrightsandobligationsunderthisAgreementtoanyotherpersonorentitywithoutthepriorwrittenpermissionofGrantor.ThisAgreementshallbebindinguponandshallinuretothebenefitofthePartiesheretoandtheirrespectivesuccessorsandassigns.7.WarrantyofTitle.GrantorrepresentsthatitistherecordownerofthePropertyuponwhichtheTemporaryEasementislocatedandthatithasfullpowerandauthoritytoexecutethisAgreement.ThisTemporaryEasementisgrantedsubjecttoprior,recordedgrantsofeasements.DuringthetermofthisAgreement,GrantorshallnotmakeorauthorizeanyuseoftheTemporaryEasementwhichisinconsistentwithorinterfereswiththeusesauthorizedherein.8.GoverningLawandVenue.ItistheintentionofthePartiesheretothatallquestionsofconstructionandinterpretationofthisAgreementandtherightsandobligationsofthePartieshereundershallbedeterminedinaccordancewiththelawsoftheStateofColorado.VenueshallbeintheDistrictCourtofEagleCounty,Colorado.ThissectionshallsurvivetheterminationorexpirationofthisAgreement.9.Modifications;Waiver.ThePartiesagreethatanymodificationofthisAgreementshallbeeffectiveonlywhenmadeinwritingsignedbybothParties.NofailurebyaPartytoinsistuponthestrictperformanceofanyterm,covenantorprovisioncontainedinthisAgreementshallconstituteawaiverofanysuchterm,covenantorprovision.10.Severability.Wheneverpossible,eachprovisionofthisAgreementshallbeinterpretedinsuchamannerastobevalidunderapplicablelaw;provided,however,ifanyprovisionofthisAgreementshallbeinvalidorprohibitedunderapplicablelaw,suchprovisionshallbeineffectivetotheextentofsuchinvalidityorprohibitionwithoutinvalidatingtheremainingprovisionsofthisAgreement.11.AnnualAppropriations.AllfinancialobligationssetforthinthisAgreementaresubjecttoannualappropriationpursuanttoC.R.S.§29-1-110,asamended.GranteeshallactingoodfaithwhenmakingappropriationsnecessarytocomplywiththefinancialobligationsofthisAgreement.3
12.RelationshipofParties.NeitheranythingcontainedinthisAgreementnorshallanyactsofthePartiesbedeemedorconstruedbythePartiesorbyanythirdpersontocreatetherelationshipofprincipalandagent,orofpartnership,orofjointventure,orofanyassociationbetweentheParties.13.Recording.ThisAgreementwillnotberecorded.[SignaturesonNextPageJ4

AGLEVALLEY,iIi,tHIY[NtIMemorandumofUnderstandingBetweenEagleValleyOutdoorMovementandAscentiaThisMemorandumofUnderstanding(MOU)setsforththetermsandunderstandingsbetweentheEagleValleyOutdoorMovement(EVOM)andAscentiafortheimplementationofnewnaturalplaygroundequipmentintheEagleRiverVillageMobileHomePark.ThisagreementisdependentuponfundingreceivedfromtheGOCOInspireInitiativeandimplementationwillnotcommenceuntilearliestJanuary2018.BackgroundThemissionoftheEagleValleyOutdoorMovementistocreateinterestin,understandingofandappreciationforournaturalenvironmentbyconnectingunderservedEdwardsyouthandtheirfamiliestothelifelongbenefitsofexperiencingtheoutdoors.Asacomponentofthismission,EVOMwillimplementnewnaturalplayequipmentatuptothreesiteswithinAscentia’sEagleRiverVillageMobileHomeParkfortheuseofunderservedyouthlivingintheEdwardscommunity.PurposeThisMOUwillrepresentagreementsmadebetweenEVOMandAscentiainregardstotheinstallmentanduseofnewnaturalplayequipmentatuptothreesiteswithinAscentia’sEagleRiverVillageMobileHomePark.Theabovegoalswillbeaccomplishedbyundertakingthefollowingactivities:TheEagleValleyOutdoorMovementagreestothefollowing:I.Handlenegotiationswithallsubcontracts;II.Completeandsubmitallformsrequiredtoobtainnecessarylicensesandpermits;Ill.DistributepaymenttoallsubcontractorsdependentonGOCOInspireInitiativefundingIV.ManageconstructionofnewnaturalplaygroundequipmentonuptothreesitesontheEagleRiverVillageMobileHomeproperty;V.Andorganizecommunitymaintenancedaysquarterlyforallsiteimprovements,cleanup,andnecessarymaintenance.InaccordancetoEVOMagreements,Ascentiaagreestothefollowing:I.ProvidereasonablepublicaccesstonewnaturalplaygroundimprovementsinEagleRiverVillageMobileHomePark;II.Allocatecurrentplaygroundmaintenancefundstomaintainnewnaturalplaygroundequipment,inplaceofcurrentlyexistingstructures.

1.Indemnification,insurance,Liens.(A)Indemnification.WMSCagreesthatpriortoanypartyutilizingtheEasementAgreementandcommencingworkontheProperty,andatalltimesduringconstructionand/oruseoftheProperty,thatallpartiesconductingsuchwork,includinganycontractor,subcontractororagent,shallprovidethefollowinganindemnificationofOwnerinsubstantiallytheformasfollows:“C’ontractor(the“Jndemnitor”)covenantsandagreestoindemnU5’andholdharmlessOwner,itsmembers,managers,employees,agents,successorsendassigns(individuallyandcollectively,the“Indemnitee‘9,fromandagainstanyandallclaimsorcostsncludingreasonableattorneys‘fees)foranyinjurytopersonsordamagetopropertyarisingfromthefollowing,exceptineachcasetotheextentsuchclaimsarisefromthenegligentactsoromissionsofanIndemnitee:(1)anyactivitiesconductedonthePropertybyContractor,itsagents,subcontractorsoranyotherinvitee;and/ora9anyandaltactionsorinactionsrelatedtheconstructionofthePlaygroundImprovementsbycontractor,itsagents,subcontractorsoranyotherinvitee.”PriortobeingpermittedtoaccesstheProperty,WMSCshallprovideprooftoOwnerinwritingthatallofWMSC’scontractorsandsubcontractor’swhowillbeperformingworkonthePropertyhaveagreedtoindemnifiOwnerinaccordancewiththelanguageabove.(B)Insurance.WMSCshallcauseitsgeneralcontractortomaintainatalltimesduringconstructionofthePlaygroundImprovementsoraccesstotheProperty,commercialgeneralliabilityinsuranceandautomobileliabilityinsuranceforeachvehicleaccessingthePropertywithlimitsofnotlessthan$1,000,000.00peroccurrenceandintheaggregate,informandsubstanceadequatetoinsureagainstliabilityofWMSCanditscontractorsarisingunderthisAgreementandconstructionofthePlaygroundImprovements.TheContractorshallnameWMSCandOwnerasadditionalinsuredsonsuchinsurancepoliciesrelatingtoanyworkbyContractor,itsagentsand/oritscontractorsupontheProperty.(C)Liens.WMSCshallatalltimeskeepthePropertyfreeandclearofallmechanics’liens,materiatmens’liensandotherliens(eacha“Lien”)associatedwithallconstructionandmaintenanceperformedbyWMSC,itsagentsand/orcontractors.intheeventanyLienisfiledagainstthePropertybyreasonofWMSC’s,itsagents’and/orcontractors’failuretopayforanywork,services,materialsorlaborfurnished,WMSCshallimmediatelycausethesametobedischargedofrecordwithinthirty(30)daysafternoticeofthefilingthereof,afterwhichtimeOwner,inadditiontoanyotherrightsorremediesitmayhave,may,butshallnotbeobligatedto,dischargethesamebypayingtheamountsclaimedtobedue.AnyamountpaidbyOwner,andallcostsandexpenses,includingreasonableattorneys’fees,incurredbyOwnerinconnectiontherewith,togetherwithInterest(asdefinedbelow),shallbedueandpayablebyWMSCwithintwenty(20)daysfollowingwrittendemandfromOwner,togetherwithreasonablesupportingdocumentation.“Interest”asusedhereinshallmeaneighteenpercent(18%)oftheamountdueperannum,orthehighestinterestrateallowedbylaw,whicheverisless,accruingfromthedateofwrittendemand.(D)Notwithstandinganythingtothecontrarycontainedherein,noparty,includingWMSC,itscontractors,subcontracts,agents,oranyotherpersonshallbepermittedaccesstothePropertypursuanttotheEasementAgreementunlessanduntiltherequirementsforprovisionofindemnificationandinsurancehavebeensatisfiedpursuanttothisparagraph,andthe9
