EAGLECOUNTYANDMILLIEANDTYLERALDRICHTHISENCROACHMENTAGREEMENT(hereinafter “Agreement”)madeasofthisID3—,betweenEagleCounty,Colorado(“County”)andMillieandTylerAldrich(hereinafter“Owner”).WITNESSETH:WHEREAS,Ownerholds titletoaparceloflandknownasBellyacheRidgefiling2Lot21onBigDipperRoadintheBellyacheRidgesubdivisioninEagleCounty,asrecordedatReceptionNumber127761intheofficeoftheEagleCountyClerkandRecorder, whichpropertyisidentifiedasParcelNo.1941-352-03-003,AccountNo.R016604,(the“SubjectProperty”);andWHEREAS,theOwner desirestoconstructretainingwallstofacilitateaccesstotheSubjectPropertyandsuchretainingwallswillencroach,inpart,on aportionoftheCounty’sRight-of-WayforBigDipperRoad;andWHEREAS,Ownerdesiresto obtainfromtheCountyanencroachmenteasementtoallowtheretainingwalls(the“Encroachment”)fortheSubjectPropertyto beconstructedon andremainonaportionoftheCounty Right-of-Wayfor BigDipperRoadinthelocationidentifiedonExhibitA,whichisattached heretoandincorporatedhereinbythisreference;andWHEREAS,CountyiswillingtograntaneasementtoallowtheEncroachmenttoremaininthelocationidentifiedinExhibitA,subjecttothetermsofthisAgreement.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandfollowingpromises,CountyandOwneragreeasfollows:ENCROACHMENTEASEMENTGRANT:TheCountyherebygrantstoOwneranditsheirs,successorsandassigns,anon-exclusive,revocableeasementonandoveraportionoftheCounty’sRight-of-WayforBigDipperRoadfortheEncroachmentinitscurrentlocationasdescribedinExhibitAattachedhereto(the“EncroachmentEasement”).TheOwnershallnotusetheEncroachmentEasementforanyotherpurposeexceptasdescribedherein.Ownermayuse,maintainandrepairtheEncroachment locatedwithintheEncroachmentEasement,asdetailedbelowintheConstructionandMaintenancesection.TheEncroachment EasementgrantedbythisAgreementshallbe enjoyedbyOwner,itssuccessorsandassigns,solongastheEncroachmentEasementisusedinaccordancewiththetermsandconditionsofthisAgreement.This Agreementshallnotbe construedasconferringanyrightsorbenefitsonanythirdparties.Notwithstandinganythinghereintothecontrary,County,initssole discretion,reservestherighttoterminatethisAgreementasitrelatestoalloraportionoftheEncroachmentEasementandto1C18-314 requireOwner,itssuccessorsorassigns,toremoveorreducetheEncroachmentatOwner’s,itssuccessorsorassigns’,soleexpenseuponninety(90)dayswrittennoticebyCounty.IntheeventOwner,itssuccessorsorassigns,ceasestousetheEncroachmentEasementinaccordancewiththetennsofthisAgreementorotherwisefailstocomplywithanyandallofthetermsofthisAgreement,thisAgreementandtheEncroachmentEasementmaybetenninateduponten(10)dayswrittennoticebyCounty,initssolediscretion.UponnoticeoftenninationoftheEncroachmentEasementbyCounty,theEncroachmentshallberemovedand/orrelocatedatOwner’s,itssuccessorsorassigns’soleexpense.TheEncroachmentEasementareashallberestoredtoitsoriginalcondition,orasclosetheretoaspossible.IftheEncroachmentisnottimelyremovedinresponsetoCounty’srequestandtheEncroachmentEasementareaisnotrestoredwithintheallowedtimeperiod,CountymaydosoatOwner’s,itssuccessorsorassigns’soleexpense,whichexpenseshallbepromptlyreimbursedbyOwner,itssuccessorsorassigns,onpenaltyofplacementofalienontheSubjectPropertytoassurepaymentofsuchexpense.TheEncroachmentEasementgrantedbythisAgreementisnon-exclusiveandCountyreservestherighttouseforitselfandtogranttoothersrights-of-wayover,tinder,acrossorthroughtheEncroachmentEasementhereingranted,providedthattheydonotinterferewiththerightofOwnertousethesameforthepurposeshereingranted.CountyreservestherighttouseandenjoythepremisestothefullestpossibleextentwithoutunreasonableinterferencewiththeexercisebyOwneroftherightsgrantedinthisAgreement.Withoutlimitingtheforegoing,Countyreservestherighttoplacealong,across,under,overandthroughtheEncroachmentEasementasmanyelectriclines,powerlines,waterlines,sewerlines,gaslines,telephonelinesandotherutilitiesasCountymaydesiresubjectonlytotherightofOwnertousethesameforthepurposeshereingranted.TheEncroachmentintotheCounty’sRight-of-WayshallnotconstituteanyrelinquishmentoftheCounty’spropertyrightswhetherthroughclaimsofadversepossessionoranyothermeans.CONSTRUCTIONANDMAINTENANCEOFENCROACHMENTWITHINTHEEASEMENT:Construction,includingrepair,replacement,alterations,andmaintenanceoftheEncroachmentwillbethesoleresponsibilityofOwneroritssuccessorsandassigns.NoconstructionshallbecommenceduntilapprovedinwritingbyCounty;suchapprovalnottobeunreasonablywithheldordelayed.Notwithstandingtheforegoing,CountywillrequireanyutilitycompanyorotherpersonspermittedtoconstructintheCountyRight-of-WaytorepairanydamagetheymaycausetoCountyRight-of-Wayand/ortheEncroachmentaspartofthepermittingprocess.OwneragreestoberesponsibleforallongoingnecessaryrepairandmaintenanceassociatedwiththecurrentandanyfutureuseoftheEncroachmentEasement.INDEMNIFICATION:Ownershall,tothefullestextentpermittedbylaw,indemnifyandholdharmlessCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountyoranyofitsofficers,agents,oremployeesmaybecomesubjecttoinsofarasanysuch2 losses,claims,damagesorliabilitiesariseotitofdirectlyorindirectly,thisAgreementortheEncroachmentEasement,orarebaseduponanyperformanceornonperformancebyOwnerhereunderoritssuccessorsorassigns;andOwnershallreimburseCountyforanyandalllegalandotherexpensesincurredbyCountyinconnectionwithinvestigatingordefendinganystichloss,claim,damage,liabilityoraction.ENFORCEMENTREMEDIES:ThisAgreementshallberecordedwiththeEagleCountyClerkandRecorder’sOffice.ThisAgreementshallconstitutecovenantsrunningwiththeSubjectProperty,asaburdenthereonandforthebenefitthereofandshallspecificallybeenforceablebyCountyagainstOwner,itssuccessorsandassignsandallobligationsforrestoration,repair,andindemnificationshallsurviveterminationofthisAgreementandtheEncroachmentEasement.CountyandOwneragreethatthisAgreementmaybeenforcedforspecificperfonnance,injunctive,orotherappropriatereliefincludingdamages,asmaybeavailableaccordingtothelawsandstatutesoftheStateofColorado.ItisspecificallyunderstoodthatbyexecutingthisAgreementbothCountyandOwnercommitthemselvestoperformpursuanttothesetermscontainedherein.MISCELLANEOUS:ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofColorado.VenueforanyactionarisingoutofanydisptttepertainingtothisAgreementshallbeinEagle,Colorado.ThisAgreementandtherightsandobligationscreatedherebyshallbebindinguponandinuretothebenefitofCountyandOwnerandtheirrespectivesuccessorsandassigns.NothinghereinexpressedorimpliedisintendedorshouldbeconstruedtoconferorgivetoanypersonorentityotherthanCountyorOwnerandtheirrespectivesuccessorsandassigns,anyright,remedyorclaimunderorbyreasonhereofofbyreasonofanycovenantorconditionhereincontained.IfanyportionofthisAgreementisheldinvalidorunenforceableforanyreasonbyacourtofcompetentjurisdiction,suchportionshallbedeemedseverableanditsinvalidityoritsunenforceabilityshallnotaffecttheremainingprovisions;suchremainingprovisionshallbefullyseverableandthisAgreementshallbeconstruedandenforcedasifsuchinvalidprovisionhadneverbeeninsertedintothisAgreement.ThisAgreementmaybeamended,modified,changed,ortenninatedinwholeorinpartonlybywrittenagreementdulyauthorizedandexecutedbybothCountyandOwner.ThisAgreementrepresentsthefullandcompleteunderstandingofCountyandOwnerandsupersedesanyprioragreements,discussions,negotiations,representationsorunderstandingsofCountyandOwnerwithrespecttothesubjectmattercontainedherein.Thepartiesheretoagreethatneitherhasmadeorauthorizedanyagreementwithrespecttothesubjectmatterofthisinstrumentotherthanexpresslysetforthherein,andnooralrepresentation,3
