Dear Bryan:
As a follow-up to my discussion with Holly today, we are writing regarding the interest of the Eagle
County ("County") in entering into an agreement with River Oaks Communications Corporation
('oRiver Oaks"). The County shall utilize River Oaks to draft and negotiate a Cable Television
Agreement with Comcast in the lnformal Renewal Process. In order to save costs for the County,
this process will not involve a Past Performance Review, Technical Assessment, Agreement Fee
Audit or Needs Ascertainment process.
In the course of this work and at the request of the County, River Oaks is providing a not to exceed
amount for time and expenses. Based upon the County's experience to date with Comcast and the
draft provided by Comcast where Comcast wants to utilize the Avon Cable Franchise, River Oaks
will provide the above services in a range of 80 to 120 hours at the hourly rate of $245 per hour
(which rate River Oaks has maintained for the County for many years) - ($19,600 to $29,400) plus
$1,500 in expenses for a range of $21,100 to $30,900. River Oaks will do its part so that this work
would be completed by January 31,2019. As you would expect, finalization of the Agreement
depends upon Comcast's willingness to actively engage in the process and be reasonable in their
positions. We would hope that the County might be willing to revisit this budget if Comcast is
recalcitrant or elongates this process.
River Oaks shall invoice the County for its consulting services, and payment shall be due thirty (30)
days after receipt of such invoice(s) by the County. The County shall have all decision-making
authority regarding all aspects of this project. River Oaks is an independent contractor hereunder.
This letter agreement sets forth the entire agreement between the parties conceming the subject
matter hereof.

River Oaks is pleased to again be working with the County.
