Grant.2.EFFECTIVEDATEANDNOTICEOFNONLIABILITYThis Grantshall notbeeffectiveorenforceableuntilitisapprovedandsignedbytheColoradoStateControllerordesignee(“EffectiveDate”).ExceptasprovidedinSection7(B)(ii),theStateshallnotbeliabletopayorDocumentBuilderGeneratedAeronauticsGrant.30.Sep11—originatedfromapprovedOSCGranttemplateRev1/12/IlPage1of18C18-274 CDOT—AeronauticsDivisionCDAG#:18-EGE-OlThemaximumamountpayableunderthisGranttoGranteebytheStateis5%oftheprojectcost,nottoexceed$52,222.00forElementAand5%oftheprojectcostnottoexceed$22,222.00forElementB,asdeterminedbytheStatefromavailablefundsinfund160,G/Laccount#4512000010,andVendor#0002000124andPartner#5100148,andOrg.#VDG15-033.GranteeagreestoprovideanyadditionalfundsrequiredforthesuccessfulcompletionoftheWork.PaymentstoGranteearelimitedtotheunpaidobligatedbalanceoftheGrantassetforthinExhibitA.TheStateandGranteeshallparticipateinprovidingtheGrantamountasfollows:State:$74,444.00LocalFunds:$74,445.00Federal:$1,340,000.00B.Paymenti.Advance,InterimandFinalPaymentsAnyadvancepaymentallowedunderthisGrant,shallcomplywithStateFiscalRulesandbemadeinaccordancewiththeprovisionsofthisGrant.GranteeshallinitiateanypaymentrequestsbysubmittinginvoicestotheStateintheformandmannersetforthandapprovedbytheState.GrantFundsremainingfollowingthecompletionandapprovaloftheWorkortheterminationlexpirationoftheGrantwillbereturnedtotheState.ii.InterestTheStateshallfullypayeachinvoicewithin45daysofreceiptthereofiftheamountinvoicedrepresentsperformancebyGranteepreviouslyacceptedbytheState.UncontestedamountsnotpaidbytheStatewithin45daysmay,ifGranteesorequests,bearinterestontheunpaidbalancebeginningonthe46thdayataratenottoexceedonepercentpermonthuntilpaidinfull;provided,however,thatinterestshallnotaccrueonunpaidamountsthataresubjecttoagoodfaithdispute.GranteeshallinvoicetheStateseparatelyforaccruedinterestondelinquentamounts.Thebillingshallreferencethedelinquentpayment,thenumberofday’sinteresttobepaid,andtheinterestrate.iii.AvailableFunds-Contingency-TerminationTheStateisprohibitedbylawfrommakingfiscalcommitmentsbeyondthetermoftheState’scurrentfiscalyear.Therefore,Grantee’scompensationiscontingentuponthecontinuingavailabilityofStateappropriationsasprovidedintheColoradoSpecialProvisions,setforthbelow.IffederalfundsareusedwiththisGrantinwholeorinpart,theState’sperformancehereunderiscontingentuponthecontinuingavailabilityofsuchfunds.PaymentspursuanttothisGrantshallbemadeonlyfromavailablefundsencumberedforthisGrantandtheState’sliabilityforsuchpaymentsshallbelimitedtotheamountremainingofsuchencumberedfunds.IfStateorfederalfundsarenotappropriated,orotherwisebecomeunavailabletofundthisGrant,theStatemayimmediatelyterminatethisGrantinwholeorinpartwithoutfurtherliabilityinaccordancewiththeprovisionsherein.iv.ErroneousPaymentsAttheState’ssolediscretion,paymentsmadetoGranteeinerrorforanyreason,including,butnotlimitedtooverpaymentsorimproperpayments,andunexpendedorexcessfundsreceivedbyGrantee,mayberecoveredfromGranteebydeductionfromsubsequentpaymentsunderthisGrantorotherGrants,grantsoragreementsbetweentheStateandGranteeorbyotherappropriatemethodsandcollectedasadebtduetotheState.SuchfundsshallnotbepaidtoanypersonorentityotherthantheState.v.RetroactivePaymentsTheStateshallpayGranteeforcostsorexpensesincurredorperformancebytheGranteepriortotheEffectiveDate,onlyif(1)theGrantFundsinvolvefederalfundingand(2)federallaws,rulesandregulationsapplicabletotheWorkprovideforsuchretroactivepaymentstotheGrantee.AnysuchretroactivepaymentsshallcomplywithStateFiscalRulesandbemadeinaccordancewiththeprovisionsofthisGrantoranyExhibit.GranteeshallinitiateanypaymentrequestsbysubmittinginvoicestotheStateintheformandmannersetforthandapprovedbytheState.CUseofFundsGrantFundsshallbeusedonlyforeligiblecostsidentifiedhereinand/orinExhibitA.ThisshallbeusedsolelyforaviationpurposesasdefinedinCRS§43-10-102(3)andthisGrantshallnotbeusedfortheDocumentBuilderGeneratedAeronauticsGrant.30.Sepll—originatedfromapprovedOSCGranttemplateRev1/12/11Page4of18 CDOT—AeronauticsDivisionCDAG#:18-EGE-Olsubsidizationofairlines.MisuseofGrantFunds,includingsubsidizationforairlines,mayresultinimmediateterminationofthisGrantforcauseandforfeitureofanyremainingGrantFunds.D.LocalfundsGranteeshallprovideLocalFundsasprovidedinExhibitA.GranteeshallhaveraisedthefullamountofLocalFundspriortotheEffectiveDateandshallreporttotheStateregardingthestatusofsuchfundsuponrequest.E.PaymentComplianceAllGrantreimbursementsshallcomplywithTitle49Part18oftheUniformAdministrativeRequirementsforGrantsandCooperativeAgreementstoStateandLocalGovernments.Additionally,Granteeshallonlybereimbursedforcostsallowableunder2CFRPart125,AppendixA.8.REPORTING-NOTIFICATIONReports,Evaluations,andReviewsrequiredunderthis§8shallbeinaccordancewiththeproceduresofandinsuchformasprescribedbytheStateandinaccordancewith§19,ifapplicable.A.Performance,Progress,Personnel,andfundsStateshallsubmitareporttotheGranteeuponexpirationorsoonerterminationofthisGrant,containinganEvaluationandReviewofGrantee’sperformanceandthefinalstatusofGrantee’sobligationshereunder.Inaddition,Granteeshallcomplywithallreportingrequirements,ifany,setforthintheManual.B.LitigationReportinWithin10daysafterbeingservedwithanypleadinginalegalactionfiledwithacourtoradministrativeagency,relatedtothisGrantorwhichmayaffectGrantee’sabilitytoperformitsobligationshereunder,GranteeshallnotifytheStateofsuchactionanddelivercopiesofsuchpleadingstotheState’sprincipalrepresentativeasidentifiedherein.IftheState’sprincipalrepresentativeisnotthenserving,suchnoticeandcopiesshallbedeliveredtotheExecutiveDirectorofCDOT.C.NoncomplianceGrantee’sfailuretoprovidereportsandnotil\jtheStateinatimelymannerinaccordancewiththis§8mayresultinthedelayofpaymentoffundsand/orterminationasprovidedunderthisGrant.D.SubgrantsCopiesofanyandallsubgrantsenteredintobyGranteetoperformitsobligationshereundershallbesubmittedtotheStateoritsprincipalrepresentativeuponrequestbytheState.AnyandallsubgrantsenteredintobyGranteerelatedtoitsperformancehereundershallcomplywithallapplicablefederalandstatelawsandshallprovidethatsuchsubgrantsbegovernedbythelawsoftheStateofColorado.9.GRANTEERECORDSGranteeshallmake,keep,maintainandallowinspectionandmonitoringofthefollowingrecords:A.MaintenanceGranteeshallmake,keep,maintain,andallowinspectionandmonitoringbytheStateofacompletefileofallrecords,documents,communications,notesandotherwrittenmaterials,electronicmediafiles,andcommunications,pertaininginanymannertotheWorkorthedeliveryofServices(including,butnotlimitedtotheoperationofprograms)orGoodshereunder.Granteeshallmaintainsuchrecords(theRecordRetentionPeriod)foraperiodofthreeyearsfollowingthedateofsubmissiontotheStateofthefinalexpenditurereport,orifthisGrantisrenewedquarterlyorannually,fromthedateofthesubmissionofeachquarterlyorannualreport,respectively.Ifanylitigation,claim,orauditrelatedtotheGrantstartsbeforeexpirationoftheRecordRetentionPeriod,theRecordRetentionPeriodshallextenduntilalllitigation,claims,orauditfindingshavebeenresolvedandfinalactiontakenbytheStateorFederalAwardingAgency.TheFederalAwardingAgency,acognizantagencyforaudit,oversightorindirectcosts,andtheStatemaynotifyGranteeinwritingthattheRecordRetentionPeriodshallbeextended.Forrecordsforrealpropertyandequipment,theRecordRetentionPeriodshallextendthreeyearsfollowingfinaldispositionofsuchproperty.B.InspectionDocumentBuilderGeneratedAeronauticsGrant.30.Sep11—originatedfromapprovedOSCGranttemplateRev1/12/11Page5of18 CDOT—AeronauticsDivisionCDAG#:18-EGE-OlGranteeshallpermittheState,thefederalgovernmentandanyotherdulyauthorizedagentofagovernmentalagencytoaudit,inspect,examine,excerpt,copyand/ortranscribeGrantee’srecordsrelatedtothisGrantduringtheRecordRetentionPeriodforaperiodofthreeyearsfollowingterminationofthisGrantorfinalpaymenthereunder,whicheverislater,toassurecompliancewiththetermshereofortoevaluateGrantee’sperformancehereunder.TheStatereservestherighttoinspecttheWorkatallreasonabletimesandplacesduringthetermofthisGrant,includinganyextension.IftheWorkfailstoconformtotherequirementsofthisGrant,theStatemayrequireGranteepromptlytobringtheWorkintoconformitywithGrantrequirements,atGrantee’ssoleexpense.IftheWorkcannotbebroughtintoconformancebyreperformanceorothercorrectivemeasures,theStatemayrequireGranteetotakenecessaryactiontoensurethatfutureperformanceconformstoGrantrequirementsandexercisetheremediesavailableunderthisGrant,atlaworinequityinlieuoforinconjunctionwithsuchcorrectivemeasures.C.MonitoringGranteeshallpermittheState,thefederalgovernment,andothergovernmentalagencieshavingjurisdiction,intheirsolediscretion,tomonitorallactivitiesconductedbyGranteepursuanttothetermsofthisGrantusinganyreasonableprocedure,including,butnotlimitedto:internalevaluationprocedures,examinationofprogramdata,specialanalyses,on-sitechecking,formalauditexaminations,oranyotherprocedures.AllmonitoringcontrolledbytheStateshallbeperformedinamannerthatshallnotundulyinterferewithGrantee’sperformancehereunder.D.FinalAuditReportIfanauditisperformedonGrantee’srecordsforanyfiscalyearcoveringaportionofthetermofthisGrant,GranteeshallsubmitacopyofthefinalauditreporttotheStateoritsprincipalrepresentativeattheaddressspecifiedherein.10.CONFIDENTIALINFORMATION-STATERECORDSGranteeshallcomplywiththeprovisionsofthis§10ifitbecomesprivytoconfidentialinformationinconnectionwithitsperformancehereunder.Confidentialinformation,includes,butisnotnecessarilylimitedto,anyStaterecords,personnelrecords,andinformationconcerningindividuals.SuchinformationshallnotincludeinformationrequiredtobedisclosedpursuanttotheColoradoOpenRecordsAct,CRS§24-72-101etseq.A.ConfidentialityGranteeshallkeepallStaterecordsandinformationconfidentialatalltimesandmustcomplywithalllawsandregulationsconcerningconfidentialityofinformation.AnyrequestordemandbyathirdpartyforStaterecordsandinformationinthepossessionofGranteeshallbeimmediatelyforwardedtotheState’sprincipalrepresentative.B.NotificationGranteeshallnotifyitsagent,employees,Subgrantees,andassignswhomaycomeintocontactwithStaterecordsandconfidentialinformationthateachissubjecttotheconfidentialityrequirementssetforthherein,andshallprovideeachwithawrittenexplanationofsuchrequirementsbeforetheyarepermittedtoaccesssuchrecordsandinformation.C.Use,Security,andRetentionConfidentialinformationofanykindshallnotbedistributedorsoldtoanythirdpartyorusedbyGranteeoritsagentsinanyway,exceptasauthorizedbythisGrantorapprovedinwritingbytheState.GranteeshallprovideandmaintainasecureenvironmentthatensuresconfidentialityofallStaterecordsandotherconfidentialinformationwhereverlocated.ConfidentialinformationshallnotberetainedinanyfilesorotherwisebyGranteeoritsagents,exceptaspermittedinthisGrantorapprovedinwritingbytheState.D.Disclosure-LiabilityDisclosureofStaterecordsorotherconfidentialinformationbyGranteeforanyreasonmaybecauseforlegalactionbythirdpartiesagainstGrantee,theStateortheirrespectiveagents.Totheextentpermittedbylaw,theGranteeshallindemnify,save,andholdharmlesstheState,itsemployeesandagents,againstanyandallclaims,damages,liabilityandcourtawardsincludingcosts,expenses,andattorneyfeesandrelatedcosts,incurredasaresultofanyactoromissionbyGrantee,oritsemployees,agents,Subgrantees,orassigneespursuanttothis§10.DocumentBuilderGeneratedAeronauticsGrant.30.Sepli—originatedfromapprovedOSCGranttemplateRev1/12/liPage6of18
