Street,Suite216,Edwards,Colorado,81632,andEagleCounty,Colorado,apoliticalsubdivisionofthe stateofColoradobyandthroughitsBoardofCountyCommissioners(“Grantee”).WITNESSETH:WHEREAS,GrantoristhefeeownerofcertainrealpropertyknownasRivenvalkatEdwardsPhase8(OpenSpace),CountyofEagle,StateofColorado(the“Property”);andWHEREAS,Grantorhaspreviouslyconveyedapublictraileasement through thePropertytothepublicforthepurposeofapaved,non-motorizedrecreationaltrail; andWHEREAS,theColoradoDepartmentofTransportation(“CDOT”)isconstructingareconfigurationofaportionofthepaved,non-motorizedrecreationaltrailaspartofitsrevisiontothe EdwardsAccessRoad;andWHEREAS,GrantorwishestogranttoGrantee,andGranteewishestoobtainfromGrantor,aperpetualnon-exclusiveeasementover,under,acrossanduponaportionofthePropertyasdescribedanddepictedinExhibitAforpurposesofmaintainingthatportionofthepaved,non-motorizedrecreationaltrailthat CDOTconstructedthereconfigurationon theeasementforthebenefitofthepublic;andWHEREAS,inconsiderationofthe easementgrant,Granteewillmaintainthepaved,non-motorizedrecreationaltrailontheeasementforthebenefitofthepublic.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,andothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thepartiesheretoagreeasfollows:1.EasementGrant.Grantor,inconsiderationoftheimprovementstobemadebyGranteeandothergood andvaluableconsideration,thesufficiencyofwhichisherebyconfessedandacknowledged,herebygrantstoGrantee,anditssuccessorsandassigns,forthebenefitofthepublic,aperpetual,non-exclusiveeasementandright-of-wayon,over,under,acrossandthroughtheProperty,consistingofanareadescribedanddepictedinExhibitA(the“CountyEasement”)fortheconstruction,maintenance,operation,repair,replacementandusethereonofthepavednon-motorizedrecreationaltrail(the“Trail”),tohaveandtoholdthesame,togetherwithallandsingulartheappurtenancesandprivilegesthereunto,forproperuseandthebenefitoftheGrantee,itssuccessorsand assignsandthepublic,forsuchtimeastheCountymaintainstheCountyEasementfortheTrailusesdescribedinthisAgreement.TheCountyEasementismoreparticularlydescribedinExhibitAanddepictedonExhibitB,attachedheretoandincorporatedhereinbythisreference.Granteeacceptsthe CountyEasementinitsASIScondition.TheGrantorreservestherighttouseforitselfandtogranttoothers orthroughtheCountyEasement,providedthattheydonotunreasonablyinterferewithCounty’suseoftheCountyEasementandconstructionoftheTrail.2.Construction,MaintenanceandRepairofTrail.Granteeanditsagents,employeesandcontractorsmayentertheCountyEasementatanytimeduringtheperiodofthisAgreementtoconstruct,maintain,repairandreplacetheTrail.CDOT,astheGrantee’sagent,willconstructthereconfiguredTrail.GranteeshallmaintainandrepairtheTrailinamannerandbymeansinaccordancewithitsreasonablejudgment,atitsownexpense.MaintenanceandrepairoftheTrailmayincludetheadditiontoorremovalofpavementfromtheTrail,removalofrockorvegetation,weedcontrol,andmowingorcuttingofvegetationandplacementoferosioncontroldeviceswithintheCountyEasement.IntheeventthattheTrailisdamagedordestroyedbyGrantor,itsemployees,agentsandcontractors,GrantorshallberesponsibleforrepairandrestorationoftheTrailtoitsconditionpriortosuchdestructionordamage.3.PermittedUses.UseoftheTrailbythepublic,totheextentpermittedbytheCounty,islimitedtobicycles,pedestrians,wheelchairs,horsebackriders,andothernon-motorizedusersforpassiverecreationalpurposes(the“PermittedUses”).Nomotorizedvehicleusebythepublicwillbepermitted.NomotorizedvehicleuseshallbepermittedontheCountyEasementortheTrail,withtheexceptionofmotorizedvehicleusebytheGranteeorGrantor,theiragents,employeesandcontractors,asreasonablynecessaryforinspection,maintenanceandoperationoftheTrail,orforemergencyvehicleandemergencyaccessorasmayberequiredpursuanttotheAmericanswithDisabilitiesAct(“ADA”).NoparkingispermittedontheCountyEasementorontheTrailexceptintheeventofanemergencyorasmayberequiredbytheADA.ExceptwithrespecttomotorizedvehiclesoperatingpursuanttotheADA,allmotorizedvehiclesaccessingtheCountyEasementand/ortheTrailshallusewarningsignsorwarninglightsorwarningsoundstoalertTrailuserstotheirpresence,andshallnotobstructaccesstoorimpedeorinterferewiththereasonableuseoftheCountyEasementortheTrailforthepurposesdescribedherein.GranteemayinstallsignswithintheCountyEasementtomarktheTrailandtoidentifytheCountyEasementasbeingsubjecttothisAgreement,thesize,numberandlocationofwhichshallbesubjecttoGrantor’spriorreasonableapproval.4.Grantor’sRights.GrantorherebyreservestherighttousetheCountyEasementforallpurposesnotinconsistentwiththegrantoftheCountyEasementtoGrantee.Notwithstandingtheforegoing,Grantorshallnotplace,constructormaintainanystructureorimprovementon,over,under,acrossorabovethesurfaceoftheCountyEasementthatwouldunreasonablyobstructaccesstoorunreasonablyimpedeorinterferewiththeuseoftheTrail,theCountyEasementorthePermittedUses.5.Indemnification.Totheextentpermittedbylaw,GranteeshallindemnifyandholdharmlesstheGrantor,itssuccessorsandassigns,fromandagainstanyclaimofliabilityarisingfromactsoromissionsoftheGrantee,anditsemployees,agentsandcontractors,inconnectionwiththemaintenanceoftheTrailandthePermittedUsesauthorizedherein;provided,however,thatGranteedoesnotherebywaivetheimmunitiesandlimitationsprovidedundertheGovernmentalImmunityActoranysuccessorthereto.Notwithstandingtheforegoing,suchindemnityshallnotapplytoanydamages,liabilities,costsorexpensesincurredbyGrantorasaresultofGrantor’sownactsornegligence.Page2of6
