HomeMy WebLinkAboutC18-230 Eagle River Youth Coalition" DocuSign Envelope ID: 83881D16-7428-4F85-9840-1656790F03AE AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN EAGLE COUNTY, COLORADO AND EAGLE RIVER YOUTH COALITION THIS AGREEMENT ("Agreement") is effective as of , by and between Eagle River Youth Coalition, a Colorado nonprofit corporation (hereinafter "Consultant" or "Contractor") and Eagle County, Colorado, a body corporate and politic (hereinafter "County"). RECITALS WHEREAS, the County, through its Department of Public Health and Environment works to promote the health, safety and welfare of County residents of all ages; and WHEREAS, the County contracts with the State of Colorado, Department of Public Health and Environment for the purpose of continuing implementation of the Communities That Care model, which works to identify evidence-based or evidence-informed youth substance abuse prevention strategies and identify sustainable local or regional strategies for ongoing implementation of youth substance abuse prevention strategies; and WHEREAS, the County uses outside providers and professionals to enhance the ability of County to promote such health, safety and welfare; and WHEREAS, County desires to contract with the Consultant to continue to implement the Communities That Care model to reduce substance use among adolescents, as defined below in paragraph I; and WHEREAS, Consultant is authorized to do business in the State of Colorado and has the time, skill, expertise, and experience necessary to provide the Services; and WHEREAS, this Agreement shall govern the relationship between Consultant and County in connection with the Services. AGREEMENT NOW, THEREFORE, in consideration of the foregoing and the following promises Consultant and County agree as follows: 1.Services. Consultant agrees to diligently provide all services, labor, personnel and materials necessary to perform and complete the services described in Exhibit A ("Services") which is attached hereto and incorporated herein by reference. a.Consultant agrees to furnish the Services in accordance with the schedule established in Exhibit A. If no completion date is specified in Exhibit A, then Consultant agrees to furnish the Services in a timely and expeditious manner consistent with the applicable standard of care. and thetermsandconditionssetforthinthisAgreement,thetermsandconditionssetforthinthisAgreementshallprevail.c.ConsultantagreesthatitwillnotenterintoanyconsultingorotherarrangementswiththirdpartiesthatwillconflictinanymannerwiththeServices.2.County’sRepresentative.TheDepartmentofPublicHealthandEnvironment’sdesigneeshallbeConsultant’scontactwithrespecttothisAgreementandperformanceoftheServices.3.TennoftheAgreement.ThisAgreementshallcommenceuponthedatefirstwrittenabove,andsubjecttotheprovisionsofparagraph11hereof,shallcontinueinfullforceandeffectforaperiodofone(1)year.4.ExtensionorModification.ThisAgreementmaybeextendedforadditionaloneyearterms uponwrittenagreementoftheparties.NoadditionalservicesorworkperfonnedbyConsultantshallbethebasisforadditionalcompensationunlessanduntilConsultanthasobtainedwrittenauthorizationandacknowledgementbyCountyforsuchadditionalservicesinaccordancewithCounty’sintemalpolicies.Accordingly,nocourseofconductordealingsbetweentheparties,norverbalchangeorders,expressorimpliedacceptanceofalterationsoradditionstotheServices,andnoclaimthatCountyhasbeenunjustlyenrichedbyanyadditionalservices,whetherornotthereisinfact anysuchunjustenrichment,shallbethebasisofanyincreaseinthecompensationpayablehereunder.IntheeventthatwrittenauthorizationandacknowledgmentbyCountyforsuchadditionalservicesisnottimelyexecutedandissuedinstrictaccordancewiththis Agreement,Consultant’srightswithrespecttosuchadditionalservicesshallbedeemedwaivedand suchfailureshallresultinnon-paymentforsuchadditionalservicesorworkperformed.5.Compensation.CountyshallcompensateConsultantfortheperformanceoftheServicesinasumcomputedandpayableassetforthinExhibitA.TheperfonnanceoftheServicesunderthisAgreementshallnotexceed$80,000.Contractorshallnotbeentitledtobillatovertimeand/ordoubletimeratesforworkdoneoutsideofnormalbusinesshoursunlessspecificallyauthorizedinwritingbyCounty.a.ForreimbursementContractormustsubmitinvoicesmonthly.InvoicesshallincludeadescriptionofServicesperformed.IfCountyisnotsatisfiedwiththecompletenessofasubmittedinvoice,CountymayrequestContractortoeitherrevisetheinvoiceorprovideadditionalinformation.PaymentwillbemadeforServicessatisfactorilyperformedwithinthirty(30)daysofreceiptofaproperandaccurateinvoice.Allinvoicesshallincludedetailregardingpersonnelexpenses,grantallowableexpensesaslistedinExhibitA,andsuchotherdetailasCountymayrequest.Allinvoicesshouldbeemailedtophinvoices(i2eaglecounty.usbythelSofeachmonth.2EagleCountyFINSProfServFinal5/14 DocuSignEnvelopeID:838B1Dl6-7428-4F85-9840-l656790F03AEb.Anyout-of-pocketexpensestobeincurredbyConsultantandreimbursedbyCountyshallbeidentifiedonExhibitA.Out-of-pocketexpenseswillbereimbursedwithoutanyadditionalmark-upthereonandareincludedinthenottoexceedcontract amountsetforthabove.Out-of-pocketexpensesshallnotincludeanypaymentofsalaries,bonusesorothercompensationtopersonnelofConsultant.Consultantshallnotbereimbursedfor expensesthatarenotsetforthonExhibitAunlessspecificallyapprovedinwritingbyCounty.c.If,priortopaymentofcompensationorreimbursementforServicesbutaftersubmissiontoCountyofarequest thereforebyContractor,Countyreasonablydeterminesthatpaymentasrequestedwouldbeimproper becausetheServiceswerenotperfonnedasprescribedbytheprovisionsofthisAgreement,theCountyshallhavenoobligationtomakesuchpayment.If,atanytimeafterorduring thetermorafterterminationorexpirationofthisAgreement,CountyreasonablydeterminesthatanypaymenttheretoforepaidbyCountytoContractorwasimproper becausetheServicesfor whichpayment wasmadewerenotperformedassetforthinthisAgreement,thenupon written noticeofsuchdeterminationandrequestforreimbursementfromCounty,Consultantshallforthwith returnsuchpayment(s)toCounty.UponterminationorexpirationofthisAgreement,unexpendedfundsadvancedbyCounty,ifany,shallforthwithbereturnedtoCounty.d.AllfundsreceivedbyContractor underthisAgreementshallbeorhave beenexpendedsolelyforthepurposeforwhichgranted,andanyfundsnotsoexpended,includingfundslostordivertedforotherpurposes,shallbe returnedtoCounty.ContractorshallprovidetheCountywithprogressreportsupon County’s request;orContractorshallfurnishprogressreportsasmorespecificallysetforthintheattachedExhibitA.e.Countywillnotwithholdanytaxesfrom moniespaidtotheConsultanthereunder andConsultantagreestobesolelyresponsiblefortheaccuratereportingandpaymentofany taxesrelatedtopaymentsmadepursuanttothetermsofthisAgreement.f.Notwithstandinganythingtothecontrary containedinthisAgreement,CountyshallhavenoobligationsunderthisAgreementafter,norshallanypaymentsbemadetoConsultantinrespectofanyperiodafterDecember31ofany year,withoutanappropriation thereforbyCountyinaccordancewithabudgetadoptedbytheBoardofCountyCommissionersincompliancewith Article25,title30oftheColorado RevisedStatutes,theLocalGovernmentBudget Law(C.R.S. 29-1-101et.seq.) andtheTABORAmendment(Colorado Constitution,ArticleX,Sec.20).6.Sub-consultants. Consultant acknowledgesthatCountyhasenteredinto thisAgreementinrelianceupontheparticular reputationandexpertiseofConsultant.Consultantshallnotenterintoanysub-consultantagreementsfortheperformanceofanyoftheServicesoradditionalserviceswithoutCounty’spriorwrittenconsent,whichmaybewithheldinCounty’ssolediscretion. Countyshallhavetherightinitsreasonablediscretiontoapproveallpersonnelassignedtothesubjectproject duringtheperformanceofthisAgreementandnopersonneltowhomCountyhasanobjection,initsreasonablediscretion,shallbeassignedtotheproject.Consultantshallrequireeachsub-consultant,asapprovedbyCountyandtotheextentofthe Servicestobeperformedbythesub-consultant,tobeboundtoConsultantbythe termsofthisAgreement,andtoassumetoward Consultantalltheobligationsandresponsibilities3EagleCountyHHSProfServFinal5/14 DocuSignEnvelopeID:838B1Dl6-7428-4F85-9840-1656790F03AEwhichConsultant,bythisAgreement,assumestowardCounty.Countyshallhavetheright(butnottheobligation)toenforcetheprovisionsofthisAgreementagainstanysub-consultanthiredbyConsultantandConsultantshallcooperateinsuchprocess.TheContractorshallberesponsiblefortheactsandomissionsofitsagents,employeesandsub-consultantsorsub-contractors.7.Insurance.ConsultantagreestoprovideandmaintainatConsultant’ssolecostandexpense,thefollowinginsurancecoveragewithlimitsofliabilitynotlessthanthosestatedbelow:a.TypesofInsurance.i.Workers’Compensationinsuranceasrequiredbylaw.ii.intentionallyomitted.iii.CommercialGeneralLiabilitycoveragetoincludepremisesandoperations,personal/advertisinginjury,products/completedoperations,broadformpropertydamagewithlimitsofliabilitynotlessthan$1,000,000peroccurrenceand$2,000,000aggregatelimits.iv.ProfessionalliabilityinsurancewithprioractscoverageforallServicesrequiredhereunder,inaformandwithaninsurerorinsurerssatisfactorytoCounty,withlimitsofliabilityofnotlessthan$1,000,000perclaimand$2,000,000intheaggregate.Intheeventtheprofessionalliabilityinsuranceisonaclaims-madebasis,ConsultantwarrantsthatanyretroactivedateunderthepolicyshallprecedetheeffectivedateofthisAgreement.ContinuouscoveragewillbemaintainedduringanyapplicablestatuteoflimitationsfortheServices.v.IntentionallyOmitted.b.OtherRequirements.i.ThecommercialgeneralliabilitycoverageandsuchothercoverageasindicatedaboveshallbeendorsedtoincludeEagleCounty,itsassociatedoraffiliatedentities,itssuccessorsandassigns,electedofficials,employees,agentsandvolunteersasadditionalinsureds.ii.Consultant’scertificatesofinsuranceshallincludesub-consultantsasadditionalinsuredsunderitspoliciesorConsultantshallfurnishtoCountyseparatecertificatesandendorsementsforeachsub-consultant.Allcoverage(s)forsub-consultantsshallbesubjecttothesameminimumrequirementsidentifiedabove.Consultantandsub-consultants,ifany,shallmaintaintheforegoingcoverageineffectuntiltheServicesarecompleted.Inaddition,allsuchpoliciesshallbekeptinforcebyConsultantanditssub-consultantsuntiltheapplicablestatuteoflimitationsfortheServiceshasexpired.iii.InsuranceshallbeplacedwithinsurersdulylicensedorauthorizedtodobusinessintheStateofColoradoandwithan“A.M.Best”ratingofnotlessthanA-Vu.4EagleCountyl-IHSProfServFinal5/14 )DocuSignEnvelopeID:838B1Dl6-7428-4F85-9840-1656790F03AEiv.Consultant’sinsurancecoverageshallbeprimaryandnon-contributorywithrespecttoallotheravailablesources.Consultant’spolicyshallcontainawaiverofsubrogationagainstEagleCounty.v.Allpoliciesmustcontainanendorsementaffordinganunqualifiedthirty(30)days’noticeofcancellationtoCountyintheeventofcancellationofcoverage.vi.AllinsurersmustbelicensedorapprovedtodobusinesswithintheStateofColoradoandallpoliciesmustbewrittenonaperoccurrencebasisunlessotherwiseprovidedherein.vii.Consultant’scertificateofinsuranceevidencingallrequiredcoverage(s)isattachedheretoasExhibitB.Uponrequest,Consultantshallprovideacopyoftheactualinsurancepolicyand/orrequiredendorsementsrequiredunderthisAgreementwithinfive(5)businessdaysofawrittenrequestfromCounty,andherebyauthorizesConsultant’sbroker,withoutfurthernoticeandauthorizationbyConsultant,toimmediatelycomplywithanywrittenrequestofCountyforacompletecopyofthepolicy.viii.ConsultantshalladviseCountyintheeventthegeneralaggregateorotheraggregatelimitsarereducedbelowtherequiredperoccurrencelimit.Consultant,atitsownexpense,willreinstatetheaggregatelimitstocomplywiththeminimumlimitsandshallfurnishCountyanewcertificateofinsuranceshowingsuchcoverage.ix.IfConsultantfailstosecureandmaintaintheinsurancerequiredbythisAgreementandprovidesatisfactoryevidencethereoftoCounty,CountyshallbeentitledtoimmediatelyterminatethisAgreement.x.TheinsuranceprovisionsofthisAgreementshallsurviveexpirationortenriinationhereof.xi.ThepartiesheretounderstandandagreethattheCountyisrelyingon,anddoesnotwaiveorintendtowaivebyanyprovisionofthisAgreement,themonetarylimitationsorrights,immunitiesandprotectionsprovidedbytheColoradoGovernmentalImmunityAct,asfromtimetotimeamended,orotherwiseavailabletoCounty,itsaffiliatedentities,successorsorassigns,itselectedofficials,employees,agentsandvolunteers.xii.Consultantisnotentitledtoworkers’compensationbenefitsexceptasprovidedbytheConsultant,nortounemploymentinsurancebenefitsunlessunemploymentcompensationcoverageisprovidedbyConsultantorsomeotherentity.TheConsultantisobligatedtopayallfederalandstateincometaxonanymoneyspaidpursuanttothisAgreement.8.Indemnification.TheConsultantshallindemnifyandholdharmlessCounty,andanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountymaybecomesubjecttoinsofarasanysuchlosses,claims,damagesorliabilitiesariseoutof,directlyorindirectly,thisAgreement,orarebaseduponanyperformanceornonperformancebyConsultantorany5EagleCountyHHSProfServFinal5/14 DocuSignEnvelopeID:838B1Dl6-7428-4F85-9840-1656790F03AEEagleRiverYouthCoalitionMichelleStecher,ExecutiveDirectorPostOfficeBox4613Edwards,CO81632Telephone:970-949-9240E-Mail:mstecher@eagleyouth.org11.Termination.CountymayterminatethisAgreement,inwholeorinpart,atanytimeandforanyreason,withorwithoutcause,andwithoutpenaltythereforewithseven(7)calendardays’priorwrittennoticetotheConsultant.UponterminationofthisAgreement,ConsultantshallimmediatelyprovideCountywithalldocumentsasdefinedinparagraph9hereof,insuchformatasCountyshalldirectandshallreturnallCountyownedmaterialsanddocuments.CountyshallpayConsultantforServicessatisfactorilyperformedtothedateoftennination.V12.Venue,JurisdictionandApplicableLaw.Anyandallclaims,disputesorcontroversiesrelatedtothisAgreement,orbreachthereof,shallbelitigatedintheDistrictCourtforEagleCounty,Colorado,whichshallbethesoleandexclusiveforumforsuchlitigation.ThisAgreementshallbeconstruedandinterpretedunderandshallbegovernedbythelawsoftheStateofColorado.13.ExecutionbyCounterparts;ElectronicSignatures.ThisAgreementmaybeexecutedintwoormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichshallconstituteoneandthesameinstrument.ThepartiesapprovetheuseofelectronicsignaturesforexecutionofthisAgreement.OnlythefollowingtwoformsofelectronicsignaturesshallbepermittedtobindthepartiestothisAgreement:(i)Electronicorfacsimiledeliveryofafullyexecutedcopyofthesignaturepage;(ii)theimageofthesignatureofanauthorizedsignerinsertedontoPDFformatdocuments.Alldocumentsmustbeproperlynotarized,ifapplicable.AlluseofelectronicsignaturesshallbegovernedbytheUniformElectronicTransactionsAct,C.R.S.24-71.3-101to121.14.OtherContractRequirements.a.InrenderingtheServiceshereunder,Contractorshallcomplywiththehigheststandardsofcustomerservicetothepublic.Contractorshallprovideappropriatesupervisionofitsemployeestoensurethemaintenanceofthesehighstandardsofcustomerserviceandprofessionalismaremaintained.TheperformanceofsuchobligationshallbedeterminedatthesolediscretionofCounty.IntheeventCountyfindsthesestandardsofcustomerservicearenotbeingmetbyContractor,CountymayterminatethisAgreement,inwholeorinpart,uponseven(7)days’noticetoContractor.b.ConsultantshallberesponsibleforthecompletenessandaccuracyoftheServices,includingallsupportingdataorotherdocumentspreparedorcompiledinperformanceoftheServices,andshallcorrect,atitssoleexpense,allsignificanterrorsandomissionstherein.ThefactthattheCountyhasacceptedorapprovedtheServicesshallnotrelieveConsultantofanyofitsresponsibilities.ConsultantshallperformtheServicesinaskillful,professionalandcompetentmannerandinaccordancewiththestandardofcare,skillanddiligenceapplicabletoConsultantsperformingsimilarservices.ThisparagraphshallsurviveterminationofthisAgreement.7EagleCountyHHSProfServfinal5/14 DocuSignEnvelopeID:838B1Dl6-7428-4F85-9840-l656790F03AEc.ConsultantrepresentsandwarrantsthatithastheexpertiseandpersonnelnecessarytoproperlyperformtheServicesandcovenantsthatitsprofessionalpersonnelaredulylicensedtoperformtheServiceswithinColorado.d.Consultantagreestoworkinanexpeditiousmanner,withinthesoundexerciseofitsjudgmentandprofessionalstandards,intheperfonnanceofthisAgreement.TimeisoftheessencewithrespecttothisAgreement.e.ThisAgreementconstitutesanagreementforperformanceoftheServicesbyConsultantasanindependentcontractorandnotasanemployeeofCounty.NothingcontainedinthisAgreementshallbedeemedtocreatearelationshipofemployer-employee,master-servant,partnership,jointventureoranyotherrelationshipbetweenCountyandConsultantexceptthatofindependentcontractor.ConsultantshallhavenoauthoritytobindCounty.f.ConsultantrepresentsandwarrantsthatatalltimesintheperformanceoftheServices,Consultantshallcomplywithanyandallapplicablefederalandstatelaws,codes,rulesandregulations.g.ContractorshallcomplywiththeCivilRightsActof1964andSection504,RehabilitationActof1973,concerningdiscriminationonthebasisofrace,color,sex,age,religion,politicalbeliefs,nationaloriginorhandicap.h.ThisAgreementcontainstheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallotheragreementsorunderstandingbetweenthepartieswithrespectthereto.i.ConsultantshallnotassignanyportionofthisAgreementwithoutthepriorwrittenconsentoftheCounty.AnyattempttoassignthisAgreementwithoutsuchconsentshallbevoid.j.ThisAgreementshallbebindinguponandshallinuretothebenefitofthepartiesheretoandtheirrespectivepermittedassignsandsuccessorsininterest.EnforcementofthisAgreementandallrightsandobligationshereunderarereservedsolelyfortheparties,andnottoanythirdparty.k.Nofailureordelaybyeitherpartyintheexerciseofanyrighthereundershallconstituteawaiverthereof.Nowaiverofanybreachshallbedeemedawaiverofanyprecedingorsucceedingbreach.1.Theinvalidity,illegalityorunenforceabilityofanyprovisionofthisAgreementshallnotaffectthevalidityorenforceabilityofanyotherprovisionhereof.m.Consultantshallmaintainforaminimumofthreeyears,adequatefinancialandotherrecordsforreportingtoCounty.Consultantshallbesubjecttofinancialauditbyfederal,stateorcountyauditorsortheirdesignees.Consultantauthorizessuchauditsandinspectionsofrecordsduringnormal8EagleCountyHHSProfServFinal5/14
