HomeMy WebLinkAboutC18-121 Eagle River Water and Sanitation District - Stillwater PUDEagleCounty,Co201807833ReginaO’Brien05/08/2018Pgs:1712:57:49PMREC:$0.00DCC:$0.00SUBDIVISIONANDOFF-SITE IMPROVEMENTSAGREEMENTSTILLWATERPUIFileNo.PDF-741t)THISSUBDIVISIONANDOFF-SITEIMPROVEMENTSAGREEMENT(‘Agreement”)madeandenteredintothis05/08/2018,byandbetweentheEagleRiverWaterandSanitationDistrict,abodycorporateandpolitic(hereinafter“Subdivider’”)andtheCountyofEagle,StateofColorado(hereinafter“County”).WITNES SET HWHEREAS,theSubdivider,asaconditionofapprovaloftheFinalNatoftheStillwaterP.U.D.(hereinafterreferredtoas“Subdivision”),desiresanAgreementasprovidedforbytheLandUseRegulationsofEagleCounty,Colorado,1999,asamended(“hereinafterreferredtoas“LandUseRegulations”)Chapter11,Section5-280.B.5.e.andC.RS.§30-28-137;andWHEREAS, pursuanttothesameauthority,theStibdividerisobligatedtoprovidesecurityor collateralsufficientinthejudgmentoftheCountytomakereasonable provisionsforcompletionofcertainpublicimprovements(the“SubdivisionImprovements”)andlandscapingimprovements (“Landscape Improvements”)asreferencedintheattachedExhibitA;andWHEREAS.asaconditionofapprovalofthefinalplatofthisSubdivision,theSubdividerisobligatedtoprovidesectirityandcollateralsufficientinthejudgmentoftheCountytomakereasonable provisionforcompletionoftheSubdivisionImprovements,includingbut notlimitedtocertainoff—siteroadimprovementsforHighway6,andtheLandscapeImprovementsherein;andWHEREAS, pursuanttoChapterII,Section4-620.9oftheLandUseRegulationsandC.R.S.43-2-147,theSubdividershallprovideaccessforalllotsandparcelsitcreatestothestatehighwaysysteminconformancewiththeStateHighwayAccessCode.NOW.THEREFORE.inconsiderationofthepremisesandthecovenantsandagreementshereincontainedtobekeptandperformedbythepartieshereto,itisherebyunderstoodandagreedasfollows:I.SUBDIVISiONiMPROVEMENTS..1SubdivisionImprovements.StibdivisionImprovementsaredeemedtoincludeallpublicimprovements,incitidingbutnotlimitedtoimprovements containedintheCommonParkandRecreationAreas(definedbelow)andoff—siteimprovementsassetforthinalldocuments,constructiondrawings,designs,maps,specifications,sketches,costestimatesandother materialssubmittedbytheSubdivider priortooratfinalplatapprovalandacceptedbytheCounty.SuchSubdivisionImprovementsshallincluderoads, utilitiesandothersimilarpublicimprovementsassetforthinExhibitA.C18-121
1.2ScopeofWork.TheSubdividerherebyagrees,atitssolecostandexpense,tofurnishallnecessaryequipmentandmaterials,andtocompleteallSubdivisionImprovementsandLandscapeImprovementsasreferencedintheattachedExhibitA.andassetforthinalldocuments,constructiondrawings,designs,maps,specifications,sketches,andothermaterialssubmittedbytheSubdividerpriortooratfinalplatapprovalandacceptedbytheCounty,andinaccordancewithalllawsoftheUnitedStatesofAmerica,Stateof’Colorado,CotintyofEagle.andtheirrespectiveagenciesandaffectedgovernmentalentities.Suchperformanceshallincludeacquisitionofallnecessaryrights-of-wayandeasements.1.3DutiesofSubdivider.forthoseSubdivisionImprovementsrequiredherein,includingbutnotlimitedtothereconstructionandphysicalimprovementofthatportionofanyroadsubjecttothisAgreement,theSubdividershallretainanengineerwhosedutiesshallincludeconstructionstaking,observationofconstructionforconformancetotheapprovedplansandspecifications,andmaterialssampling,testingandinspectionusingtheColoradoDepartmentofHighways2018FieldMaterialsManualasagtiideforfrequencyofsamplingandtesting.1.3.1ConstructionStaking.Whereapplicableandbywayofexampleonly,thefollowingisahighlightingoftheconstructionstakingthatwillberequiredoftheSubdivider:a.Roadway-horizontalandverticalcontrolevery5()feetorevery25feetincriticalareas,specificallyincluding:-slopestaking—pointsofcurvature—pointsoftangency—filletradiuspoints-cuIverts—transitionpointsforsuper-elevation-finishedsub-grade-finishedgravelb.Water.Sewer.andOtherUtilities-horizontalandverticalcontrolevery100feet,orevery50feetincriticalareas.1.3.2Testing.Whereapplicableandbywayofexampleonly,thefollowingisahighlightingoftheacceptancetestingthatwillberequiredoftheSubdivider:a.Utilityanddrainageculverttrenchbackfillunderroadwayprisms—onedensitytestper200C.Y.ofbackfilloraminimumofonetestperroathvaycrossing.Thiswillrequiredailyvisitstothesitebyatestinglaboratorywhentitilitiesordrainageculvertsarebeingbackfihledwithintheroadwayprism.b.Emhankrnentsforroadways-onedensitytestper2,000C.Y.ofanyadditionalembankment(s):andonedensitytestper500C.Y.whenwithin100feetofbridgeapproaches.”
c.Finishedsiih-zrade—onedensitytestper250linealfeetofroadway.U.Aggregatebasecourse-onein-placedensityper250iinealfeetofroadway,anderadationandAtterhergLimitstestper2000tonsofaiegatebasecourse.e.HotBituminousPavementtwoasphaltcontent,radationandin—placedensitytestsperday’sProdttction.f.ConcreteCurbandGutter.SideilksandBikepaths—testsforaircontent.slumpandcompressivestrengthper50C.Y.ofconcreteplacedorminimumofonesetoftestsperday.1.3.3Notification/RidConstruction.SubdividerorhisEngineershallnotifytheEagleCountyEngineerforthePUI1)OSCofarranginganon—siteinspectionnolessthanforty—eight(48)hoursinadvanceofthefollowiiwstagesofroadconstruction:I)Finishedsuhiradc2)FinishedAgregateBaseCourse3)AsphaltPlacement.4)Concrete—CtirbandGutter.SidewalksandBikepathsTheCountyEngineershallmakeanon—sitevisitwithintheforty—eight(48)hoursnotificationperiodfortheixirposeofobservingproofrollsonitems1)and2)aboveandforgeneralobservationofconstructionmethodsbeingemployedatthesestages.Saidon—siteinspectionbytheEagleCountyEngineershallinnowayabrogatethedutiesoftheSubdivideroutlinedelsewhereinthisAgreement.TheSubdividershallprovidetheproofrollingbyarrangingforaloadedsingleunittruckcarrying18,000poundsperrearaxle.1.3.4WitnessingofWaterandSewerLaterals.ItisessentialthattheendsoftheselateralsbewitnessedbytheSubdivider’sengineertoaminimumofthreedivergentpointsandapermanentrecotdmadeofthesame.CopiesoftheserecordsarerequiredtobefurnishedtotheEagleCountyEngineerpriortoacceptanceoftheSubdivisionimprovementsbytheCounty.Inadditiontowitnessingofthehorizontallocationoftheselaterals,averticalwitnessshallberequired.Horizontalwitnessingshallbetopropertycc)rners,firehydrants.manholes,andother“permanent”features.Verticalwitnessingshallbebasedondepthbelowgroundandelevationbasedonadatumusedforthesubdivision.Benchmarksshallbeshownonwitnessrecords.1.3.5TestReports.Mitestreportsshallbeconsecutivelynumbered.withcopiesfurnisheddirectlytotheEagleCountyEngineerfromthelaboratoryastheyarereportedtotheSubdivideroritsengineer.1.3.6As—BuiltRecordDrawingsofSubdivisionImprovements.As—Built,recorddrawings,sealed,signedanddatedbyaRegisteredProfessionalEngineershowingtheas-constructedhorizontalandverticallocationsofSubdivisionImprovementsshallbesubmittedto3
theEagleCountyEngineerpoortocompletionofthetwoyearwarrantyperiodandthefinalreleaseofSubdivisionImprovementsCollateralbytheCounty.Thisshallincludeas—builtdratvingsinanelectronicformacceptabletotheCountyEngineer.1.3.7AffidavitofMonumentation.AnAffidavitofMontltnentatic)nsealed.signedanddatedbyaRegisteredProfessionalLandSurveyorstatingthatthesubdivisionhasbeenmonumentedinaccordancewith§38-51—105,C.R.S.,andChapterII,Section5—280.5.a(1)(a)oftheLandUseRegulationsshallheprovidedtotheEagleCountyEngineerpriortt)theacceptanceoftheSubdivisionImprovementsbytheCounty.1.4CompliancewithColoradoDepartmentofHihwavsAccessCode.SubdividershallprovidetheCountywithdesignsincompliancewiththeColoradoDepartmentofHighwaysAccessCodeforallroadimprovements.1.5DateofCompletion.AllSubdivisionImprovementsshallhecompletedpriortoAugust1.2t)19.1.6ApprovalandAçptanceofWork.1.6.1Copiesofalltestresultscorrespondingtoworkwhichisbeinginspectedandanyotherinformationwhichmaybenecessarytoestablishthesatisfactorycompletionoftheworkforwhichinspectionisrequestedmustbesubmittedp°’tosaidinspection.AllsuchinformationshallbeaceompamedbyaletterfromtheSubdivider’sengineerverifyingthesatisfactorycompletionoftheworkperformedtodate.1.6.2NotwithstandingSection1.3.3above,promptlyafterreceivingarequestforinspectionandthereclwreddoctimentation,theCountyEngineershallreviewtheinformationpresentedand,i1necessary,makeanon—siteinspectionoftheworkcompleted.1.6.3AllsaidWorkshallbedonetothereasonablesatisfactionoftheCotintyEngineerand/ortheCotintyDepartmentofCommtmityDevelopment,andshallnotbedeemedcompletetintilapprovedandacceptedascompletebytheCounty.1.7EstimatedCostsofStibdivisionImprovements.ThetotalestimatedcostoftheStibdivisionImprovements,includingCommonParkandRecreationAreaimprovements,isthesumof$237,404.42,assetforthonExhibitA.TosecttreandguaranteeperformanceofitsobligationsassetforthinthisSection1,includingthecompletionoftherequiredSubdivisionimprovements,theSubdividerherebyagreestoprovidesecurityandcollateralfortheSubdivisionImprovementsintheformandassetforthinSection2,below.1.8TrafficControlPlan.SubdivideragreestosubmitatrafficcontrolplantobeapprovedbytheEagleCountyEngineeringDepartmentpriortoanyworkcommencing.1.9CommonParkandRecreationAreas.SubdivideragreestosubmitaCommonOpenSpace,ParkandRecreationAreaPlantobeapprovedbytheCountyDepartmentofCommunityDevelopmentpriortoapprovaloffinalplat.4
1.10LandscapePlan.Subdivide]hassubmitl.edalandscapeplantotheCountyDepartmentofCommunityDevelopmentwhichcomplieswiththeLandUseRegulations,Section4—240,InstallationandMaintenanceRequirements.TheSubdivideragreestoabidebythelandscapeplanapprovedbytheCountyDepartmentofCommunityDevelopment(the“LandscapePlan”).TheestimatedcostoftheLandscapeImprovementsisthesumof$308,519.62,assetforthonExhibitA.TosecureandguaranteeperformanceofitsobligationstoinstalltheLandscapeImprovementsassetforthinthisSection1.10,includingthecompletionofthereciuiredLandscapePlan,theSubdividerherebyagreestoprovidesecurityandcollateralfortheLandscapeImprovementsintheformandassetforthinSection2,below.1.11MaintenanceofSubdivisionandjlscapelmpmvements.TheSubdivider,propertyownerand/orfuturehomeownersassociationshallberesponsibleforthemaintenance,repairandreplacementoftheSubdivisionImprovementsandtheLandscapeImprovements,withtheexceptionoftheECOTrail.2.SECURITYandCOLLATERAL.2.1SubdivisionimprovementsCollateral.ThesecurityandcollateralfortheSubdivisionimprovementsrequiredinSection1.7assectirityforthe1)erfOrrnancebyStibdividerofitsobligationstinderthisAgreement,shallbeintheamountof$237,404.42(the“SubdivisionImprovementsCollateral”).Priortotheissuanceofanygradingorbtiildingpermitsfororcommencementofconstructionoi:anyoftheSubdivisionImprovements,theSubdividerwillprovidetheCountywiththeSubdivisionImprovementsCollateralintheformofacashdeposittobeheldbytheEagleCountyTreasurer.TheCountymayholdtheSubdivisionImprovementsCollateralintheCounty’sgeneralfunds,oraseparateaccotint,butmaynotuseordrawagainsttheSubdivisionImprovementsCollateralforanypurposeotherthanassetforthinthisAgreement.2.2PartialReleaseofSubdivisionimprovementsCollateral.SubdividermayapplytotheCountyforthereleaseofportionsoftheSubdivisionImprovementsCollateralbaseduponworkcompletedinaccordancewiththisAgreement.Tomakesuchreleases,SubdividershallrequesttheCountyEngineertoinspecttheworkinordertoverifysatisfactorycompletioninaccordancewithplansandspecificationsinaccordancewithSection1.6.2.3FinalReleaseofSubdivisionImprovementsCollateral/Warranty.Withinthirty(30)daysafterSubdividerhasinstalledalloftherequiredSubdivisionImprovementsandtheworkhasbeenapprovedandacceptedbytheCounty,theentireremainingamountoftheSubdivisionImprovementsCollateral.lessanamountequaltotenpercent(10%)oftheoriginalSubdivisionImprovementsCollateral,shallbereleased.SubdividershallberesponsiblefortheconditionoftheSubdivisionImprovementsforaperiodoftwoyearsaftercompletion;thisshallbeguaranteedeitherthroughtheretentionof10%ofthetotalSubdivisionImprovementsCollateral,assetforthinthisSection2.3.orSubdividermayprovideasubstituteformofSubdivisionImprovementsCollateralassetforthinSection2.4below.
2.4StibsfltutionofSubdivisionImprovementsCollateral.TheSubdividermayatanytimesubstitutetheStibdivisionimprovementsCollateraloriginallydepositedwiththeCotintyherein,foranotherformofcollateralacceptabletotheCountyAttorney,toguaranteethefaithfulcompletionoftheSubdivisionImprovementsreferredtohereinandtheperformanceofthetermsofthisAgreement.Atthetimeofsubstitutionofcollateral,aninflationaryand/ordeflationaryfactorbasedtipontheDenver-Boulder,ColoradoConsumerPriceIndexforAllUrbanConstimers,Allltenm(1967=100)publishedbytheU.S.BurcatiofLaborStatistics,303-$37-2467,or,alternatively,anapprovedconstructioncostindex,shallbeusedtodetermineanadjustedestimatedcostforallSubdivisionImprovementsasdescribedherein,andcollateralshallbesubmittedbytheSubdividerinaccordancetherewith.2.5Draws.DrawsagainsttheSubdivisionImprovementsCollateralshallonlybemadeasdirectedbywrittenResolutionoftheCounty,statingthattherehasbeenanEventofDefault(definedbelow)tinderthisAgreementandthatasumcertainisreqLlirecltoremedythedefault.AnyamountdrawnontheSubdivisionImprovementsCollateralmustbeappliedforthel)tIfP0SofcompletingtheworkrequiredbythisAgreementandrelatedexpensesandcosts.2.6EventsofDefault.Thefollowingeventsshallbedeemed“EventsofDefault,”entitlingtheCountytodrawontheCollateral:2.6.1IfSubdividerhasnotcompletedtheworkrecjui,redbythisAgreementwithinthirty(30)dayspriortotheDateofCompletionsetforthherein,theCountymay,afterten(It))workingdayswrittennoticetoSubdivider,drawupontheSubdivisionImprovementsCollateralanamountsufficienttocompletesaidworkandcompensatetheCountyforitsreasonablecostsandexpensesrelatedtosaiddraw.2.6.2IntentionallyOmitted.2.6.3IftheSubdivisionImprovementsCollateralissubstituted,asotherwiseprovidedherein,thisAgreementmaybeamendedormodifiedinordertosetforthspecificEventsofDefaultdeemednecessary,intheCounty’ssolediscretion,commensuiratewiththetypeofcollateralsttbstituted.2.7CostsandExpenses.Subdivideragreestopayanycostsandexpenses,inclttdingbutnotlimitedtolegalfees,whichtheCountymayincurindeterminingtoacceptcollateral,indrawingupontheSubdivisionImprovementsorLandscapePlanCollateral(definedbelow),orinaccomplishinganextensionofitsexpiration.2.8LandscapePlanCollateral.2.8.1PriortotheCounty’sissuanceofanydevelopmentpermitfortheStibdivision,SubdivideragreestoprovidetheCountytheLandscapePlanCollateralintheformofacashdeposittobeheldbytheEagleCountyTreasttrertoensuretheLandscapeImprovementswillbeinstalledaccordingtotheapprovedLandscapePlan.TheCountymayholdtheLandscapePlanCollateralintheCounty’sgeneralfunds,oraseparateaccount,butmaynotuseordrawagainsttheLandscapePlanCollateralforanypurposeotherthanassetforthinthisAgreement.SubdivideragreestoprovidetheLandscapePlanCollateralfornolessthanone6
hundredandtwenty—fivepercent(125%)oftheestimatedcostoftheLandscapeImprovementslistedintheapprovedLandscapePlan,basedonthecostestimateprovidedbytheStibdividerandapprovedbytheCounty,assetforthinExhibitBandSection2.1.above.TheLandscapePlanCollateralshallbeintheamountof$385,649.53.2.8.2AsportionsoftheLandscapeImprovementsarecompleted,theCommunityDevelopmentDirectorshallinspectthem,anduponapprovalandacceptance,shallauthorizethereleasefromtheLandscapePlanCollateraloftheagreedestimatedcostforthatportionoftheLandscapeImprovements,exceptthattenpercent(10%)shallbewithhelduntilallproposedLandscapeImprovementsarecompletedandapproved,andanadditionaltwenty—fivepercent(25%)shallberetaineduntiltheLandscapeImprovementshavebeenmaintainedinasatisfactoryconditionfortwo(2)years.2.8.3FollowinuinstallationofalloftheLandscapeImprovements,theSubdividershallcertifythelandscapinghasbeeninstalledinconformancewiththeapprovedLandscapePlan.Tenpercent(10%)oftheLandscapePlanCollateralshallbereleasedwithinten(10)workingdaysfollowingreceiptofthecertificationandinspectionbytheCounty.Twenty—fivepercent(25%)oftheLandscapeCollateralshallbereleasedwithinten(10)workingdayslollowingreceiptofcertificationandinspectionbytheCotintythattheLandscapeImprovementshavebeenmaintainedinasatisfactoryconditionfortwo(2)years.2.8.4intheeventtheLandscapeimprovementscontainedinthecostestimateapprovedbytheCountyarenotinstalledorareinstalledinamannerthatdoesnotconformwiththeapprovedLandscapePlan.theCountymaydrawontheLandscapePlanCollateralpursuanttoSections2.5and2.6abovetobringtheLandscapeimprovementsintoconformancewiththeapprovedLandscapePlan.3.INSURANCEandINDEMNIFICATION.3.1CertificatesofInsurance.TheSubdividershallsecurefromanycontractororsubcontractorengagedintheworknecessarytocomplywiththisAgreementaCertificateofInsuranceprovidingforliabilityprotectionintheminimumamountof$350,000perindividualand$999.000peroccurrence,namingtheCotintyasanadditionallynamedinsured.TheSubdivider,ifitservesasthecontractorfortheSubdivisionImprovements,shallprovideinsuranceinthesameformandamountsasrequiredofthegeneralcontractor.SaidlimitsshallbeadjtistedtocomplywithanychangedlimitsinheColoradoGovernmentalImmunityAct,Title24,Article10,ColoradoRevisedStatutes.3.2CountyincursNoLiability.TheCountyshallnot,norshallanyofliceroremployeethereof.beliableorresponsibleforanyaccident,lossordamagehappeningoroccurringtotheStibdivisionand/orSubdivisionimprovementsspecifiedinthisAgreementpriortothecompletionandacceptanceofthesame;norshalltheCounty,noranyofficeroremployeethereof,beliableforanypersonsorpropertyinjtiredordamagedbyreasonsofthenatureofsaidworkontheSubdivisionImprovements,hutallofsaidliabilitiesshallheandareherebyasstimedbytheSubdivider.NothinginthisAgreementshallconstittiteawaiverbytheCountyofitsgovernmentalimmunityunderStateorFederalcommonlaworstatute.7
3.3GovernmentalImmunity.SubdividerandtheCountyareeachrelyingonanddonotwaiveorintendtowaivebyanyprovisionofthisAgteernent,themonetarylimitationsoranyotherrights,immunities,defensesandprotectionsprovidedbytheColoradoGovernmentalImmunityAct,§24—10-101etseq.,C.R.S.,asfromtimetotimeamended,orotherwiseavailabletoSubdividerandCountyortheirofllcersoremployees.4.GENERALPROVISIONS.ThefollowingshallapplytoallSubdivisionimprovements,includingoff—siteimprovements,setforthinthisAireement:4.1CompliancewithLandUseRegulations.TheSubdividershallberequiredtoobtainallnecessarypermitsandcomplywiththe1)rovisionsoftheLandUseRegulations,includingbutnotlimitedtotheRegulationsforConstructionwithinthePtiblicWaysofEagleCounty(ChapterV),asthesameareineffectatthetimeofcommencementofconstrttctionoftheSubdivisionImprovementsreferredtoherein.4.2SubdivisionimprovementAgreementControls.intheeventofanyinconsistencyorincongruitybetweentheprovisionsofthisAgreementandtheLandUseRegulations,theprovisionsofthisAgreementshallinallrespectsgovernandcontrol.4.3WarrantiesandGuarantees.Thereshallbeatwo—yearcorrectionperiod,orsuchlongerperiodasmaybeprescribedbylaw,fromthetimeofcompletionoftheSubdivisionimprovementsduringwhichtimetheSubdividershallpromptlycorrectorremoveandreplace,inaccordancewiththeCounty’swritteninstructions,defectivetvorkormaterialsandconsequencesthereof.Repairorreplacementmadeunderthetwo—yearcorrectionperiodshallbearanadditionalone—yearcorrectionperiodfromtheacceptanceofthetepairorthereplacementbytheEagleCounty‘Engineer.TheworkshallbecollateralizedduringthecorrectionieriodinanamountandtypeofcollateralasshallbereasonablydeterminedbytheCounty.Theworkshallheinspected,attherequestoftheSubdivider,nolessthansixty(60)dayspriortoexpirationoftheone—yearadditionalcorrectionperiod,andanydeficienciesshallbenotedtotheSubdivider.4.4ApprovalofFmaiPlat.TheCountyagreestotheapprovaloftheFinalPlatofthisSubdivision,subjecttothetermsandconditionsofthisAgreement.4.4.1finalPlatAmendments.Wherefieldchangesorothercircumstanceshavecausedtheroad,utilities.orotherSubdivisionImprovementstobeconstructedinlocationsdifferentfromthoseshownontheapprovedplans,thelocationsofrights—of—tvay,easements,lotlines,buildingenvelopes,setbacklines,orotherattribtitesshownontheFinalPlatshallbeamendedasnecessarytocomplywithFinalPlatrequirementsoftheLandUseRegulations4.5AmendmentandModification.ThepartiesheretomutuallyagreethatthisAgreementmaybeamendedormodifiedfromtimetotime,providedthatsuchamendmentormodificationbeinwritingandsignedbyallpartieshereto.$
4.6Assignability.ThisAgreementshallbeenforceableagainsttheSubdividet.provided,however,thai.intheeventtheSubdividersells,transfersorassignsallorpartofthesubjectSubdivision,theobligationsoftheSubdividerunderthisAgreementastothatj)ortionofthesubjectStibdivisionmaybeassumedinwritingbythepurchaseroftheparcel,andtheSubdividershallhavenofurtherobligationshereunder.Itisagreed,however,thatnosuchasstlmptionoftheseobligationsshallbeeffectiveunlesstheCountygivesitspriorwriLtenapprovaltostichassttmptionfollowinganinvestigationofthefinancialconditionofthepurchaser.TheSubdividershallnototherwiseassign,transfer.convey.pledgeorotherwisedisposeofthisAgreementwithoutpriorwrittenconsentoftheCounty,whichconsentshallnotbeunreasonablywithheld.4.7BindinguponSuccessors.ThisAgreementshallinuretothebenefitofandbebindinguponthepartieshereto,theirrespectivesuccessors,andassigns.4.8SoleResponsibilityofStibdividirtoCounts’Acceptance.ItisfurtheragreedandunderstoodthatatalltimespriortothecompletionandacceptanceoftheoH—siteSubdivisionImprovementssetforthhereinbytheCotintv,eachofsaidimprovementsnotacceptedascompleteshallbeunderthesoleresponsibilityandchargeoftheSubdivider.WheniiisnecessarytoallowthegeneralpublictoutilizetheroadwaystinderconstructionbytheSubdivider,trafficcontrolandwarningdevicesshallbeplaceduponsuchroadwaysbytheStibdividerinaccordancewiththeManualonUniformTrafficControlDevicesforStreetsandHighwaysaspreparedbytheU.S.DepartmentofTransportation,federalHighwayAdmimstration.4.9NoRightstoThirdParties.ThisAgreementdoesnotandshallnotbedeemedtoconferuponorgranttoanythirdpartyanyrighttoclaimdamagesortobringanylawsuit,actionorotherproceedingsagainsteithertheCountyoritsofficers,employeesoragentsbecauseofanybreachhereoforbecauseofanyterms,covenants,agreementsorconditionscontainedherein.4.10Notice.NoticerequiredptlrsuanttothtermsofthisAgreementshallhedeemedgivenonthedaythatthesameisplacedintheUnitedStatesMails,postageprepaid,certifiedorregisteredmail,returnreceiptrequested.4.11EnforcementandAttorneyFees.TheCountymayenforcetheprovisionsofthisAgreementinthesamemannerandwiththesameremediesapplicabletotheenforcementoflanduseregulationspursuanttotheLandUseRegtilations,astheymaybeamended1mmtimetotime.orasotherwiseprovidedbylaw.Alternatively,thetermsofthisAgreementmaybeenforceablebytheBoardoritsdesigneebyanyappropriateequitableorlegalaction,includinghutnotlimitedtospecificperlormince.mandamus,abatementorinjunction.Theremediesexplicitlyprovidedhereinarecumulative,andnotexclusive,ofallotherremediesprovidedbylaw.TheprevailingLart’inanyactionbroughtpertainingtothisAgreementshallbeentitledtoanawardofcostsandreasonableattorneytees.9
