Inc.C9?6.560CCAGREEMENTFORMAGNESIUMCHLORIDETHISAGREEMENTisdatedasofthe27THdayofFEBRUARY,1997,byandbetweenEagleCounty,Colorado,abodycorporateandpolitic,actingbyandthroughitsBoardofCountyCommissioners(hereinaftercalled‘Owner”),and__________HARRY’SHEAWHAULERS,INC(hereinaftercalled‘Contractor’)OwnerandContractor,inconsiderationofthemutualcovenantssetforth,agreeasfollows:ARTICLE1-WORKContractorshallcompleteallworkasspecifiedorindicatedintheContractDocuments(“Work”).TheWorkisgenerallydescribedas:CONTRACTORSHALLDELIVERANDAPPLYDUSTSTABILIINGANDCONTROLAGENT,MAGNESIUMCHLORIDEONLY,INLIQUIDFORM10EAGLECOUNTh”ROADWAYSASSPECIFIEDINEXHIBIT“A”whichisaffachedheretoandincorporatedbythisreference.CONTRACTORSHALLPROVIDEACHEMICALANALYSISOFTHEAGENTANDPROVIDEANDINDEPENDENTLABORATORYANALYSISOFEACHTANKERDELIVERY.ARTICLE2-OWNER’SREPRESENTATIVETheProjectisundertheauthorilyoftheEagleCountyRoad&BridgeDepartment,theDirectorofwhich,orhisdesignee,shallbeOwner’sliaisonwithContractorwithrespecttotheperformanceoftheWork,ARTICLE3-CONTRACTTIME3.1TheWorkwillbecompletedandreadyforfinalpaymentinaccordancewiththeContractDocumentsonorbeforeOctober31,19973.2LIQUIDATEDDAMAGES:OwnerandContractorrecognizethattimeisoftheessenceofthisAgreementandthatOwnerwillsufferfinanciallossiftheWorkisnotsubstantiallycompletewithinthetimespecifiedinparagraph3.1above,plusanyexlensionsthereofallowedinaccordancewiththeGeneralConditions.Theyalsorecognizethedelays,expense,anddifficultiesinvolvedinprovingalegalorarbitrationproceedingtheactuallosssufferedbyOwneriftheWorkisnotsubstantiallycompleteontime,Accordingly,insteadofrequiringsuchproof,OwnerandContractoragreethatasliquidateddamagesfordelay(butnotasapenalty)ContractorshallpayOwnerThreeHundreddollars($300.00)foreachdaythatexpiresafterthetimespecifiedinparagraph3.1forcompletionuntilTheWorkiscomplete.AgreementPage1 CCARTICLE4-CONTRACTPRICE4.1Thefundsappropriatedforthisprojectateequaltoorinexcessofthecontractamount.4,2OwnershallpayContractorforperformanceoftheWorkinaccordancewiththeContractDocumentsincurrentfundsasfollows:$2359/gallonor$131,768.79totalcontractprice(+,-)4.2Pursuanttotheprovisions§24-91-103.6,C.R.S.,andnotwithstandinganythingtothecontrars,fcontainedelsewhereintheContractDocuments,nochangeorderorotherformoforderordirectivebyOwner,andnoamendmenttothisAgreement,requiringadditionalcompensableworktobeperformedwhichworkcausestheaggregateamountpayableundertheAgreementtoexceedtheamountappropriatedfortheoriginalAgreement,shallbeofanyforceoreffectunlessaccompaniedbyawriffenassurancebyOwnerthatlawfulappropriationstocoverthecostsoftheadditionalworkhavebeenmadeorunlesssuchworkiscoveredunderaremedy-grantingprovisionintheAgreement.ARTICLE5-PAYMENTPROCEDURESContractorshallsubmitApplicationsforPaymentinaccordancewiththeGeneralConditions.ApplicationsforPaymentwillbeprocessedasprovidedintheGeneralConditions,5.1PROGRESSPAYMENTS:OwnershallmakemonthlyprogresspaymentsonaccountoftheContractPriceonthebasisofContractor’sApplicationsforPayments,asprovidedbelow.AllprogresspaymentswillbeonthebasisoftheprogressoftheWork.5.1.1PriortoCompletion,progresspaymentswillbeinanamountequalto:90%oftheWorkcompleteduntilfitlypercent(50%)oftheWorkisperformed,afterwhichnoadditionalretainageshallbewithheld,and90%ofmaterialsandequipmentnotincorporatedintheWorkbutdeliveredandsuitablystored,lessineachcasetheaggregateofpaymentspreviouslymade.AgreementPage2 CC.5.2FINALPAYMENT:UponfinalcompletionandacceptanceinaccordancewiththeGeneralConditions,OwnershallpaytheremainderoftheContractPrice.ThefinalpaymentshallnotbemadeuntilafterfinalsettlementofthiscontracthasbeendulyadvertisedatleasttendayspriortosuchfinalpaymentbypublicationofnoticethereofatleastIwiceinapublicnewspaperofgeneralcirculationpublishedinEagleCounty,andtheBoardofCountyCommissionershasheldapublichearing,thereuponandcompliedwiththeC.R.S.§38-26-107.Finalpaymentshallbemadeinaccordancewiththerequirementsoftheaforesaidstatute.ARTICLE6-Contractor’SREPRESENTATIONSInordertoinduceOwnertoenterintothisAgreementContractormakesthefollowingrepresentations:6.1ContractorhasfamiliarizedhimselfwiththenatureandextentoftheContractDocuments,Work,locality,andwithalllocalconditions,andfederal,state,andlocallaws,ordinances,rulesandregulationsthatinanymannermayaffectcost,progress,orperformanceoftheWork,6.2Contractorhasmade,orcausedtobemade,examinations,investigations,andtestsandstudiesofsuchreportsandrelateddataashedeemsnecessaryfortheperformanceoftheWorkattheContractPrice,withintheContractTime,andinaccordancewithothertermsandconditionsoftheContractDocuments;andnoadditionalexaminations,investigations,tests,reports,orsimilardataare,orwillberequiredbyContractorforsuchpurposes.6.3Contractorhascorrelatedtheresultsofallsuchobservations,examinations,investigations,tests,reports,anddatawiththetermsandconditionsoftheContractDocuments.6.4ContractorhasgivenOwnerwrittennoticeofallconflicts,errors,ordiscrepanciesthathehasdiscoveredintheContractDocumentsandthewrittenresolutionthereofbyOwnerisacceptabletoContractor,Agreement-Page3 CCARTICLE7-CONTRACTDOCUMENTSTheContractDocumentswhichcomprisetheentireAgreementaremadeaparthereof,andconsistofthefollowing:7.1ThisAgreement.7.2Contractor’sBid.7.3PerformanceandotherBonds.7.4NoticeofAwardand,ifany,NoticetoProceed.7.5GeneralConditions(Pages1to10,inclusive).7.6SpecificationsandDrawings.7.7Anymodification,includingChangeOrders,dulydeliveredafterexecutionofAgreement.TherearenoContractDocumentsotherthanthoselistedaboveinthisArticle7.TheContractDocumentsmayonlybealtered,amended,orrepealedbyanexecuted,wriffenamendmenttothisAgreement.ARTICLE8-BONDSNotlaterthanfivebusinessdaysfollowingtheexecutionofthisAgreement,ContractorshalldelivertotheOwnerthebondsrequiredbytheContractDocuments,and,nolwithstandinganythingtothecontrarycontainedintheContractDocuments,Ownershallhavenoliabilityorobligationhereunderunlessanduntilthebondshavebeensodelivered,ARTICLE9-MISCELLANEOUS9.1Noassignmentbyapartyheretoofanyrightsunder,orinterestsintheContractDocumentswillbebindingonanotherpartyheretowithoutthewriffenconsentofthepartysoughttobebound;andspecifically,butwithoutlimitation,moneysthatmaybecomedueandmoneysthatareduemaynotbeassignedwithoutsuchconsent(excepttotheextentthattheeffectofthisrestrictionmaybelimitedbylaw),andunlessspecificallystatedtothecontraryinanywriffenconsenttoanassignment,noassignmentwillreleaseordischargetheassignorfromanydutyorresponsibilityundertheContractDocuments.AgreementPage4 CC9.2OwnerandContractoreachbindshimselt,hispartners,successors,assignsandlegalrepresentativestotheotherpartyhereto,inrespecttoallcovenants,agreements,andobligationscontainedintheContractDocuments.9.3AHORNEY’SFEES:IntheeventoflitigationbetweenthepartiesheretoregardingtheinterpretationofthisAgreement,ortheobligations,dutiesorrightsofthepartieshereunder,oritsuitotherwiseisbroughttorecoverdamagesforbreachofthisAgreement,oranactionbebroughtforinjunctionorspecificperformance,thenandinsuchevents,theprevailingpartyshallrecoverallreasonablecostsincurredwithregardtosuchlitigation,includingreasonableaftorneysfees.9.4APPLICABLELAW:ThisAgreementshallbegovernedbythelawsoftheStateofColorado.Jurisdictionandvenueofanysuit,right,orcauseofactionarisingunder,orinconnectionwiththisAgreementshallbeexclusiveinEagleCounty,Colorado.9.5INTEGRATION:ThisAgreementsupersedesallpreviouscommunications,negotiationsand/orcontractsbeiweentherespectivepartieshereto,eitherverbalorwritten,andthesamenotexpresslycontainedhereinareherebywithdrawnandannulled,ThisisanintegratedagreementandtherearenorepresentationsaboutanyofthesubjectmatterhereotexceptasexpresslysetforthintheContractDocuments,9.6NOTICE:AnynoticeandallwrittencommunicationsrequiredunderthisAgreementshallbe(i)personallydelivered,(ii)mailedintheUnitedStatesmails,firstclasspostageprepaid,or(iii)transmittedbyfacsimilemachinetogetherwithahardcopyconveyedbydeliveryormail,totheappropriatepartyatthefollowingaddresses:ToContractor:Ham/sHeawHaulersHarryColburnP.O.Box555Basalt,Colorado81621telephone:970-927-4507telefax:970-927-9434AgreementPage5
