HomeMy WebLinkAboutC97-059 La Bola Negra-Armando CepedaCC’97LEASEAGREEMENT-BETWEEN-THECOUNTYOFEAGLE,STATEOFCOLORADO—‘iiAND.fl,—‘—‘‘LABOLANEGRA,11J.LTHISLEASEmadeandenteredintothis15dayofMARCH199J,byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andLABOLANEGRA(hereinafterreferredtoas“lessee”)forthepurposeofDANCEWHEREAS,theCountyrepresentsitisdulyauthorizedtoenterintothisAgreementpursuanttoSections30—11—101,10—11—103,and30—11—107,C.R.S.,asamended.WHEREAS,ARMANDOCEPEDArepresentsthathe/sheisdulyauthorizedtoenterintothisagreementforitsintendedpurposes.WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeherebyasfollows:SCOPETieCountydoesherebyleasetotheLesseethefollowingpremises,asindicatedandmarkedbelow,situatedwithintheEagleCountyFairgoundsproperty,CountyofEagle,StateofColorado,hereinafterreferredtoasthe“leasedpremises.”A.ExhibitionHall,includingtherestrooms,stagearea,tablesandchairs,liar,andkitchenfacilities.X•ExhibitionHall.includingtherestrooms,stagearea,tablesandchairs,andbar.—C.Picnic&LawnArea,includingrestrooms,playgroundandpicnictables.—D.ConcessionStand,includingthegrill,freezer,cooler,andsinks.E.Arenas,chutes,theannouncerstand,catchpens,grandstandsarenabathrooms.—F.Horsestallsandholdingpens. 2.PERIODorThetermofthisleaseshallcommenceMARCH15199..andexpireMARCH16,l99_..3.FEESThedepositandfeeschargedforeventswillvarydependingonthecharacteristicsoftheeventandthetypeofLessee.PRIVATEFUNCTIONS:Functionswhicharenotopentothegeneralpublicandaresocialinnature.NONPROFITORGANIZATIONSANDYOUTHGROUPS:MusthaveproofofnonprofitstatusfromtheSecretaryofState’sofficeinDenver,Colorado,orbealocalchapterofanationallycharteredorganization.Anonprofitorganizationisdefinedasanorganizationinwhichnopartoftheincomeorprofitisdistributedtoitsmembers,directors,orofficers.OTHER:Anyindividualorgroupthatisnotregisteredasanonprofitorganization,and/orwhichisopentothegeneralpublicand/orwhichadvancestheindividual’sorgroup’s‘financialorbusinessinterest.***Seeattachmentforfeestructure.LesseeisaNflN-P1flPTTfl1ANT7ATTflNTOTALDEPOSITANDFEEREQUIRED:$7S0.flfl4.INSURANCEFOREVENTS:InsurancecoverageforfunctionsheldattheEagleCountyFairgroundsforbothpublicandprivateeventsshallliedeterminedbytheCounty.Ifinsuranceisrequiredforsaidfunctionorevent,theLesseeshallpurchaseandmaintainduringthetermofthisAgreementinsuranceasillustratedinParagraphsAandBinsuringagainstallclaims,damages,lossesorexpensesarisingoutoforresultingfromtheuseoftheEagleCountyFairgrounds.TheLessee,inanyeventwhichinvolvesthesellingofalcohol(“selling”includesacceptingdonations),shallpurchaseandmaintainduringthetermofthisAgreementinsuranceinthefollowingtypeandamountsinsuringagainstallclaims,damages,lossesorexpensesarisingoutoforresultingfromtheuseoftheEagleCountyFairgrounds:A.GeneralLiabilityCoveracewhichshallnameEagleCountyasadditionalinsured,andshallliecarriedintheminimumamountof$150,000perinjuryand$600,000peroccurrenceforcoverageofclaimsfordamagesarisingfromLessee’suseoftheFairgrounds,includingbutnotlimitedtopersonalin)ury -anddeath,;opertydamage,andother”.4magesimposedbylawuponthepartieshereto.LesseeagreestoprovidetheCountywithaCertificateofInsuranceacceptabletothecounty,namingEagleCountyas“additionalInsured”fourteen(14)dayspriortocommencementofthisLeaseAgreement.B.HostLi’uorLiabilityInsuranceisrequiredforanyeventinwhichalcoholisbeingservedwithoutdirectorindirect(includingcovercharge,single—priceadmission,contributionsortips)charge.”HostLiquorLiabilityInsuranceshallnameEagleCountyasadditionalinsured,andshallbecarriedintheminimumamountof$150,000perinjuryand$600,000peroccurrence.C.LiauorLegalLiabilityisrequiredforanyeventinwhichalcoholisbeingsold.LiquorlegalliabilityinsuranceshallnameEaglecountyasadditionalinsured,andshallbecarriedintheminimumamountof$150,000perinjuryand$600,000peroccurrence.PleasecontacttheEagleCountyclerkandRecorder’sOfficeformoreinformation.TYPEOFINSURANCEREQUIRED:‘A.GeneralLiabilityCoveragexB.HostLiquorLiabilityInsuranceC.LiquorLegalLiabilityPROOFOFINSURANCEISATTACHEDYESxNO____5.DEPOSITSTheLesseeistopayonehalfoftherequireddeposittoreservetheEagleCountyFairgrounds.Theremainderofthedepositandtheentiredailyfeeisdueandpayableaminimumofseven(7)dayspriortotheevent.Failuretopaysaiddepositandfeeseven(7)dayspriortotheeventwillresultinthelossofthelease.AcancellationfeeofTwenty—fivedollars($25.00)willbewithheldfromtheinitialdepositiftheeventiscancelled.Lesseeisresponsibleforanyandalldamagestoleasedpremises.Leasedpremisesaretobeleftinaclean,usableandundamagedcondition.IfLesseefailstocleanleasedpremissestothesatisfactionoftheCounty,oriftheleasepremisesincursanydamageduringLessee’soccupancy,excludingnormalwearandtear,allcleaninganddamageexpensesincurredbyEagleCountyshallliedeductedfromtheabovedeposit,and/oradditionalchargesshallbeassessed.(SeeCleaningandDamageChargesattachedhereto.) CIntheevent.natthedepositdoesnotcuverthedamage,andadditionalfeewillbeassessed.Lesseeshallhavefive(5)businessdaystopayanyextrachargeduetodamage.Ifanindividualorgrouphasforfeitedanypartoftheircleaninganddamagedepositinthepast,theamountoftheirnextdepositshallbelefttothediscretionofthecounty.Depositsandfeesaredueandpayableinadvance. 6.KEYRTU1?”CLesseeshallobtainkeystotheleasedpremisesonlyaftersaiddepositsandfeesarepaidinfullto.theCounty.FacilitiesshallbecleanandkeysshallliereturnedtotheCountynolaterthanthefirstbusinessdayfollowingtheendofsaidlease.Apenaltyof$5.00perdaywillberetainedfromthedepositforfailuretoreturnthekeyafterthefirstbusinessdayfollowingtheendofsaidlease.7.LICENSESPriortoLessee’seventattheleasedpremises,Lesseeshallobtainanyandalllicensesorinspectionsasmayberequiredbylaw.8.SECURITYLesseeagreestoprovidesecurityfortheeventscontemplatedhereby.LesseeshallcontacttheEagleCountySheriff’sOfficeandmakesecurityarrangementsacceptabletotheEagleCountySheriff’sOffice.Lesseeshalllieresponsibleforpayinganyandallsecuritycostsassociatedwithsaidevents.Proofofsecurityistobeprovidedseven(7)dayspriortosaidevent.9.ALCOHOLCONSUMPTION_____A.Lesseeshalllieallowedtoservealcoholinthefollowingdesignatedareas_______________________________B.Lesseeandparticiapantsshalllieallowedtoconsumealcoholinthefollowingdesignatedareas__________________C.LesseeintendstosellalcoholonFairground’spremises.(Aseperataliquorlicenseisrequired.PleasecontacttheEagleCountyClerkandRecorder’sofficeforinfornation.)_____D.LesseeshallnotservealcoholonFairgrounds’spremises.XK.Lesseeandparticipantsshallnotconsumealcoholonfairgroundspremises.10.RULESANDREGULATIONSLesseeagreestoabidebytheEagleCountyFairgroundsRulesandRegulationsassetforthinExhibit“A,”attachedheretoandmadeaparthereofbythisreference.LesseeisresponsibleforenforcingtheEagleCountyFairgroundsRulesandRegulationsduringitseventandwithallguestsandparticipants. 11.INDEMNEZF7ITIONA.LesseeagreestoholdtheCountyharmlessandassumefullresponsibilitYforallclaimsassertedagainsttheCountybythirdpartiesarisingOutofLessee’sactivitiesontheleasepremises.B.Lesseeagreestheleasedpremisesshallnotbeusedforanypurposedwhichwouldrendertheinsurancethereonvoidortheinsuranceriskmorehazardous,orforanypurposeunauthorizedbylaw.12.LESSEE’SDUTIESLesseeagreestoleavetheleasedpremisesinthesamecleanandusableconditionwhichexistedatthetimeofthecommencementofthisLeaseAgreement.PriortothecommencementandterminationoftheLeaseAgreement,LesseeandanauthorizedrepresentativeoftheCountyshallinspecttheleasedpremises,andshallmakewrittennoteofanydamagedoruncleanproperty.IfattheterminationofthisLeasetheCounty’srepresentativefindstheleasedpremisestobeuncleanordamaged,Lesseeshalllieheldresponsiblefor.anycleaningorrepairofdamagecostsincurredbythe‘CountyasaresultofLessee’soccupancyoftheleasedpremises.SaidcostsshallliedeductedfromLessee’sdeposit.IsaidcostsexceedLessee’sdeposit,Lesseeagreestopayanyadditionalcostsimmediately.13.MISCELLANEOA.LesseeshallpermittheCountytohavefreeaccesstotheleasedpremisesbefore,duringandafterthescheduledevent.B.NomodificationorwaiverofthisAgreementorofanycovenant,condition,orprovisionhereincontainedshallbevalidunlessagreedtoinwritingbyallparties.c.ThiswrittenAgreementembodiesthewholeagreementbetweenthepartiesheretoandtherearenoinducements,promises,terms,conditions,orobligationsmadeorenteredinfoeitherbytheCountyorLesseeotherthanthatcontainedherein.D.Allagreementsandcovenantshereinareseverable,andintheeventthatanyofthemshallbeheldinvalidbyacourtofcompetentjurisdiction,thisAgreementshallbeinterpretedasifsuchinvalidagreementorcovenantwerenotcontainedherein. EAGLECOUNTYFAIRGROT‘SRULESANDREGULATI0APART1.GENERALRULESANDREGULATIONSA.ItisintendedthattheEagleCountyFairgrounds(hereinafterreferredtoasthe“Fairgrounds”)beusedtomeetasmanyneedsandserveasmanyorganizationsaspossible.SchedulingofeventstolieheldattheFairgroundsshallbedoneonafirstcome,firstservebasis,atthediscretionoftheEaglecountyBoardofCountyCommissioners(hereinafterreferredtoas“theCounty”).Noindividual,organizationorcorporationshalllie.permittedtoreservetheexhibithailformorethanone(1)eventpermonthunlessotherwiseauthorizedorpermittedbytheCounty.B.SchedulingandUseoftheFairgroundsanditsfacilitiesshallbemanagedbytheEagleCountyManagerorhisdesignee.Adepositand/orfeemaylierequiredforspecificfacilities.DepositsshallliereturnedupontheapprovaloftheCountyithefacilitiesareleftintheconditioninwhichtheywerefound.C.‘Intheeventthedepositdoesnotcoverthedamage,anadditionalfeewillbeassessed.Lesseeshallhavefive(5)businessdaystopayanyextrachargeduetodamage.0.TheCountyshallnotlieresponsibleforlossesduetotheft,fireorvandalismduringactivitiesheldonthepremisesoftheFairgrounds.E.Smokingisprohibitedinallbuildings,andwithinfifty(50)feetofanybarn,hayorstrawstoragearea,oraspostedontheFairgroundsproperty.F.Theusershallberesponsibleforparkingcontrolandforinsuringthatfirelanes(12feetminimum)andaccesslanes(12feetminimum)arekeptclearofobstructionduringalleventsoccurringattheFairgrounds.Unlessotherwiseauthorized,parkingshalllieindesignatedareasonly.G.Childrenshallnotbepermittedinanyareaswherelivestockarekeptorusedunlessparticipatinginascheduledevent,orunlesssupervisedoraccompaniedbyaparentoradultwhoshallacceptcompleteresponsibilityincaseofanyinijuryaccidentordamage.H.Alldogsshallbeonaleashandunderthecontroloftheowner,unlessparticipatinginascheduledevent,andwillnotlieallowedinanybuildingsunlessthedogoranimalisaserviceanimalassistingadisabledperson.I.GlassbeveragecontainersareprohibitedonFairgroundspropertyexceptintheexhibitionhall,orasotherwise
