MartinCLEASEAGREEMENTCC‘9?5847BETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDBLAKEC.MARTINTHISLESEmadeandenterEdintothis21dayofMARCH,1997,byandbetweentheBoardofCountyCommissionersoftheCountyofEagie,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoastheCounty”)andBLAKEC.MARTIN,(Hereinafterreferredtoas“lessee”)forthepurposeofWEDDINGWHEREAS,theCountyrepresentsitisdulyauthorizedtoenterintothisAgreementpursuanttoSections30-I1-101,10-I-103,and30-I1-107,C.R.S.,asarnended.WHEREAS,BLAKEC.MARTINrepresentsthathe/sheisdulyauthorizedtoenterintothisagreementforitsintendedpurposes.THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeherebyasfollows:SCOPETheCountydoesherebyleasetotheLesseethefollowingpremises,asindicatedandmarkedbelow,situatedwithintheEagleCountyFairgroundsproperty,CountyofEagle,StateofColorado,hereinafterreferredtoasthe‘leasedpremises.”xAExhibitionHall,includingtherestrooms,stagearea,tablesandchairs,andkitchenfacilities.______B.ExhibitionHall,includingtherestrooms,stagearea,tablesandchairs,andbar.______C.Picnic&LawnArea,includingrestrooms,playgroundandpicnictables.______D.ConcessionStand,includingthegrill,freezer,coolerandsinks.______E.Arenas,chutes,announcerstand,catchpens,grandstands,arenabathrooms._____F.Horsestallsandholdingpens.2.PERIODOFAGREEMENTThetermofthisleaseshaflcommenceMARCH22,1997andexpireMARCH23,19973.FEESThedepositandfeeschargedforeventswillvarydependingonthecharacteristicsoftheeventandtypeofLessee.PRIVATEFUNCTIONS:Functionswhicharenotopentothegeneralpublicandaresocialinnature.NONPROFITORGANIZATIONSANDYOUTHGROUPS:MusthaveproofofnonprofitstatusfromtheSecretaryofState’sofficeinDenver,Colorzdo,orbealocalchapterofanationallycharteredorganization.Anonprofitorganizationisdefinedasanorganizationinwhichnopartoftheincomeorprofitisdistributedtoitsmembers,directors,orofficers.OTHEftkyindMdualorgroupthatisnotregisteredasanonprofitorganization,and/orwhichisopentothegeneralpublicand/orwhichadvancestheindividual’sorgroup’sfinancialorbusinessinterest.Seeattachmentforfeestnjdure.LesseeisaPRIVATEFUNCTIONTOTALDEPOSITANDFEEREQUIRED:$600.00 4.INSURANCEFOREVENInsurancecoverageforfunctionsheldattheEagleCountyFairgroundsforbothpublicandprivateeventsshallbedeterminedbytheCounty.Ifinsuranceisrequiredforsaidfunctionorevent,theLesseeshallpurchaseandmaintainduringthetermofthisAgreementinsuranceasillustratedinParagraphsAandBinsuringagainstallclaims,damages,lossesorexpensesarisingoutoforresultingfromtheuseoftheEagleCountyFairgrounds.TheLessee,inanyeventwhichinvolvesthesellingofalcohol(‘selling”includingacceptingdonations),shallpurchaseandmaintainduringthetermofthisAgreementinsuranceinthefollowingandamountsinsuringagainstallclaims,damages,lossesorexpensesarisingoutoforresultingfromtheuseoftheEagleCountyFairgrounds:AGeneralLiabilityCoveragewhichshallnameEagleCountyasadditionalinsured,andshallbecarriedintheminimumamountof$I50,000perinjuryand$600,000peroccurrenceforcoverageofclaimsfordamagesarisingfromLessee’suseoftheFairgrounds,includingbutnotlimitedtopersonalinjuryanddeath,propertydamage,andotherdamagesimposedbylawuponthepartieshereto.LesseeagreestoprovidetheCountywithaCertificateofInsuranceacceptabletotheCounty,namingEagleCountyas“additionalInsured”fourteen(14)dayspriortocommencementofthisLeaseAgreement.B.HostLiquorLiabilityInsuranceisrequiredforanyeventinwhichalcoholisbeingservedwithoutdirectorindirect(includingcovercharge,single-priceadmission,contributionsortips)charge.”HostliquorliabilityInsuranceshallnameEagleCountyasadditionalinsured,andshallbecarriedintheminimumamountof$150,000perinjuryand$600,000peroccurrence.C.liquorLegalliabilityInsuranceisrequiredforanyeventinwhichalcoholisbeingsold.LiquorlegalliabilityinsuranceshallnameEagleCountyasadditionalinsured,andshallbecarriedintheminimumamountof$150,000perinjuryand$600,000peroccurrence.PleasecontacttheEagleCountyClerkandRecorder’sOfficeformoreinformation.TYPEOFINSURANCEREQUIRED:AGeneralliabilityCoveragexB.HostliquorliabilityInsuranceC.liquorLegalliabilityPROOFOFINSURANCEISATTACHEDYES_______NO5.DEPOSITSTheLesseeistopayonehalfoftherequireddeposittothereservetheEagleCountyFairgrounds.Theremainderofthedepositandtheentiredailyfeeisdueandpayableaminimumofseven(7)dayspriortotheevent.Failuretopaysaiddepositandfeeseven(7)dayspriortotheeventwillresultinthelossofthelease.Acancellationfeeoftwenty-fivedollars($25.00)willbewithheldfromtheinitialdepositiftheeventiscanceled.Lesseeisresponsibleforanyandalldamagestoleasedpremises.Leasedpremisesaretobeleftinaclean,usableandundamagedcondition.IfLesseefailstocleanleasedspacepremisestothesatisfactionoftheCounty,oriftheleasedpremisesincursanydamageduringtheLessee’soccupancy,excludingnormalwearandtear,allcleaninganddamageexpensesincurredbyEaglecountyshallbedeductedformtheabovedeposit,and/oradditionalchargesshallbeassessed.(SeeCleaningandDamageChargesattachedhereto.)Intheeventthatthedepositdoesnotcoverthedamage,andadditionalfeewillbeassessed.Lesseeshallhavefive(5)businessdaystopayanyextrachargeduetodamage.Ifanindividualorgrouphasforfeitedanypartoftheircleaninganddamagedepositinthepast,theamountoftheirnextdepositshallbelefttothediscretionofthecounty.Depositsandfeesaredueandpayableinadvance.2 6.KEYRETURNLesseeshallobtainkeystotheteasedpremisesonlyaftersaiddepositsandfeesarepaidinfulltotheCounty.FacilitiesshallbecleanandkeysshallbereturnedtotheCountynolaterthanthefirstbusinessdayfollowingtheendofsaidlease.Apenaltyof$5.00perdaywillberetainedfromthedepositforfailuretoreturnthekeyafterthefirstbusinessdayfollowingtheendofsaidlease.7.LICENSESPriortoLessee’seventattheleasedpremises,Lesseeshallobtainanyandalllicensesorinspectionsasmayberequiredbylaw.8.SECURt(Lesseeagreestoprovidesecurityfortheeventscontemplatedhereby.LesseeshallcontacttheEagleCountySheriff’sOffice.Lesseeshaltberesponsibleforpayinganyandallsecuritycostsassociatedwithsaidevents.Proofofsecurityistobeprovidedseven(7)dayspriortosaidevent.9.ALCOHOLCONSUMPTIONXALesseeshallbeallowedtoservealcoholinthefollowingdesignatedareasEXHIBITHALLX__B.LesseeandparticipantsshallbeallowedtoconsumealcoholinthefollowingdesignatedareasFYT-LT-1AIIANDAfl.TAflENTGROuNDS_____C.LesseeintendstosellalcoholonFairground’spremises.(Aseparateliquorlicenseisrequired.PleasecontacttheEagleCountyClerkandRecorder’sofficeforinformation.)_____D.LesseeshallnotservealcoholonFairground’spremises._____E.LesseeandparticipantsshallnotconsumealcoholonFairground’spremises.tO.RULESANDREGULATIONSLesseeagreestoabidebytheEagleCountyFairgroundsRulesandRegulationsassetforthinExhibit“A”,attachedheretoandmadeaparthereofbythisreference.LesseeisresponsibleforenforcingtheEagleCountyFairgroundsRulesandRegulationsduringitseventandwithallguestsandparticipants.I.INDEMNIFICATIONALesseeagreestoholdtheCountyharmlessandassumefullresponsibilityforallclaimsassertedagainsttheCountybythirdpartiesarisingoutofLessee’sactivitiesontheleasedpremises.B.Lesseeagreestheleasedpremisesshallnotbeusedforanypurposewhichwouldrendertheinsurancethereonvoidortheinsuranceriskmorehazardous,orforanypurposeunauthorizedbylaw.12.LESSEE’SDUTIESLesseeagreestoleavetheleasedpremisesinthesamecleanandusableconditionwhichexistedatthetimeofthecommencementofthisLeaseAgreement.PriortothecommencementandterminationoftheLeaseAgreement,LesseeandanauthorizedrepresentativeoftheCountyshallinspecttheleasedpremises,andshallmakewrittennoteofanydamagedoruncleanproperty.IfattheterminationofthisLeasetheCounty’srepresentativefindstheleasedpremisestobeuncleanordamaged,theLesseeshallbeheldresponsibleforanycleaningorrepairofdamagecostsincurredbytheCountyasaresultofLessee’soccupancyoftheleasedpremises.SaidcostsshallbedeductedfromLessee’sdeposit.IfsaidcostsexceedLessee’sdeposit,Lesseeagreestopayanyadditionalcostsimmediately.13.MISCELLANEOUSALesseeshallpermittheCountytohavefreeaccesstotheleasedpremisesbefore,duringandafterthescheduledevent.B.NomodificationorwaiverofthisAgreementorofanycovenant,condition,orprovisionhereincontainedshallbevalidunlessagreedtoinwritingbyallparties.3 -EAGLECOUNTYFMRGROUNDSRULESANDREGULATIONSPARTI:GENERALRULESANDREGULATIONSAItisintendedthattheEagleCountyFairgrounds(hereinafterreferredtoasthe“Fairgrounds”)beusedtomeetasmanyneedsandserveasmanyorganizationsaspossible.SchedulingofeventstobeheldattheFairgroundsshallbedoneonafirstcome,firstservebasis,atthediscretionoftheEagleCountyBoardofCountyCommissioners(hereinafterreferredtoas“theCounty”).Noindividual,organizationorcorporationshallbepermittedtoreservetheexhibithallformorethanone(I)eventpermonthunlessotherwiseauthorizedorpermittedbytheCounty.B.SchedulinganduseoftheFairgroundsanditsfacilitiesshallbemanagedbytheEagleCountyManagerorhisdesignee.Adepositand/orfeemayberequiredforspecificfacilities.DepositsshallbereturnedupontheapprovaloftheCountyifthefacilitiesareleftintheconditioninwhichtheywerefound.C.Intheeventthedoesnotcoverthedamage,anadditionalfeewillbeassessed.Lesseeshallhavefive(5)businessdaystopayanextrachargeduetodamage.D.TheCountyshallnotberesponsibleforlossesduetotheft,fireorvandalismduringactivitiesheldonthepremisesoftheFairgrounds.E.Smokingisprohibitedinallbuildings,andwithinfifty(50)feetofanybarn,hayorstrawstoragearea,oraspostedontheFairgroundsproperty.F.Theusershallberesponsibleforparkingcontrolandforinsuringthatfirelanes(12feetminimum)andaccesslanes(12feetminimum)arekeptclearofobstructionduringalleventsoccurringattheFairgrounds.Unlessotherwiseauthorized,parkingshallbeindesignatedareasonly.G.Childrenshallnotbepermittedinanyareaswherelivestockarekeptorusedunlessparticipatinginascheduledevent,orunlesssupervisedoraccompaniedbyaparentoradultwhoshallacceptcompleteresponsibilityincaseofanyinjury,accidentordamage.H.Alldogsshallbekeptonaleashandunderthecontroloftheowner,unlessparticipatinginascheduledevent,andwillnotbeallowedinanybuildingsunlessthedogoranimalisaserviceanimalassistingadisabledperson.I.GlassbeveragecontainersareprohibitedonFairgroundspropertyexceptintheexhibitionhall,orasotherwiseauthorized.J.AllCounty-ownedequipmentshallbeoperatedbyCountyEmployeesonly.KAllprops,poles,portablefencepanels,barrels,jumpstandardsshallbereturnedtotheirdesignatedstoragelocationaftereachuse.L.CampingorovernightparkingisprohibitedonFairgroundspropertyunlesspreviouslyauthorizedbytheCounty.M.AllFairgroundsusersshallberesponsibleforcleaningupafterthemselvesandtheiranimals.N.TheCountyreservestherighttodenyanygrouporpersonaccesstotheFairgrounds.0.TheCountyreservestherighttocloseanypartoftheFairgroundstopublicaccess.P.NointoxicatedpersonshallbeallowedontheFairgrounds.Nopersonundertheageof21shallconsumealcoholicbeveragesonFairgroundsproperty.Q.AnyandallpersonsusingthearenashallsignareleaseofliabilityandagreementtoindemnifytheCountyfromanyandallclaimsagainsttheCounty,itsagents,orassigns.RUsershallobtainallnecessarypermitsandlicensespriortoscheduleuse,andshallpromptlypayalltaxes,exciseorlicensefeesapplicabletothesueoftheFairgrounds.S.UsershalluseandoccupytheFairgrounds,oranyportionthereof,inasafeandcarefulmannerandshallcomplywithalllocal,state,andfederallaws,rulesandregulationsasmaybeinforceandeffectduringthescheduledevent,includinganyandallhealthlawsandregulations.I.If,inthejudgementoftheCounty,personsattendingascheduledeventareinviolationoftheseRulesandPgulations,theCountymayterminatetheeventandrequireallpersonstoimmediatelyleavethepremises.U.TheCountyreservestherighttoenterupontheFairgroundspropertyatanytimetoinsurecompliancewiththeseRulesandPgulations.5
