Inc.CCC975750AGREEMENT/THISAGREEMENTisdatedasofthe2.dayof,%ZrcA,intheyear1997byandbetweenBoardofCountyCommissionersEagleCounty,Colorado(hereinaftercalledOWNER)andElamConstruction,Inc.(hereinaftercalledCONTRACTOR)OWNERandCONTRACTOR,inconsiderationofthemutualcovenantssetforth,agreeasfollows:ARTICLEI-WORKCONTRACTORshallcompleteallworkasspecifiedorindicatedintheContractDocuments.Theworkisgenerallydescribedasfollows:3”levelstructuralcourseand2”wearingsurfaceonColoradoRiverRoad,M.P.7.0toM.P.10.75ARTICLE2-ENGINEERTheProjecthasbeendesignedbytheEagleCountyEngineer(anemployeeofEagleCounty),whoishereinaftercalledENGINEER,andwillassumealldutiesandresponsibilities,andwillhavetherightsandauthorityassignedtoENGINEERintheContractDocumentsinconnectionwithcompletionoftheworkinaccordancewiththeContractDocuments.AgreementPage1 00ARTICLE3-CONTRACTTIME3.1TheworkwillbesubstantiallycompletedonorbeforeJuly1,1997,andcompletedandreadyforfinalpaymentinaccordancewithparagraph14.13oftheGeneralConditionsonorbeforeJuly1,1997.3.2LIQUIDATEDDAMAGES:OWNERandCONTRACTORrecognizethattimeisoftheessenceofthisAgreementandthatOWNERwillsufferfinanciallossiftheworkisnotsubstantiallycompletewithinthetimespecifiedinparagraph3.1above,plusanyextensionsthereofallowedinaccordancewithArticle12oftheGeneralConditions.Theyalsorecognizethedelays,expense,anddifficultiesinvolvedinprovingalegalorarbitrationproceedingtheactuallosssufferedbyOWNERiftheworkisnotsubstantiallycompleteontime.Accordingly,insteadofrequitingsuchproof,OWNERandCONTRACTORagreethatasliquidateddamagesfordelay(butnotasapenalty)CONTRACTORshallpayOWNERNineHundredFiftydollars($950.00)foreachdaythatexpiresafterthetimespecifiedinparagraph3.1forsubstantialcompletionuntiltheworkissubstantiallycomplete.ARTICLE4-CONTRACTPRICE4.1Thefundsappropriatedforthisprojectareequaltoorinexcessofthecontractamount.OWNERshallpayCONTRACTORforperformanceoftheworkinaccordancewiththeContractDocumentsincurrentfundsasfollows:EstimatedItemDescriptionQtyUnilUnitPriceAmount1.HotBituminousPavement7,650±Ton$28.00$214,200.00(GradingC)(¾”)3”levelstructuralcourseColoradoRivetRoadM.P.7.0toM.P.10.752.HotBituminousPavement5,100±Ton$28.30$144,330.00(GradingCX)(W)2”wearingsurfaceColoradoRivetRoadM.P.7.0toM.P.10.75AgreementPage2 00EstimatedItemDescriptionQtyUnitUnitPriceAmount3.EmulsifiedAsphalt2,400Gal.$1.00$2,400.00RawMaterial(CSS-1horSS-1h)4.MaterialsSampling,TestingILump$1,500.00$1,500.00andInspectionSum5.ConstructionZoneILump$7,500.00$7,500.00TrafficControlSumTOTAL$369,930.00ARTICLE5-PAYMENTPROCEDURESCONTRACTORshallsubmitApplicationsforPaymentinaccordancewithArticle14oftheGeneralConditions.ApplicationsforPaymentwillbeprocessedbyENGINEERasprovidedintheGeneralConditions.5.1PROGRESSPAYMENTS:OWNERshallmakemonthlyprogresspaymentsonaccountoftheContractPriceonthebasisofCONTRACTOR’sApplicationsforPaymentsasrecommendedbyENGINEER,asprovidedbelow.Allprogresspaymentswillbeonthebasisoftheprogressoftheworkmeasuredbythescheduleofvaluesprovidedforinparagraph14.1oftheGeneralConditions.5.1.1PtiortoSubstantialCompletion,progresspaymentswillbeinanamountequalto:90%oftheworkcompleteduntilfiftypercent(50%)oftheworkisperformed,afterwhichnoadditionalretainageshallbewithheld,and90%ofmaterialsandequipmentnotincorporatedintheworkbutdeliveredandsuitablystored,lessineachcasetheaggregateofpaymentspreviouslymade.AgreementPage3 C’C5.1.2UponSubstantialCompletion,OWNERshallpayanamountsufficienttoincreasetotalpaymentstoCONTRACTORto95%oftheContractPrice,lesssuchamountsasENGINEERshalldetermineinaccordancewithparagraph14.7oftheGeneralConditions.5.2FINALPAYMENT:Uponfinalcompletionandacceptanceinaccordancewithparagraph14.13oftheGeneralConditions,OWNERshallpaytheremainderoftheContractPriceasrecommendedbyENGINEERasprovidedinsaidparagraph14.13.ThefinalpaymentshallnotbemadeuntilafterfinalsettlementofthiscontracthasbeendulyadvertisedatleasttendayspriortosuchfinalpaymentbypublicationofnoticethereofatleasttwiceinapublicnewspaperofgeneralcirculationpublishedinEagleCounty,andtheBoardofCountyCommissionershasheldapublicheating,thereuponandcompliedwiththeRevisedStatutes1973,Section38-26-107asamended.Finalpaymentshallbemadeinaccordancewiththerequirementsofaforesaidstatute.ARTICLE6-CONTRACTOR’SREPRESENTATIONSInordertoinduceOWNERtoenterintothisAgreementCONTRACTORmakesthefollowingrepresentations:6.1CONTRACTORhasfamiliarizedhimselfwiththenatureandextentoftheContractDocuments,work,locality,andwithalllocalconditions,andfederal,state,andlocallaws,ordinances,rulesandregulationsthatinanymannermayaffectcost,progress,orperformanceofthework.6.2CONTRACTORhasstudiedcarefullyallreportsofinvestigationsandtestsofsubsurfaceandlatentphysicalconditionsatthesiteorotherwiseaffectingcost,progress,orperformanceoftheworkwhichwererelieduponbyENGINEERinthepreparationoftheDrawingsandSpecifications,andwhichhavebeenidentifiedintheSupplementaryConditions.6.3CONTRACTORhasmade,orcausedtobemade,examinations,investigations,andtestsandstudiesofsuchreportsandrelateddatainadditiontothosereferredtoinparagraph6.2ashedeemsnecessaryfortheperformanceoftheworkattheContractPrice,withintheContractTime,andinaccordancewithothertermsandconditionsoftheContractDocuments;andnoadditionalexaminations,investigations,tests,reports,orsimilardataare,orwillberequiredbyCONTRACTORforsuchpurposes.AgreementPage4 CC6.4CONTRACTORhascorrelatedtheresultsofallsuchobservations,examinations,investigations,tests,reports,anddatawiththetermsandconditionsoftheContractDocuments.6.5CONTRACTORhasgivenENGINEERwrittennoticeofallconflicts,errors,ordiscrepanciesthathehasdiscoveredintheContractDocumentsandthewrittenresolutionthereofbyENGINEERisacceptabletoCONTRACTOR.ARTICLE7-CONTRACTDOCUMENTSTheContractDocumentswhichcomprisetheentireAgreement,madeaparthereof,andconsistofthefollowing:7.1ThisAgreement(Pages1to7,inclusive).7.2InvitationtoBidconsistingofIpage.7.3InstructionstoBidders(Pages1to7,inclusive).7.4PerformanceandotherBonds.7.5NoticeofAward,NoticetoProceed.7.6GeneralConditions(Pages1to46,inclusive).7.7Specificationsbearingthetitleandconsistingof4divisionsand..4...pages,aslistedinthetableofcontentsthereof.7.8Drawings,consistingof0sheets.7.9Addendanumbers.Q....to..Q....,inclusive.7.10DocumentationsubmittedbyCONTRACTORpriortoNoticeofAward(Pages...flto...Q.....,inclusive).7.11Anymodification,includingChangeOrders,dulydeliveredafterexecutionofAgreement.AgreementPage5 C,CTherearenoContractDocumentsotherthanthoselistedaboveinthisArticle7.TheContractDocumentsmayonlybealtered,amended,orrepealedbyaModification(asdefinedinSection1oftheGeneralConditions).ARTICLE8-MISCELLANEOUS8.1ThetermsusedinthisAgreementwhicharedefinedinArticle1oftheGeneralConditionsshallhavethemeaningsindicatedintheGeneralConditions.8.2Noassignmentbyapartyheretoofanyrightsunder,orinterestsintheContractDocumentswillbebindingonanotherpartyheretowithoutthewrittenconsentofthepartysoughttobebound;andspecifically,butwithoutlimitation,moneysthatmaybecomedueandmoneysthatareduemaynotbeassignedwithoutsuchconsent(excepttotheextentthattheeffectofthisrestrictionmaybelimitedbylaw),andunlessspecificallystatedtothecontraryinanywrittenconsenttoanassignment,noassignmentwillreleaseordischargetheassignorfromanydutyorresponsibilityundertheContractDocuments.8.3OWNERandCONTRACTOReachbindshimself,hispartners,successors,assignsandlegalrepresentativestotheotherpartyhereto,inrespecttoallcovenants,agreements,andobligationscontainedintheContractDocuments.8.4ATTORNEY’SFEES:IntheeventoflitigationbetweenthepartiesheretoregardingtheinterpretationofthisAgreement,ortheobligations,dutiesorrightsofthepartieshereunder,orifsuitotherwiseisbroughttorecoverdamagesforbreachofthisAgreement,oranactionbebroughtforinjunctionorspecificperformance,thenandinsuchevents,theprevailingpartyshallrecoverallreasonablecostsincurredwithregardtosuchlitigation,includingreasonableattorney’sfees.8.5APPLICABLELAW:ThisAgreementshallbegovernedbythelawsoftheStateofColorado.Jurisdictionandvenueofanysuit,right,orcauseofactionarisingunder,orinconnectionwiththisAgreementshallbeexclusiveinEagleCounty,Colorado.INWITNESSWHEREOF,thepartiesheretohavesignedthisAgreementintriplicate.OnecounterparteachhasbeendeliveredtoOWNER,CONTRACTOR,andENGINEER.AllportionsoftheContractDocumentshavebeensignedoridentifiedbyOWNERandCONTRACTOR,orbyENGINEERontheirbehalf.AgreementPage6
