Home My WebLink AboutC97-043 Healthy BeginningsccC’974310AGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDHEALTHYBEGINNINGSTHISAGEMENT,madeandenteredintothisJdayof,1997byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andtheBoardofCountyCommissionersoftheCountyofGarfield,StateofColoradoonbehalfofHealthyBeginnings,(hereinafterreferredasthe“Contractor”).WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyherebycontractswiththeContractorforHealthyBeginningsprogramservicestoEagleCountychildrenandfamilies.B.ServiceUnitCost-ServiceswillbepurchasedbytheCountyfromtheContractoronaservicebasisof$250.00perfamilyunitofservice.Afamilyunitofserviceisdefinedasprenatal,deliveryandpostpartumhealthcareservices.C.BillingforServices-TheContractorshallsubmittotheCountyDepartmentofSocialServicesnomorethanamonthlystatementofservicesprovidedtoeachauthorizedclientfamily.InnoeventshallthetotalnumberofchargesforservicesrenderedonorbeforeDecember31,1997,exceed$3000.D.Inconsiderationforthemonetarypaymentdescribedontheprecedingparagraph,Contractorshallutilizeandspendthefundsprovidedsolelyforthefollowingspecificpurpose(s),subjecttothegeneraltermsandconditionsasstatedherein,comprehensivepre-natalservicestoresidentsofEagleCounty.2.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives.B.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,orisdeclaredbankrupt,ordissolves,thentheCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallthereuponterminateandceaseimmediately. CCAgreementBetweenEAGLECOUNTYandHealthyBeginningsPAGE23.CONTRACTOR’SDUTIESTheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty.B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with4$hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement.4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:THECONTRACTOR:EagleCountyHealthyBeginningsdoCountyAttorney1098thStreetP.0.Box$50Suite201Eagle,CO81631GlenwoodSprings,CO816015.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty. CCAgreementbetweenEAGLECOUNTYandHealthyBeginningsPAGE36.INSURANCEAtalltimesduringthetermofthisAgreement,Contractorshallmaintainthefollowinginsurance:TypeofInsuranceCoverageLimitsWorkers’CompensationStatutoryEmployer’sLiability,including$500,000occupationaldiseaseComprehensiveAutomobileLiability,$150,000perpersonand$600,000perincludingallowned,non-ownedandhiredoccurrenceorasspecifiedintheColoradovehicles.GovernmentalImmunityAct,whicheverisgreater.ComprehensiveGeneralLiability,$150,000perpersonand$600,000perincludingbroadformpropertydamageoccurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.AllinsurancerequiredherebyshallbeissuedbyaninsurancecompanyorcompaniesauthorizedtodobusinessintheStateofColorado7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentcontractor.Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employeeorvolunteeroftheCounty.B.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedundertheAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecostsincurredinthedefenseoftheclaim,includingstafftime,courtcosts,attorney’sfees,andotherclaimrelatedexpenses.D.ThevalidityorunenforceabilityofanyparticularprovisionofthisAgreementshallnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidandunenforceableprovisionswereomitted. C’AgreementbetweenEAGLECOUI’.TTYandHealthyBeginningsPAGE40E.ContractorshallindemnifyandholdharmlesstheCounty,itsBoardofCountyCommissionersandtheindividualmembersthereofitscommissions,agencies,departments,officers,agents,employees,orservants,anditssuccessors,fromanyandalldemands,losses,liabilities,claimsorjudgements,togetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCountyCommissioners,andtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employeesorservantsanditssuccessors,asaresultoftheactsoromissionsofContractor,itsemployeesoragents,inconnectionwithContracto?sactivitieswhicharefundedinwholeorinpartpursuanttothisAgreementorarisingdirectlyorindirectlyoutofContractor’sexerciseofitsobligationsunderthisAgreement.F.Thecontractorshallcomplywithallapplicablelaws,resolutions,andcodesoftheStateofColoradoandEagleCounty.G.Nopersonshallhaveanypersonalfinancialinterest,directorindirect,inthisAgreement.H.TheCounty’sfinancialobligationsunderthisAgreementarecontingentuponitsreceivingsufficientrevenueswithinitsbudget.INWIThESSTHEOF,thepartiesheretohaveexecutedthisAgreementonZ,,1997.ThepartiesheretohavesignedthisAgreementinquadruplicate.OnecounterparteachhasbeendeliveredtotheCountyandtheContractor.CONTRACTOR:HealthyBeginningsTITLE:Zc,NLZATTEST:CountyofEagle,StateofColorado,ByandThroughItsBOARDofCOUNTYCOMMISSIONERSCountyCommissionersCountyBoardofCommissioners
