Home My WebLink AboutC97-041 Family Visitor ProgramC’974120CCAGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDFAMILYVISITORPROGRAM/THISAGEMENT,madeandenteredintothis)Mdayof________byandbetweentheBoardofCountyCommissionersoftheCountyofEagleStateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andthefamilyVisitorProgram,(hereinafterreferredasthe“Contractor”).WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyherebycontractswiththeContractorforHomeVisitorprogramservicestoEagleCountychildrenandfamilies.B.ServiceUnitCost-serviceswillbepurchasedbytheCountyfromtheContractoranaservicebasisof$200.00perfamilyunitofservice.Afamilyunitofserviceisdefinedas3to12monthsofeducationandsupporttomonitorprenatallyandinthefirstyearafterbirth.Clientfamiliesneedtoreceiveaminimumof3monthsofparentingandsupportservicestoqualifyforbillingunderthisContract.C.EligibilityforPurchaseofService-PersonseligibleforpurchaseunderthisagreementareindividualsandfamilieswhoarenoteligibleforcoverageundertheFamilypreservationProgram.D.AccesstoServices-i.ClientsmaybereferredtothefamilyVisitorProgramfromtheCounty’sDepartmentofHealthandHumanServices.AreferralformandauthorizationforpaymentwillbeprovidedbytheCounty.ii.ClientsmaycontacttheContractordirectlyforservicesandrequestassistancewiththecostofparentingsupport.E.BillingforServices-TheContractorshallsubmittotheDepartmentofHealthandHumanServicesnomorethanamonthlystatementofservicesprovidedtoeachauthorizedclientfamily.InnoeventshallthetotalnumberofchargesforservicesrenderedonorbeforeDecember31,1997,exceed$5000. CCAgreementBetweenEAGLECOUNTYandfamilyVisitorProgram-Page22.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives.B.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,orisdeclaredbankrupt,ordissolves,thentheCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallthereuponterminateandceaseimmediately.3.CONTRACTOR’SDUTIES-TheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty.B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with48hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement.4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:THECONTRACTOR:EagleCountyFamilyVisitorProgramdoCountyAttorneyP.O.Box1845P.0.Box$50GlenwoodSprings,CO$1602Eagle,CO$16315.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty. CCAgreementbetweenEAGLECOUNTYandFamilyVisitorProgram-Page36.INSURANCEAtalltimesduringthetermofthisAgreement,Contractorshallmaintainthefollowinginsurance:/TypeofInsuranceCoverageLimitsWorkers’CompensationStatutoryEmployer’sLiability,including$500,000occupationaldiseaseComprehensiveAutomobileLiability,$150,000perpersonand$600,000perincludingallowned,non-ownedandhiredoccurrenceorasspecifiedintheColoradovehicles.GovernmentalImmunityAct,whicheverisgreater.ComprehensiveGeneralLiability,$150,000perpersonand$600,000perincludingbroadformpropertydamageoccurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.AllinsurancerequiredherebyshallbeissuedbyaninsurancecompanyorcompaniesauthorizedtodobusinessintheStateofColorado7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentcontractor.Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employeeorvolunteeroftheCounty.B.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedundertheAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecostsincurredinthedefenseoftheclaim,includingstafftime,courtcosts,attorney’sfees,andotherclaimrelatedexpenses.D.ThevalidityorunenforceabilityofanyparticularprovisionofthisAgreementshallnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidandunenforceableprovisionswereomitted. ...3CCAgreementbetweenEAGLECOUNTYandfamilyVisitorProgram-PAGE4E.ContractorshallindemnifyandholdharmlesstheCounty,itsBoardofCountyCommissionersandtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employees,orservants,anditssuccessors,fromanyandalldemands,losses,liabilities,claimsorjudgements,togetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCountyCommissioners,andtheindividualmembersthereofitscommissions,agencies,departments,officers,agents,employeesorservantsanditssuccessors,asaresultoftheactsoromissionsofContractor,itsemployeesoragents,inconnectionwithContractorsactivitieswhicharefundedinwholeorinpartpursuanttothisAgreementorarisingdirectlyorindirectlyoutofContractor’sexerciseofitsobligationsunderthisAgreement.F.Thecontractorshallcomplywithallapplicablelaws,resolutions,andcodesoftheStateofColoradoandEagleCounty.G.Nopersonshallhaveanypersonalfinancialinterest,directorindirect,inthisAgreement.H.TheCounty’sfinancialobligationsunderthisAgreementarecontingentuponitsreceivingsufficientrevenueswithinitsbudget.INWIESSTHEOf,thepartiesheretohaveexecutedthisAgreementon___________1997.ThepartiesheretohavesignedthisAgreementinquadruplicate.OnecounterparteachhasbeendeliveredtotheCountyandtheContractor.CountyofEagle,StateofColorado,ByandThroughItsBOARDofCOUNTYCOMMISSIONERSChersonEagleCountyBoardofCommissionersCONTRACTOR:familyVisitorProgramBYIflA(LfawUTITLE:1!:VioR.ATTEST:CountyCommissioners
