Home My WebLink AboutC97-037 The Resource Center of Eagle CountyCCC’9737%AGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDTHERESOURCECENTEROFEAGLECOUNTYTHISAGEMENT,madeandenteredintothisdayofd1997byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andTheResourceCenterofEagleCounty,(hereinafterreferredasthe“Contractor”).WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyhasawardedtheContractorgrantfundsintheamountof$5000inquarterlypaymentsof$1250beginningMarch31,1997forthepurposeofprovidingservicestovictimsofdomesticviolence,adultmentoringservicesthroughtheBuddiesprogramanddomesticviolencecourtwatchservices.B.Inconsiderationforthemonetarypaymentdescribedintheprecedingparagraph,Contractorshallutilizeandspendthefundsprovidedsolelyforthefollowingspecificpurpose(s),subjecttothegeneraltermsandconditionsasstatedherein:i.Providingcounseling,referralandvictim’sassistanceservicestothevictimsofdomesticviolence.ii.ProvidingadultmentoringservicestoyouththroughtheBuddiesprogram.iii.ConductingCourtWatchServicesrelativetodomesticviolenceactions.C.TheContractorshallprovideanquarterlyreportsoftheactivitiesundertakenthroughthisgrant.Quarterlyreportswillincludethenumberoffamiliesreceivingdomesticviolenceservices,thenumberofyouthreceivingservicesthroughtheBuddiesprogramandthenumberoforcasesmonitoredthroughthedomesticviolenceCourtWatchprogram.Quarterlyreportswillbeduebythe15thofthemonthfollowingthecloseofthequarterandwillbesubmittedtotheDirectorofHealthandHumanServices.P.O.Box660,Eagle,CO.81631.2.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives. CAgreementbetweenEAGLECOUNTYandtheResourceCenterofEagleCountyPAGE2B.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,orisdeclarebankrupt,ordissolves,thentheCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallthereuponterminateandceaseimmediately.3.CONTRACTOR’SDUTIESTheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty.B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with4$hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement.4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:THECONTRACTOR:EagleCountyTheResourceCenterofEagleCountydoCountyAttorneydoRobNebgenP.O.Box$50P.O.Box255$Eagle,CO81631Avon,CO816205.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty. C:AgreementbetweenEAGLECOUNTYandtheResourceCenterofEagleCountyPAGE36.INSURANCEAtalltimesduringthetermsofthisAgreement,Contractorshallmaintainthefollowinginsurance:TypeofInsuranceCoverageLimitsWorkersCompensationStatutoryEmployerTsLiability,including$500,000occupationaldiseaseComprehensiveAutomobileLiability,$150,000perpersonand$600,000includingallowned,non-ownedandhiredperoccurrenceorasspecifiedinthevehiclesintheColoradoGovernmentalImmunityAct,whicheverisgreater.ComprehensiveGeneralLiability,including$150,000perpersonand$600,000perincludingbroadformpropertydamageoccurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.AllinsurancerequiredherebyshallbeissuedbyaninsurancecompanyorcompaniesauthorizedtodobusinessinthestateofColorado.7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentcontractor.Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employeeorvolunteeroftheCountyB.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedundertheAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecostsincurredinthedefenseoftheclaim,includingstafftime,courtcosts,attorney’sfees,andotherclaimrelatedexpenses.D.ThevalidityorunenforceabilityofanyparticularprovisionofthisAgreementshallnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidandunenforceableprovisionswereomitted. AgreementbetweenEAGLECOUNTYandtheResourceCenterofEagleCountyPAGE4E.ContractorshallindemnifyandholdharmlesstheCounty,itsBoardofCountyCommissionersandtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employees,orservants,anditssuccessorsfromanyandalldemands,losses,liabilities,claimsorjudgements,togetherwithallcostsexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCommissioners,andtheindividualmembersthereofitscommissions,agencies,departments,officers,agents,employees,orservantsanditssuccessors,asaresultoftheactsoromissionsofContractor,itsemployeesoragents,inconnectionwithContractor’sactivitieswhicharefundedinwholeorinpartpursuanttothisAgreementorarisingdirectlyorindirectlyoutoftheContractor’sexerciseofitsprivilegesorperformanceofitsobligationsunderthisAgreement.F.Thecontractorshallcomplywithallapplicablelaws,resolutions,andcodesoftheStateofColoradoandEagleCounty.G.Nopersonshallhaveanypersonalfinancialinterest,directorindirect,inthisAgreement.H.TheCounty’sfinancialobligationsunderthisAgreementarecontingentuponitsreceivingsufficientrevenueswithinitsbudget.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementon,%%Li/1997.ThepartiesheretohavesignedthisAgreementinquadruplicate.OnecounterparteachhasbeendeliveredtotheCountyandtheContractor.CountyofEagle,StateofColorado,ByandThroughItsBOARDofCOUNTYCOMMISSIONERSATTEST:ØBY:ClerkoftheBoard’ofCha)ersonCountyCommissionersEagYeCountyBoardofCommissionersCONTRACTOR:TheResourceCenterofEagleCountyBY:__________________TITLE:ii.P
