oCC!97AGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDMOUNTAINVALLEYDEVELOPMENTALSERVICESTHISAGREEMENT,madeandenteredintothis/ôday997byandbetweentheBoardofCountyCommissionersoftheCountyofEaglStateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andMountainValleyDevelopmentalServices,(hereinafterreferredasthe“Contractor”).WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyhasawardedtheContractorgrantfundsintheamountof$8,000inquarterlypaymentsof$2000beginningMarch31,1997forthepurposeofprovidingtraining,residentialservices,familysupportservicesandprogramtransportationservicesforEagleCountychildrenandadultswithdevelopmentaldisabilities.B.Inconsiderationforthemonetarypaymentdescribedintheprecedingparagraph,Contractorshallutilizeandspendthefundsprovidedsolelyforthefollowingspecificpurpose(s),subjecttothegeneraltermsandconditionsasstatedherein:i.EarlyChildhoodDevelopmentalServices-assessmentandcasemanagement;infantstimulationandpreschoolprograms.ii.AdultVocationalServices-vocationaltrainingandshelteredemploymentandsupportedemploymentwithinthecommunity.iii.AdultResidentialServices-grouphomeandsupervisedapartmentlivingiv.TransportationServices-forclientstovocationaltrainingandpreschoolprogramsC.TheContractorshallprovideaquarterlyreportofprogramactivitiesundertakenthroughthisgrant.Quarterlyreportswillincludethenumbersofclientfamiliesreceivingservicesineachofthefourabovementionedservices,willbeduebythe15thofthemonthfollowingthecloseofthequarterandwillbesubmittedtotheDirectorofHealthandHumanServices,P.O.Box660,Eagle,CO81631.Quarterlypaymentsmaybesuspendedifthecontractorfailstoprovidequarterlyreportsontime.2.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives. CC’AgreementbetweenEAGLECOUNTYandMountainValleyDevelopmentalServicesPAGE2B.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,orisdeclaredbankrupt,ordissolves,thentheCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallthereuponterminateandceaseimmediately.3.CONTRACTOR’SDUTIESTheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty.B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with4$hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement.4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:THECONTRACTOR:EagleCountyMountainValleyDevelopmentalServicesdoCountyAttorneyP.0.Box338P.0.Box$50GlenwoodSprings,CO21602Eagle,CO$16315.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty. CCAgreementbetweenEAGLECOUNTYandMountainValleyDevelopmentalServicesPAGE36.INSURANCEAtalltimesduringthetermofthisAgreement,Contractorshallmaintainthefollowinginsurance:TypeofInsuranceCoverageLimitsWorkers’CompensationStatutoryEmployer’sLiability,including$500,000occupationaldisease.ComprehensiveAutomobileLiability,$150,000perpersonand$600,000perincludingallowned,non-ownedandhiredoccurrenceorasspecifiedintheColoradovehicles.GovernmentalImmunityAct,whicheverisgreater.ComprehensiveGeneralLiability,$150,000perpersonand$600,000perincludingbroadformpropertydamage.occurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.AllinsurancerequiredherebyshallbeissuedbyaninsurancecompanyorcompaniesauthorizedtodobusinessinthestateofColorado.7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentcontractor.Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employeeorvolunteeroftheCounty.B.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedundertheAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecostsincurredinthedefenseoftheclaim,includingstafftime,courtcosts,attorney’sfees,andotherclaimrelatedexpenses.D.ThevalidityorunenforceabilityofanyparticularprovisionofthisAgreementshallnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidandunenforceableprovisionswereomitted CCAgreementbetweenEAGLECOUNTYandMountainValleyDevelopmentalServicesPAGE4E.ContractorshallindemnifyandholdharmlesstheCounty,itsBoardofCountyCommissionersandtheindividualmembersthereof,itscommissioners,agencies,departments,officers,agents,employees,orservants,anditssuccessorsfromanyandalldemands,losses,liabilities,claims,orjudgements,togetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCountyCommissioners,andtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employees,orservants,asaresultoftheactsoromissionsofContractor,itsemployeesoragentsinconnectionwithContractor’sactivitieswhicharefundedinwholeorinpartpursuanttothisAgreementorarisingdirectlyorindirectlyoutofContractor’sexerciseofitsprivilegesorperformanceofitsobligationsunderthisAgreement.F.Thecontractorshallcomplywithallapplicablelaws,resolutions,andcodesoftheStateofColoradoandEagleCounty.G.Nopersonshallhaveanypersonalfinancialinterest,directorindirect,inthisAgreement.H.TheCounty’sfinancialobligationsunderthisAgreementarecontingentuponitsreceivingsufficientrevenueswithinitsbudget.INWIESSWHEOF,thepartiesheretohaveexecutedthisAgreementon/)%(/&,1997.ThepartiesheretohavesignedthisAgreementinquadruplicate.OnecounterparteachhasbeendeliveredtotheCountyandtheContractor.CountyofEagle,StateofColorado,ByandThroughItsBOARDofCOUNTYCOMMISSIONERSServicesCountyCommissionersEeCountyBoardofCommissioners
