HomeMy WebLinkAboutC97-031 Eagle Valley Family CentercC’973125AGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDEagleValleyFamilyCenterTHISAGEMENT,madeandenteredintothis/Zdayof/%i997byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County)andtheEagleValleyfamilyCenter,(hereinafterreferredasthe?Contractorfl)WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyhasawardedtheContractorgrantfundsintheamountof$7,500inquarterlypaymentsof$1,875beginningMarch31,1997forthepurposeofdevelopingandimplementingacommunityinformationandreferralservicebasedonasingleentryprocessmodelfortheEagleValleyportionofEagleCounty.B.Inconsiderationforthemonetarypaymentdescribedintheprecedingparagraph,Contractorshallutilizeandspendthefundsprovidedsolelyforthefollowingspecificpurpose(s),subjecttothegeneraltermsandconditionsasstatedherein:Purpose:toassureaconsistentandcoordinatedhealthandhumanserviceinformationandreferralsystemthatcanconnectthecommunitywithneededservicesinaneffectiveandsystematicmanner.Componentsoftitecommunityinformationandreferralsystem:1.Aservicedatabasethatisregularlyupdatedandsharedwithparticipatingorganizations.2.Developmentofa“leadagency”structureforspecializationincoreserviceareas-leadagenciescouldprovidecasecoordination,followthrough,negotiation,advocacyandbrokerageforservicesintheircoreservicearea.3.Establishmentofacommunityaccesstotheservicedatabaseandtoleadagenciesthroughaphoneline.4.Provisionoftrainingforparticipatingagenciesintheuseofthesystem,casecoordinationandleadagencyactivities.5.CollectionofstatisticsonresourceandreferralactivitiestofoldintotheneedsassessmentfunctionsoftheHealthandHumanServices.6.PubliceducationandoutreachfortheInformationandReferralSystem.7.Annualevaluationandmodificationofthesystemtoimproveservicesandmeetnewandemergingneeds.C.Contractorshallprovideaquarterlyreportontheprogressoftheinformationandreferralsystem.Quarterlyreportswillbeduethe15thofthemonthafterthecloseofthequarterandwillbesubmittedtotheDirectorofHealthandHumanServices,P.O.Box660,Eagle,CO81631.Quarterlypaymentsmaybesuspendedifthecontractorfailstoprovidequarterlyreportsontime. CC)AgreementBetweenEAGLECOUNTYandEagleValleyFamilyCenterPAGE22.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives.B.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,orisdeclaredbankrupt,ordissolves,thentheCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallthereuponterminateandceaseimmediately.3.CONTRACTOR’SDUTIESTheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty.B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with48hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement.4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:THECONTRACTOR:EagleCountyEagleValleyFamilyCenterdoCountyAttorneyP.O.Box3098P.0.Box850Avon,CO81620Eagle,CO$1631 CCAgreementbetweenEAGLECOUNTYandEagleValleyFamilyCenterPAGE35.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty.6.INSURANCEAtalltimesduringthetermofthisAgreement,Contractorshallmaintainthefollowinginsurance:TypeofInsuranceCoverageLimitsWorkers’CompensationStatutoryComprehensiveAutomobileLiability,$150,000perpersonand$600,000perincludingallownedandhiredvehicles,occurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.ComprehensiveGeneralLiability,$150,000perpersonand$600,000perincludingbroadformpropertydamageoccurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.AllinsurancerequiredherebyshallbeissuedbyaninsurancecompanyorcompaniesauthorizedtodobusinessintheStateofColorado7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentcontractor.Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employeeorvolunteeroftheCounty.B.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedundertheAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecostsincurredinthedefenseoftheclaim,includingstafftime,courtcosts,attorney’sfees,andotherclaimrelatedexpenses.
