Home My WebLink AboutC97-029 Colorado West Recovery CentersC!72925C0AGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDCOLORADOWESTRECOVERYCENTERSTHISAGEMENT,madeandenteredintothis______dayofLA1997byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andColoradoWestRecoveryCenters,(hereinafterreferredasthe“Contractor”).WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyherebyagreestopurchasefromtheContractordetoxificationservicesonaserviceunitbasisof$130perday(lessanyreimbursementreceivedfromotherpartiesforservicetothatindividual)forindividualsreferredtotheContractorbytheEagleCountySheriffsOffice.B.Inconsiderationformonetarypaymentsdescribedintheprecedingparagraph,Contractorshallutilizeandspendthefundsprovidedsolelyforthefollowingspecificpurpose(s),subjecttothegeneraltermsandconditionsasstatedherein:i.DetoxificationservicesshallbeprovidedtoEagleCountyresidentsatVailMunicipalBuilding,SouthfrontageRoadandat711GrandAvenue,GlenwoodSprings.ii.TransportationprovidedbyColoradoWestRecoveryCentersfromEagleCountytoGlenwoodSpringsmaybeprovidedunderthisgrant.C.TheContractorshallprovideamonthlystatementofservicesprovidedtoeligibleindividuals.Thisstatementwillincludetheidentifiernumberoftheindividualandthedatesofservicetothatindividual.MonthlyreportswillbesubmittedtotheDirectorofHealthandHumanServices,P.OBox660,Eagle,CO21631.D.Titemaximumamountforpurchaseunderthiscontractjn11is$4,000.2.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives.B.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,orisdeclaredbankrupt,ordissolves,thentheCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallthereuponterminateandceaseimmediately. Cl0AgreementbetweenEAGLECOUNTYandColoradoWestRecoveryCentersPAGE23.CONTRACTOR’SDUTIESTheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty.B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with4$hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement.4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:THECONTRACTOR:EagleCountyColoradoWestMentalHealthCentersdoCountyAttorneydoKenSteinP.O.Box$50P.O.Box4OEagle,CO$1631GlenwoodSprings,CO816025.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty.6.INSURANCEAtalltimesduringthetermofthisAgreement,Contractorshallmaintainthefollowinginsurance:TypeofInsuranceCoverageLimitsWorker’sCompensationstatutoryEmployer’sLiability,includingS500,000occupationaldisease CC:AgreementbetweenEAGLECOUNTYandColoradoWestRecoveryCentersPAGE3ComprehensiveAutomobileLiability,$150,000perpersonand$600,000includingallowned,non-ownedandperoccurrenceorasspecifiedintheColoradoandhiredvehicles.GovernmentalImmunityAct,whicheverisgreater.ComprehensiveGeneralLiability,$150,00perpersonand$600,000peroccurrenceincludingbroadformpropertyasspecifiedintheColoradoGovernmentaldamage.ImmunityAct,whicheverisgreater.AllinsurancerequiredherebyshallbeissuedbyaninsurancecompanyorcompaniesauthorizedtodobusinessinthestateofColorado.7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentcontractor.Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employeeorvolunteeroftheCounty.B.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedundertheAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecostsincurredinthedefenseoftheclaim,includingstafftime,courtcosts,attorney’sfees,andotherclaimrelatedexpenses.D.ThevalidityorunenforceabilityofanyparticularprovisionofthisAgreementshallnotaffecttheotherprovisionshereof’,andthisAgreementshallbeconstruedasifsuchinvalidandunenforceableprovisionswereomitted.E.ContractorshallindemnifyandholdharmlesstheCounty,itsBoardofCountyCommissionersandtheindividualmembersthereofitscommissions,agencies,departments,officers,agents,employees,orservants,anditssuccessorsfromanyandalldemands,losses,liabilities,claimsorjudgements,togetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCountyCommissioners,andtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employees,orservantsanditssuccessors,asaresultoftheactsoromissionsofContractor,itsemployeesoragents,inconnectionwithContractor’sactivitieswhicharefundedinwholeorinpartpursuanttothisAgreementorarisingdirectlyorindirectlyoutofoutoftheContractor’sexerciseofitsprivilegesorperformanceoritsobligationsunderthisAgreement.
