Home My WebLink AboutC97-028 Colorado West Mental Health CenterIC0C972$2.AGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDCOLORADOWESTMENTALHEALTHCENTERTHISAGREEMENT,madeandenteredintots______dayb1997byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andColoradoWestMentalHealthCenter,(hereinafterreferredasthe“Contractor”).WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyherebycontractswiththeContractorforongoing,non-emergencymentalhealthservicestolow-incomeEagleCountychildrenandfamiliesinthefollowingareas:>domesticviolence>familyconflict>maritaldiscord>familystressanddepression>substanceabuse>anxietydisorders.B.ServiceUnitCost-Ongoingnon-emergencyServiceswillbepurchasedbytheCountyfromtheContractoronaserviceunitbasisof$35/counselinghourand$10/casemanagementcontact.Non-reimbursableactivitiesinclude:>Participationinchildprotection,communitytreatmentteamorfamilypreservation.>Travel,excepttoprovidein-homeservices,andpaperwork>Supervisionorstaffdevelopmentactivities.C.EligibilityforPurchaseofOngoingnon-emergencyService-ColoradoWestMentalHealthwilldetermineindividualandfamilyeligibilityforpurchasedservices.PersonseligibleforpurchaseunderthisagreementareindividualsandfamilieswhoarenoteligibleforcoverageunderMedicaid,Medicare,TitleIV-Achildwelfare;familyPreservationServices;EmployeeAssistanceorHealthInsuranceprogramsandwhosegrossincomedoesnotexceed200%offederalpovertylevelandwhoindicatetheycannotpaythefullslidingfeerateofColoradoWestMentalHealthCenters.Individualsandfamiliesrequestingassistancewillcompleteafamilyfinancialstatementforthepurposesofdeterminingeligibility.AnadditionalfeemaybeassessedbytheContractornottoexceedthedifferencebetweentheamountofsubsidyunderthisAgreementandthefeeundertheContractor’sUniformAbilitytoPayScale. CC:AgreementbetweenEAGLECOUNTYandColoradoWestMentalHealthCenterPAGE2D.AccesstoServices-i.ClientsmaybereferredtoColoradoWestfromtheCountyDepartmentofHealthandHumanServices.AreferralformandauthorizationforpaymentwillbeprovidedbytheCounty.ii.ClientsmaycontacttheContractordirectlyforservicesandrequestassistancewiththecostofmentalhealthservices.E.BillingforServices-TheContractorshallsubmittotheCountyamonthlystatementofservicesprovidedtoauthorizedclientfamilies.Titemaximumamountforpurchaseunderthisagreementis$12,000.2.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,orisdeclaredbankrupt,ordissolves,thentheCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallthereuponterminateandceaseimmediately.3.CONTRACTOR’SDUTIESTheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty.B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with48hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement ‘10AgreementbetweenEAGLECOUNTYandColoradoWestMentalHealthCenterPAGE3C4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:EagleCountydoCountyAttorneyP.0.Box850Eagle,CO$1631THECONTRACTOR:ColoradoWestMentalHealthCenterdoKenSteinP.O.Box40GlenwoodSprings,CO$16025.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty.6.INSURANCEAtalltimesduringthetermsofthisAgreement,Contractorshallmaintainthefollowinginsurance:TvneofInsuranceCoverageLimitsWorkers’CompensationEmployer’sLiability,includingoccupationaldiseaseStatutory$500,000ComprehensiveAutomobileLiability,includingallowned,non-owned,andhiredvehicles.ComprehensiveGeneralLiability,includingformpropertydamage.$150,000perpersonand$600,000peroccurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.$150,000perpersonand$600,000perbroadoccurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentcontractor,Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employeeorvolunteeroftheCounty. 00AgreementbetweenEAGLECOUNTYandColoradoWestMentalHealthCenterPAGE4B.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedundertheAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecostsincurredinthedefenseoftheclaim,includingstafftime,courtcosts,attorney’sfees,andotherclaimrelatedexpenses.D.ThevalidityorunenforceabilityofanyparticularprovisionofthisAgreementshallnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidandunenforceableprovisionswereomitted.E.ContractorshallindemnifyandholdharmlesstheCounty,itsBoardofCommissioners,andtheindividualmembersthereofitsCommissions,agencies,departments,officers,agents,employees,servants,anditssuccessorsfromanyandalldemands,losses,liabilities,claimsorjudgements,togetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCountyCommissioners,andtheindividualmembersthereofitscommissions,agencies,departments,officers,agents,employees,orservantsanditssuccessors,asaresultoftheactsoromissionsofContractor,itsemployeesoragents,inorinpartpursuanttothisAgreementorarisingdirectlyorindirectlyoutofContractor’sexerciseofitsprivilegesorperformanceofitsobligationsunderthisAgreement.F.Thecontractorshallcomplywithallapplicablelaws,resolutions,andcodesoftheStateofColoradoandEagleCounty.G.Nopersonshallhaveanypersonalfinancialinterest,directorindirect,inthisAgreement.H.TheCounty’sfinancialobligationsunderthisAgreementarecontingentuponitsreceivingsufficientrevenueswithinitsbudget.
