Home My WebLink AboutC97-024 Aspen Buddy Program‘972425CCAGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDASPENBUDDYPROGRAMTHISAGREEMENT,madeandenteredintothisfi5dayof,1997byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andAspenBuddyProgram,(hereinafterreferredasthe“Contractor”).WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyhasawardedtheContractorgrantfundsintheamountof$600inquarterlypaymentsof$150beginningMarch31,1997forthepurposeofprovidingadultmentoringandsupportservicestoyouthwhoareresidentsofEagleCounty.B.Inconsiderationforthemonetarypaymentdescribedintheprecedingparagraph,Contractorshallutilizeandspendthefundsprovidedsolelyforthefollowingspecificpurpose(s),subjecttothegeneraltermsandconditionsasstatedherein;adultmentoringandsupportservicesforyouth.C.TheContractorshallprovideanannualstatisticalreportsofthenumbersofEagleCountyindividualsreceivingservices.TheannualreportwillbeduebytheJanuary15,199$andwillbesubmittedtotheDirectorofHealthandHumanServices,P.O.Box660,Eagle,CO$1631.2.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives.B.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,orisdeclaredbankrupt,ordissolves,thentheCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallthereuponterminateandceaseimmediately.3.CONTRACTOR’SDUTIES-TheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty. CAgreementBetweenEAGLECOUNTYandAspenBuddyProgramPAGE2B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with48hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement.4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:THECONTRACTOR:EagleCountyAspenBuddyProgramdoCountyAttorney110EastHallamP.0.Box850Suite125Eagle,CO$1631Aspen,CO$16115.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty.6.INSURANCEAtalltimesduringthetermofthisAgreement,Contractorshallmaintainthefollowinginsurance:TypeofInsuranceCoverageLimitsWorkers’CompensationStatutoryEmployer’sLiability,including$500,000occupationaldisease 00AgreementbetweenEAGLECOUNTYandAspenBuddyProgramPAGE3ComprehensiveAutomobileLiability,notrequiredunlesstheContractorownsincludingallowned,non-ownedandhiredorhiresvehiclesorcompensatesworkersvehicles,fortheuseofpersonalvehicles.ComprehensiveGeneralLiability,$150,000perpersonand$600,000perincludingbroadformpropertydamageoccurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.AllinsurancerequiredherebyshallbeissuedbyaninsurancecompanyorcompaniesauthorizedtodobusinessintheStateofColorado7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentcontractor.Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employeeorvolunteeroftheCounty.3.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedundertheAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecostsincurredinthedefenseoftheclaim,includingstafftime,courtcosts,attorney’sfees,andotherclaimrelatedexpenses.D.ThevalidityorunenforceabilityofanyparticularprovisionofthisAgreementshallnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidandunenforceableprovisionswereomitted.E.ContractorshallindenmifyandholdharmlesstheCounty,itsBoardofCountyCommissionersandtheindividualmembersthereofitscommissions,agencies,departments,officers,agents,employees,orservants,anditssuccessors,fromanyandalldemands,losses,liabilities,claimsorjudgements,togetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCountyCommissioners,andtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employeesorservantsanditssuccessors,asaresultoftheactsoromissionsofContractor,itsemployeesoragents,inconnectionwithContractor’sactivitieswhicharefundedinwholeorinpartpursuanttothisAgreementorarisingdirectlyorindirectlyoutofContractor’sexerciseofitsobligationsunderthisAgreement.
