Home My WebLink AboutC97-023 Echo Ranch InccC972325AGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDECHORANCH,Inc.THISAGREEMENT,madeandenteredintothis/dayof,1997byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andEchoRanch,Inc.,(hereinafterreferredasthe“Contractor”).WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyhasawardedtheContractorgrantfundsintheamountof$1,000inquarterlypaymentsof$250beginningMarch31,1997forthepurposeofprovidingfamilysupportservicestofamilieswhichresideinEagleCountythroughaParentalResponsibilitesRenewedParentingClassseries.B.Inconsiderationforthemonetarypaymentdescribedintheprecedingparagraph,Contractorshallutilizeandspendthefundsprovidedsolelyforthefollowingspecificpurpose(s),subjecttothegeneraltermsandconditionsasstatedherein:ParentalResponsibilitiesRenewedParentingClassSeriesforEagleCountyfamilies.C.TheContractorshallprovideanannualstatisticalreportofthenumbersofEagleCountyindividualsparticipatingintheParentalResponsibilitiesSeries.TheAnnualreportswillbeduebyJanuary15,1998andwillbesubmittedtotheDirectorofHealthandHumanServices,P.O.Box660,Eagle,CO$1631.2.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives.B.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,orisdeclaredbankrupt,ordissolves,thentheCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallthereuponterminateandceaseimmediately. C)CAgreementBetweenEAGLECOUNTYandECHORanch,Inc.PAGE23.CONTRACTOR’SDUTIESTheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty.B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with4$hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement.4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:THECONTRACTOR:EagleCountyEchoRanch,Inc.doCountyAttorneyP.O.Box499P.0.Box$50Gypsum,CO816237Eagle,CO816315.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty. CC)AgreementbetweenEAGLECOUNTYandECHORanch,Inc.PAGE36.INSURANCEAtalltimesduringthetermofthisAgreement,Contractorshallmaintainthefollowinginsurance:TypeofInsuranceCoverageLimitsWorkers’CompensationStatutoryEmployer’sLiability,including$500,000occupationaldiseaseComprehensiveAutomobileLiability,$150,000perpersonand$600,000perincludingallowned,non-ownedandhiredoccurrenceorasspecifiedintheColoradovehicles.GovernmentalImmunityAct,whicheverisgreater.ComprehensiveGeneralLiability,$150,000perpersonand$600,000perincludingbroadformpropertydamageoccurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.AllinsurancerequiredherebyshallbeissuedbyaninsurancecompanyorcompaniesauthorizedtodobusinessintheStateofColorado7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentcontractor.Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employeeorvolunteeroftheCounty.B.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedundertheAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecostsincurredinthedefenseoftheclaim,includingstafftime,courtcosts,attorney’sfees,andotherclaimrelatedexpenses.D.ThevalidityorunenforceabilityofanyparticularprovisionofthisAgreementshallnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidandunenforceableprovisionswereomitted. CCAgreementbetweenEAGLECOUNTYandECHORanch,Inc.PAGE4E.ContractorshallindemnifyandholdharmlesstheCounty,itsBoardofCountyCommissionersandtheindividualmembersthereofitscommissions,agencies,departments,officers,agents,employees,orservants,anditssuccessors,fromanyandalldemands,losses,liabilities,claimsorjudgements,togetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCountyCommissioners,andtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employeesorservantsanditssuccessors,asaresultoftheactsoromissionsofContractor,itsemployeesoragents,inconnectionwithContractor’sactivitieswhicharefundedinwholeorinpartpursuanttothisAgreementorarisingdirectlyorindirectlyoutofContractor’sexerciseofitsobligationsunderthisAgreement.F.Thecontractorshallcomplywithallapplicablelaws,resolutions,andcodesoftheStateofColoradoandEagleCounty.G.Nopersonshallhaveanypersonalfinancialinterest,directorindirect,inthisAgreement.H.TheCounty’sfinancialobligationsunderthisAgreementarecontingentuponitsreceivingsufficientrevenueswithinitsbudget.INWITNESSTHEREOF,thepartiesheretohaveexecutedthisAgreementon/Li1997.ThepartiesheretohavesignedthisAgreementinquadruplicate.OnecounterparteachhasbeendeliveredtotheCountyandtheContractor.ATTEST:CountyofEagle,StateofColorado,ByandThroughItsBOARDofCOUNTYCOMMISSIONERSCountyCommissionersCONTRACTOR:ECHORanch,Inc.
