Home My WebLink AboutC97-022 Colorado West Mental Health CenterC’9722%CAGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDCOLORADOWESTMENTALHEALTHCENTERTHISAGEMENT,madeandenteredintothis______day_______1997byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andColoradoWestMentalHealthCenter,(hereinafterreferredasthe“Contractor”).WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeasfollows:1.SCOPEA.TheCountyhasawardedtheContractorgrantfundsintheamountof$6,000inquarterlypaymentsof$1,500beginningMarch31,1997forthepurposeofprovidingEmergencyCrisisinterventionservicestocitizensofEagleCountyandinresponsetorequestsfromtheEagleCountyHealthandHumanServicesandtheEagleCountySheriffsOffice.B.Inconsiderationforthemonetarypaymentdescribedintheprecedingparagraph,Contractorshallutilizeandspendallfundsprovidedsolelyforthefollowingspecificpurpose(s)subjecttothegeneraltermsandconditionsasstatedherein:Provide24hourmentalhealthcrisisinterventionservicestocitizensofEagleCountyandinresponsetorequestsfromtheEagleCountyHealthandHumanServicesandtheEagleCountySheriffsOffice.C.TheContractorshallprovideaquarterlyreportofprogramactivitiesundertakenthroughthisgrant.QuarterlyreportswillincludethenumbersofEagleCountyresidentsreceivingemergencyservices.Quarterlyreportswillbeduebythe15thofthemonthfollowingthecloseofthequarterandwillbesubmittedtotheDirectorofHealthandHumanServices,P.O.Box660,EagleCO81631.PaymentsmaybesuspendediftheContractorfailstoprovidequarterlyreportsontime.2.PERIODOFAGREEMENTA.ThetermofthisAgreementshallcommenceJanuary1,1997,andendDecember31,1997.However,theCountymayterminatethecontractbetweentheCountyandtheContractor(thereforeterminatingthisAgreement)on10days’noticeifitisdeemedbytheCountythattheContractorisnotfulfillingtheprogramasspecifiedinthisagreement,orforothersufficientreasons.AnyunexpendedfundsmayberequiredtobereturnedtotheCountyaswellasanyfundsnotproperlyexpendedaccordingtoprojectobjectives.B.Notwithstandingtheabove,intheeventtheContractorbecomesinsolvent,isdeclaredbankruptordissolves,theCountymaydeclareinwritingthatthisAgreementisterminated,andallrightsoftheContractorandobligationsoftheCountyshallterminateandceaseimmediately. CCAgreementbetweenEAGLECOUNTYandColoradoWestMentalHealthCenterPAGE23.CONTRACTOR’SDUTIESTheContractorshallcomplywiththefollowingrequirements:A.AllfundsreceivedunderthisAgreementshallbeexpendedsolelyforthepurposeofwhichgranted,andanysuchfundsnotsoexpended,includingfundslostordivertedtootherpurposes,willbereturnedtotheCounty.B.TheContractorshallmaintainadequaterecordsofmatchingexpendituresforreportingtotheCounty.TheContractorshallmaintainallrecordspertainingtothisAgreementforaminimumofthreeyearsandmaybesubjectedtoanauditbyfederal,state,orcountyauditorsortheirdesigneesasrequested.Ifmisuseoffundsisdiscoveredbyanauditor,theContractorshallreturnsaidmisusedfundstotheCounty.C.TheContractorauthorizestheCountytoperformauditsandtomakeinspectionsduringnormalbusinesshoursattheconvenienceoftheContractor,with4$hourswrittennotice,forthepurposeofevaluatingperformanceunderthisAgreement.4.NOTICEAnynoticeprovidedforhereinshallbegiveninwritingbyregisteredorcertifiedmail,returnreceiptrequested,whichshallbeaddressedasfollows:THECOUNTY:THECONTRACTOR:EagleCountyColoradoWestMentalHealthCenterdoCountyAttorneydoKenSteinP.0.Box$50P.O.Box4OEagle,CO$1631GlenwoodSprings,CO816025.MODIFICATIONSANDWAIVERTheContractorshallnotassignanyrightsordutiesunderthisAgreementtoathirdpartywithoutthewrittenconsentoftheCounty,whichshalldeterminetheacceptabilityofthethirdpartytotheCounty.AnyefforttoeffectsuchanassignmentwithoutthewrittenconsentoftheCountywillterminatetheAgreementimmediatelyattheoptionoftheCounty. 00AgreementbetweenEAGLECOUNTYandColoradoWestMentalHealthCenterPAGE36.INSURANCEAtalltimesduringthetermofthisAgreement,Contractorshallmaintainthefollowinginsurance:TypeofInsuranceCoverageLimitsWorker’sCompensationStatutoryEmployer’sLiability,including$500,000occupationaldiseaseComprehensiveAutomobileLiability,$150,000perpersonand$600,000perincludingallowned,non-ownedandorasspecifiedintheColoradohiredvehicles.GovernmentalImmunityAct,whicheverisgreater.ComprehensiveGeneralLiability,$150,000perpersonand$600,000perincludingbroadformpropertydamageoccurrenceorasspecifiedintheColoradoGovernmentalImmunityAct,whicheverisgreater.AllinsurancerequiredherebyshallbeissuedbyaninsurancecompanyorcompaniesauthorizedtodobusinessinthestateofColorado.7.MISCELLANEOUSA.ThepartiesofthisAgreementintendthattherelationshipoftheContractortotheCountyisthatofanindependentContractor.Noagent,employeeorvolunteeroftheContractorshallbedeemedtobeanagent,employee,orvolunteeroftheCounty.B.ThisAgreementshallbebindinguponandinuretothebenefitoftheContractorandtheCountyandtheirrespectiveheirs,legalrepresentatives,executors,administrators,successorsandassigns:provided,however,thatneitherpartymayassignnordelegateanyofitsrightsorobligationhereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.C.IntheeventthatadisputeshouldariserelatingtotheperformanceoftheservicestobeprovidedunderthisAgreement,andshouldthatdisputeresultinlitigation,itisagreedthattheprevailingpartyshallbeentitledtorecoverallreasonablecosts,attorney’sfees,andotherclaimrelatedexpenses.D.ThevalidityorunenforceabilityofanyparticularprovisionofthisAgreementshallnotaffecttheotherprovisionshereofandthisAgreementshallbeconstruedasofsuchinvalidandunenforceableprovisionswereomitted. CAgreementbetweenEAGLECOUNTYandColoradoWestMentalHealthCenterPAGE40E.ContractorshallindemnifyandholdharmlesstheCounty,itsBoardofCountycommissionersandtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employees,orservantsanditssuccessors,fromanyandalldemands,losses,liabilities,claimsorjudgements,togetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheCounty,itsBoardofCommissionersandtheindividualmembersthereof,itscommissions,agencies,departments,officers,agents,employeesorservantsanditssuccessors,asaresultoftheactsoromissionsofContractor,itsemployeesoragentsinconnectionwithContractor’sactivitieswhicharefundedinwholeorinpartpursuanttothisAgreementorarisingdirectlyorindirectlyoutofContractor’sexerciseofitsobligationsunderthisAgreement.F.TheContractorshallcomplywithallapplicablelaws,resolutions,andcodesoftheStateofColoradoandEagleCounty.G.Nopersonshallhaveanypersonalfinancialinterest,directorindirect,inthisAgreement.H.TheCounty’sfinancialobligationsunderthisAgreementarecontingentuponitsreceivingsufficientrevenueswithinitsbudget.TNWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementon__________1997.ThepartiesheretohavesignedthisAgreementinquadruplicate.OneCounterparteachhasbeendeliveredtotheCountyandtheContractor.CONTRACTOR:ColoradoWestMentalHealthCenterBY44’°1i%&/t(wrn1ATTEST:CountyofEagle,StateofColoradoByandThroughitsBOARDOFCOUNTYCOMMISSIONERSCountyCommissionersBoardofCommissionersTITLE:
