IGAc’972151CCINTERGOVERNMENTALAGREEMENTFORTHEPURCKASEOFADMINISTRATIVESERVICESINCONNECTIONWITHTHEHOUSINGVOUCHERASSISTANCEPAYMENTSPROGRAMTHISAGREEMENT,ismadeandenteredintobyandbetweentheHousingAuthorityofGarfieldCounty(“GCHA”)andtheCountyofEagle,StateofColoradobyandthrohitsBoardofCountyCommissioners(“EagleCounty”)this/JYt—dayofFebruary,1997.WITNESSETHWHEREAS,EagleCountyandGCHAdesiretocooperate,onbehalfoftheStateofColorado,toprovideimprovedlivingconditionsforlow-incomefamilies;andWHEREAS,GCHAisadulyformedhousingauthorityandpoliticalsubdivisionoftheStateofColorado,organizedandexistingunderSection29-4-501,t.andWHEREAS,GCHAisauthorizedtoadministerinGarfieldCountyonbehalfoftheDepartmentofHousingandUrbanDevelopment,theSection8HousingVoucherandtheSection8ExistingHousingCertificateAssistancePaymentsProgram,hereinafterreferredtoasthe“Program”,pursuanttoSection8oftheUnitedStatesHousingActof1937,asamendedbytheHousingandCommunityDevelopmentActof1974,hereinafterreferredtoasthe“Act”;andWHEREAS,EagleCountyappliedforandisnowauthorizedtoadministerinEagleCounty,onbehalfoftheStateofColorado,the•ProgrampursuanttoSection8oftheAct,inaccordancewiththecontractdatedJanuary15,1995;andWHEREAS,EagleCountydesirestopurchasefromGCHAadministrativeservicestoassistEagleCountyinprovidingservicetoqualifiedparticipantsintheSection8ProgramwhoareresidentsofEagleCounty,Colorado;andWHEREAS,GCHAiswillingtoprovidesuchservicestoEagleCountyinconsiderationofthemutualcovenantscontainedherein;and 00WHEREAS,GCHAandEagleCountycurrentlycooperateinprovidingSection8RentalAssistanceforEagleCountyresidents.WHEREAS,GCHAandEagleCountyagreetocontinuetoprovidesuchassistancetothoseresidentsofEagleCountywhocurrentlyreceiveSection8assistancefromGarfieldCountypursuanttothetermsofEagleCountyResolutionNo.92-218;andWHEREAS,thisagreementisauthorizedpursuanttotheprovisionsofSection29-1-201,.C.R.S.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,tobekeptandperformedbytheparties,thepartiesheretocovenantandagreeasfollows:A.ScopeofServices.1.GarfieldCountyHousingAuthoritywillprovideadministrativeservicestoEagleCountyforadministrationofboththeHousingVoucherAssistancePaymentsProgrampursuanttoSection8oftheUnitedStatesHousingActof1937,asamendedbytheHousingandCommunityDevelopmentActof1974andtheFamilySelfSufficiencyprogram.2.GCHAshallatalltimescomplywiththerequirementsofthePrograminprovidingservicesunderthisagreement.3.GCHAissolelyresponsiblefortheconductofindividualsemployedbyitandunderitsdirectsupervisionandcontrolinexecutingitsobligationsunderthisagreement.4.GCHAagreestoindemnify,defendandholdharmlessEagleCounty,itsrespectiveagents,affiliates,officers,directors,servantsandemployeesofEagleCountyfromanyloss,cost,damage,injury,liability,claims,liens,demands,actionsorcausesofaction,whatsoever,arisingoutoforrelatedtonegligentacts,errorsoromissionsorthatofitsemployees,consultants,etc.,whethercontractualorotherwise.5.GCHAshallprovidesuchservicesandmaintainsuchrecordsinaccordancewiththeColoradoDivisionofHousingadministrativeplanandotherDivisionofHousinginstructions.2 CB.Compensation.6.TheservicestobeprovidedbyGCHAinaccordancewithParagraph1,above,shallbeprovidedonanasneededbasisandbilledbyGCHAtoEagleCountyonanhourlybasis,forwhichcompensationshallbepaidattherateof$16.00perhour.GCHAshallsubmititemizedquarterlybillingsforcompensationandexpensesincurredpursuanttothisagreement.7.GCHAshallbeentitledtoreimbursementforthefollowingexpenses:mileageat.30/mile.Suchexpensesshallbeincludedinitemizedquarterlybillings.8.EagleCountyhasnotappropriatedanyfundsfortheadministrationoftheSection8ProgramandtheFamilySelfSufficiencyProgram,therefore,paymentsandreimbursementbyEagleCountycannotexceedandareexpresslycontingentuponthepaymentbytheStateofColoradotoEagleCountypursuanttoitsSection8Contract,datedJanuary15,1995.C.JointObligationsandProcedures.9.InconnectionwiththeprovisionofservicesbyGCHA,qualifiedresidentsofEagleCounty,Colorado,shallapplydirectlytoGCHAforrentalassistanceundertheSection8ProgramandGarfieldCountyagreestoprocessallapplicationsandtoconductsuchotherrequisiteservicesasarenecessaryforcompliancewiththerequirementsoftheProgram.GCHAagreestoprovideservicesandaffordpreferencestatustoresidentsofEagleCountyinaccordancewiththeColoradoDivisionofHousingAdministrativePlan.10.EagleCountywillreceivethefundsidentifiedasadministrativefeesinitsagreementwiththeDepartmentofLocalAffairs,DivisionofHousing,StateofColorado,datedJanuary15,1995.3 CC11.ThepartiesshallmaintainsuchrecordsasarenecessaryforcompliancewiththerequirementsoftheProgram.12.Thepartiesagreetoprovideeachotherwithallpertinentinformationavailabletotheextentthatsuchinformationisrelevantandnecessarytotheperformanceofobligationsunderthisagreement.13.Informationprovidedbythepartiestoeachotherpursuanttothisagreementshallbeusedonlyforthepurposesintendedandasotherwiserequiredbylaw.14.Fromthedatereferencedabove,qualifiedresidentsofEagleCountyshallreceiveSection8RentalassistancefromtheVouchersprovidedtoEagleCountyfromtheProgram.D.Term.15.ThetermofthiscontractshallcommenceasofJanuary1,1997andshallcontinuethroughDecember31,1997.16.Thepartiesspecificallyreservetheirrighttoterminatethisagreementwithorwithoutcauseuponsixty(60)dayspriornoticeinwritingtotheotherparty.E.Miscellaneous.17.Thisagreementmaybeamendedinwholeorinpartonlybywrittenagreementexecutedbytheparties.18.Allagreementsandcovenantshereinareseverable,andintheeventthatanyofthemshallbeheldinvalidbyacourtofcompetentjurisdiction,thisagreementshallbeinterpretedasifsuchinvalidagreementorcovenantwerenotcontainedherein.4
