HomeMy WebLinkAboutC97-020 Western Eagle County Metropolitan DistrictC’972047LEASEAGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDWESTERNEAGLECOUNTYMETROPOLITANDISTRICTTHISLEASEmadeandenteredintothis19dayofFEBRUARY1991,byandbetweentheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado,abodycorporateandpolitic(hereinafterreferredtoasthe“County”)andW.E.C.M.R.D.______________________(hereinafterreferredtoas“lessee”)forthepurposeofRETURI’HOCKEYEQUIPMENT•WHEREAS,theCountyrepresentsitisdulyauthorizedtoenterintothisAgreementpursuanttoSections30—11—101,10—11—103,and30—11—107,C.R.S.,asamended.WHEREAS,SCOTTRUFFrepresentsthat63sheisdulyauthorizedtoenterintothisagreementforitsinteñedpurposes.WITNESSETH:THAT,inconsiderationofthemutualpromises,covenantsandconditionscontainedherein,thepartiesheretoagreeherebyasfollows:1.SCOPETheCountydoesherebyleasetotheLesseethefollowingpremises,asindicatedandmarkedbelow,situatedwithintheEagleCountyFairgroundsproperty,CountyofEagle,StateofColorado,hereinafterreferredtoasthe“leasedpremises.”A.ExhibitionHall,includingtherestrooms,stagearea,tablesandchairs,bar,andkitchenfacilities.B.ExhibitionHall,includingtherestrooms,stagearea,tablesandchairs,andbar.—C.Picnic&LawnArea,includingrestrooms,playgroundandpicnictables.D.ConcessionStand,includingthegrill,freezer,cooler,andsinks.—E.Arenas,chutes,theannouncerstand,catchpens,grandstandsarenabathrooms.—F.Horsestallsandholdingpens. 00anddeath,propertydamage,andotherdamagesimposedbylawuponthepartieshereto.LesseeagreestoprovidetheCountywithaCertificateofInsuranceacceptabletotheCounty,namingEagleCountyas“additionalInsured”fourteen(14)dayspriortocommencementofthisLeaseAgreement.B.HostLiauorLiabilityInsuranceisrequiredforanyeventinwhichalcoholisbeingservedwithoutdirectorindirect(includingcovercharge,single—priceadmission,contributionsortips)charge.”HostLiquorLiabilityInsuranceshallnameEagleCountyasadditionalinsured,andshallbecarriedintheminimumamountof$150,000perinjuryand$600,000peroccurrence.C.LiquorLegalLiabilityisrequiredforanyeventinwhichalcoholisbeingsold.LiquorlegalliabilityinsuranceshallnameEagleCountyasadditionalinsured,andshallbecarriedintheminimumamountof$150,000perinjuryand$600,000peroccurrence.PleasecontacttheEagleCountyClerkandRecorder’sOfficeformoreinformation.TYPEOFINSURANCEREQUIRED:A.GeneralLiabilityCoverageXB.HostLiquorLiabilityInsuranceC.LiquorLegalLiabilityPROOFOFINSURANCEISATTACHEDYES____NO____5.DEPOSITSTheLesseeistopayonehalfoftherequireddeposittoreservetheEagleCountyFairgrounds.Theremainderofthedepositandtheentiredailyfeeisdueandpayableaminimumofseven(7)dayspriortotheevent.Failuretopaysaiddepositandfeeseven(7)dayspriortotheeventwillresultinthelossofthelease.AcancellationfeeofTwenty—fivedollars($25.00)willbewithheldfromtheinitialdepositiftheeventiscancelled.Lesseeisresponsibleforanyandalldamagestoleasedpremises.Leasedpremisesaretobeleftinaclean,usableandundamagedcondition.IfLesseefailstocleanleasedpremissestothesatisfactionoftheCounty,oriftheleasepremisesincursanydamageduringLessee’soccupancy,excludingnormalwearandtear,allcleaninganddamageexpensesincurredbyEagleCountyshallbedeductedfromtheabovedeposit,and/oradditionalchargesshalllieassessed.(SeeCleaningandDamageChargesattachedhereto.) CCIntheeventthatthedepositdoesnotcoverthedamage,andadditionalfeewillbeassessed.Lesseeshallhavefive(5)businessdaystopayanyextrachargeduetodamage.Ifanindividualorgrouphasforfeitedanypartoftheircleaninganddamagedepositinthepast,theamountoftheirnextdepositshallbelefttothediscretionofthecounty.Depositsandfeesaredueandpayableinadvance. •aa6.KEYRETURNLesseeshallobtainkeystotheleasedpremisesonlyaftersaiddepositsandfeesarepaidinfullto.theCounty.FacilitiesshallbecleanandkeysshallbereturnedtotheCountynolaterthanthefirstbusinessdayfollowingtheendofsaidlease.Apenaltyof$5.00perdaywilllieretainedfromthedepositforfailuretoreturnthekeyafterthefirstbusinessdayfollowingtheendofsaidlease.7.LICENSESPriortoLessee’seventattheleasedpremises,Lesseeshallobtainanyandalllicensesorinspectionsasmayberequiredbylaw.8.SECURITYLesseeagreestoprovidesecurityfortheeventscontemplatedhereby.LesseeshallcontacttheEagleCountySheriff’sOfficeandmakesecurityarrangementsacceptabletotheEagleCountySheriff’sOffice.Lesseeshallberesponsibleforpayinganyandallsecuritycostsassociatedwithsaidevents.Proofofsecurityistobeprovidedseven(7)dayspriortosaidevent.9.ALCOHOLCONSUMPTION_____A.Lesseeshallbeallowedtoservealcoholinthefollowingdesignatedareas______________________________B.Lesseeandparticiapantsshalllieallowedtoconsumealcoholinthefollowingdesignatedareas__________________C.LesseeintendstosellalcoholonFairground’spremises.(Aseperateliquorlicenseisrequired.PleasecontacttheEagleCountyClerkandRecorder’sofficeforinformation.)X__D.LesseeshallnotservealcoholonFairgrounds’spremises._____I.Lesseeandparticipantsshallnotconsumealcoholonfairgroundspremises.10.RULESANDREGUIATIONSLesseeagreestoabidebytheEagleCountyFairgroundsRulesandRegulationsassetforthinExhibit“A,”attachedheretoandmadeaparthereofbythisreference.LesseeisresponsibleforenforcingtheEagleCountyFairgroundsRulesandRegulationsduringitseventandwithallguestsandparticipants. 0011.INDEMNIFICATIONA.LesseeagreestoholdtheCountyharmlessandassumefullresponsibilityforallclaimsassertedagainsttheCountybythirdpartiesarisingoufofLessee’sactivitiesontheleasepremises.B.Lesseeagreestheleasedpremisesshallnotbeusedforanypurposedwhichwouldrendertheinsurancethereonvoidortheinsuranceriskmorehazardous,orforanypurposeunauthorizedbylaw.12.LESSEE’SDUTIESLesseeagreestoleavetheleasedpremisesinthesamecleanandusableconditionwhichexistedatthetimeofthecommencementofthisLeaseAgreement.PriortothecommencementandterminationoftheLeaseAgreement,LesseeandanauthorizedrepresentativeoftheCountyshallinspecttheleasedpremises,andshallmakewrittennoteofanydamagedoruncleanproperty.IfattheterminationofthisLeasetheCounty’srepresentatIvefindstheleasedpremisestobeuncleanordamaged,Lesseeshallbeheldresponsiblefor.anycleaningorrepairofdamagecostsincurredbytheCountyasaresultofLessee’soccupancyoftheleasedpremises.SaidcostsshallbedeductedfromLessee’sdeposit.IfsaidcostsexceedLessee’sdeposit,Lesseeagreestopayanyadditionalcostsimmediately.13.MISCELLANEOUS.A.LesseeshallpermittheCountytohavefreeaccesstotheleasedpremisesbefore,duringandafterthescheduledevent.B.NomodificationorwaiverofthisAgreementorofanycovenant,condition,orprovisionhereincontainedshalllievalidunlessagreedtoinwritingbyallparties.C.ThiswrittenAgreementembodiesthewholeagreementbetweenthepartiesheretoandtherearenoinducements,promises,terms,conditions,orobligationsmadeorenteredintoeitherbytheCountyorLesseeotherthanthatcontainedherein.D.Allagreementsandcovenantshereinareseverable,andintheeventthatanyofthemshallbeheldinvalidbyacourtofcompetentjurisdiction,thisAgreementshallbeinterpretedasifsuchinvalidagreementorcovenantwerenotcontainedherein. CCEAGLECOUNTYFAIRGROUNDSRULESANDREGULATIONSPART1.GENERALRULESANDREGULATIONSA.ItisintendedthattheEagleCountyFairgrounds(hereinafterreferredtoasthe“Fairgrounds”)beusedtomeetasmanyneedsandserveasmanyorganizationsaspossible.SchedulingofeventstobeheldattheFairgroundsshallbedoneonafirstcome,firstservebasis,atthediscretionoftheEagleCountyBoardofCountyCommissioners(hereinafterreferredtoas“theCounty”).Noindividual,organizationorcorporationshallbepermittedtoreservetheexhibithallformorethanone(1)eventpermonthunlessotherwiseauthorizedorpermittedbytheCounty.B.SchedulinganduseoftheFairgroundsanditsfacilitiesshallbemanagedbytheEagleCountyManagerorhisdesignee.Adepositand/orfeemayberequiredforspecificfacilities.DepositsshallbereturnedupontheapprovaloftheCountyifthefacilitiesareleftintheconditioninwhichtheywerefound.C.Intheeventthedepositdoesnotcoverthedamage,anadditionalfeewillbeassessed.Lesseeshallhavefive(5)businessdaystopayanyextrachargeduetodamage.D.TheCountyshallnotberesponsibleforlossesduetotheft,fireorvandalismduringactivitiesheldonthepremisesoftheFairgrounds.E.Smokingisprohibitedinallbuildings,andwithinfifty(50)feetofanybarn,hayorstrawstoragearea,oraspostedontheFairgroundsproperty.F.Theusershallberesponsibleforparkingcontrolandforinsuringthatfirelanes(12feetminimum)andaccesslanes(12feetminimum)arekeptclearofobstructionduringalleventsoccurringattheFairgrounds.Unlessotherwiseauthorized,parkingshallbeindesignatedareasonly.G.Childrenshallnotbepermittedinanyareaswherelivestockarekeptorusedunlessparticipatinginascheduledevent,orunlesssupervisedoraccompaniedbyaparentoradultwhoshallacceptcompleteresponsibilityineaseofanyinjuryaccidentordamage.H.Alldogsshallbeonaleashandunderthecontroloftheowner,unlessparticipatinginascheduledevent,andwillnotbeallowedinanybuildingsunlessthedogoranimalisaserviceanimalassistingadisabledperson.I.GlassbeveragecontainersareprohibitedonFairgroundspropertyexceptintheexhibitionhail,orasotherwise CC,authorized.I.AUcounty-ownedequipmentshallbeoperatedbyCountyEmployeesonly.K.Allprops,poles,portablefencepanels,barrelsandjumpstandardsshallbereturnedtotheirdesignatedstoragelocationaftereachuse.L.CampingorovernightparkingisprohibitedonFairgroundspropertyunlesspreviouslyauthorizedbytheCounty.M.AllFairgroundsusersshallberesponsibleforcleaningupafterthemselvesandtheiranimals.N.TheCountyreservestherighttodenyanygrouporpersonaccesstotheFairgrounds.0.TheCountyreservestheTighttocloseanypartoftheFairgroundstopublicaccess.P.NointoxicatedpersonshallbeallowedontheFairgrounds.Nopersonundertheageof21shallconsumealcoholicbeveragesonFairgroundsproperty.Q.AnyandallpersonsusingthearenashallsignareleaseofliabilityandagreementtoindemnifytheCountyfromanyandallclaimsagainsttheCounty,itsagents,orassigns.R.Usershallobtainallnecessarypermitsandlicensespriortoscheduleduse,andshallpromptlypayalltaxes,exciseorlicensefeesapplicabletothesueoftheFairgrounds.S.UsershalluseandoccupytheFairgrounds,oranyportionthereof,inasafeandcarefulmannerandshallcomplywithalllocal,state,andfederallaws,rulesandregulationsasmaylieinforceand€ffectduringthescheduledevent,includinganyandallhealthlawsandregulations.T.If,inthejudgementofthecounty,personsattendingascheduledeventareinviolationoftheseRulesandRegulations,theCountymay‘terminatetheeventandrequireallpersonstoimmediatelyleavethepremises.U.TheCountyreservestherighttoenterupontheFairgroundspropertyatanytimetoinsurecompliancewiththeseRulesandRegulations.PART2.BOARDINGANIMALSA.UnlessauthorizedbytheCounty,.BoardingofAnimalsisprohibitedonFairgroundsproperty.UnlessotherwiseauthorizedbytheCounty,usershallpaya$25.00depositand$5.00perdayfee,foreachstallorpenusedtoinsurethatthepremisesareleftinacleanandundamagedcondition. 00Cleaninganddamageexpensesshallliedeductedfromthedepositand/oradditionalchargesshalllieassessedtotheuserineventthepremisesarenotleftinacleanandundamagedcondition.B.AUusersshalllieresponsibleforthedailycleaningofstallsandholdingpens.Ifuserfailstocleananystallorpen,theCountyshallcleanthemandchargetheuser$25.00perdayperstallorpen.C.Onlyonehorseormuleshallliepermittedinanysinglestall,unlessotherwiseauthorizedbytheCounty.I).TheCountyreservestherighttoinspectanyanimalkeptonFairgroundspropertyandshallattempttocalltheownerintheeventanyanimalappearstobesickoracarrierofanycontagiousdisease.Incominganimalsthatappearsickshallnotbeadmittedwithoutaveterinarian’scertificateofhealthstatingtheanimalishealthy.AnyanimalthatcontractsacontagiousdiseasemustbemovedimmediatelyfromtheFairgroundsattheowner’sexpense.E.OwnersofanyanimalkeptonFairgroundspropertyshallberesponsibleforinsuringthattheanimalisproperlyfedandwateredonadailybasis.Nobulkfeedshallbepermittedinthebarnsatanytime.TheCountyshalldesignateafeedstoragearea.F.Animalsshallnotberelocatedfromtheirassignedstallswithoutthepriorconsentofthecounty.G.Noanimalshallbepermittedtobekeptorstalledinthearenaarea.H.AtthediscretionoftheCounty,thestallsandpensshallnotbeavailableforuseondayswhenscheduledeventsormaintenanceisplanned.I.Priortoboardingananimal,allownersofanimalsshallsignawaiveragreeingtoholdtheCountyharmlessandassumefullresponsibilityforallclaimsassertedagainsttheCounty.IhavereadtheforegoingEaglecountyFairgroundsRulesandRegulationsandfullyunderstandmydutiesandobligationsasstatedintheRulesandRegulations.LESSEE:BYtf
