HomeMy WebLinkAboutC97-016 Great Western Airgas IncCYTINDERLEASEAGREEMENTC‘971.647Rev0994GREATWESTERNMRGAS,NC.*1001DUNNAVENUE*CHEYENNE,WYOMING$2001(307)632-0571CYLINDERAGREEMENTmadethis14dayofJanuary,i_cbeLweenGREATWESTERNAIRGAS,NC.(Distributor)and(Name)EagleCountyBldg&GroundsDept(Consumer)970-328-8705(Phone)(Street)P0.Box850(City,State&Zip)Eagle,CO81631WHEREAS,Distributorisengagedinthesaleanddistributionofcylinders,whichcylindersareloanedtotheConsumerforsuchpurpose;andWHEREAS,Distributorhaspurchasedaquantityofcylinderswhichitmaintainsandithasonhandinordertohaveanamplesupplyofcylh3derstobeloanedtoitscustomers;andWHEREAS,ConsumerdesirestohaveacertainnumberofcylindersreservedbyDistributorforConsumer’suseandtobereleasedfromitsobligationtopaymonthlyrentalwithrespecttosuchnumberofcylinders.‘IYIEREFORE,ifISAGREEDASFOLLOWS:ThetermofthisAgreementshallbeforaninitialONE(1)yearperiodfromdateofthisAgreementandthereafterfromyeartoyearuntilterminatedinwritingbyeitherpartyattheendoftheinitialtermoranysubsequentanniversaiythereofuponnotlessthantwo(2)monthspriortowrittennotice.TheDistributorreservestherighttoadjusttherenewalratesbasedoncurrentmarket.RemainingunusedvalueoforiginalamountduetoearlyterminationofAgreementwillberefundedasaproratedratebasedoncurrentdailyrentalfate.DistributorwillallottotheuseofConsumerthefollowingcylinders:CylinderTypeOuantityPricePerCylinderTotalPriceOxygen300245.0090.00AcetyleneS9145.0045.00CAnytax,assessmentorexcisewhichisleviedorimposedbyanypresentorfuturelaworanygovernmentalauthority(otherthantaxesbaseduponormeasuredbythenetincomeoftheCompany)andwhichisrequiredtobepaidbyCompanyastheresultofperformanceofthisAgreementshallbeaddedtotheinvoiceasaseparateitemandpaidbyDistributor.ConsumerwillpaytoDistributorupontheexecutionofthisagreementthesumof$135.00Distributorwillmaintainatrnalltimesduringsuchperiodasufficientnumberofcylindersfordeliveryofoxygen,acetyleneorothergasestoConsumerinreturnforanemptycylinderwhereverrequestedbyConsumerprovidedthetotalquantityoftherespectivetypesofcylindersinthepossessionofConsumeratanytimedoesnotexceedthequantitieshereinabovespecified.TIatanytimetheConsumercylinderbalanceisgreaterthanthetotalleasedcylinders,Consumerwillbechargeddailyrentonallcylindersinexcess.CYLINDERSARELOANEDTOCONSUMERONLYANDNOTITLETHEREFOREPASSESTOCONSUMER.ConsumeragreestoberesponsibleforallcylinderssoloanedwhileinConsumer’spossessionandwillpaytoDistributorondemandforalllossordamageinanycylinderresultingfromanycausewhileinConsumer’spossession.(ConsumershallnothaveanycylindersrefilledexceptthroughGREATWESTERNAIRGAS,NC.)UponterminationofthisAgreement,theaforesaidquantityofcylindersallottedtoConsumershallbereturnedtotheDistributoringoodcondition,completewithcapsandfittingsandshallpayDistributorthereplacementvalueofanycylinders,capsorfittinglostordamaged.CmEATWESTERNMRGAS,INC.Qp-$ied:%(Consumer)
