o971460LANDLEASETHISLEASE,madeandenteredintothis15thdayofJanuary,1997,betweenF.B.Crawford&Co.,whoseaddressisP.O.Box28001,ElJebel,Co81628,hereinafterreferredtoas“Landlord,”andtheBoardofCountyCommissionersofEagleCounty,Colorado,whoseaddressisP.O.Box850,Eagle,CO81631,hereinafterreferredtoas“Tenant.”1.LEASEDPROPERTY.ForandinconsiderationofthepaymentofrentandthekeepingandperformingofthecovenantsandagreementsbyTenantashereinafterprovided,LandlordherebyleasestoTenantthefollowingdescribedrealproperty(hereinafterthe“Property”orthe“LeasedProperty”),situateinthe,CountyofEagle,StateofColorado,to-wit:ThatrealpropertydescribedonExhibit“A”attachedheretoandincorporatedhereinbythisreference.2.RENT.TenantshallpayLandlordrentfortheLeasedPropertyinthesumof$325.00permonthcommencingonthefirstdayofthemonthnextfollowingtheissuanceofabuildingpermitfortheconstructionofimprovementsontheleasedpropertybutnotlaterthanApril1,1997,andcontinuingonorbeforethefirstdayofeachmonththereafterthroughouttheleaseterm,subjecttoadjustmentoftherentalrateashereinafterprovided.TenantshallpayallrentduehereunderinadvanceatLandlord’saddressstatedaboveoratsuchotherplaceasLandlordmaydesignateinwriting,withoutdemand,counterclaim,deductionorset-off.3.TERM.ThetermofthisLeaseshallcommenceonthefirstdayofthemonthnextfollowingtheissuanceofabuildingpermitasprovidedinSection2,butnotlaterthanApril1,1997,andshallendonthelastdayofthetwenty-fifth(25th)fullleaseyearassaidterm“leaseyear”ishereinafterdefined.Theterm“leaseyear”asusedhereinaftershallmeanaperiodoftwelve(12)consecutivefullcalendarmonths.Thefirstleaseyearshallbeginonthedateofcommencementoftheleasetermasaboveprovided.4.TENANT’SPROPERTYDEVELOPMENT.TenantintendstodeveloponthePropertyashopforcountyroadandbridgepurposes,whichdevelopmentshallbeinaccordancewiththefollowingtermsandconditions:(a)ThePropertyshallnotbeusedforanypurposeprohibitedbythelawsoftheUnitedStates,theStateofColorado,theCountyofEagleorothergoverningjurisdiction.(b)AllbuildingsandotherimprovementstobeplacedonorundertheLeasedPropertyshallbecompletedinagoodandworkmanlikeconditioninfullcompliancewithallapplicablecodes,ordinances,rules,regulationsandotherlawsandinaccordancewiththeterms,conditionsandspecificationssetforthonExhibit“B”attachedheretoandincorporatedhereinbythisreference.II:DKCRAWPORDLEASEIX,C\EAGLE-3LSl 00(c)Tenantshallnot,eitherdirectlyorindirectly,actorfailtoactinanymannerwhichwouldgiverisetoanymechanic’s,materialman’sorotherlienagainsttheLeasedProperty.Tenantshall,forandonbehalfofLandlord,personallyservewrittenorprintednoticeuponallpersonsperforminglabororfurnishingskill,materials,machineryorotherfixturesfortheerection,construction,alteration,removal,addition,repairorotherimprovementonorforthebenefitoftheLeasedPropertystatingthefollowing:F.B.Crawford&Co.,asownerofthepropertydescribedonattachmentheretogivesnoticethatsaidpropertyandtheirintereststhereinshallnotbesubjecttoanylienfortheperformanceoflabororthefurnishingofskill,materials,machineryorotherfixturesfortheerection,construction,alteration,removal,addition,repairorotherimprovementoforonsaidproperty.ThisnoticeisgivenpursuanttoandincompliancewithColoradoRevisedStatutesSection38-22405,asamended.Inadditiontopersonallyservingsaidnoticeasaboveprovided,Tenantshall,forandonbehalfofLandlord,commencingwithinfive(5)daysoftheexecutionofthisLeaseandcontinuingthereafteruntilallofTenant’simprovementsontheLeasedPropertyarecompleted,andatallfuturetimesduringwhichanyimprovementsarebeingerected,constructed,altered,removed,addedorrepairedontheLeasedProperty,postandkeeppostedinaconspicuousplaceupontheLeasedPropertyandoneachexteriorwallofanybuildingwithrespecttowhichanysuchactivitiesaretakingplaceawrittenorprintednoticestatingthefollowing:F.B.Crawford&Co.,asownerofthispropertygivesnoticethatsaidpropertyandtheirintereststhereinshallnotbesubjecttoanylienfortheperformanceoflabororthefurnishingofskill,materials,machineryorotherfixturesfortheerection,construction,alteration,removal,addition,repairorotherimprovementoforonsaidproperty.ThisnoticeisgivenpursuanttoandincompliancewithColoradoRevisedStatutesSection38-22-105,asamended.(d)UponexecutionofthisLease,anduponLandlordreceivingthenecessarylanduseapprovalsashereinprovided,Tenantshallapplyforanddiligentlyseekabuildingpermitforimprovementsontheleasedproperty.5.LANDUSECONTINGENCY.ThisLeaseiscontingentonLandlordobtainingtherequiredapprovalsforrezoningofLandlord’sproperty,includingzoningoftheleasedpropertytopermitTenantsintendeduse,whichzoningshallbeacceptabletoLandlord.IfsuchzoningisnotapprovedbyApril1,1997,eitherpartymaydeclarethisLeaseterminatedinwhicheventthepartiesshallberelievedofallfurtherobligationshereunder;providedthatsuchcontingencydatemaybeextendedbyfurtherwrittenagreementoftheparties.ADJUSTMENTOFRENTALRATE.Commencingonthefirst(1st)dayofthesecondleaseyear,andannuallythereafter,themonthlyrent(usingthemonthlyrentpayableduringtheprecedingyearasthebaserate)shallbeincreasedinanamountproportionatetotheincrease,IISI!2 00ifany,inthethenmostcurrentU.S.ConsumerPriceIndexforUrbanWageEarnersandClericalWorkers(CPI-U),U.S.CityAverage,AllItems(publishedbytheU.S.DepartmentofLabor,BureauofLaborStatistics)oversaidCPI-Uforthesamemonthoftheprecedingyear.Landlord’scomputationofsuchadjustmentshallbeconclusiveunlessTenantshallnotifyLandlordofanerrorthereinwithinthirty(30)daysafternoticeofsuchincreaseisgiven.Iftheabovedescribedindexshallceasetobereleasedoravailable,thenanothersimilarindexgenerallyrecognizedasauthoritativemaybesubstitutedbytheLandlord.7.LATEPAYMENTCHARGE.TenantshallpayLandlordalatepaymentchargeequaltotenpercent(10%)ofanymonthlyrentinstallmentnotreceivedbyLandlordonorbeforethefifteenth(15th)dayofthemonthforwhichsuchrentinstallmentisdue.SaidlatepaymentpenaltyshallbeinadditiontoanyotherremedieswhichLandlordmayhaveintheeventofdefaultashereinprovided.8.TRIPLENETLEASE.ThepartiesintendthatthisLeaseis“triplenet”totheLandlordandTenantshallthereforepay,throughouttheleaseterm,allrealpropertytaxesandassessmentsleviedagainstthePropertyandimprovementsthereon,allcostsofinsurancecoveragesinconnectionwiththeLeasedPropertyasrequiredbythisLeaseorasotherwiseobtainedbyTenant,andallchargesforutilitiesandotherservicesprovidedtotheLeasedProperty.9.POSSESSION.UponexecutionofthisLease,TenantshallbeentitledtoaccesstheLeasedPropertyforthepurposeofcompletingimprovementsthereonconsistentwiththisLeaseandTenantshallindemnifyandholdLandlordharmlessfromandagainstanyandallloss,injury,damage,claim,demand,liabilityorobligationofanynatureresultingtherefromorarisinginconnectionwithsuchactivity,includingreasonableattorney’sfeesandcostsincurredbyLandlordandTenantshallpaythecostsandexpensesofsuchimprovementsasmorefullyprovidedinExhibit“B”attachedhereto.10.RIGHTTOCURE.IfTenantbreachesanycovenantorconditionofthisLease,Landlordmay(butwithoutanyobligationtodoso)curesuchbreachandthereasonablecostactuallyincurredbyLandlordinsuchperformance,includingreasonableattorney’sfees,shallbedeemedadditionalrentpayableondemand.IfLandlordbreachesanycovenantorconditionofthisLease,andifsuchdefaultcontinuesforten(10)daysafterTenant’swrittennoticetoLandlordspecifyingsuchdefault,Tenantmay(butwithoutanyobligationtodoso)curesuchbreachandthereasonablecostactuallyincurredbyTenantinsuchperformance,includingreasonableattorney’sfees,shallbepaidbyLandlordtoTenantupondemandor,ifnotsopaid,maybedeductedfromthenextrentduehereunder.11.COVENANTSOFLANDLORD.LandlordcovenantsthatitistheowneroftheLeasedPropertyandhasthepowerandauthoritytograntandmakethewithinleaseandduringthetermhereofandonconditionthatTenantshalldischargeallobligationshereunder,TenantshallhaveandenjoythequietandundisturbedpossessionoftheLeasedProperty.12.HAZARDOUSMATERIALS.TenantshallnotcauseorpermitanyHazardousMaterialtobebroughtupon,keptorusedonorabouttheProperty,exceptforsuchHazardousIII*OC4WI1kW!3 CCMaterial(includinggasoline,these!fuel,andoilusedintheTenant’soperations)asisnecessarytocarryouttheTenant’slegalactivities,butthenonlyinfullcompliancewiththefollowingprovisions,towit:(a)AnyHazardousMaterialpermittedonthePropertyandallcontainerstherefor,shallbeused,kept,storedanddisposedofinamannerthatfullycomplieswithallfederal,stateandlocallawsorregulationsapplicabletotheHazardousMaterial.(b)Tenantshallnotdischarge,leakoremit,orpermittobedischarged,leakedoremitted,anymaterialintotheatmosphere,ground,sewersystemoranybodyofwater,ifthatmaterial(asisreasonablydeterminedbytheLandlordoranygovernmentalauthority)doesormaypolluteorcontaminatethesameormayadverselyaffect(a)thehealth,welfareorsafetyofpersons,whetherlocatedonthePropertyorelsewhere,or(b)thecondition,useorenjoymentofthePropertyoranyotherrealorpersonalpropertyandwhichwouldresultinaviolationofapplicableenvironmentallaws.(c)Atthecommencementofeachleaseyear,TenantshalldisclosetoLandlordthenamesandapproximateamountsofallHazardousMaterialthatTenantintendstostore,useordisposeofonthePropertyinthecomingleaseyear.Inaddition,atthecommencementofeachleaseyear(beginningwiththesecondleaseyear),TenantshalldisclosetoLandlordthenamesandamountsofallHazardousMaterialthattoTenant’sknowledgewereactuallyused,storedordisposedofontheProperty,ifthosematerialswerenotpreviouslyidentifiedtoLandlordatthecommencementofthepreviousleaseyear.(d)Asusedherein,theterm“HazardousMaterial”means(a)any“hazardouswaste”asdefinedbytheResourceConservationandRecoveryActof1976,asamendedfromtimetotime,andregulationspromulgatedthereunder;(b)any“hazardoussubstance”asdefinedbytheComprehensiveEnvironmentalResponse,CompensationandLiabilityActof1980,asamendedfromtimetotime,andregulationspromulgatedthereunder;(c)anyoil,petroleumproductsandtheirbyproducts,otherthanthoseusedinautomotiveorrecreationalactivity,boatsormotorcycleswhicharestoredonthePropertyinaccordancewithallapplicablelawsandminorsurfaceaccumulationsofsuchproductsthatresultfromminorleakageandspillswhichare,uponwrittenrequestofLandlord,promptlycleanedup;and(d)anysubstancethatisorbecomesregulatedbyanyfederal,state,orlocalgovernmentalauthority.(e)Tenantherebyagreesthatitshallbefullyliableforallcostsandexpensesrelatedtotheuse,storageanddisposalofHazardousMaterialkeptonthePropertybytheTenant,andtheTenantshallgiveimmediatenoticetotheLandlordofanyviolationorpotentialviolationoftheprovisionsofthisSection.Tenantshalldefend,indemnifyandholdharmlessLandlordanditsinsurors,agents,successorsandassignsfromandagainstanyclaims,demands,penalties,fines,liabilities,settlements,damages,costsorexpenses(including,withoutlimitation,attorney’sandconsultants’fees,courtcostsandlitigationexpenses)ofwhateverkindorI,I,KuRAwr,,RIJ&sLtcIGIl-J,,u4 00nature,knownorunknown,contingentorotherwise,arisingoutoforinanywayrelatedto(a)thepresence,disposal,releaseorthreatenedreleaseofanysuchHazardousMaterialthatison,fromoraffectingthesoil,water,vegetation,buildings,personalproperty,personsanimalsorotherwise;(b)anypersonalinjury(includingwrongfuldeath)orpropertydamage(realorpersonal)arisingoutoforrelatedtothatHazardousMaterial;(c)anylawsuitbroughtorthreatened,settlementreachedorgovernmentorderrelatingtothatHazardousMaterial;or(d)anyviolationofanylawsapplicablethereto.TheprovisionsofthisSectionshallbeinadditiontoanyotherobligationsandliabilitiesTenantmayhavetoLandlordatlaworinequityandshallsurvivethetransactionscontemplatedhereinandshallsurvivetheterminationofthisLease.(f)AnyreferenceinthisSectionto“Tenant”shallbedeemedtoincludeanyandallofTenant’sagents,employees,contractors,invitees,sub-tenantsandothersoccupyingtheProperty(exclusiveofLandlordandLandlord’sagentsandemployees)duringtheleasetermoranyholdovertermashereinprovided.13.TENANT’SMAINTENANCE.ThroughouttheLeasetermTenantshallmaintainthePropertyandtheimprovementsthereoningoodconditionandrepairincluding,butnotlimitedto,theremovalofallweeds,debrisandotherunsightlymaterialsorappropriatescreeningthereof.UponterminationoftheLease,TenantshallleavetheLeasedPropertyinacleanandsafecondition,subjecttotheLandlord’srightsuponterminationashereinafterprovided.14.RIGHTSONTERMINATION.UponorpriortoterminationofthisLease,butnotsoonerthansixmonthspriortothedateoftermination,TenantshallgiveLandlordwrittennoticeofLandlord’srighttoeitherpurchaseanybuilding,structure,orotherfixturepermanentlyaffixedtotheProperty(hereinafter“PermanentImprovements”)andLandlordshallhaveaperiodofthirty(30)daysafterreceiptofsuchnoticetogiveTenantwrittennoticeofLandlord’sdesiretopurchasethepermanentimprovementsonthetermsandconditionshereinaftersetforth.IfLandlordgivessuchnoticeofdesiretopurchase,LandlordandTenantshallselectapersonqualifiedtoappraisethefairmarketvalueofsuchpermanentimprovementsandinsuchevent,thepartiesshallpayanequalshareofsuchappraiser’sfees.IfLandlordandTenantareunabletoagreeonsuchappraiser,LandlordandTenantshalleachselectanappraiserandsuchtwoappraisersshallselectathirdappraiserandsuchthreeappraisersshall,bymajoritydecision,determinethefairmarketvalueofsuchpermanentimprovements.Insuchevent,eachpartyshallpaythefeesofitsselectedappraiserandthepartiesshallequallysharethefeesofthethirdappraiser.IfLandlordfailstogivenoticeofitsdesiretopurchaseasaboveprovided,orif,withinfifteen(15)daysofreceiptofthedeterminationofthefairmarketvalueofthepermanentimprovementsdeterminedasaboveprovidedtheLandlordelectstonotpurchasethepermanentimprovements,Landlord’soptiontopurchasethepermanentimprovementsshallterminateandTenantshallremovethepermanentimprovementsfromthePropertywithinsixty(60)daysthereafterorwithinsixty(60)daysaftertheleasetermination,whicheverislater.IfLandlordelectsnottopurchasethepermanentimprovementsuponreceiptoftheappraisedfairmarketvalue,LandlordshallpayallofthefeesoftheappraiserifthefairmarketvalueisestablishedbyamutuallyselectedappraiserandLandlordshallpayallofthefeesofLandlord’sselectedappraiserandthethirdselectedappraiserifthefairmarketvalueisdeterminedbythreeappraisersasaboveprovided.III,,<CHAWF(IKIIl1ISLDUCEAGIJ-ISE5 00UponterminationofthisLease,Tenantmayremoveitsequipment,toolsandotherpersonalproperty.Anyprovisionhereintothecontrarynotwithstanding,uponterminationofthisLease,Tenantshallremoveanyandallhazardousmaterials,includinganyandallcontainerswithinwhichhazardousmaterialsarethenorhavebeenstoredandanysuchremovalshallbecompletedinfullcompliancewithalllawsandregulationsofanyfederal,stateorlocalgovernmentalauthority.15.INSURANCE/INDEMNIFICATION.Tenantshallmaintainatalltimesthroughouttheleasetermfire,casualtyandextendedcoverageinsuranceonallbuildingsandotherimprovementslocatedontheLeasedProperty,withminimumcoveragelimitsequaltoorexceedingthefullactualreplacementcostofsuchbuildingsandimprovements.TenantshallalsomaintainatalltimesthroughouttheleasetermpublicliabilityinsurancecoveringtheLeasedPropertywithminimumcoveragelimitsof$2,000,000.00combinedsinglelimit,Landlordshallbenamedasanadditionalinsuredonanysuchpolicyorpoliciesandsuchpolicyorpoliciesmaynotbecancelledwithoutthirty(30)dayspriorwrittennoticetoLandlord.Atleastannually,TenantshallprovideLandlordwithcertificatesofsuchinsurancecoverages.TenantshallindemnifyandholdharmlessLandlordfromandagainstanyandallloss,injury,damage,claim,demand,liabilityorobligationofanynatureresultingfrom,arisingoutoforincurredinconnectionwiththeuseoroccupancyoftheLeasedPropertyoranyactivitiesthereonbyTenant,Tenant’sagents,employees,contractors,sub-contractors,representatives,ordesignees,whichindemnificationshallincludethepaymentofallreasonableattorney’sfeesincurredbyLandlordintheenforcementthereof.NeitherTenantnoranyotherpersonshallholdorattempttoholdLandlordliableforanyinjuryordamage,eitherproximateorremote,causedbythenegligenceordefaultofanyotherpersonorpartyontheLeasedProperty.16.HOLDOVER.If,aftertheexpirationofthisLease,TenantshallremaininpossessionoftheLeasedPropertyandcontinuestopayrentwithoutwrittenagreementastosuchpossession,thenTenantshallberegardedastenantfrommonth-to-monthatarentpayable,inadvance,equivalenttothemonthlyrent(includingapplicableadjustments)setforthherein.17.DEFAULT.IfatanytimeafterthecommencementofthetermofthisLeaseanyoftheEventsofDefaultsetforthbelowoccur,TenantshallbeindefaultintheperformanceofthetermsofthisLeaseandLandlordmayatitsoptionelecttoterminatethisLease,anduponnoticeashereinspecifiedtoTenantofsuchelection,thisLeaseshallterminatetothesameeffectasifthedateofnoticewerethedateofexpirationofthestatedterm,andTenantshallsurrenderandquitclaimtheLeasedPropertyandallimprovementsthereontoLandlordbutTenantshallremainliableashereinafterprovided.TheeventsconstitutingEventsofDefaultareasfollows:(a)TenantshalldefaultintheobservanceorperformanceofanycovenantorprovisionofthisLease,otherthanpaymentofrent,andsuchdefaultcontinuesforthirty(30)daysafternoticeinwritingofsuchdefaultfromLandlord;provided,however,thatanysuchdefaultwhichcannotbecuredwithinsaidthirty(30)daysandwhichTenantshallingoodfaithandwithduediligencebeproceedingtocureshallnotconstituteanEventofDefault;II6 C•0(b)Tenantshallbedelinquentinthepaymentofanyinstallmentofrentduehereunderformorethantwenty(20)daysafterwrittennoticethereforfromLandlord;(c)TenantshallabandontheLeasedProperty.IntheeventTenantisindefaulthereunderandfailstocuresuchdefaultwithintheapplicabletimeperiodashereinaboveprovided,LandlordshallhavetheimmediaterightofreentryandmayremoveallpersonsandpropertyfromtheLeasedProperty;suchpropertymayberemovedandstoredinapublicwarehouseorelsewhereatTenant’sexpense.ShouldLandlordelecttore-enter,orshouldLandlordtakepossessionpursuanttothetermsofthisLeaseorasotherwiseprovidedbylaw,LandlordmayeitherterminatethisLeaseasprovidedinthisSectionorLandlordmayrelettheLeasedProperty,andimprovementsthereon,oranyportionthereof,forsuchtermorterms(includingtermsbeyondthetermofthisLease)andatsuchrentalorrentalsasLandlord,inhissolediscretiondeemsadvisable.LandlordshallalsohavetherighttomakesuchreasonablealterationsandrepairstotheLeasedPropertyandimprovementsthereonasLandlorddeemsnecessarytorelettheProperty,andthecoststhereof,togetherwiththereasonablecostsofsuchre-entryandrelettingshallbetheobligationofTenant.Uponsuchreletting:(a)TenantshallbeimmediatelyliabletopaytoLandlordfortheamount,ifany,bywhichtherentreservedinthisLeasefortheperiodofsuchreletting(uptobutnotbeyondthetermofthisLease)exceedstherentalobtainedinsuchrelettingfortheperiodofsuchreletting,providedthatallrentsreceivedinexcessofthemonthlyrentreservedinthisleaseshallfirstbeappliedinreductionofTenant’sobligationtopaythereasonablecostsandexpensesofre-entry,reletting,alterationsandrepairs,andanyotheramountsduehereunderfromTenanttoLandlordtothedateofsuchreletting;or(b)AttheoptionofLandlordrentsreceivedbysuchLandlordfromsuchrelettingshallbeapplied:first,tothepaymentofanyindebtedness,otherthanthepaymentofrent;secondtothepaymentofanyandallreasonablecostsandexpensesofsuchre-entryandrelettingandofanyalterationsandrepair;third,tothepaymentofrentdueandunpaidhereundertothedateofsuchreletting,andtheresidue,ifany,shallbeheldbyLandlordandappliedinpaymentoffuturerentasthesamemaybecomedueandpayablehereunder.Nosuchre-entryortakingpossessionoftheLeasedPropertybyLandlordshallbeconstruedasanelectiononitsparttoterminatethisLeaseunlessawrittennoticeofsuchintentionbegiventoTenant.Notwithstandinganysuchrelettingwithouttermination,LandlordmayatanytimethereafterelecttoterminatethisLeaseforsuchpreviousdefault.ShouldLandlordatanytimeterminatethisLeaseforanydefaultbyTenant,inadditiontoanyotherremedyLandlordmayhave,LandlordmayrecoverfromTenantalldamagesLandlordmayincurbyreasonofsuchdefault,includingthereasonablecostofrecovering,alteringandrepairingtheLeasedPropertyandimprovementsthereon,andincludingtheamountbywhichthetotalofallrent,taxes,insurance,leaseholdmortgagepaymentsandotherchargeswhichTenantwouldhavepaidperiodicallyduringtheremainderofthetermofthisLeaseexceedsthereasonablerentalvalueoftheLeasedPropertyandimprovementsthereonfortheperiodcommencingatthedateIII(,I.sI7
