Home My WebLink AboutC97-011 Town of Gypsum IGAccC’971132INTERGOVERNMENTALAGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDTHETOWNOFGYPSUMThisAgreementmadethisdayof.QbyandbetweentheTownofGypsum,(the“Town”)andtheCountyofEagle,StateofColorado(the“County”).WHEREAS,theTowndesirestocontractwiththeCountyfortheperformanceofthehereinafterdescribedAnimalControlServicesonthetermsandconditionshereinaftersetforth;andWHEREAS,theCountyisagreeabletorenderingsuchAnimalControlServicesonthetermsandconditionshereinaftersetforth;andWHEREAS,thisIntergovernmentalAgreementisauthorizedpursuanttoSection18,ArticleXIV,oftheColoradoConstitution;C.R.S.29-1-201,et.seq.andC.R.S.30-15-101.NOW,THEREFORE,inconsiderationofthemutualcovenants,conditionsandpromisescontainedherein,thepartiesheretoagreeherebyasfollows:SECTION1.TERRITORYCOVERED.TheterritorycoveredbythisAgreementisallofthatcertainpropertylegallydescribedastheTownofGypsumSECTION2.DEFINITIONS.EmergencyonCallservicesisdefinedasemergencycallsreceivedbytheCountyforwhichAnimalControlassistanceisrequiredandnoAnimalControlOfficerisondutytorespond.SheltermeansTheEagleCountyAnimalShelterlocatedat23798Highway24,inMinturn,Colorado,andanyothershelterfacilityoperatedordesignatedbyCounty.UnclaimedDayisdefinedasacalendardayoranypartthereofduringwhichanunclaimedanimalisconfinedinShelteronbehalfoftheTown.1 CCSECTION3.SCOPEOFSERVICES.TheCountyagreestoprovidegeneralAnimalControlServiceswithintheTownofGypsum.TheCountyshallprovide:A)600randomly-scheduledpatrols,consistingofinspectiontourslookingforviolationsorrespondingtocomplaints.ThescopeofthesepatrolsistobedesignedtogainvoluntarycomplianceanduniformadministrationofthePetAnimalRegulations.B)Twenty-fourhoursperdayEmergencyOnCallservicethroughColoradoStatePatrolDispatch.C)AdministrationandenforcementoftheEagleCountyAnimalControlResolutionpresentlyineffectandasmaybesubsequentlyamended,andinaccordancewithTitle6oftheGypsumMunicipalCodeasammendedin1995.EagleCountyAnimalControlshallbeconsideredthe“AnimalControlOfficer”oftheTownasdefinedbySection6.04.010(C)oftheGypsumMunicipalCode.D)TheCountyshallprovidetheTownwithmonthlyreportsandanannualreportofservicesprovidedpursuanttothisAgreement.Such,reportsshallinclude,bywayofexampleonly,thenumberofcallsforservice,numberofanimalssheltered,numberofUnclaimedDays,andnumberofcitationsissued.E)EmergencyOnCallservicewillbeprovidedduringtheperiodwhenanEagleCountyAnimalControlOfficerisnotonduty.IntheeventthatanEagleCountyAnimalControlOfficerisnotimmediatelyavailabletorespondtoanincidentoremergency,theTownofGypsumwillprovideavailablepersonnelto“secure”thesceneandadministercontrolofthesituationuntiltheEagleCountyAnimalControlOfficerarrivestoresolvesaidincident.F)AnimalshelteringservicesforanimalsattributabletotheTown,ofthenatureandqualitycustomarilyprovidedattheShelter.AnimalsattributabletotheTownareanimalsimpoundedwithintheTownofGypsumandanimalsownedbypersonsdwelling,permanentlyortemporarily,intheTownofGypsum. CCSECTION4.OFFICIALSTATUS.ForthepurposeofperformingtheAnimalControlServicesandfunctionssetforthinthisagreement,EagleCountyAnimalControlshallenforce,astheTown’sagent,theMunicipalOrdinancesrelatingtoanimalsnowineffectandasammended.SECTION5.EQUIPMENT.TheCountyshallfurnishandsupply,atitssoleexpense,allnecessarylabor,supervision,equipment,motorvehicles,officespace,andoperatingandofficesuppliesnecessarytoprovidetheservicestoberenderedhereunder.SECTION6.COMPENSATION.TheTownofGypsumagreestopaytheCounty,monthly,thesumof$918.32basedonestimatedpatrolsandonestimatedannualshelteringrequirements.Onaverage225UnclaimeddogDaysand30UnclaimedcatDays.TheTownofGypsumagreestopaytheCounty,onorbeforethefifteenthofeachmonth,forservicesrenderedthepreviousmonthplusanyadditionalbillingreceivedforResponsetoOnCallEmergencies.RespondingtoOnCallEmergencies:$25.00/incident.AllfeesandexpensesrecoveredatorfortheShelterwillremainwiththeCounty.Allcourtfinesandcostswillremainwiththecourtofvenue.3 CCSECTION7.PERSONNEL.TheEagleCountyAnimalControlOfficershallhavefullcooperationfromtheTownofGypsum,itspublicworks,itspoliceofficersand/ortheirrespectiveofficers,agents,andemployees,soastofacilitatetheperformanceofthisAgreement.TherenditionofAnimalControlServicesprovidedforherein,thestandardsofperformance,thedisciplineofofficers,andothermattersincidenttotheperformanceofsuchservicesandthecontrolofpersonnelsoemployed,shallremainintheCounty.AllpersonsemployedintheperformanceofsuchAnimalControlServicesfortheGypsumpursuanttothisagreement,shallbeCountyemployees,exceptforTownpersonnelusedto“secur&’thesceneasdescribedinSection3,above,andexceptforemployeesofAnimalHospitalofVailValley,Inc.orotheroperatoroftheShelter.SECTION8.LIABILITYANDINSURANCE.A.TheCounty,itsofficersandemployees,shallnotbedeemedtoassumeanyliabilityforintentionalornegligentacts,errors,oromissionsoftheTownorofanyofficeroremployeethereof.Likewise,theTown,itsofficersandemployees,shallnotbedeemedtoassumeanyliabilityforintentionalornegligentacts,errorsoromissionsoftheCountyorbyanyofficeroremployeethereof.B.TheCountyagreestoindemnify,defendandholdharmlesstotheextentallowedbylaw,theTown,itsrespectiveagents,officers,servantsandemployeesofandfromanyandallloss,costs,damage,injury,liability,claims,liens,demands,actionandcausesofactionwhatsoever,arisingoutoforrelatedtotheCounty’sintentionalornegligentacts,errorsoromissionsorthatofitsagents,officers,servants,andemployees,whethercontractualorotherwise.Likewise,theTownagreestoindemnify,defendandholdharmlesstotheextentallowedbylaw,theCounty,itsrespectiveagents,officers,servantsandemployeesofandfromanyandallloss,costs,damage,injury,liability,claims,liens,demands,actionandcausesofactionwhatsoeverarisingoutoforrelatedtotheTown’sintentionalornegligentacts,errorsoromissionsorthatofit’sagentsofficers,servantsandemployees,whethercontractualorotherwise.4 C.TheCountyandtheTownshallrespectivelyprovideitsownpublicliability,propertydamage,anderrorsandomissionsinsurancecoverageaseachpartymaydeemadequateandnecessaryforanypotentialliabilityarisingfromthisAgreement.Further,theCountyandtheTown,respectively,shallname,subjecttotheapprovalofeachrespectiveparty’sinsurancecarriers,theotherrespectivepartyasaco-insuredundersuchinsurancepoliciestotheextentofanypotentialliabilityarisingunderthisAgreementand,uponreasonablewrittenrequest,shallfurnishevidenceofthesametotheotherrespectiveparty.SECTION9.TERMANDTERMINATION.ThisAgreementiseffective,1997,andshallendonthe31stdayofDecember,1997.EitherpartyshallhavetherighttoterminatethisAgreementwithorwithoutcauseatanytimebygivingtheotherpartythirtydays’priorwriffennoticeoftermination.Upontermination,theCountyshallbeentitledtocompensationforservicesperformedpriortosuchtermination,andbothpartiesshallberelievedofanyandallotherdutiesandobligationsunderthisAgreement.ObligationsoftheTownofGypsumandtheCounty,respectively,afterthecurrentfiscalyear,arecontingentuponfundsforthepurposesetforthinthisAgreementbeingappropriated,budgetedandotherwisemadeavailable.5 C)0SECTION10.GENERALPROVISIONS.A.Allnotices,requests,consents,approvals,writteninstructions,reportsorothercommunicationbytheTownofGypsumandtheCounty,underthisAgreement,shallbeinwritingandshallbedeemedtohavebeengivenorserved,ifdeliveredorifmailedbycertifiedmail,postageprepaidorhanddeliveredtothepartiesasfollows:TownofGypsumTownManagerTownofGypsumP.O.Box130Gypsum,Colorado81637CountyofEagle:EagleCountyAttorneyP.O.Box850Eagle,CO81631EitherPartymaychangetheaddresstowhichnotices,requests,consents,approvals,writteninstructions,reportsorothercommunicationsaretobegivenbyanoticeofchangeofaddressgiveninthemannersetforthinthisparagraphA.B.Thisagreementdoesnotandshallnotbedeemedtoconferuponorgranttoanythirdpartyanyrighttoclaimdamagesortobringanylawsuit,actionorotherproceedingsagainsteithertheTownortheCountybecauseofanybreachhereoforbecauseofanyterms,covenants,agreementsorconditionscontainedherein.C.NomodificationorwaiverofthisAgreementorofanycovenant,condition,orprovisionhereincontainedshallbevalidunlessinwritinganddulyexecutedbythepartytobechargedtherewith.D.ThiswrittenAgreementembodiesthewholeagreementbetweenthepartiesheretoandtherearenoinducements,promises,terms,conditions,orobligationsmadeorenteredintoeitherbytheCountyortheTownotherthanthosecontainedherein.E.ThisAgreementshallbebindingupontherespectivepartieshereto,theirsuccessorsorassignsandmaynotbeassignedbyanyonewithoutthepriorwrittenconsentoftheotherrespectivepartyhereto.6 00F.Allagreementsandcovenantshereinareseverable,andintheeventthatanyofthemshallbeheldinvalidbyacourtofcompetentjurisdiction,thisAgreementshallbeinterpretedasifsuchinvalidAgreementorcovenantwerenotcontainedherein.C.TheTownhasrepresentedtotheCountyand,likewise,theCountyhasrepresentedtotheTown,thatitpossessesthelegalabilitytoenterintothisAgreement.IntheeventthatacourtofcompetentjurisdictiondeterminesthateitherofthepartiesheretodidnotpossessthelegalabilitytoenterintothisAgreement,thisAgreementshatibeconsiderednullandvoidasofthedateofsuchCourtdetermination.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementthedayandyearfirstabovewritten.COUNTYOFEAGLE,STATEOFCOLORADO,ByandThroughItsBOARDOFCOUNTYCOMMISSIONERSATTESjr:BnQAt/aJBY7ClerktotheoardofGeorgeGates,ChairmanCountyCommissionersATTEST:TOWNOFGYPSUM____________BY:4iZL7TownClerkMichaelSuriano,Mayor7
