IncocC971047215UNIONBOULEVARD,SUITE550LAKEWOOD,CO80228-7842I®303-980-6800FAX:303-980-162221January1997Mr.MikeBradleyEagleCountyP.O.Box850500BroadwayEagle,Colorado81631Subject:ProposalforAsbestosRemovalEagleCountyCourthouseRoyF.Weston,Inc.(WESTON)ProjectNo.:6668-200-001DearMr.Bradley:RoyF.Weston,Inc.(WESTON)ispleasedtoprovidethisproposalforperformingasbestosabatementfortheEagleCountyCourthouseBuilding.Thisscopeofservicesandcostproposalhasbeenpreparedbasedontheinformationobtainedduringoursitevisitandinspectionconductedon30December1996and2January1997.Asdetailedinthereportsubmittedtoyoutodayunderseparatecover,theabatementprojectwouldincludetheremovalanddisposalofthefollowingmaterials:•735squarefeetofVinylAsbestosTile(VAT)andcarpetfromthreeroomslocatedongardenlevel•700squarefeetofasbestoscontainingmasticfromoneroom•700squarefeetofasbestoscontainingceilingtilefromaroomlocatedonthesecondfloorInaddition,12lightfixtureswillberemovedanddecontaminatedandreturnedtoyouforre-useordisposal.Removalofthelightfixturesisrequiredinordertocompletetheceilingtileremoval.A10daynotificationtotheColoradoDepartmentofHealthisrequiredpriortoinitiatingtheabatementwork.Apermitwillalsoberequiredtoconducttheproposedactivities.Thepermitwillbeobtainedbytheabatementcontractor.WESTONhasselectedSchauer&Associates,Inc.(Schauer)toperformtheasbestosabatementworkfortheproject.WehaveestablishedanexcellentworkingrelationshipwithSchauerthroughourongoingworkatStapletonInternationalAirport(SIA)andwithEagleCounty.In\proposal\court.pro 0CMr.MikeBradleyEagleCounty-2-21January1997addition,wemaysubcontractHWSConsultingGroup(HWS)toperformtheclearancesamplinguponcompletionoftheabatementprojectdependingontheiravailability.WESTONandHWSalsoworktogetheronongoingprojectsatSIA.Thecostproposalisincludedintheattachmentforyourreviewandapproval.WESTONproposestoconductthisscopeofservicesforalumpsumcostof$11,500.Thiscostproposalisbasedontheassumptionslistedbelow.Anydifferingsiteconditions,ormodificationstothespecificprojectrequirementsmayresultinincreasedcoststotheproject.WESTONwillnotifyEagleCountyimmediatelyifweobtainanyinformationindicatingthatadditionalfundingwillberequiredtocompletetheproject.COSTPROPOSALASSUMPTIONS•Electricserviceisavailabletothebuildingforusebytheasbestosabatementandclearancesamplingsubcontractors.•Hotandcoldpotablewaterisavailableonsiteforcontractoruse.•EagleCountypersonnelwillensurethatallHVACsystemswithinthecontainmentareaareshutdownandlockedout.•SchauerwillobtaintheabatementpermitfromCDH.•ClearancesampleswillbesubjectedtoPCManalysis.IfTEManalysisisrequiredtocleartheabatementproject,anadditional$125persamplewillberequiredforsampleanalysis.IfTEManalysisiswarranted,WESTONwillnotifyEagleCountyimmediatelysuggestingthatwesubmittheminimumsamplesrequiredfortheanalysistoreduceprojectcost.•ThecostproposalincludesdisposalcostsattheDenverArapahoeDisposalSiteinDenver,Colorado.However,thematerialcanbedisposedattheEagleCountyLandfillsincethefacilityhasspecialwastehandlingprocedures.Pleaseletusknowwhichdisposalfacilityyouprefertoutilize.•Bondingisnotrequiredforthisproject.Ifbondingisrequired,theadditionalcoststotheprojectwillbe$300.•EagleCountymustnotifyWESTONofanyotherhazardousmaterialsthatmaybeencounteredduringtheprojectandprovideMaterialSafetyDataSheets(MSDs)forthosematerials.\proposal\court.pro STONGENERALTERMSANDCONDTNS1.Parties.ReferenceshereintoWESTONmeantheentity,division.affiliateorsubsidiarycorporationofROYF.WESTON,INC.(WESTON.)identifiedintheProposaltowhichtheseGeneralThinsandConditionsareattachedorhavebeenincorporatedbyreferencetherein.2.Definitions.Agreement-TheAgreementconsistsofWESTON’sProposalandtheContractDocuments,whichturnsaredefinedinArticle3below.AccessAgreements-Allnecessaryapprovals,permits,licenses,easementsandconsentsthatrelatetoorarenecessaryforperformanceofWESTON’sservices.ChangeOrder-CLIENTswiittenorderforservicesdifferingfromtheservicesdescribedintheScopeofWork.Mothflcarion-AwrittenamendmenttotheAgreementmodifyingtheScopeofWork,thecompensationand/orthetermsandconditionsoftheAgreementsignedbyCLIENTandWESTON.Days-Adayasusedhereinmeansabusinessdayunlessotherwisedescribed.ProjectRecords-Informationindocumentary,electronicmediumorotherformrelatingtoperformanceofWESTON’sobligationsunderthisAgreement.Proposal-TheletterordocumenttowhichtheseGeneralTermsandConditionsareattachedormadeapartofandwhichdescribeWESTONstechnicaland/orcostproposalfortheWork.ScopeofWorkorWork-TheservicesandproductsWESTONhasagreedtoprovidetoCLIENTpursuanttothisAgreement.UndergroundFacititiesEquipmentandmaterialbeneaththegroundsurfaceincludingbutnotlimitedtoburiedorconcealedpipes.tanks,cables.insenmiems,utilities,andotherman-madeobjectswhichmayaffectorbeaffectedbyWESTON’sservices.3.ContractDocuments/OrderofPrecedence.TheContractDocumentsincludeModifications,Proposal.WESTONGeneralTermsandConditions,ScopeofWork,SpecialTermsandConditions.SpecificationsandDrawings.Intheeventofanyambiguity,inconsistency,orconflictbetweenoramongtherespectiveContactDocuments.theContractDocumentsshallgoverninthefollowingdescendingorderofprecedence:(a)Modifications.fb)Proposal.(c)SpecialTermsandConditions.fd)GeneralTermsandConditions.(e)ScopeofWork.(0SpecificationsandDrawings.Intheeventofanyambiguityand/orinconsistencybetweenoramongContractDocumentshavingthesamecaption,alaterdazeddocumentwilltakeprecedenceoveranearlierdateddocument4.Chanees.CLIENTmaymakechangeswithinthegeneralscopeoftheAgreementintheWorktobeperformed.Inordertobeeffective,alloralchangestothisAgreementmustbeconfirmedinwritingbyaChangeOrder.UanysuchchangescauseanincreaseinWESTON’scostsand/orincreasethetimerequiredfor,orthenatureofperformanceoftheAgreement,WESTONshallsonotifyCLIENTwithinareasonabletimefollowingreceiprofthewrittenchangeordernotificationandanequitableadjustmentincompensationshallbemadethroughaModification.WESTONshallhavenoobligationwithrespecttosuchchanges,norwillWESTONbeconsideredtobeindefaultforfailureorrefusaltoproceedwithsuchchangesuntilagreementonsuchcostortimeimpacthasbeenincorporatedintoasignedModification.IntheeventthePartiesfailtoagreeuponanequitableadjustmenttopriceorscheduleresultingfromchangessoughtbyCLIENTintheScopeofWork,WESTONmayatitssoleoptionceasetheWorkwithoutliabihtyorterminateorsuspendthisAgreementshouldWESTONdeterminethatitwouldnorbeinitsbestinteresttoagreetosuchchanges.5.ForceMaleure.WESTONwillnotberesponsiblefordelays,suchas.butnotlimitedto,thoseattributabletoacesofGod,actsoftheCLIENTorthirdParties,weather,interventionofpublicauthorities,workstoppages,changesinapplicablelawsorregulationsafterthedateofcommencementofperformancehereunderoranyotheracesoromissionsoreventswhicharebeyondthereasonablecontrolofWESTON.CostsandschedulecommitmentsshallbesubjecttorenegotiationforunreasonabledelayscausedbyCLIENT’sorthirdParty’sfailuretoprovidespecifiedfacilitiesorinformation.ThetimeforperformanceshallbeequitablyadjustedintheeventWESTONisdelayedintheperfctmanceofthisAgreementbysuchcausesandanequitableadjustmentincompensationshallbemadeinaccordancewiththeprovisionsofArticle4hereof.6.InvoIces.InvoiceswillbesubmittedonWESTON’sstandardinvoiceformatperiodically(customarilyonamonthlybasis),andturnsarenetcashinU.S.dollars.dueandpayableuponCLIENTsreceiptofeachinvoice.—Whenthecontractpaymentisbasedonacostreimbursement.timeandmaterial,laborhour,orfixedrazeschedule,thefollowingprovisionsshallapply(a)Whereapplicable,rentalchargeswillbeappliedtotheProjecttocoverthecostofpilot-scalefacilities,equipment.apparatus,instrumentscionorothertechnicalmachinery.Whensuchchargesareaplicable,CLIENTwillbeadvisedatthestartofanassignment.taskorphaseAnalysesperformedinWESTON’slaboratorieswillbebilledinaccordancewiththelaboratory’sstandardbillingpracticesunlessspecifiedotherwiseintheAgreement.fb)Reimbursableexpensesshallincludebutarenotlimitedto:travelandsubsistenceexpensesofpersonnel(whichmaybechargedonanetdiembasis)whenawayfromtheirhomeofficeonbusinessdirectlyorindirectlyconnectedwiththeProject;identifiablecommunication,shipping,printing,andreproductioncosts;subcontractors;identifiabledraftingandstenographicsupplies;computerrimeandsoftwazeandexpendablematerialsandsuppliespurchasedspecificallyfortheWork.Atenpercent(10%)handlingandadministrativechargewillbeaddedtoeachreimbursableexpenseitem(asmorefullydescribedinWESTON’sHourlyChargeRates,ifapplicable).WhenWESTON,subsequenttocommencementoftheWork,determinesthatspecializedequipmentisneededtoperformtheservices,itwillnotifyCLIENTofsuchrequirementandpurchasetheequipmentforCLIENTasareimbursableexpense.(c)InvoiceswillbesubmittedonWESTON’sstandardinvoiceformatwhichwillstatelaborbowsworkedandtotalexpenses.butwillnorincludeoriginaldocumentation(suchastimesheetsandexpensereceipts).IfadditionaldetailoractualinvoicedocumentationisrequestedbyCLIENT,thelaborandexpensesassociatedwithretrieval,gathering.sorting,highlighting,mailingandcopyingsupportingdocumentationwillbebilledtoCLIENTonsubsequentinvoice(s).Whenthemethodofcontractpaymentisbasedonafixedprice/lumpsumAgreement,invoiceswiltbesubmittedbasedonthebillingcheduleproposedbyWESTONandagreedtobytheParties.7.Payments,Timeisoftheessenceinthepaymentofinvoiàes.TimelypaymentofinvoicesisamaterialputoftheconsiderationoftheAgreementandfailuretopayinvoicesshallthereforeconstitute.amaterialbreach.Invoicesnotpaidwithinthirty(30)calendardaysofreceiptbyCLIENTareconsideredoverdueandshaltbesubjecttoaninterestchargeatariteequaltothegreaterofoneandone-halfpercent(Il!2%)permonthontheoverduebalanceorthemaximumchargeperntinedbyapplicablelaw.CLIENTagreesthatintheeventlitigationisinstitutedbyWESTONforpaymentofitsinvoices,WESTONshallbeentitledtoreceive,inadditiontoallunpaidinvoiceamounts,interestattheaboverate,filingandservicecornandreasonableattorney’sfees.Inaddition.CLIENTagreesthatWESTONmay,aftergivingten(10)dayswrittennoticetoCLIENT,suspendserviceswithoutliabilityuntilO1FhaspaidinhillallamountsdueWESTONonaccountofservicesrenderedandexpensesincurred,includinginterestonoverdueinvoices.Invoicesshallnotbesubjecttoanydiscount.InvoiceamountsindisputehereundershallnotaffectCLIENT’sobligationtopayremaininginvoicechargesandCLIENTshallnoroffsetordeductfromamountspayablehereunderanyamountsforthepurposeofsatisfyinganyotherclaimsCLIENTmayhaveagainstWESTONunderthisoranyotherAgreement8.PaymentofInvokes,CLIENTshaltremitallinvoicesformorethantwenty-fivethousanddollars(525,000.00)throughelectronicwiretransferofhindstoWESTON’sbankaccountNecessaryinformation,suchasbanknameandaccountnumbermaybeobtainedfromWESTON’sProjectManagecPage1of4 0••CWESTONGEF’IERALTERMSANDcoNDmoNs(c.miiCLIENTmayremitpaymentofinvoicesforlessthantwenty-fivethousanddollars(525,000.00)toWESTON’slockboxaccountidentifiedbelow:RoyFWeston,Inc.P.O.Box8500(5-6175)Philadelphia,PA19178-61759.(A)TerminationtarDefault.EitherParty(TereunatingParty)mayterminatethisAgreement.inwriting,iftheotherParty(BreachingParty)failstofulfillitsobligationsundertheAgreement(breaches)throughnofaultoftheTerminatingParty.InsucheventtheTerminatingPartymay.aftergivingtheBreachingPartyanopportunitytocureinaccordancewiththisArticle9(A),declaretheBreachingPartyindefaultbyissuingaDeclarationofDefaultandterritinatetheAgreementforcause.PriortosuchDeclarationofDefault,theTerminatingPartyshalladvisetheBreachingPartythataDeclarationofDefaultisimminentbysendingawrittennotice(NoticeofImminentDefault)byregisteredorcertifiedmaiLreturnreceiptrequested,includingadescriptionoftheconditionsconstitutingbreachoftheAgreementandprovidingtheBreachingPartyaperiodoftimeofnotlessthanfive(5)daysandnotmorethantwenty(20)dayswithinwhichtocorrectsuchconditionstothesatisfactionoftheTerminatingParty.IntheeventthattheBreachingPartydoesnotcorrectsuchconditionscontainedintheNoticeofImminentDefaulttothesatisfactionoftheTerminatingPartywithinthedesignatedperiodoftime,theTerminatingPartymayissueaDeclarationofDefaukandterminatetheAgreementeffectiveonthedatespecifiedontheDeclarationofDefault(theEffecuveDate”).DisputesarisingunderthisArticle,includingfinalpaymenttoWESTONifunresolvedamicably,shallproceedinaccordancewithArticle24hereof.IntheeventthisAgreementisterminatedfordefault,thePartiesshallcomplywiththeOrderlyTransferofresponsibilityprovisionscontainedinArticle9(C)below.fB)Iermination/SusoensionforConvenienceofcLIENT.TheWorkmaybeterminatedorsuspendedbyCLIENTinaccordancewiththisArticle9(8)whenCLIENTdeterminesthatsuchterminationorsuspensionisinCLIENT’sbestinterests.AnysuchterminationorsuspensionshallbeinstitutedbydeliverytoWESTONofawrittenNoticeofTerminationlSuspensionforConveniencespecifyingtheAgreementisbeingterminatedorsuspendedfortheconvenienceofCLIENT.anddirectingWESTONtoceasetheperformanceofservicesundertheAgreementuponthedateofWESTON’sreceiptofsuchnotification(the“EffectiveDate”).AfterreceiptoftheNoticeofTerminaucWSuspensionfortheConvenienceofCLIENT.WESTONshallupontheEffectiveDateceaseperformingservicesundertheAgreementandassoonaspracticablethereafter.WESTONshall:(I)TerminateorsuspendallordersandsubcontracutotheextentthattheyrelatetotheperformanceoftheWorkterminatedorsuspendedbytheNoticeofTerminauoWSuspensionforConvenience.(2)AssigntoCLIENTallofWESTON’srights,titleandinterestundertheordersandsubconnactssoterminatedorsuspended.(3)TransfertoCLIENT(andCLIENTwillacceptresponsibilityfor)theobligationtosatisfyalloutstandingliabilitiesandallunresolvedclaimsarisingoutoftetminatioWsuspensionofordersandsubcontractsassociatedwithsuchterminationorsuspensionandCLIENTshallrelease,indemnify,holdharmlessanddefendWESTONfromallsuchoutstandingliabilitiesandunresolvedclaimsincludingattorneys’fees.(4)TransfertheresponsibilityforsitemanagementfromWESTONtoCLIENTinaccordancewithArticle9(C)below.(5)SubmittoCLIENTandCLIENTshaltpayWESTON’sterminationorsuspensioninvoiceincluding,withrespecttoWorkperformedpriortotheEffectiveDateoftheNoticeofTerminationorSuspensionforConvenience,thetotalot(a)ThecostandfeesassociatedwithsuchWork,(b)ThecostofsettlingandpayingclaimsarisingoutoftheterminationorsuspensionofWorkundersubcontactsorpurchaseorders.(c)Reasonabledemobilizationcosts.fd)Areasonableallowanceforprofit.fe)AllcostsincurredunderArticle9(C)below.(C)OrderlyTr2ncferofRexoonalbllity.TotheextenttheWorkinvolvesWESTON-directedactivityonsiteandtheWorkisterminatedorsuspended,whetherforConvenienceofCLIENTorforDefault.thePartiesheretounderstandandagreethatcertainsteps(hereinafterreferredtoas“OrderlyTransfer”)mustbetakentoproperlyimplementtheterminationorsuspension.CLIENTagreesthatallcostsoftheOrderlyTransferwillbebornebyCLIENT.Uponnotificationofterminationorsuspension.WESTONwillprepareamemorandumofOrderlyTransfer,whichwilladviseCLIENTofthestepsnecessarytoshutdownthejobsiteorotherwiseeffectatransition.UponcompletionoftheOrderlyTransfer.WESTONwillprovidewrittennotificationtoCLIENTofWESTON’scompletionthereofandbysuchwrittennotificationshalltransferresponsibilityfortheWorkandsitetoCLIENT.CLIENTagreestoacceptallresponsibilityfortheWorkandsite,includingbutnotlimitedto,continuedmaintenanceandprotectionoftheWorkandsiteinaccordancewithallfederal,state,andlocallawsandregulations.IntheeventofterminationorsuspensionofWorkunderthisAgreement,whetherforconvenience,fordefaultorasotherwisespecificallypermittedunderthisAgreement.CLIENTacceptsMlresponsibilityforcontinuingoperationsonthesiteandtothefullestextentpermittedbylaw,CLIENTshallindemnify,holdharmlessanddefendWESTONanditsagentsandemployeesfromandagainstanyandallclaims,damagesandexpenses,includingbutnotlimitedtoattorneys’fees,arisingoutoforresultingfromsitemaintenance,protectionandoperationofthesitefollowingtheOrderlyTransferinaccordancewiththisArticle9(C).10.HeatthandSafety.WESTONhasestablishedandmaintainsaHealthandSafetyprogramforitsemployees.AcopyofthisHealthandSafetyplanisavailableforreviewuponrequestfromCLIENT.WESTONspecificallydisclaimsanyauthorityorresponsibilityforgeneraljobsitesafetyandhealthandsafetyofpersonswhoarenotWESTON’semployees.UnlessotherwisespecificallyincludedintheScopeofWork.WESTONisnotresponsiblefortheworksitesafetyorthesafetyofanypersonsontheprojectsiteotherthanWESTON’semployees,11.StandardofCare.WhenWESTONservesastheprofessionalrepresentativeofCLIENTorprovidesanyprofessionalservicestoCLIENTunderthisAgreement.WESTONwillendeavortodosoinaccordancewithgenerallyacceptedprofessionalstandardsandpracticesasappliedtosimilarprojectsperformedundersimilarconditionsprevailinginthecommunitywhereservicesarerenderedatthetimesuchadvice,consultationand/orservicesareprovidedbyWESTON.ThePartiesintendthatthedutyowedbyWESTONissolelyforthebenefitoftheCLIENTandthatthereisnootherPartycontemplatedtobenefitfromtheWorkperformedhereundet12.IndenendentContractor.ExceptasprovidedelsewhereinthisAgreement,WESTONshallprovideitsservicesunderthisAgreementasanindependentcontractoranditsemployeesshallnotbeconsideredtobeemployeesofCLIENTinanyrespectorforanypurposewhatsoever.13.NoWarrantWGuarantee.Estimatesofcost.approvals,recommendations,opinionsanddecisionsbyWESTONaremadeonthebasisofWESTON’sexperience,qualificationsandprofessionaljudgmentandarenotnorshouldtheybeconsideredorconstruedaswarrantiesorguarantees.WESTONMAKESNOWARRANTYORGUARANTEE,EXPRESSEDORIMPLIED,REGARDINGTHEWORKTOBEPROVIDEDUNDERTHISAGREEMENt14.HazardousMaterials.CLIENTbearsfullresponsibilityandliabilityforthecreation,existenceorpresenceofanytoxic,hazardous,radioactive,infectiousorotherdangeroussubstancesexistingatthesiteatthetimeWESTONcommencesperformanceofservicesatthesite.CLIENTrecognizesthatwhenitisknown,assumedorsuspectedthathazardousmafa1sexistonorbeneaththesurfaceofthesiteoftheProjectorwithinanystructurethereon,certainsamplingmaterialsorresidues,suchasdrillcuttingsanddrillingfluidsorasbestosremovedforsampling,shouldbehandledasifhazardousorcontaminatedandCLIENTshallsonotifyWESTONandallappropriatefederal,stateandlocalpublicagenciesinwritingasrequiredthatsuchmaterialsorresiduesmaypresentapotentialdangertothepublichealth,safetyand/ortheenvironment.Accordingly,whensamplingisincludedintheScopeofWorkandwhendeterminedbyWESTONinitssolediscretiontobenecessazybasedonWESTON’sassessmentofthedegreeofcontamination,hazardandrisk.WESTONwillpromptlyinformCLIENTthatcontainerizationandlabelingofwastesorresidueswillbeperformed.WESTONwillappropriatelycontainerizeandlabelsuchmaterialsandwillleavesuchcontainersonthesiteforproperandlawfulremoval,transportanddisposalbyCLIENT.CLIENTwaivesanyclaimagainstWESTONandagreestoindemnify,defendandholdWESTONharmlessfromanyclaimorliabilityforinjuryorlosswhichmayariseasaresultofthedrillcuttings,drillingfluidsorotherassumedlyhazardousmaterialsbeingleftonthesiteoftheProjectaftercontainerizationbyWESTONPace2of4 0exceptwhereduesolelytoWESTON’snegligentactsccomissions.ThePartiesdonotintendforWESTONtotaketitleto,conuolnorhavefinalauthoritywithrespecttothedispositionofanyhazardoussubstanceorwaste.Accordingly,WESTONwillnotbeconsideredtobeageneratccarranger,storer,transporter,operatorordisposerofhazardoussubstancesorwastesasaresultofactivitiesperformedinconnectionwiththisAgreement.CLIENTshaltselectandarrangeforlawfuldisposalofanyhazardoussubstance,includingbutnotlimitedto,samplesobtainedinconnectionwithworkunderthisAgreement.WESTONmayexecuteanymanifestsorformsinconnectionwithsuchactivityinthenameofandonbehalfofCLIENT.IfandtotheextentthatWESTONisnotifiedofclaimsinconnectionwithorarisingoutofthehandling,transportation.treatment-storageordisposalofhazardoussubstancesorwastesinconnectionwiththeperformanceofthisAgreement,CLIFNTshalldefend.indemnifyandsaveWESTONharmlessfromanyandallsuchclaims,demands,judgmentsorotherliabilityorcostsassociatedwithsame.15.Insurance.WESTONagreestomaintain,atitsownexpense.Worker’sCompensation.CommercialGeneralLiability.AutomobileLiability,andProfessionalLiabilityinsurancesasfollows:1’pesofInsuranceLimitsofLiabilityWorker’sCompensationStawtocyWorker’sCompensationEmployer’sLiability51.000,000Employer’sLiabilityCommercialGeneral51.000.000eachoccurrenceLiability52.000.000aggregateAutomobileLiability51.000.000eachaccidentorlossAllvehiclesincludinghiredandnon.ownedProfessionalLiability51.000.000persingle(includingPollutionclairWaggrepse&rorsandOmissions)WESTONwill,uponrequest,furnishappropnareinsurancecertificatestoCLIENT.WESTONagreestoindemnifyCLIENTforthebaa.ardscoveredbyWESTON’sinsurancesubjecttothelimitationofliabilitycontainedinArticle17.WESTONagreestopurchasesuchadditionalinsuranceasmayberequestedbyCLIENT(ifsuchinsuranceisavailable),providedthecosts(includingWESTON’sadministraUvcosts)forsuchadditionalinsurancearereimbursedbyCLIENT.16.IndemnIty.SubjecttotheLimitationofLiabilitycontainedinArticle17ofthisAgreement.WESTONshalldefend.indemnifyandsaveCLIENTharmlessfromliabilityforclaims,demandsandsuitsfordamagesforpersonalinjuriesordeath,propertylossccdamage,causedsolelybythenegligentantsoromissionsorwillfulmisconductofWESTON.providedthatWESTONshallnotberesponsibleforandCLIENTshalldefend,indemnifyandholdWESTONharmlessfromanysuchdamagesorclaimsarisingfromthenegligence,actsoromissionsofCLIENT,orCLIENT’sagents.representativesoremployees.CLIENTshalldefend.indemnifyandsaveWESTONharmlessfromallliability,claimsanddemands.includinglitigationcostsandreasonableattorney’sfees,forpersonalinjuries,includingdeath,propertylossordamage.injunestoothers(includingemployeesofCLIENT,WESTON,andtheirsubcontractors),andamwaterorgroundpollutionccenviron.mentalimpairmentarisingowoforinanymannerconnectedwithorrelatedtotheperformanceoftheAgreement,unlesssuchinjwy,lossordamageiscausedsolelybythenegligentactsoromissionsorwillfulmisconductofWESTON.CLIENTherebyiuidemnifles.agreestodefend.andholdsWESTON.itsemployeesandagentsharmlessagainstallliability(includingreasonableattorneysfees)tothirdParties(otherthanliabilitycausedsolelybyWESTON)arisingfromorinconnectionwiththeviolationofanythirdParty’stradesecrets,propriewyinformation,trademark,copyrightorpatenttightsinconnectionwiththepeifonnanceoftheWorkhereunder.CLIENT’sobligationtoindemnifyWESTONoranyemployeeoragentunderthisoranyotherprovisionofthisAgreementwillsurvivetheexpirationorterminationofthisAgreementWESTONshallpromptlynotifyCLIENTofanythirdPartyclaimknowntoWESTONandCLIENTmay,atitsoption.participateinthedefenseofanysuchthirdParryactionandWESTONshallcooperatewithsuchdefense.ClaimsagainstWESTONunderthisIndemnityprovisionareconsidereddisputesandshallbesubjecttoArticle24hereundec17.limititlonofLiability.NotwithstandinganyocherprovisionoftheseGeneralTermsandConditions,andunlessahigherlimitofliabilityisexpresslyprovidedelsewhereinthisAgreementinaprovisionmakingspecificreferencetothisArticle17.WESTON’stotalliabilitytoCLIENTforanylossordamagefromclaimsarisingoutoforinconnectionwiththisAgreementfromanycauseincludingWESTON’ssuictliability,breachofcontract.tortorprofessionalnegligence,errorsoromissionsshallnotexceedthelessuofthetotalcontractpriceofthisAgreementortheproceedsofWESTON’sliabilityinsuranceasspecifiedinArticle15hereotCLIENTherebyreleasesWESTONfromanyliabilityexceedingsuchlimitedamount.InnoeventshalleitherPartybeliabletotheothuforspecial,indirect,incidentalorconsequentialdamageswhetherornotsuchdamageswereforeseeableisthetimeofthecommencementoftheWork.18.WESTONEmnlo,ees.CLIENTshallnotoffertoemployoracniallyemployanyWESTONemployeeassignedtotheWorkduringthetermofthisAgreementorforaperiodofsix(6)monthsaftercompletionorterminationofthisAgreement-CLIENTagreesthatWESTONmayutilizeemployeesofanyofWESTON’ssubsidiarycompaniesandaffiliatesintheperformanceofthisAgreement19.SiteCondItions/SiteAccess,CLIENTwillprovideWESTONaccesstothesue.Priortothestartofwork.CLIENTshallprovideWESTONoradviseWESTONofthelocationofanyandallexistingenvironmentalinformation,includingbutnotlimitedto.studies.reports.laboratoryanalysesandundergroundfacilitiesknowntoCLIENTorinCLIENT’spossessionorcontrolorwhichithasreasontobelieveexistwhichmaybepertinenttotheWork.CLIENTrepresentsthatithasobtainedorwillobtainpermissiononbehalfofWESTONtoenterallpropeny,requiredforinspectionandperformanceofWESTON’,serviceshereundecincludinganyaccessagreements,fromallnecessaryPartiespriortostartoftheWorkonsuchp1ipny.--20.CoafldentlalItT.WESTONshallmaintainasconfidentialandnotdisclosetoothemwidxxuCLIENT’spriorwrittenconsent,anyinfartnationordocumentsobtainedfromCLIENTexpresslydesignatedbytheCLIENTinwritingtobe“CONFIDENTIAL”TheprovisionsofthisArticleshallnotapplytoinfonnationinanyformwhich(a)ispublishedorcomesintothepublicdomain,(b)isalreadyknowntoorbythereceivingParty,(c)isfurnishedbyorobtainedfromathirdPartywhimisundernoobligationtokeeptheInformationconfidential,or(U)isrequiredtobedisclosedbylaworpursuanttoacowlorderorsubpoenaofacows,administrativeagencyorosheraimctitywithproperjurisdiction.Notwithstandinganythingtothecontrarysetforthherein,itisunderstoodbyCLIENTthatWESTONisormaybesubjecttocertainlegalandethicalconsiderationsandobligationsdependinguponthenatureandScopeofWorkrenderedhereunderwhichmayrequireWESTONtodisclosefactsobservedbyWESTONtothirdParties.In.suchevent,WESTONshalladviseCLIF.bittshall,subjecttoanylegalorprofessionalobligationasdesemilnedbyWESTON’scounseltoimmediatelydisclosesuchfacts,refrainfrommixinganysuchdisclosureuntilWESTONandCLIENThaveconferredwithrespecttosuchfacts.IfforanymasonthePattiesamunabletoconferorifWESTONbelievesontheadviceofcounselthatitmustdisclosesuchfacts,WESTONshallnotifyCLIENTofitsintentiontodisclosesuchinformationpriortoactualdisclosuretothirdParties.Anysuchdisclosureshallnotbedei4aviolationorbreachofthisAgreementandCLIENTagreesthatWESTONshallbeandI,herebyreleasedfromanyliability,claimorcauseofactionwhatsoeverwithrespecttosuchdisclosure,CLIENTagreesthatWESTONmayuseandpublishCLIENT’snameandageneraldescriptionofWESTON’sservimawithrespecttotheWorkindescribingWESTON’sexperienceandqualificationstootherclientsandpotentialclients.WESTON’stechnicalandpricinginformationcontainedintheProposalorAgreementisconsideredconfidential,proprietaryinformationconstitutingatradesecretandisnottobedisclosedorotherwisemadeavailabletothirdPartieswithoutthepriorwnaenconsentofWESTON.21.UseofPrefectRecords.AltProjectRecords,includingbutnotlimitedto.drawingsandspecifications,preparedorfurnishedbyWESTON(includingWESTON’sindependentprofessionalassociates.consultantsandsubcontractors)pursuanttothisAgreementareinsoumeatsofserviceregardingtheWork.CLIENTmaymakeandretaincopiesfor,informationandreferenceinconnectionwiththeWork;WESIVNGENERALIWfSANDcONDiTIONS,ContractorPollutionLiabilityInsuranceS1.000,000persingleclaim/aggregatePage3of4 ‘I*NhoweverProjectRecordsarenotintendedorrepresentedtobestatableforanyuseotherthantheusespecifiedintheContractDoctiments.AnyreuseofProjectRecordswithoutpriorwrittenverificationoradaptationbyWESTONforthespecificpurposeintendedinthisAgreementwillbeatCLIENTssoleriskaMexposureandwithoutliabilityorlegalexposuretoWESTON.ortoWESTON’sindependentprofessionalassociales,consultantsorsuconteactors.CLIENTshallindemnifyandholdharmlessWESTONandWESTON’sindependentprofessionalassociates.consultantsandsubcontractorsfromanyandallcosts,expenses.fees,losses,claims,demands,liabilities,suits,actionsanddamageswhatsoeverarisingoutoforresultingfromreuseofanysuchProjectRecordswithoutWESTON’sexpress,priorwrittenapprovalofreuse.AnyveifficationoradaptationagreedtobyWESTONwillentitleWESTONtocompensationatratestobeagreeduponbyCLIENTandWESTONatthatume.22.RecordsRetention.isisWESTON’spracticeandpolicytoretainProjectRecordsincludingreports,drawingsandcorrespondencedevelopedduringperformanceoftheAgreementforaperiodofthree(3)yearsafterprojectcompletion.Suchrecordsmaybemaintainedonelectronicorothermedia,asWESTONmaydeemappropriate.tntheeventCLIENTdesiresProjectRecordstobemaintainedforanadditionalperiodoftimeorinspecificmedia,uponClIENTswrittenrequesttoWESTON,suchrecordsshalleither(a)bedeliveredtoClIENTor(b)beretainedbyWESTONforadditionalperiod(s)oftimeforareasonableadditionalcharge.23.ServIcer,ItisunderstoodandagreedthattheWorkperformedandrelatedproductsfurnishedtoCLIENTunderthisAgreementarenotsubjecttoanyprovisionofanyUniformCommercialCode.24.Disnutes.AlldisputesbetweenthePartiesarisingoutofthisAgreementmuttbebroughtwithinthree(3)yearsofthecommencementoftheWorkbereundanlshal’bervsol”-’4bysu”’on‘odArbitrationinPhiladelphia.PA,orsuchotherplaceasainwritingbythePartiesasdescribedbelow:(A)MediationPartiesshallattemptingoodfaithtoniiateachdiandusedibesteffortstoreachagreementonthemanorsindispEitherPattymamakewrittenrequestfornon-bindingmediation,•chshallsptfyinnabtederailthefactsofthedispute,andwten(10)4yLfromdidateofdeliveryofthedemand.themanorIbesubmitrMediatiinaccordancewiththeAmericanArbionAssociationCornictionIntryMediationRules.TheMediatorbearthematnd.ifrequbytheParties,provideaninrmalopinionand&ace,noneofwinshallbebindinguponthees,butisexpectedthePartiestohelresolvethedispute.SaidnformalopinionandadviceshallbesubmitothePartieswithinty(20)daysfollowingwrittenrequestforsame.eMediator’sfeeIbesharedequallybytheParties.ifthedisputenotbeenreadwithin120daysofsubmissionoftherequestforM‘on,theshallthenbesubmittedtoAfØW.ationinaccordancewithdc2)below:\‘5)ArbItration‘flAllclaims,counterclaims,ispinsandothermattersindisputebetweenthePartiesheretoarisingoforrelatingtothisAgreementorthebreachthereofnototherwiselvedinaccordancewithArticle24(A)hereofshallbedecidedbyoninPhiladelphia,PA,CrsuchotherplacesasotherwiseainrdancewiththeConstructionIndustryArbitrationRulesofAmenArbitrationAssociationthenobtaining,subjecttotheItationsandstricuonsstatedinArticle24(B)(l)andArticle24(8)below.ThisAtwsoaibittatedandanyotheragreementornsenrtoarbitratewibespecificallyenforceableunderthepreyarbitrationlawofanyhavmgjtnisdiction.(1)NoticeofaforarbitrationmustfildinwritingwiththeotherPartyorestothisAgreementandedttheAmericanArbitrationon.Thedemandmustbemade‘thinareasonabletimeafterthecim,disputeorothermanorinquestionarisen.InnoeventmaytheernandforArbitrationbemadeaftertheawheninstitutionofIorequitableproceedings,basedonsuchcdisputeorothermaninquestion,wouldbebarredbytheapplicabstatuteoflimitatioorstaniteofrepose.NoarbitrationarisingoutoforrelatingtothisAgreeniImaymdbyconsolidation,joinderorinanyothermanner,anyorenuiwhoisnoraPartytothisAgreement.(3)BywrittenconsentsignedbyallthePartiestothisAcontainingaspecificreferencethereto,thelimitationsandresctitamedinArticle24(81I)andArticle24(812)maybewatv—wholeoastoanyclaim,counterclaim.ormatterspecificallydescrinsenl(4)Theawardwillbefinal,notsubjecttoappealtmaybeentereduponIhaving(5)IntheeventofanydisputesbetweenthePartiestothisAgreement,theprevailingPartyinanyensuinglitigationshaltbeentitledtorecoveritsreasonablecostsandattorney’sfeesincurredbytheprevailingParty.25.NoThirdPan,Benefidarv.WESTON’sservicesareperformedforthesoleandexclusivebenefitofCLIENT.ThisAgreementdoesnotcreateanyrightorbenefittoanyoneotherthanCLIENTandWESTON.26.SalesandUseTax.PendingafinalrulingbyappropriatetaxauthoritieswithrespecttotheimpositionofaStateSalesandUseTaxapplicabletoWESTON’sprofessionalservices,CLIENTacknowledgesthattheobligationtopaysalesandusetax,ifruledapplicabletoWESTON’sservices,isCLIENTsobligationaspurchaser.CLIENTagreestoysuchsalesandusetaxaridherebyreleases,indemnitiesandholdsWESTONharmlessfromanyandallclaimsrelatedtosalesandusetaxasitappliestoWESTON’sprofessionalservicesprovidedunderthisAgreement.27.SeverabllitvlSavmga,TheprovisionsofthisAgreementshallbedeemedseverableandtheinvalidityorunenforceabilityofanyoftheprovisionshereofshallnotaffectthevalidityandenforceabilityoftheocherprovisionshereof,ifanyprovisionsofthisAgreementareunenforceable,foranyreasonwhamsocvu,suchprovisionsshallbeappropriatelylimitedandgiveneffecttotheextentthaiitmaybeenforceable.28.AssIgnment.NeitherPartyshallassign,subcontractorotherwisetransferthisAgreementoranyrightsorobligationshereundertoasubsidiazy,successor,affiliateoranythirdParty,exceptasexpresslyprovidedherein,withoutthepriorwrittenconsentoftheotherParty.Anyattemptedassignmentwillbenullandvoidandwithoutforceandect.NothinghereundershellpreventWESTONfromanploingsuchprofessionalassociatesandconsultantsasWESTONdeemsappropriatetoassistWESTONintheperformanceofserviceshereunder.29.LIdeationServices,CLIENTandWESTONagreethattheWorkperformedhereundermayinvolvesomefarmoflegalprocessorproceedingsduringorafterperformanceoftheproject.Suchlegalprocessorproceedingsmayincludeproductionofrecords,formsofdiscoverysuchasdepositionsandinterrogators,filingsandcourttestimony.CLIENTagreesthatifWESTONisrequiredtoparticipateinorotherwiserespondtosuchlegalprocessorproceedingsinwhichWESTONisnotaParty,CLIENTshallcompensateWESTONforitseffortsinsodoing,includingbutnorlimitedto,expenses,labor,docimurrnreproductioncosts,travelexpenses,legalfees,etc.,reasonablyincurredinconnectionwithitseffortsinrespondingtosuchlegalprocessorproceedings.30.GovernlneLaw.TheinterpretationandenforcementofthisAgreementistobegovernedbyandconstruedinaccordancewiththelawsoftheCommonwealthofPennsylvania.31.EntireAereemencThisAgreementrepresentstheentireandintegratedAgreementbetweenthePartiesandsupersedesallotherpriornegotiations,representationsoragreements,eitherwrittenororaLAnyreiandconditionssotforthinClIENT’spurchaseorder,requisition,orothernoticeofauthorizationtoproceedareinapplicabletotheVexceptwhenspecificallyprovidedforinfullonthefaceofsuchpurchaseorderrequisition.ornoticeorauthorizationandspecificallyacceptedinsidngbyWESTON.WESTON’sacknowledgmentofreceiptofmypurchaseorder’,requisition.noticeorauthorizationorWESTON’sperformanceofWorksubsequenttoreceiptthereofdoesnotconstituteacceptanceofanytermsorconditionsother’thanthosesetforthherein.C£STDNG’JEPALTERMSANDcoNDmoNs(cmedj95P-1958—‘TaRFW09-05-002!A-07t9501995RoyEWeston.Inc.Page4of4
