CAGREEMENTREGARDINGPROVISIONOFPHOTOGRAMMETRICSERVICES‘97165oThisAgreementRegardingProvisionofPhotogrammetricServices(“Agreement”)datedasof,1997,isbetweentheCountyofEagle,Colorado,byandthroughitsBoardofCountyCommissioners(“County”),andNolteandAssociates,Inc.,acorporation(“Contractor”).WHEREAS,whatisthepurpose/intentofthiscontract.Forgoodandvaluableconsideration,includingthepromisessetforthherein,thepartiesagreetothefollowing:1.ScopeoftheWork:TheWorkshallbecomprisedofthefollowing:Contractorshallprovidealllabor,materials,andequipmentnecessary,toperformandcompletethePlanimetricLineMappinginareas1A,1B,1E,iF,1G,and11ofEagleCountyplusarea1C(TownofGypsum),area1H(TownofAvon),area1J(TownofMintum),theEagleCountyLandfill,EagleCountyAirport,anddigitalphotographsforEdwardsasdescribedinAttachmentFtotheSpecifications(“Work”).TheWorkwillincludealloftheperformanceitemsenumeratedinAttachmentCfortheareasdescribedabove.TheWorkshallbeperformedinaccordancewiththeSpecificationsForPhotogrammetricServicesforFloodplainStudiesinColorado(datedApril1978,andrevisedMarch1986,November1992,andMarch1997)oftheColoradoWaterConservationBoard(“Specifications”)andwiththeGeneralConditions.ReferencesintheSpecificationstoactionsbythe“ColoradoWaterConservationBoard”(or“CWCBorthelike)orbythe“contractingagency”shallbedeemedtomean“EagleCounty.”TheSpecificationsandGeneralConditionsareattachedheretoandincorporatedhereinbythisreference.Theplanimetriclinemappingwillbeatascaleof1”=lOO’,with2footcontourintervals.Themappingwillincludeapproximately10crosssectionspermileasdenotedbyCounty.ContractorwillprovideCountywithanenlarged(24”x24”)aerialphotographofeachindividualstudyarea.2.Contractor’sPerformance:ContractorshallberesponsibleforthecompletenessandaccuracyoftheWork,supportingdata,andotherdocumentspreparedorcompiledinperformanceoftheWork,andshallcorrect,atitssoleexpense,allsignificanterrorsandomissionstherein.ThefactthattheCountyhasacceptedorapprovedContractor’sWorkshallnotrelieveContractorofanyofitsresponsibilities.ContractorshallperformtheWorkinasidliflil,professional,andcompetentmanner,andinaccordancewiththestandardsofcare,skill,anddiligenceapplicabletoengineers,cartographers,andsurveyors,asthecasemaybe,withrespecttosimilarwork.AgreementPage1 CC3.TimeofPerformanceandTermination:ContractorshallcommencetheWorkwithinten(10)businessdaysafterthedateofthisAgreement.ContractorshallcompletetheindividualtasksoftheWorkinconformitywiththecompletiondatessetforthontheWorkSchedule,AttachmentDtotheSpecifications.AllWorkshallbecompletednotlaterthan145daysafterthemappingflight,andwillbecompletednotlaterthanSeptember30,1997.4.CompensationandPayment:InconsiderationofitsperformanceoftheWork,describedinAttachmentCRevised-ScopeofServicesandPerformanceItems,Contractorshallbepaidafixedfeetotalof$,Paymentshallbemadeinaccordancewiththefollowing:I2,-1c.oczThka.ContractorshallsubmittoCountyperiodicinvoicesofthetasksperformedduringthepreviousfourweekperiod.SuchbillingsshallsegregatethechargesforworkdonebytaskandsubtaskasdescribedintheAttachmentCRevised-ScopeofWorkandPerformanceItems.Uponrequest,ContractorshallprovideCountywithsuchothersupportinginformationasCountymayrequest.b.Contractor’sinvoicesshallbedueandpayablewithinthirty(30)daysaftersubmittalbyContractortogetherwithsubmissionofanyrequiredclarificationanddocumentation.c.ThepartiesheretorecognizethatthescopeoftheWorkmaychange.WhenContractorbelievesthatthescopeoftheWorkhasbeenchangedorthatbyreasonofadecisionofCountyitwillberequiredtoredoproperlycompletedWork,ContractorshallimmediatelyadviseCountyofsuchbeliefandshallalsoprovideastatementofthemaximumadditionalchargesforsuchwork.ContractorshallnotbeentitledtobepaidforanysuchadditionalworkunlessanduntilCountyagreesinwritingthatthescopeoftheWorkhaschangedandacceptsthestatementofthemaximumadditionalcharges.d.Contractorshallmaintaincomprehensive,completeandaccuraterecordsandaccountsofitsperformancerelatingtothisAgreementforaperiodofthree(3)yearsfollowingfmalpaymenthereunder,whichperiodshallbeextendedatCounty’sreasonablerequest.Countyshallhavetherightwithinsuchperiodtoinspectsuchbooks,recordsanddocumentsupondemand,withreasonablenoticeandatareasonabletime,forthepurposeofdetermining,inaccordancewithacceptableaccountingandauditingstandards,compliancewiththerequirementsofthisAgreementandthelaw.e.NotwithstandinganythingtothecontrarycontainedinthisAgreement,nochargesshallbemadetoCountynorshallanypaymentbemadetoContractorforanyWorkdoneafterDecember31,1997,withoutthewrittenapprovaloftheCountyinaccordancewithabudgetadoptedbytheBoardofCountyCommissionersinaccordancewiththeprovisionsofArticle25ofTitle30oftheColoradoRevisedStatutesandtheLocalGovernmentBudgetLaw(C.R.S.§29-1-101etseq.).5.ProjectManagement:MarkA.Miller,PLSshallbedesignatedasContractor’sProjectManagerfortheWork.JohnC.Althoff,ProjectEngineer,EagleCounty,shallbeCounty’sAgreementPage2 CCmanagerresponsibleforthisAgreement.Allcorrespondencebetweenthepartiesheretoregardingthisprojectshallbebetweenandamongtheprojectmanagers.Eitherpartymaydesignateadifferentprojectmanagerbynoticeinwriting.6.IndependentContractor:ItisexpresslyacknowledgedandunderstoodbythepartiesheretothatnothingcontainedinthisAgreementshallresultin,orbeconstruedasestablishing,anemploymentrelationship.Contractorshallbe,andshallperformas,anindependentcontractor.Noagent,employee,orservantofContractorshallbe,orshallbedeemedtobe,theemployee,agentorservantofCounty.ContractorshallbesolelyandentirelyresponsibleforitsactsandfortheactsofContractor’sagents,employees,servantsandsubcontractorsduringtheperformanceofthisAgreement.7.Personnel:ContractorunderstandsandherebyacknowledgesthatCountyisrelyingprimarilyupontheexpertiseandpersonalabilitiesofMarkA.Miller.ThisAgreementisconditioneduponthecontinuingdirectpersonalinvolvementofMarkA.MillerintheWork.CountyunderstandsthatotheremployeesofContractorwillbeworkingonportionsoftheWork;however,theseemployeesshallbeunderthedirectsupervisionofMarkA.Milleratalltimes.CountyalsounderstandsthatContractorwillsubcontractportionsoftheWorktoBenchmarkMappingServices(mappreparation)andRockyMountainAerialSurveys,Inc.(aerialphotography),providedContractorisresponsibletoCountyforsubcontractors’portionsoftheWork,andprovidedfurtherthatContractormaynototherwisesubcontractordelegateanypartoftheWorkorsubstitutesubcontractorswithoutCounty’swrittenconsent,whichconsentCountymayexerciseinitssolediscretion.IntheeventthatMarkA.MillerisunabletoremaininvolvedintheWork,ContractorshallimmediatelynotifyCountyandCountyshallhavetheoptiontoterminatethisAgreement.Inallevents,theWorkshallbeperformed,asthecaserequires,bylicensedorcertifiedProfessionalLandSurveyorsintheStateofColorado.2.OwnershipofDocuments:AlldocumentswhichareobtainedduringorpreparedintheperformanceoftheWorkarecopyrightedandshallremainthepropertyoftheCounty,shallbesodesignatedonthefaceofthedocument,andaretobedeliveredtoCounty’sprojectmanagerbeforefinalpaymentismadetoContractororuponearlierterminationofthisAgreement.9.Confidentiality:ContractoracknowledgesthatitmayreceiveconfidentialinformationfromCountyforuseinconnectionwithitsperformanceoftheWork.ContractorfurtheracknowledgesthatitmayintheperformanceoftheWorkdevelopinformation,includingfacts,data,andopinions,whichare,orinCounty’sjudgmentshouldbe,confidentialorlimitedintermsofdissemination.ContractorshalltakeallprecautionsnecessarytomaintainandprotecttheconfidentialityofanysuchinformationandtoensurethatitshallbeusedonlyforthepurposesoftheWork.AJ1facts,data,andopinionsdevelopedbyContractorinthecourseofitsperformanceoftheWorkshallbedeemedtobelongtoCountyandnosuchfacts,data,oropinionsshallbedisseminatedtoanyoneforanypurposewithoutCounty’sexpresswrittenconsent.UponcompletionoftheWork,ContractorshallreturntoCountyallmaterialitsuppliedtoContractorinconnectionwiththeperformanceoftheWork.AgreementPage3 C010.NoAssignment:ThepartiestothisAgreementrecognizethattheservicestobeprovidedpursuanttothisAgreementareprofessionalinnatureandthatinenteringintothisAgreementCountyisrelyinguponthepersonalservicesandreputationofNolteandAssociates,Inc..Therefore,ContractormaynotassignitsinterestintheAgreement,includingtheassignmentofanyrightsordelegationofanyobligationsprovidedtherein,withoutthepriorwrittenconsentofCounty,whichconsentCountymaywithholdinitssolediscretion.Exceptassoprovided,thisAgreementshallbebindingonandinuretothebenefitofthepartieshereto,andtheirrespectivesuccessorsandassigns,andshallnotbedeemedtobeforthebenefitoforenforceablebyanythirdparty.Unlessspecificallystatedtothecontraryinanywrittenconsenttoanassignment,noassignmentwillreleaseordischargetheassignorfromanydutyorresponsibilityundertheAgreement.11.ConflictsofInterest:NeitherContractornoritssubcontractors,noranyoftheirrespectiveprincipals,officers,employeesoragentsshall,atanytimeduringthetermofthisAgreementandcontinuingthroughthree(3)monthsfollowingcompletionoftheWork,performconsultingworkwhichwouldconstituteaconflictofinterest,includingbutnotlimitedtoworkonbehalfofpersonsowningpropertywithintheareawhichisthesubjectoftheWork.ByacceptanceofthisAgreement,Contractorrepresentsandwarrantsthatanyandallofitsprofessionalrepresentationsandassociations,whichwouldconflictinanymannerordegreewiththeprofessionalandimpartialperformanceofservicesrequiredunderthisAgreementhavebeenterminated.EachofContractor’ssubcontractorsshallberequiredtorepresentandwarrantthatanyandallofitsprofessionalrepresentationsandassociationswhichwouldconflictinanymannerordegreewiththeprofessionalandimpartialperformanceofservicesrequiredunderthisAgreementhavebeenterminated12.Notices:AnynoticeandallwrittencommunicationsrequiredunderthisAgreementshallbegivenbypersonaldelivery,courierdelivery,facsimiletransmissiontogetherwitha“hardcopy”byUnitedStatesmail,orfirstclassmail,totheappropriatepartyatthefollowingaddresses:Contractor:MarkA.Miller,PLSNolteandAssociates,Inc.7000SouthYosemiteStreet,Suite200Englewood,CO80112tel.303-220-1001fax303-220-9001County:JohnC.Aithoff,ProjectEngineerEagleCountyP.O.Box$50Eagle,CO81631tel.970-328-8760fax970-328-7185Noticeshallbedeemedgivenonthefirsttooccurofdelivery,transmissionbyfacsimile(iftransmittedduringcustomarybusinesshours,orthefollowingbusinessdayifnot),orthreecalendardaysafterdepositinthemails,asapplicable.AgreementPage4
