00WHEREAS,theContractorhasavailablethetechnicalabilitytoproperlyperformtheprojectandtoaddresstheoccupantprotectionenforcementobjectivesoftheCDOTOTS,andWHEREAS,thisContractisexecutedbytheStateunderauthorityof29-1-203,24-42-103,43-1-103(2),43-1-105,and43-4-402,C.R.S.,andTitle23U.S.C.Section402,andbytheContractorundersections29-1-203and30-11-101,31-15-101C.R.S.orhomerulecharter,asapplicable,andtheattachedresolution.NOWTHEREFORE,itisherebyagreedasfollows:1.TheContractor’sLetterofIntent,theCDOTOTSContractManagementManualdatedOctober1,1994,theStateHighwaySafetyRulesat2CCR602-1,andAttachmentsA,BandCareincorporatedhereinbythisreferenceastermsandconditionsofthiscontract.TheContractoracknowledgesthatithasreceivedcopiesoftheCDOTOTSContractManagementManual,theApplicationGuidelines,andtheStateHighwaySafetyRules.TheContractorshallcomplywithalltermsandconditionsofthisContract.IntheeventofaconflictbetweenthetermsofthisContractandthetermsoftheincorporatedmaterials,thefollowingpnontyshallbeusedtoresolvesuchconflict:A.StateHighwaySafetyRules;thenB.CDOTOTSContractManagementManualandGuidelines;thenC.ThisContract;thenD.AttachmentsA,B,C,inthatorder;thenE.LetterofIntent.2.TheContractorshallcarryouttheprogramandshallperformtheactivitieswhicharespecificallydescribedinthecontractandaregenerallydescribedinAttachmentA(collectively,“theproject”).3.TheContractorshallsubmittimelyreportstotheStatedetailingtheperformanceofeachoneofthe8‘enforcementwaves”,asdescribedinActivity#3ofAttachmentA,accordingtothecontractspecificationsandreportingcriteriadescribedinAttachmentsAandB.4.ProiectFundingProvisions.ThetotalbudgetamountauthorizedbythisContractfortheactualcostsoftheprojectworkis$650perwave,asdescribedinAttachmentC.TheStateshallpaythistotalbudgetamount,asprovidedherein.a.State’stotalshare(1997)$1,950—b.State’stotalshare(1998)$3,250-4.A.Provided,thatifContractordoesnotperformanyoneormoreofthe8“enforcementwaves”,asdescribedinActivity#3ofAttachmentAandwithinthespecificdatesprovidedtherefore,accordingtothecontractspecificationsandreportingcriteriadescribedinAttachmentsAandB,thentheContractorshallnotbereimbursedforanywaveorwavesthatitdidnotsoperform.Provided,further,thattheState’sobligationforthetotalshareforfederalfiscalyear1998shallbecontingentuponthosefederalfundsbeingappropriated,budgeted,andotherwisemadeavailabletoCDOTOTStherefore,andtheContractorshallnotperformanypartofthe1998federalfiscalyearservicesdescribedhereinuntilCDOTOTSprovideswrittennoticetotheContractorthatthe1998fundsareavailable.AnysuchworkperformedbytheContractorwithoutthatnoticeshallbeatContractorssoleexpenseandshallnotbereimbursedbyCDOTOTS.Page2of6pages
CC4.B.TheContractorhasagreedtoprovidetheservicesandattheratesandonthetermsasdescribedhereinasneededtosatisfactorilyperformandcompletetheContractworkforatermspanningboth1997and1998federalfiscalyears,subjecttotheavailabilityoffunding.Fundsarecurrentlyavailableandencumberedfortheworkforthe1997federalFiscalYearintheamountspecifiedabove,butnofundsarecurrentlyencumberedforthe1998federalFiscalYear.TheState,unilaterally,hasthetighttoincreasetheamountofavailablefundsunderthisContract.inthatevent,theStatewillnotifytheContractorthereofbyFundingLetter.TheFundingLetterwillbeinaformsubstantiallyequivalenttothatinAttachmentD,anditshallnotbedeemedvaliduntilitshallhavebeenapprovedbytheStateControllerorsuchassistantashemaydesignate.4.C.TheStateshallusetheoccupantprotectionmini-grantfundsexclusivelytopay100%oftheactualcostsincurredbytheContractorfortheprojectworkuptotheState’smaximumshareamountof100%of$1,950TOTAL.Provided,however,thattheState’smaximumshareshallnotexceedtheamountof$1,950foranyreason,includingiftheContractorvoluntarilypaysmorethantheminimumamountrequiredoftheContractorunderthiscontract,unlessthiscontractissupplementedinwritingtothateffectpriortotheincurringofanycostinexcessofthetotalbudgetamount.4.D.ItisanticipatedthattheContractormayvoluntarilyprovideeitherpaymentofactualcostsorin-kindservicesexceedingitscontractamountrequirementinordertoestablishtheprojectonapermanentbasis,providedthatitisexpresslyunderstoodthatanysuchvoluntarypaymentorservicesshallnotincreasetheState’smaximumshareunderthiscontract.4.E.IftheContractorincursprojectcostswhichexceedthebudgetamountwithoutfirstobtaininganaoorovalinthatamountbywrittencontractamendment,theContractorshallbesolelyresponsiblefortheofsuchexcesscosts.4.F.TheState’sshareofthetotalbudgetamountwillbeprovidedsolelyfromtheoccupantprotectionenforcementmini-grantapplicationfunds.AnyobligationoftheStateunderthisContractiscontingentuponoccupantprotectionenforcementmini-grantapplicationfundsbeingavailableforthisContractandupontheContractorcarryingouttheeightscheduledenforcementwaves.4.G.TheStatewillpaytheContractorfortheState’sshareofactualcostsincurredonamonthlybasis,subjecttopriorreviewandapprovalbytheStateofworkperformanceandpursuanttopaymentprocedurescontainedintheCDOTOTSContractManagementManual.TheContractorshallmaintainanitemizedaccountingofallbillingsandotherrecordstosupportallcostschargedtotheContractandshallpresentsametotheStateuponrequest.4.H.TheobligationoftheContractorforalloranypartofthepaymentobligationssetouthereinshallonlyextendtomoniesdulyandlawfullyappropriatedforthepurposeofthisContractbytheGoverningBodyoftheContractor.TheContractorherebyrepresentsandwarrantsthatthemoniestopayfortheContractor1sobligationsdescribedhereinhavealreadybeenlegallyappropriatedthrough9/30/97bytheGoverningBodyforthepurposeofthisContract.ContinuationofthisprojectthroughJune30,1988willbesolelydependentonavailablefederalfundsinfiscalyear1998.5.TheeffectivedateofthiscontractshallbethedatetheControlleroftheStateofColoradoapprovesthiscontract,orsuchlaterdatespecifiedherein.TheContractshallbeginafterApril1,1997andterminateonJune30,1998.6.TheContractoragreesthatanysubcontractsenteredintobytheContractorunderthisContractmustmeetallapplicableStateandFederalrequirementsandmustbeapprovedbytheOfficeofTransportationSafetypriortoexecutionbytheContractor.Page3of6pages
0C7.a)TerminationDuetoLossofFundinQ.ThepartiesheretoexpresslyrecognizethattheContractoristobepaid,reimbursed,orotherwisecompensatedsolelywithcertainfundsprovidedtotheStateforthepurposeofcontractingfortheservicesprovidedforherein.Therefore,theContractorexpresslyunderstandsandagreesthatallitsrights,demandsandclaimstocompensationarisingunderthisContractarecontingentuponreceiptofsuchfundsbytheState.IntheeventthatsuchfundsoranypartthereofarenotreceivedbytheState,theStateorContractormayimmediatelyterminatethisContract.b)TerminationforCause.If,throughanycause,eitherpartyshallfailtofulfillinatimelyandpropermannertheobligationsunderthisContract,orifeitherpartyshallviolateanyofthecovenants,agreementsorstipulationsofthisContract,thenon-breachingpartyshallthereuponhavetherighttoterminatethisContractforcausebygivingwrittennoticetothebreachingpartysuchterminationandspecifyingtheeffectivedatethereof,atleastthirty(30)daysbeforetheeffectivedateofsuchtermination.Inthatevent,allfinishedorunfinisheddocuments,data,studies,surveys,drawings,maps,models,photographs,andreportsofothermaterialpreparedbytheContractorunderthisContractshall,attheoptionoftheState,becomeitsproperty,andtheContractorshallbeentitledtoreceivejustandequitablecompensationforanysatisfactoryworkcompletedonsuchdocumentsandothermaterials.Notwithstandingtheabove,thebreachingparty.shallnotberelievedofliabilitytothenon-breachingpartyforanydamagessustainedbythenon-breachingpartybyvirtueofabreachoftheContractbythebreachingparty,andtheStatemaywithholdanypaymentstotheContractorforthepurposeofsetoffuntilsuchtimeastheexactamountofdamagesduetheStatefromtheContractorisdetermined,iftheContractorisabreachingparty.c)TerminationforCotivetiiiice.EitherpartymayterminatethisContractatanytimethatitdeterminesthatthepurposeofthedistributionofmoniesundertheContractwouldnolongerbeservedbycompletionoftheProject.Suchpartyshalleffectsuchterminationbygivingwrittennoticeofterminationtotheotherpartyandspecifyingtheeffectivedatethereof,atleasttwenty(20)daysbeforetheeffectivedateofsuchtermination.8.TheContractorshalladoptaresolutionsubstantiallyintheformpresentedbytheState,whichapprovesthisContract,andauthorizesasignatorytoexecutethisContract.AcopyofsuchresolutionshallbeattachedtoandmadeapartofthisContract.9.INDEPENDENTCONTRACTORRELATiONSHIP.THECONTRACTORSHALLPERFORMITSDUTIESHEREUNDERASANINDEPENDENTCONTRACTORANDNOTASANEMPLOYEE.NEITHERTHECONTRACTORNORANYAGENTOREMPLOYEEOFTHECONTRACTORSHALLBE,ORSHALLBEDEEMEDTOBEANAGENTOREMPLOYEEOFTHESTATE.CONTRACTORSHALLPAYWHENDUEALLREQUIREDEMPLOYMENTTAXESANDINCOMETAXANDLOCALHEADTAXONANYMONIESPAIDPURSUANTTOTHISCONTRACT.CONTRACTORACKNOWLEDGESTHATTHECONTRACTORANDITSEMPLOYEESARENOTENTITLEDTOUNEMPLOYMENTINSURANCEBENEFITSUNLESSTHECONTRACTORORATHIRDPARTYPROVIDESSUCHCOVERAGEANDTHATTHESTATEDOESNOTPAYFOROROTHERWISEPROVIDESUCHCOVERAGE.CONTRACTORSHALLHAVENOAUTHORIZATION,EXPRESSORIMPLIED,TOBINDTHESTATETOANYAGREEMENTS,LIABILITY,ORUNDERSTANDINGEXCEPTASEXPRESSLYSETFORTHHEREIN.CONTRACTORSHALLPROVIDEANDKEEPINFORCEWORKER’SCOMPENSATION(ANDSHOWPROOFOFSUCHINSURANCE)ANDUNEMPLOYMENTCOMPENSATIONINSURANCEINTHEAMOUNTSREQUIREDBYLAW,ANDSHALLBESOLELYRESPONSIBLEFORTHEACTSOFTHECONTRACTOR,ITSEMPLOYEESANDAGENTS.10.TheSpecialProvisionsareattachedheretoandherebymadeaparthereofastermsandconditionsofthiscontract.Page4of6pages
