HomeMy WebLinkAboutC97-107 Buggywhips Fish & Float ServiceCC’97i0747RAFTINGAGREEMENTThisAgreementisbetweentheCountyofEagle(hereinafterknownas“theCounty”)andallindividualsorcompanieswhocommerciallyoperateand/orownforthepurposesofcommercialuseriverboatsandrafts(hereinafterknownas“theOperator”)andusetheFairgrounds,locatedintheCountyofEagle.WHEREAStheCountyownsandoperatestheFairgrounds;andWHEREAStheFairgroundsservesasapointforloadingand/ordisembarkmentforraftsandotherriverboats,commerciallyandprivatelyowned;andWHEREAStheCountymaintainstheparkingareas,bathrooms,picnickingfacilitiesandotherrecreationamenitiesattheFairgrounds;andWHEREASthepartiesofthisagreementagreetothescheduleofservices,fees,andresponsibilitiesimpartedtothepartiesassetforthbelow:ITISAGREEDTHAT:1.TheCountyshallallowOperatortodisembarkattheFairgroundsduringtheraftingseasonof1997(thepartiesagreethatthetermoftheseasoniswaterdependentandthatthetermofthisagreementshallbeforaslongasbothpartiesagree);2.TheCountyagreesthatitwillmaintainparkingareas,bathroomsandpicnicfacilitiesandtrashreceptaclesfortheuseandenjoymentoftheOperators;3.TheCountyagreesthatOperatormayusetheFairgroundsasapointtoloadand/ordisembarkthepassengersoftheirraftsandriverboats;4.TheOperatoragreesthatthelargervehicles(usuallydefinedasavehiclewhichhasthecapacitytocarrymorethan16peopleincludingvehiclesattachedtotrailers,trailersandbuses)maybeparkedintheFairgroundsparkinglotaswellassmallervehicles(usuallydefinedasavehiclewithacapacityof16orlesspersons)butallparkingissubjecttoavailabilityasdeterminedbytheCounty; CC5.TheOperatoragreesthatitanditspassengerswillkeeptheFairgroundsinacleanmanner,disposingoftrashinthereceptaclesprovided;6.TheOperatoragreesthatitunderstandsthattheFairgroundswillbeusedforavarietyoffunctionsseparateanddistinctfromtheOperator’suseandthatitsuseisnotexclusive;norshalltheOperatorinhibittheusageoftheFairgroundsbyothers;7.BothpartiesagreethattheCountymaycloseofftheuseoftheFairgroundstotheOperatorforspecificeventsiftheCountysodeemsnecessaryandthattheCountymustgivenoticeof14daysinadvanceofsaidclosingdatetotheOperator;TheCountywillclosetheFairgroundsonAugust2,andAugust3,1997.8.TheOperatorshallpayafeetotheCountyfortheuseoftheFairgrounds.EachOperatorshallpaytheCountyapaymentof$225.00onorbeforeMay22nd,1997(Thisdateofdepositisflexibleifagreeduponbybothparties.);9.TheOperatoragreesthatitwilltruthfullyandaccuratelysendayearendreporttotheCountyregardingthenumberofitspayingcustomersandacknowledgesthattheCountymayauditthereportingoftheOperatorattheendoftheseasonwiththeamountrecordedattheBureauofLandManagement.TheOperatorwillberesponsiblefortheyearendreporttotheCountyorlosetheprivilegeofusingtheFairgroundsandfaceanymonetarypenaltiesassociatedwiththeCountyResolutionNo.93-58;10.ThepartiesfurtheragreethattheOperatoranditscustomers,throughtheOperator,waiveanyliabilityonthepartoftheCountyforanyinjuriesthatmayoccurduringtherafttriporuseoftheFairgrounds.TheOperatoragreesthatitissolelyresponsibleforthewelfareofitscustomerstotheextentthatthosepartiesagreeandthatnoliabilityisimputedtotheCounty;11.TheOperatorshallobtaingeneralliabilityinsurancenamingEagleCountyasaddlitonalinsured,andshallbecarriedintheminimumamountof$150,000perinjuryand$600,000peroccurrenceforcoverageofclaimsfordamagesarisingfromLessee’suseoftheFairgrounds,includingbutnotlimitedtopersonalinjuryanddeath,propertydamage,andotherdamagesimposedbylawuponthepartieshereto.LesseeagreestoprovidetheCountywithaCertificateofInsuranceacceptabletotheCounty,namingEagleCountyas“AdditionalInsured”withinatimeframeagreedtobytheparties.2 “1CC12.TheOperatoragreesthatlackofperformancewiththetermsofthisagreementshallresultinimmediateterminatipçlofusageoftheFairgrounds.iNWITNESSWHEREOF,signedthisdayof,1997VCOUNTYOFEAGLE,STATEOFATTEST:COLORADO,ByandThroughItsBOARDOFCOUNTYCOMMISSIONERSBy_____________BZz%ClerktotheBoardofMikeBradleyCountyCommissionersBuildingandGroundsnager____aBy4JBusiesnameThepperatorZMc.STATEOFCOLORADO)3 JCIt-iF.0)-ç,4.c.c)C•U).4-0>.‘4-H.r‘U..oz--•-—D—--c-0-------‘C—0.-
