ControlCcC971007AGREEMENTFOROPERATIONOFTHEEAGLECOUNTYREGIONALAIRPORTCONTROLTOWERBETWEENTHEBOARDOFCOUNTYCOMMISSIONERSOFTHECOUNTYOFEAGLE.STATEOFCOLORADOANDMIDWESTAIRTRAFFICCONTROLAGREEMENTTHISAGREEMENTisherebymadeandenteredintothis/ayof,%%,-1997,atEagle,Colorado,byandbetweentheBoardofCountyConmiissionersoftheCofyofEagle,StateofColorado(hereinreferredtoas“COUNTY”)andMidwestAirTrafficControlServices,Inc.,acorporation(hereafterreferredtoas“CONTRACTOR”).WITNESSETHWHEREAS,theCOUNTYistheownerandoperatoroftheEagleCountyRegionalAirport(hereinaftercalled“Airport”),locatedintheCountyofEagle,StateofColorado;andWHEREAS,theCOUNTYhasenteredintoacontactwiththefederalAviationAdministrationContractNo.,dated,__________________,hereinaftercall“FAAContract”fortheprovisionofairtrafficcontrolservicesattheAirport;andWHEREAS,theCONTRACTORhasproposedtoperformalloftheservicesrequiredby,andtoconformtoallofthetermsandconditionsoftheFAAContract;andWHEREAS,theCONTRACTORhasproposedtoprovidecertainadditionalrelatedservicesfortheoperationoftheAirport;andWHEREAS,theCOUNTYdesirestosubcontractallofitsobligationspursuanttotheFAAContractandtoobtainthoseadditionalrelatedservicesformtheCONTRACTOR;NOW,THEREFORE,thepartiesinconsiderationofthecovenantsandagreementsoftherespectivepartieshereincontained,thepartiesheretodoherebyagreetothefollowing: CCARTICLEIPREMISESTheCOUNTYgrantstheCONTRACTOR,forperformanceoftheprovisionsofthisAgreement,accesstotheCONTRACTORS’sMobileControlTowersituatedattheAirport.CountyshallberesponsibleforitsbasestructureonwhichtheContractor’scontroltowerispresentlyatop.ARTICLEIITERMThetermoftheagreementshallcommenceonJune1,1997,andcontinuethroughSeptember30,2001(includesbaseyearandfoursuccessiveone-yearoptions)providedthatthebeginningand/orendingdatesofthetermshallchange,ifnecessary,toconformtotheFAAContractandprovidedthattheFAAfundingisaconditionprecedenttoeitherparty’sobligationfortheinitialterm.EachoptionyearshallbecontingentuponFAAfunding.ARTICLEIIISCOPEOFSERVICESCONTRACTORwillfurnishaportablecontroltowerandalllabor,materialsandequipmenttoprovideairtrafficcontrolandweatherobservationservicesanddescribedin,andconformingtothetermsandconditionsoftheFAAContract.AcopyoftheFAAContractisattachedheretoasAttachment1andincorporatedhereinbythisreference.Allobligations,liabilitiesanddutiesimposedbytheFAAContractontheCountyandthe“RequestforCompetitiveSealedProposal”andattachments,appendicesandtablesthereto,areconsideredpartofthisAgreement.CONTRACTORwillberequestedtoprovideallservicesandcomplywithallprovisionstobesetfourthintheabovementionedRequestforCompetitiveSealedProposal.Shallprovideone(1)airtrafficcontrolfacilitycapableofmeetingFAArequirementsforradios,personnel,AWOSequipment,airportlightingcontrol,telephoneequipmentorotherequipmentasneeded.Shallbeawarethatpaymentofserviceshallbemademonthly,tobepaidaftercompletionofeachmonth’sservice.InadditiontothehoursofservicespecifiedintheFAAContract,ContractorshallprovidesuchotheradditionalhoursofserviceasmayberequestedbyCountyfromtimetotime,providedthatperformingsuchadditionalhoursofservicedoesnotconflictwiththefullperformanceofthedutiesrequiredundertheFAAContract.Suchadditionalhoursofservicewillbeseparatelyinvoicedat$40.00perhour,baseduponthecurrentfederalwagedeterminationwithrespecttotheFAAContract.ContractorshallatalltimesbeincompliancewithapplicableFAAregulationsgoverningthemaximumworkinghoursandsafetystandards. 0CCONTRACTORshalladheretotheAirportEmergencyOperationsPlanandperformthedutiesofthetoweroperatordescribedherein.CONTRACTORshalldesignateanon-siteFacilityManageranheshallactasthepointofcontactfortheCounty.InabsenceofthisFacilityManager,anequallyresponsibleorqualifiedrepresentativeshallbedesignatedtoactastheFacilityManager.CONTRACTORshallemployaminimumofthreeairtrafficcontrollerstomeetdailyandpeakoperatinghoursofairtrafficcontrolservicelevelsasoutlinedintheStatementofWork.Noportionofairtrafficcontrolserviceshallbecurtailedordelayedbecauseacontrollerisperformingnon-controlduties.CONTRACTORshallprovidepersonnelandequipmentqualifiedinaccordancewithFAAandNationalWeatherServiceregulationstomakesurfaceaviationweatherobservationsandreports(SAWR’s)asasupplementtoAWOS.ContractorshallmakeSAWR’sandreportthemhourlytoDenverFlightServiceStationandDenverEnrouteCenter,aswellastoAirportusers,whenrequiredbyrequestorduetoAWOSfailure.CONTRACTORshallprovidetotheCountycopiesofallwrittenagreementsandcorrespondencebetweenitandtheFAAwithrespecttotheperformanceofthisAgreement.CONTRACTORshallprovideawatchscheduleshowingdayofmonthanddayofweek,identifyinghowthedifferentshiftswillbecoveredandthescheduleoftheFacilityManager,airtrafficcontrollersorotherpositionsassociatedwiththeoperationsoftheAirportcontroltower.CONTRACTORshallprovidesuchadditionalservicesatnoadditionalcharge,asmayberequestedinwritingfromtimetotimebyCounty,providedthattheyareserviceswhichhavecustomarilybeenapartofthedutiesoftheAirControlToweroperatorattheAirportanddonotrequiretheContractortoprovideadditionalpersonnelorpersonneltime.AllservicesprovidedpursuanttothisAgreementshallbeperformedincompliancewithallfederal,stateandlocalstatutes,laws,ordinances,resolutions,orders,permits,rulesandregulationsgoverningorotherwiseapplicabletosuchtowerandsuchservices.ARTICLEIVCOMPENSATIONTheCountyshallpaytoContractortheamountsprovidedintheFAAContractandinaccordancewiththetermsoftheFAAContractexceptthatContractorshallsenditsmonthlyinvoiceto: 0EagleCountyRegionalAirportOfficeoftheAirportManager0219EldonWilsonRoadGypsum,CO81637ARTICLEVINSURANCEANDSAVEHARMLESSINDEMNITYAGREEMENT(A)Itistheparties’mutualintentionthatneithertheCountyofEaglenortheStateofColoradoshallberesponsiblefordamagestopropertyorinjuriestopersonswhichmayarisefromorbeincidenttotheperformanceofthisAgreement,includingbutnotlimitedtopropertydamagesoftheContractoranddamagestothepropertyorinjuriestotheperson(s)oftheContractor’sofficers,agents,servants,oremployees,orotherswhomaybeonsaidpremisesattheirinvitationortheinvitationofanyoneofthem,arisingfromorincidenttotheperformanceofthisAgreementoranyothercause,orarisingfromorincidenttoanyotheractivities.Therefore,Contractorshallsaveankeepanyandallliability,claims,demandsandcostsofwhateverkindandnature,forinjurytoordeathofpersonorpersonsandforlossordamagetoanypropertyoccurringinconnectionwithorinanywayincidenttoorarisingoutofactsoromissionsoftheContractor’sofficers,agents,servantsoremployeesintheperformanceofthisAgreementdonotapplywheredamagestopropertyorinjurytopersonsorpersonsisproventohavearisendirectlyandexclusivelyfromfaultyCountypropertyusedinconnectionwiththeperformanceofthisAgreement.(B)InadditiontoanyinsurancerequiredundertheFAAContract,theContractorshall,duringtheentiretermofthisAgreement,maintaininforceacomprehensivegeneralliabilitypolicyofinsurance,includingairtrafficcontrolprofessionalerrorsandomissions,namingtheBoardofCountyCommissionersoftheCountyofEagle,Coloradoasadditionalinsured,inthefollowingminimumamountsforthefollowingfunctionsperformedpursuanttothisAgreement.AirTrafficControl$10,000,000.00GeneralLiability$1,000,000.00Workman’sCompensationPerColoradoLawAirtrafficcontrolinsuranceshallincludepersonalinjuryandaccidentcoverage.ThispolicyistocoveronlytheairtrafficcontroloperationsattheAirport.Eachapplicableminimumshallapplytoeachoccurrence.AcertificateshowingsuchinsurancetobeinfullforceandeffectshallbeprovidedtotheCountypriortothecommencementofthisAgreement.(C)Changesinpremiumratesmaybenegotiatedatsuchtimesastheyoccur.TheCountyreservestherighttodecrease,increaseorrenegotiatetheinsurancerequirementsasitdeemsreasonablynecessaryorasmayberequiredbecauseofchangesintheinsurancerequirementsimposedbytheCounty’sorContractor’sinsurer. 00ARTICLEVICONTRACTORSEVALUATIONANDOUALITYCONTROL(A)TheCountymay,atanytime,observeandevaluateContractororsubcontractoractivitiesintheperformanceofthisAgreement.ThepurposeshallbetoinsurecompliancewithtermsandconditionsofthisAgreementandanystandards,regulationsorclausesreferencedherein.AnydeficienciesnotedwillbebroughttotheattentionoftheContractorinwriting.TheContractorshallimmediatelytakestepstoremedydeficienciesassoonaspossible.(B)AqualitycontrolinspectionsystemshallbeprovidedbytheContractortoassurethatallservicesarebeingproperlyperformed.Areasandschedulesoftheinspectionsshallbeestablishedandrecordkeptofcorrectiveaction.TheContractorShallmakeitsrecordsandFacilityManageravailablebetweentheContractorandtheCounty.(C)Thepremises,allequipmentandtherecordsoftheContractorshallbeatalltimesopenandavailableforinspectionbytheCounty.ARTICLEVIIMISCELLANEOUS(A)ThecontractoragreesthattheprovisionsofthisAgreementarenonassignabletoanyotherpartyunlesstheconsentoftheCountyisfirstobtainedinwriting.Further,theCountyisundernoobligationtoconsenttoanyrequestedassignment.(B)TheContractor,itofficers,agents,employees,andanyotherpersonsoverwhichtheContractorhascontrol,shallcomplywithallrulesandregulationsgoverningorrelatingtotheuseoftheAirport,ortheContractor’sexclusivepremises,nowexistingorasmayfromtimetotimebeamendedorpromulgatedbytheCountyintheinterestofhealth,safety,sanitationandgoodorder,andwhicharenotinconsistentwithfullperformanceoftheFAAContract.(C)IfanytermofprovisionofthisAgreementoranyapplicationthereofshallbeinvalidorunenforceable,theremainderofthisAgreementandanyotherapplicationofsuchtermorprovisionshallnotbeaffectedthereby.NeitherthisAgreementnoranytermorprovisionhereofmaybechanged,waived,dischargedorterminatedorallybutonlybyaninstrumentinwriting,signedbythepartyagainstwhichtheenforcementofthechange,waiver,discharge,orterminationissought.ThetermsandprovisionofthisAgreementshallbebindinguponthecontractor,itssuccessorsandassigns,andshallinsurethebenefitoftheCounty,itssuccessorsandassigns. C.©(D)IntheeventofdisputeorclaimsunderthisAgreement,ContractorshallhavethesamerightsandremediesasCountyhasundertheFAAContract,ansuchrightsandremediesshallbeexclusiveofallotherrightsandremediesunderfederalandstatelaw.AnysuchdisputesandclaimsshallbeassertedandresolvedinaccordancewiththeproceduresapplicabletotheFAAContract,andContractorwillbeboundbyanyfinaldeterminationbyFAA(or,ifapplicableboardofcontractappealsorcourthavingjurisdictionoversuchmatters)inlikemannerandtolikeextentasCountyisbound.(E)ThisAgreementcontainstheentireagreementandunderstandingconcerningthesubjectmatterthereofbetweenthepartiessupersedesandreplacesallpriornegotiationsandproposedagreements,writtenororal.Eachofthepartiesheretoacknowledgesthatnootherpartyoragentorattorneyofanyotherpartyhasmakeanypromise,representationorwarrantywhatsoeverconcerningthesubjectmatterofthisAgreement,whetherexpressorimplied,whichisnotexpresslysetfourthherein,toinduceeithertoexecutethisAgreement,andeachofthepartiesacknowledgesthatheisnotexecutingthisAgreement,inrelianceonanysuchpromise,representationorwarranty.Noaddition,deletion,oramendment,exceptasmutuallyagreedtoinwriting,shallhaveanyforceoreffectwhatsoever.ARTICLEVIIINOTICESFortheCounty:EagleCountyRegionalAirportOfficeoftheAirportManager0219EldonWilsonRoadGypsum,CO81637FortheContractor:MidwestAirTrafficControlBox34NewCentury,KS66031ForMidwestATCService:(Witness:NWITNESSWHEREOF,thepartieshavehereuntosettheirhandsandsignaturesthedayandyearfirstabovementioned.
