ProductionsCC‘97AGREEMENTBETWEENC&SPRODUCTIONSANDTHECOUNTYOFEAGLE,STATEOFCOLORADOTHISAGREEMENTmadethis(dayof2f2!e7,1997,byandbetweentheCountyofEagle,StateofColorado(hereinafterreferredtoas“County”),byandthroughitsBoardofCountyCommissioners,andC&SProductions(hereinafterreferredtoas“Contractor”).WHEREAS,theCountyistheownerofcertainrealpropertylocatedintheCountyofEagle,StateofColorado,whichisusedandcommonlyreferredtoasthe“EagleCountyFairgrounds”;andWHEREAS,the1997EagleCountyFairandRodeoisscheduledtobeheldattheEagleCountyFairgroundsonJuly31,August1,2,and3,1997;andNOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:AUTHORITYTOCONTRACT1.TheCountyrepresentsitisdulyauthorizedtoenterintothisAgreementpursuanttoSection30-11-101,10-11-103,and30-11-107,C.R.S.,asamended.2.Contractorrepresentsthathe/sheisdulyauthorizedtoenterintothisagreementforitsintendedpurposes.COMPENSATION3.Contractoragreestoprovideaudioservices,freestagelights,andpersonnelforthe1997EagleCountyFairandRodeo,July31throughAugust3,1997.ContractorwillprovideonelargesoundsystemwithtweoperatorsfromThursday,July31throughSunday,August3,1997.4.Countyshallprovidetwopersonsovertheageofeighteen(18)forload-inat12:00p.m.until2:00p.m.onThursday,July31,1997.1 •CC5.Countyshallprovidetwopersonsovertheageofeighteen(18)forload-outonSunday,August3,1997.Saidload-outistocommenceimmediatelyfollowingthelastperformanceonAugust3,1997.6.CountywillprovidefoodandbeverageforContractorandentrancetotheeventsforfour(4)peopleoverthedatesofJuly31-August3,1997.7.Countyshallprovide100amp,singlephasepowernomorethan100feetfromstageinsuchamannerwherecablesarenotadangertothepublic.8.TotalcostofservicestobeprovidedbyContractorshallnotexceedTwoThousandFourHundredDollars($2,400.00).9.Advancepaymentoffiftypercent(50%)ofthetotalcontractorOneThousandTwoHundredDollars($1,200.00)shallbedueandpayableuponthesigningofthecontract.Thebalanceofthepaymentdueunderthecontract,$1,200.00,shallbedueandpayableonJuly31,1997.10.CountyshallbeentitledtoarefundofitsadvancepaymentprovidedC&SProductionsreceiveswrittennotificationofcancellation30dayspriortothecontractdateandC&SProductionsisabletore-bookitsservicesfortheoriginalcontractedtimesegment.Anywrittencancellationoccurringwithintheperiodof30daysto14dayspriortotheservicedateshallentitletheCountytoarefundoffiftypercent(50%)ofadvancepaymentprovidingthecontractedtimesegmentcanbere-contracted.Anycancellationsoccurringwithin14daysoftheservicedateshallresultinaforfeitureoftheadvancepayment.11.Contractoragreestoexercisecareinkeepingitsequipmentingoodcondition.Countyassumesfullliabilityforanydamageorlosstotheequipmentoccurringduetotheft,fire,waterdamageorotheragencybeyondthecontroloftheemployeesofContractorwhileinthepossessionofCounty.12.CountypromisestoreturnequipmenttoContractoronthedateandhourascontractedinthesameconditionasreceivedexcludingnormalwearandtear,Countyshallbeliableforanyloss,theft,damageordestructionoftheleasedequipment.MiequipmentlostordamagedbeyondrepairshallbepaidforbytheCountyatreplacementcostvalueandalldamagedequipmentwhichmayberepaired,shallberepairedbyContractoronthereturnthereof,withtherepaircostsassessedtotheCounty.13.Countyagreestopayforanymissingorunaccountedforitemsnotreturnedwiththeequipment.2 CCINSURANCE14.ContractorrepresentstotheCountythatitwillmaintainageneralliabilityinsurancepolicyineffectrelativetotheperformanceofitsdutieshereunder,intheminimumamountofFiveHundredThousandDollars($500,000).15.ContractorshallcarryComprehensiveMotorVehicleInsuranceintheminimumamountsof$150,000/$500,000forbodilyinjury,and$500,00forpropertydamage,eachoccurrence.AllliabilityandpropertydamageinsurancerequiredhereundershallbeComprehensiveGeneralandAutomobileBodilyInjuryandPropertyDamageformofpolicy.16.ProofofinsuranceistobeprovidedtotheCountythirty(30)dayspriortothecommencementofthisAgreement.INDEPENDENTCONTRACTOR17.Thisagreementdoesnotcreateanemployee/employerrelationshipbetweentheparties.Itistheparties’intentionthatContractorwillbeanindependentcontractorandnotanemployeeofEagleCountyforallpurposes,including,butnotlimitedto,theapplicationoftheFairLaborStandardsActminimumwageandovertimepayments,FederalInsuranceContributionAct,theSocialSecurityAct,theFederalUnemploymentTaxAct,theprovisionsoftheInternalRevenueCode,ColoradoRevenueandTaxlaws,ColoradoWorker’sCompensationlawandtheColoradoUnemploymentInsurancelaws.18.ContractorwillretainsoleandabsolutediscretioninthejudgementofthemannerandthemeansofcarryingoutContractor’sactivitiesandresponsibilitieshereunder.19.ContractoragreesthatitisaseparateandindependententerprisefromEagleCounty,thatithasafullopportunitytofindotherbusiness,thatithasmadeitsowninvestmentinitsbusiness,andthatitwillutilizeahighlevelofskillnecessarytoperformthework.20.ThisagreementshallnotbeconstruedascreatinganyjointemploymentrelationshipbetweenContractorandEagleCounty,andEagleCountywillnotbeliableforanyobligationincurredbyContractor,includingbutnotlimitedtounpaidminimumwagesand/orovertimepremiums.3 CcMISCELLANEOUS21.ContractoragreestoholdharmlessandindemnifytheCountyagainstanyliabilityarisingoutofthenegligentactsofitsemployeesoragents.Likewise,theCountyagreestoholdharmlessandindemnifyContractoragainstliabilityarisingoutofthenegligentactsofitsemployeesoragents.22.ThisAgreementshallbegovernedbythelawsoftheStateofColorado.Jurisdictionandvenueofanysuit,rightorcauseofactionarisingunderorinconnectionwiththisAgreementshallbeexclusiveinEagleCounty,Colorado.23.IntheeventofanylitigationbetweenthepartiesheretoregardingtheinterpretationoftheAgreementortheobligation,dutiesorrightsofthepartieshereunder,orifsuitorotherwiseisbroughttorecoverdamagesforbreachofthisAgreement,oranactionbebroughtforinjunctionorspecificperformance,thanandinanyofsuchevents,theprevailingpartyshallrecoverallreasonablecostsincurredwithregardtosuchlitigation,includingreasonableattorney’sfees.24.ThisAgreementshallnotbeassignablewithoutthepriorwrittenconsentofthepartieshereto.Anysuchattemptedassigmnentshallbevoid.25.ThisAgreementconstitutestheentireagreementbetweenthepartieshereto.Anyamendments,additions,alterationsormodificationstothetermsorconditionsoftheAgreementshallbeinwritingandsignedbybothparties.NOTICE26.Allnoticesshallbegiveninwriting,bytelefaxand/orbycertifiedmail,totherespectiveparty,asfollows:Contractor:C&SProductionsP.O.Box684Avon,Colorado81620County:BoardofCountyConunissionersCountyofEagle,StateofColoradoP.O.Box850Eagle,Colorado81631(970)328-86054
