HomeMy WebLinkAboutC97-091 Town of Gypsum and Eagle River Water and Sanitation DistrictC92-‘/iy2/—O—111111111111111111III11111111111111111111111111liiiliii52172305/01/19971145AB725P7574091of10R0.00D0.00N0.00Eagle,ColoradoTERMINATIONAGREEMENTThisAgreementisenteredintothis,M14dayof,1996byandbetweentheTOWNOFGYPSUM,COLORADO,ahomerulemunicipalcorporationorganizedpursuanttotheColoradoConstitution,ArticleXX,Section6(“Town”),EAGLERIVERWATERANDSANITATIONDISTRICT,successortoVAILVALLEYCONSOLIDATEDWATERDISTRICT,aquasi-municipalcorporationorganizedpursuanttoTitle32,ArticleI,C.R.S.(“District”)andtheCOUNTYOFEAGLE,COLORADO(“County”)allbeingpoliticalsubdivisionsoftheStateofColoradoandbeingcollectivelyreferredtoas“theParties.”WHEREAS,theDistrictandtheCountyenteredintoanInclusionAgreement,datedAugust28,1990,toincludecertainrealpropertywithintheDistrictboundariesknownastheEagleCountyAirportProperty(hereinafterthe“Property”),suchPropertybeingdescribedinExhibit“A”anddepictedinExhibit“B”attachedheretoandmadeaparthereofbythisreference;andWHEREAS,thePropertywasincludedintheDistrictpursuanttotheSpecialDistrictAct,C.R.S.§32-1-101et.seq.,byOrderoftheCourtdatedDecember5,1990;andWHEREAS,theTownandtheDistrictenteredintoanIntergovernmentalAgreement(hereinafter“IntergovernmentalAgreement”),datedNovember5,1991,providingfortheDistricttoconstruct,maintainandprovidewaterservicefacilitiestotheProperty;andWHEREAS,theTownandtheDistrictagreedthatallrevenuesreceivedfromtapfeesforconnectiontothewaterservicefacilitiesservingtheProperty,allservicechargesforwaterservicefromconnectionstothefacilities,andadvaloremtaxesassessedandcollectedfrompropertiesandabletoreasonablybeservedbythefacilities,shallbeappliedtowardstherepaymentofthebondedindebtednessincurredbytheDistricttoconstructthefacilitiesandtowardscertainoperationandmaintenanceexpenses,tobeappliedduringaperiodoftimeknownasthe“paybackperiod”asdescribedintheIntergovernmentalAgreement;andWHEREAS,theTownandtheDistrictagreedthateventuallytheDistrictwouldterminateprovisionofservicetothePropertyandtheTownwouldassumeandcontinuewaterservicetothePropertythroughacquisitionofthewaterservicefacilitiesandappurtenancesservingtheProperty,exclusionofthePropertyfromtheDistrict’sboundaries,andrepaymentofthebalanceremainingonthebondedindebtednessincurredbytheDistricttoconstruct,maintainandoperatethefacilitiestotheProperty;andWHEREAS,thePartieswishtoterminatetheIntergovernmentalAgreementbyexercisingtherighttoprepayallbondedindebtednessduring“paybackperiod”andclarify,detailandeffectuatetheterminationofservicebytheDistrictandtheassumptionandcontinuationofservicebytheTowninaccordancewiththeIntergovernmentalAgreementandinparticular,Paragraph19oftheIntergovernmentalAgreement.1
CCNOWTHEREFOREinreturnforthemutualpromisesandcovenantshereinandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledgedbythePartiesitismutuallyagreedasfollows:TheTownshallpayovertotheDistrictacertainsumofmoneyinsatisfactionoftheremainingbalanceonthecostofthewaterfacilitiestothePropertyinaccordancewiththeaccountingandbalancedetailedinExhibit“C”attachedheretoandincorporatedhereinbythisreference.Withinthisaccounting,andinrecognitionthatthefacilitieshavecertaindeferredmaintenancewhichneedstobeundertaken,theDistrictshallpaytotheTownthesumofTenThousandDollars($10,000.00).FinalpaymentbytheTowntotheDistrictshallbeconditioneduponsatisfactoryreviewandacceptancebytheTownofalleasementsforthedeliverylinesandwaterfacilitiestobetransferred.2.TheDistrictshallconveytotheTownbyQuitClaimDeedand/orBillofSaleallwaterservicefacilitiesservingtheProperty(hereinafter“Facilities”),including,butnotlimitedto,themainwaterlineextension,anyandallpumps,storagetank,pumpstation,mastermetervaultandmetertankpumpcontrols,transmissionlines,storagefacilities,andrelatedappurtenancesandeasementsconstructed,owned,operatedandutilizing(orintendingtoutilize)waterdeliveredfromtheTownpursuanttotheIntergovernmentalAgreement.Thisconveyanceshallbemadefreeandclearofallliens,encumbrances,defectsoftitleorclaims.3.TheDistrictshallconveytotheTownbySpecialWarrantyDeedalleasementsandrightsofwayassociatedwiththePropertywaterFacilitiesorusedforpurposesofprovidingwatertothePropertypursuanttotheIntergovernmentalAgreement,freeandclearofallliens,encumbrances,defectsoftitleorclaimsexceptasotherwiseprovidedherein.4.TheDistrictshallassigntotheTownanyandallagreements,contractsandcommitmentstoservelandowners,customersoruserslocatedwithinthePropertyforwhichtheTownwillassumeandcontinueserviceuponexclusionofthelandsfromtheDistrict,andshallconveybySpecialWarrantyDeedanyandallwaterrightsacquiredorownedbytheDistrictpursuanttotheseagreements,contractsorcommitments,totheextentnotpreviouslyconveyedtotheTown.5.TheDistrictshallassigntotheTownalltapfees,waterservicechargesandadvaloremtaxes,attributabletoorassociatedwiththeDistrict’sagreementstoprovidewaterservicetotheProperty,accruedbutnotyetpaidorpayable.TheTownacknowledgesprepaidtapsownedbyEagleCountyandacceptsitsobligationstoservethereby,subjecttoparagraph11herein.TheTownconditionallyacknowledgesprepaidtapsownedbyDavidFaulkenberg,subjecttoTownreviewof,andacceptanceassatisfactory,allagreementandinclusiondocumentsbetweentheDistictandFaulkenberg.TheDistrictwilldelivertotheTownalldocuments,correspondencesandotherpapersrelatedtothese“receivables”forpurposesofassistingtheTownincollection.ThepartiesunderstandthattheclosingcontemplatedhereinmayoccurwithinabillingcyclefortheDistrict,insuchanevent,Exhibit“C”shallbeproratedandadjustedaccordingly.Providedfurther,thepartiesrecognizethatapromissorynotewas2I1111111111111111111111111111111111111111111111liiitill62172305/01/199711:45AB725P7574092of10R0.0000.00N0.00Eagle,Colorado
C0executedinfavoroftheDistrictfromtheJetCenterfortapfees;theTownagreestousereasonableefforts,includingpromptremittanceofwaterservicesurchargesundertheNote,toassisttheDistrictincollectingpaymentsdueunderthepromissorynote.6.TheDistrictshalldeliverallfacilitydesigns,drawings,reproducible“24x36”mylarsshowing“as-built”improvementsfortheFacilitiesincludingserviceconnectionstothefacilities,allfiles,documentsandotherpapersconcerningservicetotheProperty,andalloperatingkeystothefacilities.7.Withinthirtydaysfromfullpaymentofthebondedindebtedness,theDistrictandCountyshallinitiateproceedingsfortheexclusionofthePropertyfromtheDistrictboundariespursuanttoC.R.$.§32-1-501oftheSpecialDistrictActbypromptlycirculatingaPetitionforExclusiontothefeeownerswithinthePropertyandfilingsuchPetitionwiththeBoardofDirectorsoftheDistrict(hereinafter“Board”).TheTownwilllenditsbesteffortstoassistandeffecttheexclusionoftheProperty.IfaPetitionforExclusioncannotbeobtainedfromonehundredpercentoffeeownerswithinthePropertytobeexcluded,thentheDistrictwouldremainintactandremitadvaloremtaxestotheTownuntilsuchtimethataPetitionforExclusioncouldbeobtainedorthepartieseffectuateda“MunicipalExclusion”ofthePropertypursuanttoC.R.S.§32-1-502.TotheextentthatanelectionisrequiredtoeffectanexclusionfromtheDistrictthepartiesagreetomutuallyandcooperativelyusetheirbesteffortstoexcludethePropertyfromtheboundariesoftheDistrict.8.IftheBoardreceivesaPetitionforExclusionpursuanttoC.R.S.§32-1-501,theBoardshallforthwith,butnotlaterthanfifteen(15)daysafterreceiptofthePetitionofExclusion,initiatestepstoexcluedethePropertyfromtheDistrict.TheBoardshallmakeallreasonablyexpedienteffortstoconsideranddetermineuponthePetitionofExclusionandfinaladoptionotthepreliminaryresolution,andpromptlysubmitanOrderoftheBoardtotheCourt.Uponexclusion,theDistrictwillnotexerciseitsrightstolevyorotherwisechargetheexcludedpropertyasprovidedforinC.R.S.§32-1-503.9.Thefullyandproperlyexecutedconveyances,assignments,paymentsanddeliveriesmadehereinconstitutethefullandcompletesatisfactionoftheobligationsofthePartiesundertheIntergovernmentalAgreementandtheInclusionAgreement.Thereafter,thePartiesagreetoreleaseandholdeachotherforeverharmlessfromandagainstanyclaimordemandbaseduponsaidAgreementssaveforthecontinuingobligationssetforthinthisAgreement.10.NotwithstandingParagraph9ofthisAgreement,theDistrictwarrantsandcertifiesthatanypartytoanagreement,contractorservicecommitmentassignedhereunderdoesnothavepastorpresentclaimsorcausesofactionagainsttheDistrict(whetherassertedornot),andthatifinthefuture,aclaimisassertedagainsttheTownfromacauseofactionarisingoutoforfromDistrict(anditscontractorsandagents)construction,operationorservicetotheProperty,theDistrictagreestodefendsuchclaimsandreimbursetheTownforitsreasonableexpensesandattorneyfeesrelatedthereto.11.ThepartiesrecognizethattheDistrictandCountyenteredintoarelatedagreementfor11111111111111111III111111111111111111III11111liiiliii62172305/01/199711:45AB725P7574093oc10R0.00D0.00N0.00Eagle,Colorado
CobligationsrelatedtoservicingthebondedindebtednessoftheDistrictforthefacilities.ThisAgreementprovidedthatfundsadvancedbytheCountyforthispurposewouldbeconsiruedasprepaymentstowardDistricttapfees.TheCountyrepresentsthatfundspaidbytheCountyunderthisarrangementtotal$143,016.00entitlingitto23.83“equivalentresidentialunit”(“EQR”)tapcreditsundertheTownofGypsumCode.TheTownacknowledgesacredittotheCountyof23.83EQRworthoftapfeesunderArticle13.04oftheTownCodebutreservestherighttoinspectallconnectionstoensurethatconnectionsordemandshavenotbeenmadewhichwouldbecomeadebitfromtheEQRcredit.Thepartiesrecognizeandunderstandthatinadditiontotapfees,waterrightdedicationcomplianceunderArticle13.08oftheTownCodehasyettobesatisfiedwithrespecttothetapfeecredits.TheCountyagreesthatitsuseandentitlementofthecreditsshallbeboundbytheprovisionsoftheTownCode.ThisTerminationAgreementendsallCountyobligationstopurchasetapsundertheInclusionAgreement.12.ThisAgreementconstitutestheentireAgreementbetweenthePartiesheretoconcerningthesubjectmatterhereofandsupersedesallotherpriorconversations,proposals,negotiations,understandingsandagreementswhetherwrittenororalallofwhicharemergedherein.EAGLERIVERWATERTOWNOFGYPSUMANDSANITATIONDISTRICTSCOUNTYOFEAGLE,STATEOFCOLORADO37ITERM.03C111111111111111111III111111111111111111III11111liiiIHI462172305/01/199711:45P6725P7574094oflbR0.00D0.00N0.00Eagle,Colorado
